CONSENT AND JOINDER
THIS ACCESS EASEMENT SUBORDINATION, CONSENT AND JOINDER ("Subordination")
given this 2,3 day of March,2021,by Synovus Bank,as successor by merger with Florida Community Bank,
N.A. (the"Mortgagee"), in favor of the COLLIER COUNTY,a political subdivision of the State of Florida,
whose mailing address is 3299 Tamiami Trail East, c/o the Office of the County Attorney, Suite 800,Naples,
Florida 34112 (hereinafter referred to as "Collier County"). Mortgagee is used as singular or plural, as the
context requires.
WITNESSETH:
WHEREAS,the purpose of this Subordination is to subordinate the Mortgagee's security interests that
encumber good, marketable title to the non-exclusive access easement being conveyed to the County, which
access easement is located over, on and/or under the underlying real property that is encumbered by security
interests in favor of the Mortgagee;
WHEREAS, Mortgagee is the owner and holder of that certain Second Amended and Restated
Combined Fee and Leasehold Mortgage,Assignment of Rents and Security Agreement recorded on December
23, 2019, in Official Records Book 5709, Page 3711; and that certain UCC-1 Financing Statement recorded
on December 23, 2019, in Official Records Book 5709, Page 3764, both of the Public Records of Collier
County, Florida (collectively, the "Mortgage") encumbering the premises legally described therein (the
"Encumbered Property").
WHEREAS, the County has requested and received from the fee simple owner of the Encumbered
Property a non-exclusive Access Easement over and across a portion of the encumbered premises legally
described in Exhibit "A" attached hereto and incorporated herein by virtue of this reference (the "Easement
Property").
WHEREAS,the County has requested that Mortgagee consent to and subordinate its Mortgage to the
interest that County has in the Easement Property to which request Mortgagee has agreed.
NOW, THEREFORE, in consideration of TEN DOLLARS ($10.00) and other good and valuable
consideration, the receipt and sufficiency of which is hereby acknowledged, the Mortgagee does hereby
consent to and subordinate the lien of its Mortgage to the grant of that certain easement described herein over,
under,and across the Easement Property.Except as subordinated to the easements described herein over,under,
and across the Easement Property, said Mortgage is not affected and shall remain in full force and effect.
