EXECUTIVE SUMMARY
Recommendation to approve an Assumption Agreement assigning all rights, duties and benefits
and obligations from Univar Solutions USA, Inc., to ES OPCO USA LLC d/b/a Verseris under
Agreement No. 19-7586, “Supply and Delivery of Herbicides, Fungicides, and Pesticides,” and
authorize the Chair to sign the Agreement.
OBJECTIVE: To assign Agreement No. 19-7586, “Supply and Delivery of Herbicides, Fungicides, and
Pesticides,” to ES OPCO USA LLC d/b/a Verseris for the continued services prov ided under that
Agreement.
CONSIDERATIONS: On October 8, 2019 (Agenda Item No. 16.C.4), the County entered into
Agreement No. 19-7586, “Supply and Delivery of Herbicides, Fungicides, and Pesticides,” with Univar
Solutions USA, Inc., for the purchase of fungicides, herbicides, and pesticides for plant maintenance and
weed control in landscaped medians throughout the County.
ES OPCO USA LLC d/b/a Verseris (“Veseris”) represents and warrants to the County that through a
certain divestiture and reorganization of certain business units that Univar Solutions USA, Inc. is no
longer doing business under the name but is now conducting business as ES OPCO USA, LLC d/b/a
Veseris and that, Veseris is now the successor in interest to Agreement No. 19-7586 with the County.
Staff obtained documentation of the name change and reorganization, along with other necessary
company documents from Verseris, which have been reviewed and accepted by the County Attorney’s
Office.
Staff is recommending approval of an Assumption Agreement with ES OPCO USA LLC d/b/a Verseris
assigning all rights, duties, benefits, and obligations under Agreement No. 19-7586.
FISCAL IMPACT: There is no fiscal impact.
GROWTH MANAGEMENT IMPACT: There is no Growth Management Impact associated with this
Executive Summary.
LEGAL CONSIDERATIONS: This item is approved as to form and legality and requires majority vote
for Board approval. -SRT
