12/08/2020 EXECUTIVE SUMMARY Recommendation to approve the Sixth Amendment to Agreement No. 17 -7198 for Construction Management at Risk (“CMAR”) contract Phase 2.1 and 2.2A - Guaranteed Maximum Price (“GMP”) No. 5 for five fields, lakes, road, infrastructure, and northwest parking lot package to Manhattan Construction (Florida), Inc., for the next phase of the Sports Complex and Events Center (“SCEC”) in the amount of $32,998,449; and approve all necessary budget amendments. OBJECTIVE: To continue the construction of the Board approved SCEC through a planned amendment to the existing CMAR contract to incorporate the next construction phase. CONSIDERATION: On February 13, 2018 (Item 16.D.21) the County entered into Agreement No. 17-7108 (the “Agreement”) with Manhattan Construction (Florida), Inc. for CMAR services for all preconstruction phases for the Collier County Sports and Special Events Complex. The process contemplated using individual contract amendments for each subsequent GMP construction phase. Each subsequent phase clearly identifies the terms and conditions specific to that phase including the fees charged by the construction manager, and overall GMP cost. This phased approach allows the County to accelerate the project and carefully manage the project within the budget parameters adopted by the Board. It also maintains strict controls over the relationship between the owner, construction manager, and design team. The CMAR process continues to be the most transparent and effective way to manage a complex multi- phase project of this size and scope. In this process, the contractor participates in design meetings and identifies high value items that need to be scope managed and features that the design professional desires but may be unaffordable to the project budget. More importantly, the CMAR approach is an “open book” delivery system where the owner (the County) sees all transactions and pays only the actual costs paid by the construction manager. Additionally, the construction manager provides a guaranteed maximum price for the job. In this project, both the hard construction costs and soft costs are capped independently within the GMP. The contractor has the flexibility within each cap to adjust values but may not transfer funds between hard costs and soft costs. On September 25, 2018 (Agenda Item 11.B), the County entered into the First Amendment to the Agreement with Manhattan for work for Phase 0 that included the preparatory work required in anticipation of Phase 1 where the infrastructure and fields will be installed on the City Gate parcel owned by the County. Phase 0 included the preponderance of land clearing, full lake excavation, a construction access road, and preliminary drainage work. On March 26, 2019 (Agenda Item 11.C), the County entered into the Second Amendment to the Agreement with Manhattan for work for Phase 1A. This completed phase is open to the public and includes the primary underground utility work on the City Gate parcel, provides 5 fields (4 turf, 1 grass), maintenance building, welcome center, market, ticket booth and restrooms. This phase also completes City Gate Boulevard South, main entrance improvements on City Gate Boulevard North, and parking for this phase. On October 22, 2019 (Agenda Item 16.D9), the County entered into the Third Amendment to the Agreement with Manhattan to revise and correct the Construction Manager’s Standard Rates in Exhibit “G” to the CMAR and to direct that the then current invoices reflecting work in the categories included in the revised Construction Manager’s Standard Rate Sheet be reimbursed, as appropriate, for services provided. 11.B Packet Pg. 493 12/08/2020 On December 10, 2019 (Agenda Item 11.D), the County entered into the Fourth Amendment to the Agreement with Manhattan for work for Phase 1B. That phase consists of the Stadium and Great Lawn. The Great Lawn was completed ahead of schedule and is open to the public. Amenities include the Cove with a food truck pavilion and bar, the Factory that consists of a MoveStrong workout area, National Fitness Court, open air classroom, open air weight room, lake trail, yoga area, climbing wall, teqball, volleyball and boccie courts. The championship field is scheduled to be completed in December 2020 and the Stadium will be completed in January/February of 2021. On November 10, 2020 (Agenda Item 11.D), the County entered into the Fifth Amendment to the Agreement with Manhattan for work for Phase 2.0. That phase consists of clearing, grubbing, and construction fencing of approximately 110 acres of the entire remaining complex including the extension of City Gate Boulevard North. This work is scheduled to be completed in May 2021. The attached Sixth Amendment to the Agreement with Manhattan begins Phase 2.1 and 2.2A to include work adding the lakes, processing and spreading fill, City Gate Boulevard North extension and internal roadways and parking lots, infrastructure, five fields, overnight campground, and the northwest parking lot. These phases will satisfy the requirements in the City Gate developer contribution agreement and purchase agreement to assume a portion of the water management system. These phases also wrap the entire perimeter of the project and allows the County to proceed with future phases as funds become available. Manhattan’s fee has been reduced from 4% to 3.5 % for this phase. The initial estimate for Phase 2 was projected to be approximately $29,000,000 with an anticipated shortfall of $12,000,000. This was discussed with the Board during the approval of Phase 1B. Since that time, the delivery team has reconfigured the lakes, modified building sizes, and reduced the footprint to try and capture savings. While the team anticipated construction prices to drop significantly during the pandemic, the stable and growing construction environment in southwest Florida has not shown any meaningful sign of reduced pricing. The variance since winter of 2019/2020 has been +/- 1%. Additionally, the County and Uline are moving forward with approximately $150,000,000 in construction activity adjacent to the complex. Even after reductions, the anticipated variance to complete the remainder of Phase 2 after this phase is now estimated at $20M-$22M. The tables below compare the 2019 estimate to the 2022 estimate. These amenities (the Great lawn amphitheater, The Cove outdoor food truck pavilion, and the Factory fitness area) were presented to the Board in 2019 as added value items that increased the budget by approximately $5M. The responses to these additions have been extremely positive and are expected to enhance the experience at the park and drive higher attendance and revenues. Admittedly, these items should have been reflected in the 2019 budget review. Additionally, since construction start, the County has now contractually added the Uline additional features valued at $6M at no cost to the County and the County is evaluating the possibility of a resort hotel adjacent to the facility. Staff recommends moving forward with this phase as submitted and waiting on additional phases until the County can evaluate how tourist tax revenues track during 2021. Alternatively, the Board could pursue additional financing to add the baseball component and complete the project earlier. FISCAL IMPACT: Net bond proceeds totaling $65.4 million were deposited into the sports complex project fund (370) on or about October 24, 2018. These proceeds were substantially used to construct phase one of the project and to date $4.1 million remains unexpended. In addition, Tourism capital fund (758) has a remaining appropriation of $2.7 million which is earmarked for the sports complex. Thus, a total of $6.8 million in unobligated dollars remain and are available to offset remaining sports complex expenses which is substantially shy of the $33 million necessary for funding phase 2.1 and 2.2a of this project. Previously, the Board was made aware of the project funding gap which is in part the product of a debt service cap of $3.75 million set by policy as part of the tourist development tax (TDT) redistribution ordinance and related tourist development tax funding plan when the fifth penny was added in 2017 11.B Packet Pg. 495 12/08/2020 (Ordinance 2017-35). Fortunately, closing the funding gap can be accomplished through three distinct recommended strategies involving the tourist tax family of capital funds. These strategies are wholly internal in nature and avoid the necessity of external market borrowing through commercial paper or other credit vehicle thus not incurring interest cost and issuance expense. 1. Use impact fees to construct the circular road planned for in phase two since this road is considered of regional significance 2. Advance funds from reserves on hand within Beach Park Facilities Capital Fund (183) earmarked for a beach parking garage 3. Advance funds from significant reserves on hand within beach re-nourishment fund (195) Advancing funds for internal capital or operating purposes is a common practice used by the County and in this case is prudent recognizing that general governmental dollars were used to acquire the sports complex property under the premise that all County residents would enjoy the facility with construction of the amenities funded through tourist development tax revenue. The following table provided the budget implications of the above strategies. It is suggested that the repayment approach focus on replenishing the $9.9 million in beach re- nourishment reserves advanced as part of this strategy. Assuming a 1.5% conservative growth rate, the marginal increase in fifth penny revenue deposited in Fund (758) after payment of debt service would generate funds to repay the $9.9 million advance from beach re-nourishment reserves in FY36 or fifteen (15) years. Under a 3% growth rate in tourist taxes, this advance would be repai d in FY31 or ten (10) 11.B Packet Pg. 496 12/08/2020 years. Prior to the COVID pandemic, tourist taxes were growing at a rate in excess of three percent annually. In the event of a catastrophic natural disaster which devastates the beaches and requires a major re- nourishment the combination of existing beach re-nourishment reserves and general governmental reserves can be accessed to restore the beaches when and if necessary. Repayment of reserves advanced from beach park facilities fund (183) under the same marginal approach would take much longer since the funding source is only a small portion of the first three pennies pursuant to the revised TDT ordinance referenced above. It is suggested that use of general governmental reserves or other pay go sources be accessed if in the future construction of a beach parking garage becomes a reality. GROWTH MANAGEMENT IMPACT: There is no impact to the Growth Management Plan related to this action. The bulleted documents below were provided to MCC during the bidding process. · Bid Memo outlining Scope and Bid Tabulation Breakdown · Approved Construction Plans and Specifications · Addendums for Plans and Specifications Updates Upon review, it is apparent that MCC’s sub-contractors are qualified bidders. The core sub-contractors clearly met all specifications, prepared thorough bids / presentations, and met the overall bid requirements. MCC was required to solicit a minimum of three (3) bids and the formal solicitation took place in September/October 2020. Davidson Engineering reviewed all bids with MCC / Client in an open format and found consistency with the monetary values and material take-offs during preliminary reviews. After further coordination with the MCC, DE also attended several one on one post-bid meetings with the sub-contractors. The schedule of values with unit price breakdowns were also found to be consistent with most of the recent horizontal construction activity in Collier County. Based on our review of the overall project scope as outlined in the construction documents, DE supports an award of the Phase 2.1 and Phase 2.2a – Horizontal Construction at the proposed Paradise Coast Sports Complex (Collier County Sports Complex and Events Center) as presented by Manhattan Construction Company.
