Agenda 10/13/2020 Item #16A20 (ITB #20-7742 - Control Technologies, Inc.)10/13/2020 EXECUTIVE SUMMARY Recommendation to award an Agreement for Invitation to Bid (“ITB”) No. 20-7742, “Pan Tilt Zoom (“PTZ”) Cameras,” to Control Technologies, Inc., and to acknowledge a time extension to a Local Agency Program Agreement with the Florida Department of Transportation (F.D.O.T.) for equipment purchases of Arterial Monitoring Cameras (FPN #433180-1-98-01). _____________________________________________________________________________________ OBJECTIVE: To award ITB No. 20-7742 to provide PTZ cameras and accessories and to acknowledge a time extension to a Local Agency Program Agreement with the FDOT for the purchase of equipment, PTZ cameras, and accessories for replacement of existing analog cameras and for intersections where no cameras currently exist. CONSIDERATION: On October 24, 2017 (Agenda Item 16A3), the Board approved a Local Agency Program (“LAP”) Agreement with FDOT for arterial monitoring cameras. That Agreement set aside funding to be reimbursable up to the amount of $300,000 for equipment purchases. The Traffic Management Center is responsible for maintaining the Intelligent Transportation Systems throughout Collier County, and the award of this ITB will enable improved operations on County roadways. The Agreement provides that the vendor will hold contract prices firm for a fixed term of five (5) years. On April 21, 2020, the Procurement Services Division released a notice of ITB No. 20-7742 to 6,155 vendors for Pan Tilt Zoom Cameras. One hundred forty-two (142) vendors viewed the solicitation, and the County received eight (8) bids by the May 27, 2020 deadline. Staff determined the following bidders non-responsive: Scope Ltd., Corporation - for failing to submit all the requested forms, and Presidio Holdings, Inc. - for failing to submit the Federal Highway Administration Buy America Certification form. Staff also determined the following bidders non- responsible: Vetted Security Solutions, LLC., and Smartech Security, Corp.- for providing cameras that are not on the Florida Department of Transportation’s (FDOT) approved product list. Award is recommended to the lowest responsive/responsible total bidder, Control Technologies Inc. Although there are specific line items where the awardee is higher than other bidders, FDOT has requested to award to only one and Control Technologies, Inc. is the lowest overall responsive/responsible bidder. Jacksonville Duval FL $3,841.09 YES/YES The original LAP agreement was set to expire on October 1, 2019 but to allow for the completion of LAP administrative closeout procedures after construction is complete, FDOT approved a 27 -month extension 16.A.20 Packet Pg. 1289 10/13/2020 to the LAP agreement through December 31, 2021. FDOT LAP Agreement Time Extensions #1 and #2 are attached for the acknowledgment of the Board. FISCAL IMPACT: The anticipated cost for the 81 intersections as listed in the LAP agreement is $245,592. Funding is available within Transportation Grand Fund (711), Project (33532). The funding source is the Federal Highway Authority (FHWA); whereby, these grant dollars are passed through the FDOT via the LAP agreement. The Arterial Monitoring Cameras have a useful life of 3-5 years. The ongoing maintenance costs for hardware, software, user licenses, technical support, and incidental component replacements during this time period are expected to have an incremental impact on the Transportation Operating Fund (101), Traffic Management Center Cost Center (163639), operating budget of approximately $25,000 annually. GROWTH MANAGEMENT IMPACT: This project is consistent with the Transportation Element of the Growth Management Plan. LEGAL CONSIDERATIONS: This item is approved as to form and legality and requires majority vote for Board approval. -SRT RECOMMENDATION: To award an Agreement for ITB 20-7742, “Pan Tilt Zoom (PTZ) Cameras,” to Control Technologies, Inc., and authorize the Chairman to sign the attached Agreem ent and acknowledge a time extension through December 31, 2020, for the FDOT LAP Agreement (FPN Number: 433180 -1- 98-01). FEDERAL HIGHWAY ADMINISTRATION – CFDA 20.205 The supplemental conditions contained in this section are intended to cooperate with, to supplement, and to modify the general conditions and other specifications. In cases of disagreement with any other section of this contract, the Supplemental Conditions shall govern. Because this project activity is funded in whole or in part by the Federal Government, or an Agency thereof, Federal Law requires that the Applicant's contracts relating to the project include certain provisions. Definition per uniform requirements of federal awards (2 CFR Part 200.23): Contractor means an entity that receives a contract. It shall be the awarded Contractor’s responsibility to acquire and utilize the necessary manuals and guidelines that apply to the work required to complete this project. In general, 1)The contractor (including all subcontractors) must insert these contract provisions in each lower tier contracts (e.g. subcontract or sub-agreement); 2)The contractor (or subcontractor) must incorporate the applicable requirements of these contract provisions by reference for work done under any purchase orders, rental agreements and other agreements for supplies or services; 3)The prime contractor is responsible for compliance with these contract provisions by any subcontractor, lower-tier subcontractor or service provider. ITB 20-7442, p. 18 of 55 16.A.20.b Packet Pg. 1344 Attachment: 20-7742 Control Technologies Proposal (13267 : PanTilt Zoom (PTZ) Cameras) EXHIBIT 1.A FEDERAL CONTRACT PROVISIONS FCP-2 FEDERAL LAWS AND REGULATIONS Access to Reports and Records: The vendor agrees to maintain all books, records, accounts and reports required under this contract for a period of not less than three years after the date of termination or expiration of this contract, except in the event of litigation or settlement of claims arising from the performance of this contract, in which case Vendor agrees to maintain same until the Purchaser, the Grantor Administrator, the Comptroller General, or any of their duly authorized representatives, have disposed of all such litigation, appeals, claims or exceptions related thereto. Administrative, Contractual, or Legal Remedies: Unless otherwise provided in this contract, all claims, counter-claims, disputes and other matters in question between the local government and the contractor, arising out of or relating to this contract, or the breach of it, will be decided by arbitration, if the parties mutually agree, or in a Florida court of competent jurisdiction. Aw ard and Execution of Contract (Method of Bidding): MUST BE LOW BID See Instructions to Bidders - Section 11.2 Statement of Award, Collier County Bid, page 8. Buy America and Foreign Contractor and Supplier Restriction: Source of Supply – Steel: For Federal-aid Contracts, only use steel and iron produced in the United States, in accordance with the Buy Am erica provisions of 23 CFR 635.410, as amended. Ensure that all manufacturing processes for this material occur in the United States. As used in this specification, a manufacturing process is any process that modifies the chemical content, physical shape or size, or final finish of a product beginning with the initial melding and mixing and continuing through the bending and coating stages. A manufactured steel or iron product is complete only when all grinding, drilling, w elding, finishing and coating have been completed. If a domestic product is taken outside the United States for any process, it becomes foreign source material. When using steel and iron as a component of any manufactured product incorporated into the project (e.g., concrete pipe, pre-stressed beams, corrugated steel pipe, etc.), these same provisions apply, except that the manufacturer may use minimal quantities of foreign steel and iron when the cost of such foreign materials does not exceed 0.1% of the total Contract amount or $2,500, whichever is greater. These requirements are applicable to all steel and iron materials incorporated into the finished work, but are not applicable to steel and iron items that the Contractor uses but does not incorporate into the finished work. Provide a certification from the producer of steel or iron, or any product containing steel or iron as a component, stating that all steel or iron furnished or incorporated into the furnished product was manufactured in the United States in accordance with the requirements of this specification and the Buy America provisions of 23 CFR 635.410, as amended. Such certification shall also include (1) a statement that the product was produced entirely within the United States, or (2) a statement that the product was produced within the United States except for minimal quantities of foreign steel and iron valued at $ (actual value). Furnish each such certification to the Engineer prior to incorporating the material into the project. When FHWA allows the use of foreign steel on a project, furnish invoices to document the cost of such material, and obtain the Engineer’s written approval prior to incorporating the material into the project. Byrd Anti-Lobbying Amendment (31 U.S.C. 1352): Contractors who apply or bid for an award of $100,000 or more shall file the required certification. Each tier certifies to the tier above that it will not and has not used Federal appropriated funds to pay any person or organization for influencing or attempting to influence an officer or employee of any agency, a member of Congress, officer or employee of Congress, or an employee of a member of Congress in connection with obtaining any Federal contract, grant or any other award covered by 31 U.S.C. 1352. Each tier shall also disclose any lobbying with non-Federal funds that takes place in connection with obtaining any Federal award. Such disclosures are forwarded up from tier-to-tier-to recipient. ITB 20-7442, p. 19 of 55 16.A.20.b Packet Pg. 1345 Attachment: 20-7742 Control Technologies Proposal (13267 : PanTilt Zoom (PTZ) Cameras) EXHIBIT 1.A FEDERAL CONTRACT PROVISIONS FCP-3 Civil Rights Compliance: The Contractor, in accordance with the Title VI of the Civil Rights Act of 1964, 78 Stat. 252, 42 U.S.C. 200d to 200d-7 and Title 49, Code of Federal Regulations, Department of Transportation, Subtitle A, Office of the Secretary, Part 21, Non-discrimination in Federally- assisted programs of the Department of Transportation issued pursuant to such Act, Collier County hereby notifies all Contractors that it will affirmatively insure that in any contract entered into pursuant to this advertisement, disadvantaged business enterprises as defined at 49 CFR Part 26 will be afforded full opportunity to submit bids in response to th is invitation and will not be discriminated against on the grounds of race, color, religion, national origin, marital status, sex, age, disability in consideration for an award. DBE Participation: The overall goal for the Florida Department of Transportation’s (FDOT) Disadvantaged Business Enterprise (DBE) program for FHWA assisted contracts is established on a triennial basis. The overall goal for federal fiscal ye ars 22015 – 2017 has been set at 10.65% race- neutral utilizing the methodologies described in 49 CRF Part 26. This means that the State's goal is to spend at least 10.65% of the federal aid highway dollars with Certified DBE's as prime firms or as sub- Contractors/sub-Contractors. Race-neutrality means that the Department has demonstrated that the 10.65% overall goal can be achieved through the normal competitive procurement process without using DBE contract goals. The County encourages DBE firms to compete for County professional services projects, and also encourages non-DBE Contractors to use DBE firms as sub-Contractors. However, use of DBE sub- Contractors is not mandatory and no preference points will be given in the selection process for DBE participation. The CONTRACTOR, sub recipient or sub-Contractor shall not discriminate on the basis of race, color, national origin or sex in the performance of this Contract. The CONTRACTOR shall carry our applicable requirements of 49 CFR Part 26 in the award and administration of DOT – assisted contracts. Failure of the CONTRACTOR to carry out these requirements is a material breach of this Contract, which may result in the termination of this Contract or such other remedy as the COUNTY deems appropriate. Each subcontract the CONTRACTOR or its subs signs in regards to a federal aid project must include the assurance in the above paragraph (see 49 CFR 26.13(b)). The CONTRACTOR and its sub-Contractors agree to comply with all applicable federal implementing regulations and other implementing requirements the Federal government may issue. Debarment and Suspension (E.O.s 12549 and 12689): Contract awards that exceed the small purchase threshold and certain other contract awards shall not be made to parties listed on the nonprocurement portion of the General Services Administration's List of parties Excluded from Federal Procurement or Nonprocurement Programs in accordance with E.O.s 12549 and 12689, “Debarment and Suspension.” This list contains the names of parties debarred, suspended, or otherwise excluded by agencies, and Contractors declared ineligible under statutory or regulatory authority other than E.O. 12549. Contractors with awards th at exceed the small purchase threshold shall provide the required certification regarding its exclusion status and that of its principals. Vendors submitting proposals for this purchase must attest that they, and their sub-Contractors and partners, are not excluded from receiving Federal contracts, certain subcontracts, and certain Federal financial and nonfinancial assistance and benefits, pursuant to the provisions of 31 U.S.C. 6101, note, E.O. 12549, E.O. 12689, 48 CFR 9.404, and each agency's codification of the Common Rule for Nonprocurement suspension and debarment. Procurement of Recovered Materials: (Reference 2 CFR § 200.322) Contractor and subcontractor agree to comply with Section 6002 of the Solid Waste Disposal Act, as amended by the Resource Conservation and Recovery Act, and the regulatory provisions of 40 CFR Part 247. In the performance of this contract and to the extent practicable, the Contractor and subcontractors are to use of products containing the highest percentage of recovered materials for items designated by the Environmental Protection Agency (EPA) under 40 CFR Part 247 whenever: a) The contract requires procurement of $10,000 or more of a designated item during the fiscal year; or, b) The contractor has procured $10,000 or more of a designated item using Federal funding during the previous fiscal year. These cameras are essential in providing services to the community, by addressing timing issues when reported by motorists, assist Fire/Rescue, Law Enforcement and EMT when required. These cameras observe equipment malfunctions and respond accordingly, to enhance the movement of vehicles and pedestrians on our roadways. The system currently consists of analog and high definition (HD) PTZ cameras with associated software applications. Traffic Operations has been systematically replacing older COHU analog cameras with HD cameras for better visibility along our arterials. The goal is to replace all analog COHU cameras. TERM OF CONTRACT The contract term, if an award(s) is/are made is intended to be for five (5) years. Prices shall remain firm for the term of this agreement. Surcharges will not be accepted in conjunction with this contract, and such charges should be incorporated into the pricing structure. The County Manager, or designee, may, at his discretion, extend the Agreement under all of the terms and conditions contained in this Agreement for up to one hundred eighty (180) days.
