EXECUTIVE SUMMARY
Recommendation to approve an Agreement for Stormwater Management Land and Maintenance
between Collier County and the Naples Botanical Garden.
OBJECTIVE: To enter into an agreement with Naples Botanical Garden which will grant Collier
County the right to construct a stormwater management system on certain Botanical Garden lands per
plans and specifications provided by RWA Engineering as approved by South Florida Water Management
District (SFWMD). In addition, the agreement shall include terms and conditions under which Naples
Botanical Garden shall maintain the stormwater management system in accordance with SFWMD
requirements.
CONSIDERATIONS: The stormwater management system is required by SFWMD to disperse, control,
and improve the quality of stormwater run-off associated with boat trailer parking and pedestrian
pathways to be constructed by Collier County along Hamilton Avenue. The additional parking on
Hamilton Avenue is being provided to support overflow parking from the Bayview Boat Ramp.
Installation of the stormwater management system shall be at Collier County’s sole cost and expense. The
Naples Botanical Garden shall be responsible for maintaining the improvements. In the event they fail to
maintain the parking and pedestrian related stormwater management area, the County will have the right
to enter the property and affect any necessary repairs.
The document has been reviewed and approved by the Naples Botanical Garden and the County
Attorney’s Office. A location map is attached.
Approval of the following documents by the County Manager is subject to formal ratification by the
Board of County Commissioners. If the decision by the County Manager is not ratified by that Board, the
document(s) shall be enforceable against Collier County only to the extent authorized by law in the
absence of such ratification by that Board.
FISCAL IMPACT: The cost to install the stormwater management system is estimated between
$175,000 - $200,000. The cost to acquire the easement is $43,500. The source of funding is Parks Capital
Fund (306), Project No. 80311, (Bayview Park Expansion).
LEGAL CONSIDERATIONS: This item is approved as to form and legality and requires a majority
vote for Board approval. - JAB
GROWTH MANAGEMENT IMPACT: There is no impact to the current Growth Management Plan.
RECOMMENDATION: That the Board of County Commissioners:
1. Approve the attached Agreement for Stormwater Management Land and System Maintenance
2. Authorize the Chairman to execute the Agreement for Stormwater Management Land and System
Maintenance
3. Authorize staff to prepare related vouchers and warrants for payment
4. Direct the County Manager, or his designee, to follow all appropriate closing procedures and to
record the Agreement for Stormwater Management Land and System Maintenance in the Public
records of Collier County, Florida.

. THIS AGREEMENT C'AGREEMENT") is entered into by and between NAPLES BOTAIIICAL
GARDEN' INC.' f/k/a The Botanical Garden, Inc., a Florida not-for-profit corporation ("Botanical
Garden"), whose mailing address is 4820 Bayshore Dr., Suite D, Naples, FL 34112, and COLLIER
COUNTY, a political subdivision of the State of Florida ("County"), whose post office address is 3335
Tamiami Trail East, Suite 101, Naples, FL34ll2.
. WHEREAS, County desires to add boat trailer parking and pedestrian pathways along Hamilton
Avenue to support overflow parking for the Bayview Boat Ramp;
WHEREAS, Stormwater management is required to control stormwater run-offand improve the water
quality ofthe run-off from the aforementioned parking and pedestrian pathways;
WHEREAS, County has requested that Botanical Garden provide certain lands owned by Botanical
Garden as described in Exhibit A ("Property") which is attached hereto and made part ofthis Agreement, for
the purpose of stormwater management and to disperse stormwater run-off;
WHEREAS, County has requested that Botanical Garden provide a perpetual, non-exclusive easement
for the purpose of installing a stormwater management system on Property as required to support County's
L74 acres of impervious lands associated with the aforementioned parking and pedestrian pathways, and for
stormwater management, maintenance, and access over, under, upon, and across Property (,,Easement,,);
WHEREAS, Botanical Garden agrees to maintain the Property and convey the Easement for the stated
purposes, on the terms and conditions set forth herein; and
WHEREAS, County has agreed to compensate Botanical Garden for conveyance ofthe Easement;
NOW, THEREFORE, in consideration of the use of the Property for the purpose described herein, the
sum ofTen Dollars ($10.00), and other good and valuable consideration, the receipt and sufficiency of which
is hereby mutually acknowledged, it is agreed by and between the parties as follows:
l. Botanical Garden shall maintain the Property and convey the Easement to County for the sum of
Forty-Three Thousand Five Hundred Dollars ($43,500), payable by County Warrant (said transaction
hereinafter referred to as the "Closing"). Said payment shall be full compensation for the Easement
conveyed, including all landscaping, trees, shrubs, improvements, and fixtures located thereon, and for any
damages resulting to Botanical Garden's remaining lands, and for all other damages in connection with
conveyance of said Easement to County.
2. This Agreement shall be null and void, and ofno further force or effect, unless Closing shall occur
within ninety (90) days from the date County executes this Agreement; provided, however, that County shall
have the unilateral right to extend the term of this Agreement pending receipt of such instruments, properly
executed, which either remove, release or subordinate any and all such liens, encumbrances or qualificationi
affecting County's enjoyment of the Easement. At Closing, County shall deliver the County Warrant to
Botanical Garden and Botanical Garden shall deliver the conveyance instrument to County in a form
acceptable to County.

3. Prior to Closing, Botanical Garden shall obtain from the holders ofany liens, exceptions and,/or
qualifications encumbering the Easement, the execution of such instruments which will remove, release or
subordinate such encumbrances from the Easement upon their recording in the public records of Collier
County, Florida. Botanical Garden shall provide such instruments, properly executed, to County on or
before the date of Closing.
4' County, at County's sole cost and expense, shall obtain all local, state, and federal govemment
permits required to construct the stormwater management system including conveyance swales and any
related pathways, roadways, boardwalks, landscaping/plantings, signage, and facilities ("Permits") in
accordance with the plans and specifications described in Exhibit B ("Plans & Specs") which are attached
hereto and made part ofthis Agreement.
5. Botanical Garden agrees to cooperate with County and to assist in obtaining Permits including the
signing or authorization to sign all applications for permitting. Botanical Garden shall not be responsib[ for
any costs and fees to obtain permits.
6. County, at County's sole cost and expense, shall use a licensed and qualified engineer and contractor
to design and construct the stormwater management system, including conveyance swales and any related
pathways, roadways, boardwalks (including infrastructure for visitor access to property),
landscaping/plantings, signage and facilities in accordance with the Plans and Specs ("stormwaier
Management System"). Botanical Garden shall not be responsible for any fees or costs whatsoever for the
design and construction of the Stormwater Management System. County's general or primary contractor
shall invite Botanical Garden to all construction progress meetings related to the Stormwater Management
System.
7. The County's general or primary contractor for the construction and installation ofthe Stormwater
Management System shall purchase the plant material described in the Plans & Specs ("Plant Material,,)
from Botanical Garden for a not-to-exceed price of Twenty-Five Thousand Dollars (g25,000). Botanicai
Garden shall supervise the installation ofthe Plant Material.
8. In exercising the rights granted under this Agreement, County shall at all times (i) exercise due
care and ensure that all work is completed in a commercially reasonable, appropriate, professional, and
workmanlike manner using quality materials, (ii) not unreasonably interfere with, disrupt, or delay any
b"siness being conducted anywhere on the Botanical Garden's site consisting of approximately 170'acres('Site), (iii) not obstruct any driveway or any other access to or from the Site, (ivj repair any damage to
the Site resulting from County's construction, operation, reconstruction, installation, ."pla""-"nt, removal,
repairs, alterations, maintenance, inspection, and use.
9. At all times when work is being performed on the Property, County shall require its contractors,
employees, and agents to carry workers' compensation insurance (at the statutory limitsf and comprehensive
general liability insurance (in the amount of$1,000,000 per occurrence and with Botanical Garden named as
an additional insured). The workers' compensation policy and general liability policy shall include a waiver
ofsubrogation against Botanical Garden and its subsidiaries and affiliates and euih oi th"i. .espective agents,
directors, officers, employees, servants, and insurers with respect to the work and services being performed
under this Agreement.
10. Botanical Garden, at Botanical Garden's sole cost and expense, shall be responsible for the
perpetual operation, maintenance, repair, and restoration ofthe Stormwater Manug"-ent System and the
existing stormwater management area as ofthe date ofthis Agreement and all stormwater ponds, control

structures, drainage structures and pipe conveyance systems on Property ("Shared system,'). The Shared
System shall be maintained to function as designed, and as required by South Florida Water Management
District permit number I l-02285-P, and in accordance with the Urban Stormwater Management piogram
described in Exhibit C, which is attached hereto and made part ofthis Agreement. In the event Botanical
Garden fails to maintain the Shared System, and any deficiency or damage is not corrected or cured within
five (5) business days (or 24-hours if public safety is at risk) of receipt of notice from County of such
deficiency or damage, County, at its sole option, may correct or repair the Shared System to restore property
to proper operating capacity and efficiency. Within thirty (30) days ofinvoice from County, Botanical
Garden shall reimburse County for any and all actual costs incurred for any work performed by County
necessary for Property to operate as designed.
I l.Iive years after completion of the Stormwater Management System improvements on the property
as identified in South Florida Water Management District permit I l-02285-P and every five years there;fte;,
the Botanical Garden shall perform an inspection by a certified engineer to assess the condition of the
stormwater system. The inspection report shall be forwarded to the County for monitoring and the
provisions of paragraph 4 shall apply.
12. To the extent permitted by laws and as limited by pursuant to the provisions of Section 768.78,
Florida Statutes, the County agrees to hold harmless Botanical Garden, their employees and agents against
any and all claims and/or damages by or behalf of any person, employee or legal entity arising from the
County's negligent acts pursuant to this agreement. Nothing is intended to alter the County's immunity in
tort or otherwise impose liability on the county when it would not otherwise be responsible.
13. Botanical Garden represents that the Property, and all uses of the said Property, have been and
presently are in compliance with all Federal, State and Local environmental laws; that no hazardous
substances have been generated, stored, treated or transferred on the Property except as specifically disclosed
to the County; that Botanical Garden has no knowledge of any spill or environmental law violation on the
Property contiguous to or in the vicinity ofthe Easement to be sold to the County, that Botanical garden has
not received notice and otherwise has no knowledge of: a) any spill on the Property; b) any ixisting or
threatened environmental lien against the Property; or c) any lawsuit, proceeding or investigation ."gu.iirg
the generation, storage, treatment, spill or transfer of hazardous substances on the Property. This provision
shall survive Closing and is not deemed satisfied by conveyance oftitle.
14. Botanical Garden shall indemnifu, defend, save and hold harmless the County against and from,
and to reimburse the County with respect to, any and all damages, claims, liabilities, 1aws, costs and
expenses (including without limitation reasonable paralegal and attomey fees and expenses whether in court,
out of court, in bankruptcy or administrative proceedings or on appeal), penalties or fines incurred by or
asserted against the County by reason or arising out of the breach of Botanical Garden's representation under
Section 12. This provision shall survive Closing and is not deemed satisfied by conveyance of title.
15. County, at County's reasonable cost and expense, shall provide informative materials and
signage relative to the stormwater management system and Property. Such materials and signage shall be
coordinated with Botanical Garden and consistent with existing materials and signage. Both County and
Botanical Garden shall provide guided tours and classes to help educate and train citizens, professilnals,
students, etc. on stormwater management best practices. Any County sponsored tours or classes shall be
coordinated and scheduled at least 30 days in advance with Botanical Garden unless otherwise mutuallv
agreed.
16. Botanical Garden and County shall work together to promote its partnership to residents,

community stakeholders, and media outlets. The point of contact for the County shall be the Director of
Parks and Recreation or their appointed designee for media and public relations.
17. This Agreement and the terms and provisions hereof shall be effective as of the date this
Agreement is executed by both parties and shall inure to the benefit ofand be binding upon the parties hereto
and their respective heirs, executors, personal representatives, successors, successor trustees, and/or
assignees, whenever the context so requires or admits.
18. Botanical Garden is aware and understands that the "offer" to purchase represented by this
Agreement is subject to acceptance and approval by the Board of County Commissioners of Collier County,
Florida.
19. Any and all notices shall be delivered to the parties at the following addresses (or such changed
address or addressee as may be provided by notice). A notice or other communication shall be deemed
received by the addressee on the next business day after having been placed in overnight mail with the U. S.
Postal Service, or other ovemight express service such as FedEx, UPS, or similar service. Notices sent by
means other than overnight delivery shall be deemed received when actually received by the addressee:

20. Each party hereto agrees that it shall be solely responsible for the negligent or wrongful acts of its
employees and agents. However, nothing herein shall constitute a waiver by either pa(y of sovereign
immunity or statutory limitations on liability.
21. The County shall pay for all costs of recording the conveyance instrument in the Public Records of
Collier County, Florida. All other costs associated with this transaction including but not limited to transfer,
documentary and intangible taxes, and recording costs for any curative instruments shall be bome and paid
by Botanical Garden. The cost of a title commitment shall be paid by County.
22. Conveyance of the Easement by Botanical Garden is contingent upon no other provisions,
conditions, or premises other than those so stated above; and the written Agreement, including alt exhibits
attached hereto, shall constitute the entire Agreement and understanding ofthe parties, and there are no other
prior or contemporaneous written or oral agreements, undertakings, promises, warranties, or covenants not
contained herein.
23. If Botanical Garden holds the Property in the form of a partnership, limited partnership,
corporation, trust or any form of representative capacity whatsoever for others, Botanical Garden shall make
a written public disclosure, according to Chapter 286, Florida Statutes, under oath, of the name and address
of every person having a beneficial interest in the property underlying the Easement before the Easement
held in such capacity is conveyed to County, its successors and assigns. (lfthe corporation is registered with
the Federal Securities Exchange Commission or registered pursuant to Chapter 517, Florida Statutes, whose

stock is for sale to the general public, it is hereby exempt from the provisions of Chapter 286, Florida
Statutes.)
24. This Agreement may not be assigned in whole or in part without the prior written approval of all
parties. Any such assignment or attempted assignment shall be null and void.
25. The parties hereto do not intend, nor shall this Agreement be construed to grant any rights,
privileges or interest to any person not a party to this Agreement.
26. This Agreement with all incorporated attachments and exhibits represents the entire agreement of
the parties. This Agreement may be amended by mutual written agreement of the parties.
27.This Agreement is governed and construed in accordance with the laws of the State of Florida.

URBAN STORMWATER MANAGEMENT PROGRAM
NAPTES BOTANICAT GARDEN
1.0 rnTRopucfloN
This document provides details of the Urban Stormr.vater Manatement Program for Napler Botanical
Garden in Collier County, Florida- This Plan discusses non-structural controls, intended to improve the
quality of stormwater ru noff by reducing the teneration and accumulation of potential stormwater runoff
contaminants at or near the respective sources for each constituent, alonE with sitnificant structural
components of the primary stormwater treatment system. Although many of the methodologies and
procldures outlined in this document are teneral Best Manatement Practices (BMP's) which can be useful
in attenuating pollutants in many types of urbanized settin$, the implementation of these practices has
been optimized, to the maximum extent possible, to reflect the unique character of Naples Botanical
Gardan and the surrounding hydrologic features.
Pollution prevention guidelines are provided for the areas of (1) nutrient and pesticide management; (2)
street sweepin$ (3) solid waste management; (4) operation and maintenance of the stormwater
management and treatment system; and (5) construction activities. A discussion of each of these
activities is tiven in the followint sections.
2.0 NUIRIENT A'{D PESTICIDE MA'{AGEMENT
Nutrient and pesticide manatement consists of a series of practices designed to manage the use of
fertilizers and pesticides so as to minimize loss of these compounds into stormwater runoff and the
resulting watel quality impacts on adjacent waterbodies. lmplementation of a manatement plan willalso
maximize the effectiveness of the nutrients and pcsticides that are applied.
The guidelines included in this section are intended to help property owners make educated
environmental choices reFrding the maintenance of individual yard3 within the community. These
maintenance and management guidelines are meant to promote an attractive neighborhood that
preserves the heahh of adjacent waterways and environmental features.
2.1 GcncrelReoulrements
Commercial applicators of chemical lawn products must retister with the Naples Botanical Garden
annuallY and provide a copy of their current occupational license, proof of business liability insurance, and
proof of compliance with applicable education and licensint requirements. tndividual employees working
under the direction of a licensed commercial applicator are exemFt from the educational requirements.
Only registered commercial applicators and individual lot owners are permitted to apply chemicals within
the property on a private lot. All chemical products must be used in accordance with the manufacture/s
recommendations. The use of any chemical product in a manner that will allow airborne or waterborne
entry of such Products into turface water is prohibited. This rule shall not apply to the use of chemical
agents, by certified lake manatement specialists, for the control of algae and vegetation within the
stormwater lakes or ponds.

ManaBement and application of nutrients and fertilizeB in Napl.s Botanical Garden will adhere to the
followinS guidelines:
A. Allfertilizers shall be stored in a dry storage area protected from rainfalland ponding.
B. No fertilizer containint in excess of 2% phosphate/phosphorus (PrOs) per guaranteed analysis
label (as defined by Chapter 576, Florida Statutes) shall be applied to turf grass unless justified by
a soiltest.
C. Fertilizer containing in excess of 296 phosphate/phosphorus (PrOs) per tuaranteed analysis label
shall not be applied within five (5) feet of the edte of water or within ftue (5) feet of a drainage
facilhy.
D. All fertilizer shall be applied such that spreadint of fertilizer on all impcrvious surfaccs is
minimized.
E. Liquid fertilizers containing in excess of 2% phosphate/phosphorus (PrOr) per guaranteed analysis
label shall not be applied thorough an irrigation system within t€n (10) feet of the edge of water
or within ten (10) feet of a drainage facility.
F. Liquid fertilizers containing in excess of 2% phosphate/phosphorus (PrOs) per guaranteed analysis
label shall not be applied through high or medium mist application or directed spray application
within ten (10) feet of the edte of water or within ten (10) fect ot a drainate facility.
2.1 PCtt Manarcmant Prorram
Proper maintenance of plants and turf areas will minimize the ability of p€sts to successfully attack
landscaping. Several general guidelines follow:
A. Apply fertilizer and water only when needed and in moderate amounts. Excessive amounts of
either can cause rapid growth that is attractive to insects and disease.
B. Mow 5t. AuSustine grass to a height of 3-4 inches. lf cut shorter, the plants may become stressed
and more vulnerable to pest infestation. Each mowing should remove no more than V3 ofthe
leaf blade, and those cuttings should remain on the lawn to decompose.
C. lt is recommended that pesticides, fungicides, and herbicides be used only in response to a
sp€cific problem and in the manner and amount recommended bV the manufacturer to address
the specific problem. Broad application of p€sticides, fungicides, and herbicides as a preventative
measure is strongly discouraged.
The use of pesticides, fun8kides, or herbicides is limited to products that meet the followint criteria:
A. Products must be consistent with the USOA-NRCs Soil Rating for Selectint Pesticides.
B. Products must have the minimum potential for leaching into groundwater or loss from runoff.
C. Products must be EPA-approved.
D. The haff-life of products us€d shall not exceed seventy (70)days.
3.0 STREET SWEEPING
This practicc involves swreping and vacuuming the primary strcets to remove dry we.ther accumulation
of pollutants, especially particulate matter, before wash-off of these pollutants can occur during a storm

event. This practice reduces the potential for pollution impacts on receiying waterbodies bry removing
particulate matter and associated chemical constituents. Ahhouth street cleanint operations are
frequ.ntly conducted primarily for aesthetic purposes, the primary objective of the street sweeping
program for Naples Botanical Garden is to improve the quality of stormwater runoff genetated from
impervious trafflc areas. Strret swreping activities can be particularly effective during perlods of high leaf
fall by rcmoving solid leaf material and the atsociated nutrient loadings from roadside areas vyhere they
could easily become transported within stormwater flow.
Street sweeping operations will be performed in Naples Botanical Garden at a minimum frequency of one
(11 evrnt every oth€r month. A lacensed vendor, using a vacuum-typ€ sweeping device, rrill perform all
street sweePint activities. Sweeping activities during each event will include all primary street surfaces.
Disposal of the collected solid residual will be the responsibility ofthe street sweeping vendor.
4.0 SOUO WASTE MAXAGEMEIVf
ln Eaneral, solid waste management involves issues related to the manatement and handling of urban
refuse, litter, and leaves that will minimize the impact of these constituents as water pollutants.
Maintenance of adequate sanitary facilities for temporarily storint refuse on private premises prior to
collection is considered the responsibility of the individual property and/or building owner. l-ocal
requirements for refuse collection will be broutht to the attention of every property and/or building
owner at closing for the sale of the prop€rty. lnformation will be distributed as necessary stating
specifications for containers, separation of naste by type, where to place containers prior to collection,
and establlshed collection schedules.
Fallen iree leaves and other vetetation, alont ryith grass clippings, may become direct water pollutants
when they are allowed to accumulate in swales and street gutters. All property and/or building ownen
will receive periodic educational materials lhat address proper disposal of lcaves and other vegetation to
minimire water quality impads.
5.0 STORUWATER MAI{AGEMEiIT AI{D TREATMEI{T SYSTEM
The stormwater management system for Naples gotanical Garden is desitned to maxamize the
attenuation of stormwater generated pollutants prior to discharge to the off-site wetland systems.
Operational details and maintenance requirements of the various system components are glven in the
followint sections.

The basic element of the stormwater manatement system consists of a series of interconnected wet
detention ponds that provide stormr ater treatment through a variety of physical, biolotical, and chemical
processes. A wet detention pond acts similar to a natural lake by temporarily detaining stormwater
runoff, allowint opportunities for treatment pro€esses to occur, prior to slow controlled discharge of the
treated water throuth the outfall structure. Pollutant removal processes in wet detention systems occur
duringthe quiescent period between storm events. Significant removal processes include gravity settlint

Maintenance of the wet d"tention ponds will consist of an annual inspection. Ouring each annual
inspection, the following items will b€ reviewed and corrected as necessary:
A' lnspcct the outfall structure and orifices to ensure free-flowing conditions and overall engineering
stability of the outfall system.
8. Review the banks ofthe lakes and canals to ensure proper side slop€ stabilization and insp€ct for
siSns of excessive soepage that may indicate areas of excessive groundwater flow and possible
subsurface channelint.
C. Physically evaluatc each of the lakes and canals for evidence of excessive sediment accumulation
or erosion.
D. lnspect the planted aquatic vetetation in the littoral zone to ensure that the desired vetetation
species, percent coverage, and density are maintained.

The grates should be unobstructed and the bottom, inside the inlet, should be clean. check for any
accumulation of sediment, trash such as garbage bags, or debds in the culvens connectint these inlets.
Flushint out with a high-pressure hose may clean some sediment. Any noted blockage (due to a possibG
obstruction, or broken pipe, etc.) should prompt further investigation. Crushed or corroded culverts
should be replaced with new ones of the same size.
5.3 Swahs and Giassed Wrtcr Stor.r! ArGas
These provide for conveyance and/or above-tround (or surface) storage of stormwater- with ate, these
arras usualv fill in with vlgetation and sediment. swales may need to be regraded andlor r€vegetated.
It is a tood idea to compare the existing slope and dimensions of the swale with the permitted desitn
plans prio. to the removal of excess sediment or regrading. Areas that shotv erosion should be stabilized
with appropriate material such as sod, planting rock, sand bags, or other synthetic geotextile material.
Regular mowing oftrass swahs is .ssential. These areas also improvc water quality by catching sediment
and assimilating nutrients, and recharge the undertround water table. Remove any undesirable exotic
vegetation. culverts undemeath driveways should be checked for blockage and, if necessary, flushed with
a high-pressure hose. Aftera storm, swales mayremain wrtforan extend€d period of time. This is normal
and the water will recede gradually.

The outfall structure should be routlnely inspected to determine if any obstructions are present or repairs
are needed. Trash or vctetation impedint water flow through the structure should be removed. The
structu re should have a "baffle" or trash collector to prevent flo[, blockage and also hold back any floatint
oils from moving downstream. Elevations and dim€nsions should b€ verified annually with all curreni
permit information. Periodic inspections should then be regularly conducted to make sure these
structures maintain the proper water levels and the ability to discharge.

Check for proper elevations, width and stabilization. worn down b€rms - espccially if used by all-terrain
vehicles or equestrian traffic - and rainfall - created washouts should be immediately repaired,
comPacted, and re-vegetated.
6.0 CONSTRUCNONACTVMES
A Stormwater Pollution Prevention Plan (SWPPP) has been prepared for constructlon activities to
minimize activities contamination that may be caused by erosion and sedimentation during the
construction process. The plan includes provisions related to soil stabilization, structural erosion controls,
waste collection dasposal, offsite vehicle trackin& spill prlvenflon; malntenance; and inspec on
procedures. A copy of the SWPPP is attached hereto and made a part of hereof.
