EXECUTIVE SUMMARY
Recommendation to approve the Easement Agreement with Forest Glen Golf & Country Club
Master Association, Inc., a Florida not-for-profit corporation, at a cost not to exceed $60,133 for the
acquisition of a County Utility Easement and Temporary Construction Easement for the
installation of proposed water mains to facilitate the I-75/Collier Boulevard Utility Relocation
Project, Project Number 70229.
OBJECTIVE: To acquire a Utility Easement and Temporary Construction Easement from Forest Glen
Golf & Country Club Master Association, Inc. a Florida not -for-profit corporation, (Sellers) to facilitate
the installation of water main for I-75/Collier Boulevard Utility Relocation Project (Project) commencing
at the South County Regional Water Treatment Plant and ending at the southern boundary of the Forest
Glen Golf & Country Club.
CONSIDERATIONS: On July 9, 2019, Agenda Item 16C11, the Board adopted a gift and purchase
resolution and on March 10, 2020, Agenda Item 16C5, the Board adopted a condemnation resolution for
the Project. The adoption of these resolutions provide staff with the Board’s authority to negotiate for the
purchase of the Utility Easement and Temporary Construction Easement required for the construction of
the Project. The appraisal prepared by RKL Appraisal and Consulting, PLC, estimates the value of a
Utility Easement at $11,900 and a Temporary Construction Easement at $9500. Staff made an offer of
$21,400. The Seller’s legal counsel and the County Attorney’s Office has negotiated a settlement of
$49,500 plus attorney’s fees and costs. The total settlement is $59,132.70. The cost to pursue
Condemnation exceeds the negotiated settlement.
FISCAL IMPACT: The total expenditure should not exceed $60,133 ($49,500 for the easements,
$9,633 for attorney fees and costs and approximately $1,000 for title commitment, title policy and
recording of documents). Funding is available in the I-75 / Collier Blvd. Utility Relocation within the
Water User Fee Capital Fund 412. The source of funding is water user fees.
GROWTH MANAGEMENT IMPACT: This project meets current Growth Management Plan
standards to ensure the adequacy and availability of viable public facilities.
LEGAL CONSIDERATIONS: This item has been approved for form and legality and requires
majority vote for approval. - JAB
RECOMMENDATION: That the Board:
1. Approves and accepts the attached Easement Agreement, Utility Easement and Temporary
Construction Easement with the Sellers;
2. Authorizes the Chairman to execute the Easement Agreement with Sellers, and any and all
other County Attorney’s Office approved documents related to this transaction once they
have been approved by the County Attorney’s Office;
3. Authorizes the County Manager or his designee to prepare related vouchers and Warrants for
payment;
4. Directs the County Manager or his designee to proceed to acquire these easements, to follow
all appropriate closing procedures, to record the Utility Easement, Temporary Construction
Easement, and any and all necessary documents to obtain clear title of the easements and to
take all reasonable steps necessary to ensure performance under the Easement Agreement.

faclitles and maintenance purposes over, under, upon and across the lands described
in Exhibit'A" (hereinafter refened to as the "Easement'), which is attached hereto and
made a part of this Agreement;
WHEREAS, County has requested that Owner grant to the County a non_
exclusive temporary construction easement for the purpose of access, and right toenter over, upon and across the lands described in Exhibit "8" (said remfiorary
construction Easement hereinafter refened to as the "TCE"), which is attached hereto
and made a part of this Agreement;
WHEREAS, owner desires to convey the Easement and rcE to county for the
stated purposes, on the terms and conditions set forth herein; and
_ WHEREAS, County has agreed to compensate Owner for conveyance of the
Easement;
NOW THEREFORE, in consideration of these premises, the sum of Ten Dollars
($1.0.00), and other good and valuable consideration, the receipt and sufficienry of
which is hereby mutually acknowledged, it is agreed by and between the partiei as
follows:
Owner shall convey the Easement and TCE to County for the sum of $49,500 plus
attomey's fees of 99,273 and expert fees of $359.70, for a totat amount of $59,13i.70pursuant to Section 73.105, Florida Statutes, payable by County Wanant (said
transaction hereinafter referred to as the "Closing,,). Said payment shall be full
compensation for the Easement and TCE conveyed. Owner contemplates the planting
of a landscape buffer generally described as being located along the southern
boundary of Owner's property generally in the vicinity of the southern terminus of the
Easement granted herein, to which the County consents thereto. lt is agreed by the
parties that the County shall have no responsibility for construc,ting or paying for such
landscape buffer, and except for the provisions of Section 12 below, for any damages

resulting to owner's remaining lands, and for all other damages in connection withconveyance of said Easement to County.
1. Prior to closing, owner shall fully cooperate with the county,s efforts to obtainfrom the holders of any liens, exceptions and/or qualificatoris encumoeiing thuEasement, the execution of such instruments w'hicn wi remove, rereas"e orsubordinate such encumbrances from the Easement upon their recording in thepublic records of collier county, Florida. owner shall provide such instriments,properly executed, to County on or before the date of Closing.

This Agreement shall be null and void, and of no further force or effect, unlessclosing shall occur within ninety (90) days from the date county executes thisAgreement; provided, however, that county shail have the uniraterar right toextend the term of this Agreement pending receipt of such instruments, pr6perly
executed, which either remove, release or subordinate any and all such liens,encumbrances or qualifications affecting county,s enjoymen[of the Easement. conveyance of the Easement by owner is contingent upon no other provisions,
conditions, or premises other than those so stated above; and the wn'tten
Agreement, including all exhibits attached hereto, shall constitute the entire
Agreement and understanding of the parties, and there are no other prior or
contemporaneous written or oral agreements, undertakings, promises, wairanties,
or covenants not contained herein.
lf the owner holds the property underrying the Easement in the form of apartnership, limited partnership, corporation, trust or any form of representative
capacity whatsoever for others, owner shall make a *ritten publii disclosure,
according to chapter 286, Florida statutes, under oath, of the name and addressgf every person having a beneficial inlerest in the property underlying the
Easement before the Easement held in such capacity is conveyed to c6urity, lts
successors and assigns. (lf the corporation is registered with the Federal
securities Exchange commission or registered pursuant to chapter s17, Florida
Statutes, whose stock is for sale to the general public, it is hereby exempt from
the provisions of Chapter 286, Florida Statutes.)
This Agreement is governed and construed in accordance with the laws of the
State of Florida.

and at such times as will limit impacts to such development. All work done by
the county's conlractors or others shall be coordinaled with the owner's General
Manager and county agrees to cooperate to the fullest extent possible with the
Owner so as to lessen any adverse impacts on Owners operation. County
understands that the TCE will encumber areas that owner uses for access to,
storage and maintenance of the propefi. County agrees that at no time, unless
lpqroved by the Owner, shall access to, storage or maintenance of the property
be interfered with without the consent of the Owner. Owner agrees to cooperate
with the County and County's contractor so as to permit the contemplated
conslruction to proceed without unnecessary delay or interference. county shall
obligate it's contractor and anyone working for such contractor have adequate
insurance to cover its negligence, and to comply with and assume, together with
the County, the obligations of this provision. County shall ensure no liens or
encumbrances are recorded against the Easement, TCE, or the Owne/s property
arising out of the County's or contractors use of the Easement or TCE.912
