("Intersport")and Collier County.The terms of this agreement (this "Agreement") are set forth below. I. Intersport's Deliverables The NNIF is an annual two (2) day thought leadership summit which will assemble some of the world's leading innovators, cultural provocateurs, and policy experts across diverse fields for a multi-sensory event delivering academic immersion, engaging discussions, world-class interactive social experiences, and FUN for attendees as we collectively work to foster inspiration for a better future. Current details of the NNIF for 2020 are as follows: Dates: March 2-3, 2020 Venue: Naples Grande Beach Resort As a Cornerstone Partner of the NNIF,Collier County shall receive the following sponsor elements for the NNIF in 2020: 11G Partnership Designation and Integration • Collier County designated as a Cornerstone Partner of the NNIF and Co-Presenting Partner of the State of the Community Summit on Tuesday, March 3rd, 2020 in partnership with the Naples Children Education Foundation ("NCEF"). • Collier County's brand will be integrated into NNIF's event marketing materials(produced after execution of this Agreement), which may include but is not limited to: • NNIF website; • NNIF event program; • NNIF event entrance signage; and • NNIF email newsletters coordinated by Intersport. • Moderator to reference Collier County as a Co-Presenting Partner of the State of the Community Summit in one (1)verbal mention at the NNIF. • One(1)social media post promoting Collier County as a Cornerstone Partner of NNIF with copy agreed upon between the parties. On-site Exposure and Hospitality • Eight(8) VIP tickets to the NNIF; • Designated VIP seating for Collier County attendees that is inclusive of Collier County branded tent card at designated table for all NNIF sessions; • Space in the NNIF attendee lounge will be provided for Collier County representatives to distribute Paradise Coast Sports Complex marketing collateral to NNIF attendees. Collier County to manage the on-site activation, subject to Intersport's pre-approval of activation concept and logistics; and • Collier County promotional video up to sixty seconds (:60) in length and provided by Collier County,will be featured on select screens at NNIF during session transitions. Content and Distribution Rights • License rights to use Intersport's official NNIF sizzle recap video on Collier County digital and social media channels for a period of twelve(12)months,provided that the sizzle video is used as delivered and not edited or modified and is not used in a manner that constitutes a direct or implied endorsement of any product or service. II. Collier County Deliverables In connection with the NNIF,Collier County shall cooperate with Intersport to provide: (i) timely delivery of any required Collier County assets including, but not limited to grants of all necessary rights to use the name, logos and other intellectual property of Collier County as necessary to provide Collier County with the deliverables detailed in this Agreement,and(ii)prompt feedback on any materials sent to Collier County by Intersport for review. III. Sponsorship Terms 2 -y,\ 11G Sponsorship Investment:Twenty-five Thousand US Dollars($25,000)(the"Investment"). As full and fair consideration for the sponsor rights and deliverables, Collier County shall pay to Intersport the Investment according to the following schedule: Amount Invoice Date Payment Due Date $25,000 Upon completion of Payment is due upon receipt of a Deliverables proper invoice and in compliance with Chapter 218, Fla. Stats. Collier County, Florida as a political subdivision of the State of Florida, is exempt from the payment of Florida sales tax to its Contractors under Chapter 212, Florida Statutes, Certificate of Exemption # 85-8015966531C-1. IV. Termination The parties acknowledge and agree that the terms of this Agreement are firm and may not be terminated, except as set forth herein. In the event that any act of God or other force majeure event including, but not limited to, severe weather, fire, flood, strike, labor dispute,civil commotion, riot or threat of violence or similar cause beyond the control of the parties make performance by a party impossible, this Agreement may be terminated by written notice from the affected party. Should this occur,the parties will negotiate in good faith regarding mutually agreed upon replacement deliverables, rescheduling of services or deliverables, or an agreed upon pro-rated reduction of the Investment if the parties cannot agree on adjustments to the deliverables under this Agreement. If a party commits a material breach of this Agreement that remains uncured more than five(5)business days after receipt of written notice from the non-breaching party,then the non-breaching party may terminate this Agreement and pursue all legal remedies available to such party. Miscellaneous a) Representations and Warranties: Each party represents and warrants that its organization: (a) possesses the full right, power and authority to enter into and fully perform this Agreement, (b) is free of any contractual obligation that would prevent it from entering into or performing its obligations under this Agreement, and (c) will not infringe upon or violate the rights of any third parties through the performance of its obligations hereunder. b) Compliance with Laws:Each party warrants to the other that it will comply with all relevant laws and regulations relating to data protection and the promotion of the NNIF. This Agreement shall be interpreted under and its performance governed by the laws of the State of Florida. Any suit or action brought by either party to this Agreement against the other party relating to or arising out of this Agreement must be brought in the appropriate Federal and state courts in Collier County, Florida, which courts have sole and exclusive jurisdiction on such matters. c) Confidentiality: Each party agrees that the terms of this Agreement shall be confidential and may only be disclosed (a)with the prior written consent of the other party, (b)where required by law, (c)to such party's advisors, attorneys or other designees, as long as such recipients are directed to keep such infomlation confidential,or(d)to the extent necessary to perform its obligations under this Agreement. Confidentiality of information contained in this agreement is subject to the requirements of the Florida Public Records Act, Chapter 119,Fla. Stat., and the Florida Sunshine Law, Chapter 286,Fla. Stat. d) Indemnity: To the maximum extent permitted by Florida law, Intersport will defend, indemnify and hold harmless Collier County and its affiliates,and their respective officers, directors,employees and agents,from and against any third-party claim for(i)damage due to Intersport's breach of this Agreement or Intersport's negligent acts or omissions in connection with the NNIF; or(ii) intellectual property infringement resulting from Collier County's use of Intersport or NNIF's intellectual property as permitted under this Agreement. 4 CA0 1 1 G As limited by Florida law, Collier County will defend, indemnify and hold harmless Intersport and its affiliates, and their respective officers, directors, employees and agents, from and against any third-party claim for (i) damage due to Collier County's negligent acts or missions in connection with the NNIF; or (ii) intellectual property infringement resulting from Intersport or NNIF's use of Collier County's intellectual property as permitted under this Agreement. Collier County's indemnification is subject to the limitation set forth in Section 768.28, Fla. Stat. e) Limitation of Liability: Subject to the Exclusions provision below, each party's aggregate liability, whether such liability arises in contract, or (including negligence) or otherwise, for any damages, loss, costs,claims or expenses of any kind howsoever arising,out of or in connection with NNIF, shall be limited to the Investment. Subject to the Exclusions provision below, neither party will be liable for: (i) any loss of profit, loss of or damage to data, loss of anticipated savings or interest, loss of or damage to reputation or goodwill;or(ii)any indirect,special or consequential damages, loss,costs, claims or expenses of any kind. f) Exclusions:Nothing in this Agreement shall limit or exclude a party's liability for: (i) the indemnity provided above; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability which cannot be limited or excluded by applicable law. g) Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes and replaces all prior or contemporaneous agreements, written or oral, regarding its subject matter. The parties agree to work together with respect to the production and distribution of digital content related to the NNIF.
