WHEREAS, on July 11, 2017, the County and Subrecipient entered into an agreement for Subrecipient to provide "FIRST grant services"to Collier County residents (hereinafter referred to as the "Agreement"); and WHEREAS, on June 26, 2018 the Board of County Commissioners approved the First Amendment to the agreement which defined a successful discharge, clarified the quarterly CIT training requirement, revised the Planning Council requirements, reflected staffing changes, and outlined subrecipient match obligation; and WHEREAS, on April 23, 2019 the Board of County Commissioners approved the Second Amendment to the agreement which updated Section 16, revised contact information, modified Exhibit C and replaced Exhibit H-1; and WHEREAS, the parties desire to modify the budget to shift salaries from the Reintegration Specialists to benefits, adjust the Program Year 3 grant budget to add a new line item for benefits and decrease salaries by the same amount and modify Exhibit C to revise staffing levels and Exhibit F to provide clarification on financial penalties and add language to allow budget shifts; and WHEREAS, the effective date of this amendment shall be July 1, 2019; NOW, THEREFORE, in consideration of foregoing Recitals, and other good and valuable consideration, the receipt and sufficiency of which is hereby mutually acknowledged, the Parties agree to modify the Agreement as follows: Words Hugh are deleted; Words Underlined are added. 1. The County shall withhold 10% from each reimbursement request and upon satisfactory completion of the Subrecipient's program lifetime performance targets (CIT Training Target Number: 240, CIT Training Minimum Annual Number: 192) and completion of the County closeout monitoring, the County shall release all retainage held and any penalties assessed throughout the term of the agreement, less any failure to achieve a performance target grantor retained funds for these measures.
