Attachment lie DONATION AGREEMENT THIS DONATION AGREEMENT (hereinafter referred to as the "Agreement") is made and entered into this 194A' day of , ;).' c3J'y , 2020, by and between Community Foundation of Collier County, Inc., a Florida not-for-profit corporation, whose mailing address is 1110 Pine Ridge Road, Suite 200,Naples, FL 34108(hereinafter referred to as"Foundation"),and Collier County, Florida, a political subdivision of the State of Florida, whose mailing address is 3299 Tamiami Trail East, Suite 800, Naples, Florida 34112 (hereinafter referred to as"County"). RECITALS: WHEREAS, the County is owner of that certain right-of-way located in Collier County, Florida and known as Collier Boulevard; and WHEREAS, the Foundation desires to have the County install a sculpture within the Collier Boulevard public right-of-way; attached hereto as Exhibit A; and WHEREAS, in accordance with the terms of this agreement,the Foundation is responsible for obtaining and shipping the sculpture to the site in the Collier Boulevard public right-of-way; and WHEREAS, upon the successful delivery of the sculpture, the County will assume ownership of the sculpture,and shall install and thereafter maintain the sculpture within the Collier Boulevard public right-of-way. WITNESSETH: NOW, THEREFORE, in consideration of Ten Dollars ($10.00) and other good and valuable consideration exchanged amongst the parties, and in consideration of the covenants contained herein,the parties agree as follows: 1. All of the above RECITALS are true and correct and are hereby expressly incorporated herein by reference as if set forth fully below. 2. The Foundation will deliver the sculpture to the installation site, as described in Exhibit A. The County will inspect the sculpture on delivery. Providing the sculpture is undamaged, the County will accept ownership of the sculpture, and will be responsible for its installation and ongoing maintenance. Should the sculpture arrive damaged at the installation site, the parties will work together to reach a satisfactory resolution of the issue. 3.
