Some documents are time sensitive and require forwarding to Ilahassee within a certain
time frame or the BCC's actions are nullified. Be awareof our deadlines!

MEMORANDUM OF UNDERSTANDING
This Memorandum of Understanding (MOU) is made and entered into as of ,L,c rj 4'r 2020,by and
between Collier County Board of County Commissioners, (County) with an address at 3299 tamiami Trail East,
Naples, FL. 34112, and Waste Management Inc, of Florida. (Contractor) with an address at 4500 Exchange Ave,
Naples, FL. 34104, collectively stated as the"Parties."
RECITALS:
WHEREAS, this MOU sets forth the understanding of the Parties related to a Bear Resistant Container
Program.
WHEREAS, County is the recipient of Bear Resistant Curbside Containers to be used by Collier County
customers through a grant program from Florida Fish and Wildlife Commission(FWC).
WHEREAS, the purpose of this MOU is to set forth certain understandings of the Parties in relation to
the terms and conditions to be agreed between County and Contractor.
NOW, THEREFORE, in consideration of the foregoing Recitals, and other good and valuable
consideration,the receipt and sufficiency of which is hereby mutually acknowledged,the Parties agree as follows:
1. Contractor shall administer, at no charge to the County, the containers including, storage, delivery, warranty,
and service.
2. Any grant funded containers including re-purchased containers, shall be sold by the Contractor to customers
on behalf of the County at the Board of County Commissioners approved subsidized amount. Payment by
customers who elect to utilize a Bear Resistant Curbside Container shall be made by check only, payable to
Waste Management Inc. of Florida. Contractor shall collect these funds from customers and re-invest the
collected subsidized funds for additional Bear Resistance Containers, in accordance with the grant guidelines
set forth by FWC.
3. Once inventory of grant funded containers is depleted, the Contractor shall maintain an inventory of Bear
Resistant Curbside Containers to offer customers, at market price.
4. The Contractor will continue to provide current curbside containers to customers, regardless if the customer
owns a Bear Resistant Curbside Container.
5. Contractor shall be the sole point of contact with respect to Bear Resistance Containers.
6. Contractor shall keep and maintain a spreadsheet of customers who own a Bear Resistant Container with
customer's information(i.e.name, address) and date of purchase.
7. Contractor shall manage and maintain all warranties provided by the manufacturer of the containers as a
service to the customers.

8. Each of the Parties to this MOU has the right to terminate its participation in this Agreement provided that
thirty (30) days advanced written notice is delivered to the other party.
9. This MOU immediately terminates upon termination of the Franchise Agreement for Solid Waste, Recycling
Materials, and Yard Trash Collection Services (Franchise Agreement) between the Parties.
10. If a provision of this MOU conflicts with the Franchise Agreement, the Franchise Agreement shall prevail.
IN WITNESS WHEREOF, by their signatures below, the parties have caused this Memorandum of
Understanding to be executed and effective as of the date and year first above written.
