EXECUTIVE SUMMARY
Recommendation that the Board of County Commissioners of Collier County, Florida,
adopts a Resolution recommending Prime Homebuilders, Inc., in a private-public
partnership with Collier County, as an applicant for the "Representative Mike Davis
Community Workforce Housing Innovation Pilot Program" (CWHIP) for the 2008
application cycle and authorizes the Chairman to sign the Memorandum of Understanding.
OBJECTIVE: That the Board of County Commissioners (Board) adopts a Resolution
recommending Prime Homebuilders, Inc., in a private-public partnership with Collier County, as
a Collier County applicant for the "Represcntative Mike Davis Community Workforce Housing
Innovation Pilot Program" (CWHIP) for the 2008 application cycle and authorizes the Chairman
to sign the Memorandum of Understanding.
CONSIDERATIONS: Section 420.5095, Florida Statutes, regulates the "Representative Mike
Davis Community Workforce Housing Innovation Pilot Program" (CWHlP) which was
established to provide affordable rental and home ownership community workforce housing for
essential services personnel affected by the high cost of housing. The Florida Housing Finance
Corporation administers the CWHIP and awards these funds on a competitive basis to public-
private entities seeking to build affordable housing for Florida's workforce,

The 2008 application cycle for CWHIP projects opened on 12/29/07 and closes on 1/29/08.
Collier County is considered a high cost county and will be competing with other south Florida
counties for the grant award in that category. There are additional categories of high grov.'lh and
innovation for which Collier County may qualifY.
Prime Homebuilders, Inc. is currently developing The Falls of Portofino and is prepared to offer
50 housing units within this development to "essential services personnel" at a reduced price. In
this regard, Prime Homebuilders, Inc. has asked to establish a private-public partnership with
Collier County in order to apply for CWHIP funding and develop this workforce housing. On
January 10,2008, the Affordable Housing Commission considered this request and recommended
that the County endorse this 2008 CWHIP application. There is nothing to prohibit Collier County
Government from recommending more than one CWHIP. In the 2007 application cycle, two
projects were funded for both Sarasota and Palm Beach Counties.
By this Resolution, the Board of County Commissioners of Collier County would recommend
Prime Homebuilders, Inc, as a Collier County CWHIP applicant for the 2008 application cycle.
The Memorandum of Understanding establishes the private-public partnership with Collier
County Government.
GROWTH MANAGEMENT IMPACT: None.
FISCAL IMPACT: None to Collier County.
LEGAL CONSIDERATION: The proposed Resolution and Memorandum of Understanding
-- was prepared by the Office of the County Attorney and is sufficient for Board action.
RECOMMENDATION: That the Board of County Commissioners adopts the attached

WHEREAS, CWHIP promotes the creation of public-private partnerships to finance,
build and manage workforce housing and requires the coordinated efforts of al] levels of
govemment as well as pri\'atc sector dcyelopers, financiers, business interests and service
providers; and
WHEREAS, CWHIP encourages the pooling of local resources, local regulatory
incentives, including IJJ1d use strategies ;md non-traditional sources of local funding: and
\VHEREAS, tht' C\VHIP program is available to projects in high cost counties, high
gro\\"th counties, and counties willing to make regubtory changes and financial investments in
affordable housing; and
'VI'HEREAS, Collier County has been designated by the State of Florida as a high cost
(.ounty; and
\VHEREAS, Prime Homebuilders, Inc., is cum.'nt]y dc\'Cloping The Falls of Porto fino
housing development with the intent of oUering 50 units to "csst,ntial services personnel" Jt a
discounted price. which project qualifies under the C\VHlP program; and
\,\rHEREAS, Prime Homebuilders, Inc., has asked to establish a public-private
partnership v,;ith Collier County for the purpose of applying for C'VVHIP funding and developing
this affordable housing; and
\VHEREAS, it is a requirement of the C\VI-lIP pro!:,rram that the application be endorsed
by the local county; and
WHEREAS, on January 10. 2008, Prime Homcbuildcrs, Inc., made a presentation to the
Collier County Affordable I-lousing Commission, and the Affordable I-lousing Commission
voted to recommend that the Board of County Commissioners support and endorse this C'vVHIP
application; and
WHEREAS, it is understood that endorsement of any CVlHIP application by the Board
of County Commissioners docs not favor, prejudice, circumvent, or preclude any future
devc10pmcnt uppwvals that may be sought or needed for the project; and

\VHEREAS, Prime H01llcbuildcrs, Inc., requests that Collier County Board of County
Commissioners offi.cially endorse their plans to apply [or C\VHIP funding from tne State of
Florida.
NOW. THEREFORE, BE IT RESOLVED BY THE BOARD OF COU,,'TY

1. The BOUl'd of County Commissioners of Collier County does hereby recommend
Prime Homebuildcrs, Inc., as a Collier COlU1ly C\VHIP applicant for the 2008 application cycle.
2. This Resolution shall be recorded by the Clerk of Courts in the Public Records of
Collier County, Florida.

MEMORANDUM OF UNDERSTANDING
This Memorandum of Understanding is made and entered into this _ of January,
2008, by Collier County, Florida, a political subdivision of the State of Florida (hereinafter
referred to as "County") and Prime Homebuilders, Inc. (hereinafter referred to as
"Developer").
RECITALS
WHEREAS, the County desires to provide additional affordable and workforce
housing to its residents and Developer desires to develop such additional affordable and
workforce housing; and
WHEREAS, the parties agree to work in cooperation with one another by means of a
public-private partnership as set forth in this Memorandum of Understanding to provide such
housing and as otherwise discussed and agreed upon to secure funds made available by the
Florida Housing Finance Corporation ("Florida Housing") pursuant to Request for Proposal
2007-08, the Florida Housing Corporation's Community Workforce Housing ltmovation
Pilot Program ("RFP"), which funds, if secured, will be used to provide 50 units of
workforce housing ("Project") in the County; and
WHEREAS the parties have reviewed the RFP requirements and enter into this
Memorandum of Understanding with the intent to be considered as a -'Public-Private
Partnership" as defined in the RFP and as clarified in Florida Housing's answers to questions
posted on its website; and
WHEREAS, the parties believe that this Memorandum of Understanding will provide
benefit and value to: 1) Collier County; 2) persons eligible for workforce housing; and 3)

WIT N E SSE T H:
NOW, THEREFORE, in consideration of Ten Dollars ($10.00) and other good and
valuable consideration exchanged amongst the parties, and in consideration of the covenants
contained herein, the parties agree as follows:

County Commitments
I. Subject to available funding, the County commits to the following:
A. To facilitate the application to use of the County's impact fee deferral
program already in place;
R To help serve the category of Essential Service Personnel as defined in
the Local Housing Assistance Plan;
C. To highlight the availability of the Project to persons eligible to reside
in the workforce housing units, particularly County employees;
D. To participate in community education activities, including press
events, newsletters, television and electronic media to highlight the
availability and benefits of workforce housing in the County;
F. To consider its existing land use and financial incentives to assist in
the innovative nature of the workforce housing development;
G. To work cooperatively and in good faith to assist the project as may be
needed and appropriate in the future.
Developer Commitments
2. Developer commits to the following:
A. To use its best efforts to secure funding for the Project from Florida
Housing pursuant to the RFP so as to construct the Project of 50 units of
which eighty percent will be workforce housing for essential services
personnel up to 140% of the Area Median Income within the municipal
boundaries of the County;
B. To provide funds to develop and oversee the construction of the
Project as required by the RFP, as set forth in the response to the RFP, and
this Memorandum of Agreement;
C. To seek additional public sector involvement to promote the Project;
D. To provide quality workforce housing units that will benefit the
County; and

E. To pursue long term housing affordability in the County.
Contingency
3. This Memorandum of Understanding is contingent upon Developer's being
successful in responding to the Florida Housing RFP. Should the Developer be unsuccessful,
then this Memorandum of Understanding will be considered void from its inception, and
shall be of no further force or effect. If Developer is successful, the parties will work
diligently and in good faith to enter into a definitive agreement that shall include the
provisions of this Memorandum of Understanding. The parties acknowledge that other
public sector and private entities may substantially contribute and be involved with the
Project. Such anticipated involvement shall not affect the terms of this Memorandum of
Understanding and their respective contributions and responsibilities shall be indicated in
this definitive agreement to be executed by all parties.
Legal Clauses
4. This Memorandum of Understanding can only be amended by mutual written
consent of the parties hereto or by their successors in interest.
5. Developer shall execute this Memorandum of Understanding prior to it being
submitted for approval by the Board of County Commissioners. This Memorandum of
Understanding may be recorded by the County in the Official Records of Collier County,
Florida. If recorded, Developer shall pay all costs of recording this Memorandum of
Understanding.
6. In the event of a dispute under this Memorandum of Understanding, the
parties shall first use the County's then-current Alternative Dispute Resolution Procedure.
Following the conclusion of this procedure, either party may file an action for injunctive
relief in the Circuit Court of Collier County to enforce the terms of this Memorandum of
Understanding, said remedy being cumulative with any and all other remedies available to
the parties for the enforcement of this Memorandum of Understanding.

7. Notwithstanding anything to the contrary, in no event shall Collier County be
monetarily liable to the Developer, its successors and assigns, for County's failure to meet or
otherwise abide by any commitment set forth in this Memorandum of Understanding.
IN WITNESS WHEREOF, the parties hereto have caused this Memorandum of
Understanding to be executed by their appropriate officials, as of the date first above written.
