EXECUTIVE SUMMARY
Recommendation to approve a settlement agreement in the lawsuit entitled Virginia Devisse
v. Board of County Commissioner,~. et at.; filed in the Twentieth Judicial Circuit in and for
Collier County, Florida, Case No. 05-807-CA.
OBJECTIVE: That the Board of County Commissioners approve the settlement agreement
attached hereto as Exhibit "A", in the lawsuit entitled Virginia Devisse v. Board of County
Commissioners, et at.; filed in the Twentieth Judicial Circuit in and for Collier County, Florida,
in Case No. 05-807-CA. Upon acceptance, Devisse will execute a Tennination of Easement
pertaining to the 20' easement that runs through Track "u" in the Delasol Development. If the
settlement is approved, the lawsuit and all claims against the County in the lawsuit by the
Plaintiff will be dismissed with prejudice, The Board is advised to acknowledge that approval of
the settlement does not waive any rights or claims the County may have against Devisse or
Centex arising out of or relating to County's aceeptance of Tract U.
CONSIDERATIONS: Plaintiff filed a Complaint to Quiet Title against the County, and
several others Co-Defendants. Plaintiff owns a 20' vehicular easement for egress and ingress
over Track "U." A County utilities lift station was constructed over, across and through this
easement. On July 15,2004, Co-Defendant Delasol Homeowners' Phase Two plat was recorded
dedicating to Collier County Water District a Utility Easement (CU. E.), Collier County a
neighborhood park located on Tract "U," and an Access Easement (A. E.) over and across Tract
"P-5" to Tract "U." Plaintiff claims the CUE and AE encroaches access to her property. The
proposed Tennination of Easements will relinquish, abandon and terminate said easements.
Plaintiff will tenninate her aceess casement at County's Tract "u" Southern boundary.
FISCAL IMPACT: Upon execution of the settlement agreement, reeordation of the release of
easement, and dismissal with prejudice of the lawsuit.
GROWTH MANAGEMENT IMPACT: There is no growth management impact associated
with this item.
LEGAL CONSIDERATIONS: The County Attorney opines that the settlement is reasonable
and cost effective under all the circumstances. The County's signing of the Tennination of
Easement will not waive any rights or claims County has against Centex or Devisse relating to
the conyeyance of Tract "U".
RECOMMENDATION: That the Board of County Commissioners approve the settlement and
authorize the Chainnan of the Board of County Commissioners to execute all necessary
documents.

TERMINATION OF EASEMENTS
THIS AGREEMENT TO TERMINATE EASEMENTS (the "Termination") dated
the _ day of , 2007, by and between DELASOL HOMEOWNERS'
ASSOCIATION, INC., a Florida not-for-profit corporation ("Delasol"), whose mailing
address is 5801 Pelican Bay Blvd., Suite 600, Naples, Florida 34108; VIRGINIA ANNE
DEVISSE, a married person ("Devisse"), whose mailing address is 5610 Bur Oaks
Lane, Naples, Florida 34119; and COLLIER COUNTY, FLORIDA, a political subdivision
and charter County of the State of Florida ("County"), whose mailing address is 3301 E.
Tamiami Trail, Naples, Florida 34112.
WHEREAS, Devisse is the owner of the following property (the "Devisse
Property"):
The South 1/2 of the Southeast 1/4 of the Northeast 1/4 of the Northwest 1/4 of
Section 24, Township 48 South, Range 25 East, of Collier County, Florida.
WHEREAS, by a Grant of Easement recorded at Official Records Book 2116,
Page 421, of the official records of Collier County, Florida (the "Grant of Easement"),
certain easements for ingress and egress and utilities were granted over, across, and
through certain lands now owned by Delasol and the County for the benefit of the
Devisse Property (collectively, the "Easements"); and
WHEREAS, the parties to this Termination have agreed to terminate certain
portions of the Easements.
WITNESSETH:
NOW, THEREFORE, in consideration of the mutual covenants herein, the
adequacy and sufficiency of said covenants having been acknowledged by all parties to
this Termination, the parties hereby covenant and agree as follows:
1. The above-reterenced recitals are true and correct.
2. The parties hereby mutually agree that the Easements over the following
properties, which are shown graphically on Exhibit "A" attached hereto and by this

reference incorporated herein, are hereby relinquished, abandoned, and terminated in
their entirety:
(a) The West 30 Feet of the North 1/2 of the South 1/2 of the NE-1/4 of the
NE-1/4 of the NW-1/4, Section 24, Township 48 South, Range 25 East, Collier County,
Florida.
(b) The West 30 Feet of the South 1/2 of the South 1/2 of the NE-1/4 of the
NE-1/4 of the NW-1/4, Section 24, Township 48 South, Range 25 East, Collier County,
Florida.
(c) The East 30 Feet of the North 1/2 of the SW-1/4 of the NE-1/4 of the NW-
1/4, Section 24, Township 48 South, Range 25 East, Collier County, Florida.
(d) The West 30 Feet of the North 1/2 of the SE-1/4 of the NE-1/4 of the NW-
1/4, Section 24, Township 48 South, Range 25 East, Collier County, Florida.
(e) The West 30 Feet of the South 1/2 of the SE-1/4 of the NE-1/4 of the NW-
1/4, Section 24, Township 48 South, Range 25 East, Collier County, Florida.
(I) That portion of the East 30 Feet of the South 1/2 of the SW-1/4 of the NE-
1/4 of the NW-1/4, Section 24, Township 48 South, Range 25 East, Collier County,
Florida encumbering Tract "U" as set forth in Paragraph 3(a) below.
It is the intention of the parties that any and all rights Devisse may have in and to the
Easements referenced in this Paragraph 2 are hereby be terminated.
3. This Termination is specifically not intended to terminate any Easements granted
or reserved for the benefit of the Devisse Property in the Grant of Easement over the
following properties, which are shown graphically on Exhibit "B" attached hereto and by
this reference incorporated herein:
(a) The East 30 Feet of the South 1/2 of the SW-1/4 of the NE-1/4 of the NW-
1/4, Section 24, Township 48 South, Range 25 East, Coliier County, Florida. Except
that the parties agree that this easement will terminate at the Southern boundary of
Tract "U" as depicted on the Plat of the Delasol Phase Two subdivision as recorded in
Plat Book 41, Page 51 in the Public Records of Collier County, Florida.
(b) The East 30 Feet of the North 1/2 of the NW-1/4 of the SE-1/4 of the NW-
1/4, Section 24, Township 48 South, Range 25 East, Collier County, Florida.
(c) The West 30 Feet of the North 1/2 of the NE-1/4 of the SE-1/4 of the NW-
1/4, Section 24, Township 48 South, Range 25 East, Collier County, Florida.
It is the intention of the parties that the Easements referenced in this Paragraph 3 shall
remain in full force and effect notwithstanding the termination of the Easements set forth
in Paragraph 2 above.

4. This Termination is intended to become effective immediately upon being
recorded within the Public Records of Collier County, Florida.

SETTLEMENT AGREEMENT AND MUTUAL RELEASE BETWEEN COLLIER
COUNTY AND VIRGINIA DEVISSE
THIS SETTLEMENT AGREEMENT AND MUTUAL RELEASE (hereinafter referred
to as the "Agreement ") is entered into and made on the date when it has been executed by the
last of the parties to sign it, by and between Collier County (hereinafter referred to as "the
County"), a political subdivision of the State of Florida, and Virginia Devisse (hereinafter
referred to as "Devisse").
WIT N E SSE T H:
WHEREAS, Collier County is a defendant in Case No, 05-807-CA filed in the Circuit
Court for the Twentieth Judicial Circuit because of, inter alia, a claim by Devisse to a pre-
existing vehicular access easement shown in Exhibit "A" attached hereto (the "Easement"),
NOW, THEREFORE, in consideration of the mutual covenants, promises and
consideration set forth in this Agreement and with the intent to be legally bound, the County and
Devisse agree as follows:
I, Simultaneous with the approval of this Agreement by the Collier County Board of
County Commissioners (the "BCC), the BCC shall approve the Termination of Easements (the
"Termination"), a copy of which is attached hereto and incorporated herein as Exhibit "8," This
Agreement shall be declared null and void in the instance that the BCC does not approve the
Termination at the same meeting of the BCC as this Agreement.
2. The BCC shall execute the Termination within ten (10) days of the approval of
this Agreement and the Termination,
3. Devisse shall, within twenty (20) days of the approval of this Agreement and the
Termination, execute the Termination and record the same in the Public Records of Collier
County, Florida,

4. Devisse will execute and file, within thirty (30) days of approval of this
Agreement by the BCC, a dismissal with prejudice against Collier County.
5. Both parties agree that all claims asserted or that could have been asserted in Case
No. 05-807-CA will be dismissed by Devisse with prejudice.
6. The County and Devisse acknowledge and agree that this Agreement is intended
to and shall be binding upon their respective owners, principals, officials, officers, employees,
ex-employees, agents, attorneys, sub-contractors, representatives, insurers, successors, assigns,
spouses, heirs and affiliates.
7. The County and Devisse acknowledge and agree that this Agreement is the
product of mutual negotiation and no doubtful or ambiguous language or provision in this
Agreement is to be construed against any party based upon a claim that the party drafted the
ambiguous provision or language or that the party was intended to be benefited by the
ambiguous provision or language,
8. This Agreement may be amended only by a written instrument specifically
referring to this Agreement and executed with the same formalities as this Agreement.
9. In the event of an alleged breach of this Agreement and Release, the County and
Devisse agree that the sole remedy for breach of this Agreement shall be for specific
performance of its terms and conditions; or for any damages arising from the breach. In this
regard, the County and Devisse further agree that the sole venue for any such action shall be in
the Twentieth Judicial Circuit Court of Florida, or, if that Court refuses to accept jurisdiction
thereover, a Court of competent jurisdiction,
10. The laws of the State of Florida shall govern this Agreement.

II. Both parties further agree that time is of the essence in all respects regarding this
Agreement.
12. Approval of the settlement does not waive any rights or claims the County may have
against Devisse or Centex arising out of or relating to County's acceptance of Tract U.

Recommendation to approve a Settlement Agreement and Termination of Easements
Agreement in the lawsuit entitled Virginia Devisse v. Board of County Commissioners, et at.;
filed in the Twentieth Judicial Circuit in and for Collier County, Florida, Case No. 05-807-
CA.
OBJECTIVE: That the Board of County Commissioners approve the settlement agreement
attached hereto as Exhibit "A" to the Executive Summary and the Termination of Easements
Agreement attached to the Settlement Agreement as Exhibit "B", in the lawsuit entitled Virginia
Devisse v. Board of County Commissioners, el at.; filed in the Twentieth Judicial Circuit in and
for Collier County, Florida, in Case No. 05-807-CA. Upon acceptance, Devisse will execute a
Termination of Easement pertaining to the 30' easement that runs through Tract "U" in the
Delasol Development. If the settlement is approved, the lawsuit and all claims against the County
in the lawsuit by the Plaintiff will be dismissed with prejudice. The Board is advised to
acknowledge that approval of the settlement does not waive any rights or claims the County may
have against Devisse or Centex arising out of or relating to County's acceptance of Tract U.
CONSIDERATIONS: Plaintiff filed a Complaint to Quiet Title against the County, and
several others Co-Defendants. Plaintiff owns a 30' vehicular easement for egress and ingress
over Tract "U." A lift station was constructed over, across and through this easement. On July
15, 2004, Co-Defendant Delasol Homeowners' Phase Two plat was recorded dedicating to
Collier County Water District a Utility Easement (C.U.E.), Collier County a neighborhood park
located on Tract "U," and an Access Easement (A. E.) over and across Tract "P-5" to Tract "U."
Plaintiff claims the CUE and AE encroaches access to her property. The proposed Termination
of Easements will relinquish, abandon and terminate said easements. Plaintiff will terminate her
access easement at County's Tract "u" Southern boundary.
FISCAL IMPACT: Upon execution of the settlement agreement, recordation of the release of
easement, and dismissal with prejudice of the lawsuit.
GROWTH MANAGEMENT IMPACT: There is no growth management impact associated
with this item.
LEGAL CONSIDERATIONS: The County Attorney opines that the settlement is reasonable
and cost effective under all the circumstances. The County's signing of the Termination of
Easement will not waive any rights or claims County has against Centex or Devisse relating to
the conveyance of Tract "U".
RECOMMENDATION: That the Board of County Commissioners approve the settlement and
authorize the Chairman of the Board of County Commissioners to execute all necessary
documents.

SETTLEMENT AGREEMENT AND MUTUAL RELEASE BETWEEN COLLIER
COUNTY AND VIRGINIA DEVlSSE
TIllS SETTLEMENT AGREEMENT AND MUTUAL RELEASE (hereinafter referred
to as the "Agreement ") is entered into and made on the date when it has been executed by the
last of the parties to sign it, by and between Collier County (hereinafter referred to as "the
County"), a political subdivision of the State of Florida, and Virginia Devisse (hereinafter
referred to as "Devisse").
WITNESSETH:
WHEREAS, Collier County is a defendant in Case No. 05-807-CA filed in the Circuit
Court for the Twentieth Judicial Circuit because of, inter alia, a claim by Devisse to a pre-
existing vehicular access easement shown in Exhibit "A" attached hereto (the "Easement").
NOW, THEREFORE, in consideration of the mutual covenants, promises and
consideration set forth in this Agreement and with the intent to be legally bound, the County and
Devisse agree as follows:
1. Simultaneous with the approval of this Agreement by the Collier County Board of
County Commissioners (the "BCC), the BCC shall approve the Termination of Easements (the
"Termination"), a copy of which is attached hereto and incorporated herein as Exhibit "B." This
Agreement shall be declared null and void in the instance that the BCC does not approve the
Termination at the same meeting of the BCC as this Agreement.
2. The BCC shall execute the Termination within ten (10) days of the approval of
this Agreement and the Termination.
3. Devisse shall, within twenty (20) days of the approval of this Agreement and the
Termination, execute the Termination and record the same in the Public Records of Collier
County, Florida

4. Devisse will execute and file, within thirty (30) days of approval of this
Agreement by the BCC, a dismissal with prejudice against Collier County.
5. Both parties agree that all claims asserted or that could have been asserted in Case
No. OS-807-CA will be dismissed by Devisse with prejudice.
6. The County and Devisse acknowledge and agree that this Agreement is intended
to and shall be binding upon their respective owners, principals, officials, officers, employees,
ex-employees, agents, attorneys, sub-contractors, representatives, insurers, successors, assigns,
spouses, heirs and affiliates.
7. The County and Devisse acknowledge and agree that this Agreement is the
product of mutual negotiation and no doubtful or ambiguous language or provision in this
Agreement is to be construed against any party based upon a claim that the party drafted the
ambiguous provision or language or that the party was intended to be benefited by the
ambiguous provision or language.
8. This Agreement may be amended only by a written instrument specifically
referring to this Agreement and executed with the same formalities as this Agreement.
9. In the event of an alleged breach of this Agreement and Release, the County and
Devisse agree that the sole remedy for breach of this Agreement shall be for specific
performance of its terms and conditions; or for any damages arising from the breach. In this
regard, the County and Devisse further agree that the sole venue for any such action shall be in
the Twentieth Judicial Circuit Court of Florida, or, if that Court refuses to accept jurisdiction
thereover, a Court of competent jurisdiction.
10. The laws of the State of Florida shall govern this Agreement.

11. Both parties further agree that time is of the essence in all respects regarding this
Agreement.
12. Approval of the settlement does not waive any rights or claims the County may have
against Devisse or Centex arising out of or relating to County's acceptance of Tract U.

TERMINATION OF EASEMENTS
THIS AGREEMENT TO TERMINATE EASEMENTS (the "Termination") dated
the _ day of ,2007, by and between DELASOL HOMEOWNERS'
ASSOCIATION, INC., a Florida not-for-profit corporation ("Oelasol"), whose mailing
address is 5801 Pelican Bay Blvd., Suite 600, Naples, Florida 34108; VIRGINIA ANNE
DEVISSE, a married person ("Devisse"), whose mailing address is 5610 Bur Oaks
Lane, Na.RJ!!i....florida 34119; and COLLIER COUNTY, FLORIDA, a political subdivision
and,J)ll'ffie?'C8'unty of the State of Florida ("County"), whose mailing address is 3301 E.
Tamiami Trail, Naples, Florida 34112.
WHEREAS, Devisse is the owner of the following property (the "Devisse
Property"):
The South 1/2 of the Southeast 1/4 of the Northeast 1/4 of the Northwest 1/4 of
Section 24, Township 48 South, Range 25 East, of Collier County, Florida.
WHEREAS, by a Grant of Easement recorded at Official Records Book 2116,
Page 421, of the official records of Collier County, Florida (the "Grant of Easement"),
certain easements for ingress and egress and utilities were granted over, across, and
through certain lands now owned by Delasol and the County for the benefit of the
Devisse Property (collectively, the "Easements"); and
WHEREAS, the parties to this Termination have agreed to terminate certain
portions of the Easements.
WITNESSETH:
NOW, THEREFORE, in consideration of the mutual covenants herein, the
adequacy and sufficiency of said covenants having been acknowledged by all parties to
this Termination, the parties hereby covenant and agree as follows:
1. The above-referenced recitals are true and correct.
2. The parties hereby mutually agree that the Easements over the following
properties, which are shown graphically on Exhibit "A" attached hereto and by this

reference incorporated herein, are hereby relinquished, abandoned, and terminated in
their entirety:
(a) The West 30 Feet of the North 1/2 of the South 1/2 ofthe NE-1/4 of the
NE-1/4 of the NW-1/4, Section 24, Township 48 South, Range 25 East, Collier County,
Florida.
(b) The West 30 Feet of the South 1/2 of the South 1/2 of the NE-1/4 of the
NE-1/4 of the NW-1/4, Section 24, Township 48 South, Range 25 East, Collier County,
Florida.
(c) The East 30 Feet of the North 1/2 of the SW-1/4 of the NE-1/4 of the NW-
1/4, Section 24, Township 48 South, Range 25 East, Collier County, Florida.
(d) The West 30 Feet of the North 1/2 of the SE-1/4 of the NE-1/4 of the NW-
1/4, Section 24, Township 48 South, Range 25 East, Collier County, Florida_
(e) The West 30 Feet of the South 1/2 of the SE-1/4 of the NE-1/4 of the NW-
1/4, Section 24, Township 48 South, Range 25 East, Collier County, Florida.
(f) That portion of the East 30 Feet of the South 1/2 of the SW-1/4 of the NE-
1/4 of the NW-1/4, Section 24, Township 48 South, Range 25 East, Collier County,
Florida encumbering Tract "U" as set forth in Paragraph 3(a) below.
It is the intention of the parties that any and all rights Devisse may have in and to the
Easements referenced in this Paragraph 2 are hereby be terminated.
3. This Termination is specifically not intended to terminate any Easements granted
or reserved for the benefit of the Devisse Property in the Grant of Easement over the
following properties, which are shown graphically on Exhibit "B" attached hereto and by
this reference incorporated herein:
(a) The East 30 Feet of the South 1/2 of the SW-1/4 of the NE-1/4 of the NW-
1/4, Section 24, Township 48 South, Range 25 East, Collier County, Florida_ Except
that the parties agree that this easement will terminate at the Southern boundary of
Tract "U" as depicted on the Plat of the Delasol Phase Two subdivision as recorded in
Plat Book 41, Page 51 in the Public Records of Collier County, Florida.
(b) The East 30 Feet of the North 1/2 of the NW-1/4 of the SE-1/4 of the NW-
1/4, Section 24, Township 48 South, Range 25 East, Collier County, Florida.
(c) The West 30 Feet of the North 1/2 of the NE-1/4 of the SE-1/4 of the NW-
1/4, Section 24, Township 48 South, Range 25 East, Collier County, Florida.
It is the intention of the parties that the Easements referenced in this Paragraph 3 shall
remain in full force and effect notwithstanding the termination of the Easements set forth
in Paragraph 2 above.
4. This Termination is intended to become effective immediately upon being
recorded within the Public Records of Collier County, Florida.
