EXECUTIVE SUMMARY
Recommendation to approve an agreement to accept donated property for nse as right-of-way
on Santa Barbara Blvd. Extension, Project #60091 (Potential Fiscal Impact: $ 132.00)
OBJECTIVE: To approve an agreement to accept donated property for use as right-of-way on the
Santa Barbara Blvd. Extension Project #60091.
CONSIDERATIONS: Pursuant to Ordinance 03-50, the Falling Waters PUD, Paragraph 5.6C,
"One hundred feet of right-of-way shall be provided between Davis Boulevard and the platted
segment of Santa Barbara Boulevard. In exchange for right-of-way dedication, the County shall
provide an access casement bctween Tract "s" and Tract "R"..." The property referenced is located
on the east side of the planned Santa Barbara Extension between Davis Boulevard and the platted
segment of Santa Barbara Boulevard, and is described as project Parcel129FEE and 129TCE (see
attached Exhibit "A"). The parent tract is currcntly in the process of a PUD re-zone (Taormina
Reserve PUDZ-AR-llIOO). The owners and stafT acknowledgc that donating Parcel 129FEE and
129TCE is fulfilling their requirement pursuant to Ordinance 03-50. To fulfill the County's
requirement, the Board approved the creation of a Public Access Easement between Tract "s" and
Tract "R" on October 23, 2007 with the understanding that the Access Easement would be recorded
upon convcyance of Parcels 129FEE and 129TCE.
Parcell27FEE (see attached Exhibit "B") is locatcd just south of Parcel I 29FEE and is also part of
the Taormina Reserve PUD. The property owners recognize that the donation of Parcel I 27FEE is
necessary and beneficial to the future dcvelopment of their property and have agreed to donate the
property in advance of receiving their re-zone approval with the understanding that the County
agrces to consider the current appraised value ($424,000) of Parcel 127FEE towards the equal value
of transportation impact fees for transportation concurrency vesting purposes. The donation of
Parccl 127FEE to Collier County will have no impact upon the Devcloper's obligation to pay all
required impact fees with each building permit application.
The attached Agrcement (see Exhibit "C") states the specifics agreed to by the paliies and staff
recommends the Board approve the agreemcnt.
FISCAL IMPACT: The Fiscal Impact associated with this Executive Summary is $132.00 for
recording fees and is provided for in Gas Tax Road Construction Fund (313), under the Santa
Barbara Blvd road extension project #60091.
GROWTH MANAGEMENT IMPACT: As a capital improvemcnt element in the Five Year
Transportation Work Program, the extension of Santa Barbara Boulevard (Project No. 60091) is a
part of Collier County's Growth Mallagement Plan.
RECOMMENDATION: That the Board of County Commissioners of Collier County;
1. Approve the attached Agreement; and authorize the Chairman to execute same on behalf of the
Board.
2. Accept the conveyance of Parcels 127FEE and 129FEE via Warranty Deeds and a Temporary
Construction Easement (Parcel 129TCE) and authorize the County Manager or his designee to
record same in the public records of Collier County, Florida; and

3. Authorize the County Manager or his designee to take the necessary measures to ensure the
County's performance in accordance with the tenus and conditions ofthe Agreement; and
4. Approve any and all budget amendments, which may be required to cany out the collective will
of the Board.

AGREEMENT
THIS AGREEMENT (hereinafter referred to as the "Agreement") Is made and
entered Into on this _ day of , 2008, by and between HIGHLAND
PROPERTIES OF LEE AND COLLIER, LIMITED flk/a HUBSCHMAN ASSOCIATES,
LTD., a Florida Limited Partnership, whose mailing address is 2223 Trade Center
Way, Naples, Florida 34109-2035 (hereinafter referred to as "Owner"), and COLLIER
COUNTY, a pollticai subdivision of the State of Flonda, whose mailing address is 3301
Tamiami Trail East, Napies, Florida 34112 (hereinafter referred to as "County").
WITNESSETH:
WHEREAS, County has requested that Owner convey to County a fee simple
interest in the lands described in Exhibit "A" (Parcel Nos. 127FEE and 129FEE) and a
Temporary Construction Easement over, under, across and upon the lands described
In Exhibit "B" (Parcel No. 129TCE), hereinafter collectively referred to as the "Property",
which exhibits are attached hereto and made a part of this Agreement; and
WHEREAS, both parties desire to fulfill their commitments as set forth in
Ordinance No. 03-50, Section 5.6 Transportation, Paragraph C, which states: "One
hundred feet of right-of-way shall be provided between Davis Boulevard and the platted
segment of Santa Barbara Boulevard. In exchange for the right-of-way dedication, the
County shall provide an access easement between Tract "S" and Tract "R"..."; and
WHEREAS, Owner agrees to convey to County Parcels 129FEE and 129TCE In
fulfillment of its commitment, and County agrees to create said Access Easement
between Tracts "S" & "R" in fulfillment of its commitment; and
WHEREAS, Owner deSires to cooperate with and to provide assistance to
County, in advance of obtaining its approval for zoning (Taormina Reserve PUDZ-AR-
11100), by donating Parcel 127FEE to County for the construction ot roadway, drainage
and utility Improvements for the Santa Barbara Boulevard Extension ProJect: and
WHEREAS, Owner recognizes the benefit to Owner and desires to convey the
Property to County for the stated purposes. on the terms and conditions set forth
herein, free and clear of all liens and encumbrances within 30 days from the effective
date of thiS Agreement.
NOW, THEREFORE, In consideration of these premises, the sum of Ten Dollars
($10.00), and other good and valuable consideration, the receipt and sufficiency of
which IS hereby mutually acknowledged, it is agreed by and between the parties as
follows:
1. All of the above RECITALS are true and correct and are hereby expressly
Incorporated herein by reference as if set forth fully below, and all Exhibits
referenced herein are made a part of thiS Agreement.
2. Owner shall convey to County Parcels 129FEE In fee Simple and 129TCE as a
temporary construction easement In accordance with the terms of this
Agreement. In exchange, County shall provide a public access easement
between Tract "S" and Tract "R".
3. Owner shall donate Parcel 127FEE In fee Simple to County in accordance with
the terms of thiS Agreement.
4. Transportation Planning Staff agrees to recommend to the Board of County
CommiSSioners (hereinafter referred to as the "Board") that the value
($424,000.00) of Parcel 127FEE be applied towards the equal value of

transportation Impact fees for transportation concurrency vesting purposes,
although the Owner shall be reqUired to pay for all impact fees associated with
the site, subject to the Board approval at the PUD re-zone,
5. County agrees that all sidewalks and bike lanes constructed as part of the Santa
Barbara Bivd. Extn. project will be paid by County.
6. County agrees to construct a norih bound, nght turn lane Into the site and a south
bound, left turn lane into the site as part of the Santa Barbara Blvd. Extn. project
in accordance with the construction plans prepared by Agnoll Barber & Brundage,
inc. Owner shall reimburse County for the actual costs of the turn lane
construction within 90 days of request from County.
7. County reserves the nght, at its sole discretion, to close or modify the south
bound, left turn lane Into Owner's site. after one (1) year of operation. Any such
closure or modification will require approval of the Board.
8. Owner shall convey Parcels 127FEE, 129FEE and 129TCE to County, In a form
acceptable to County, no later than thirty (30) days from the effective date of this
Agreement unless otherwise stated herein. Said conveyance (Owner's delivery to
County of a properly executed Warranty Deed and a Temporary Construction
Easement) is here",after referred to as the "ClOSing." County shall record a
Declaration of easement for the public access easement Simultaneously with
Owner's conveyance of Parcels 127FEE, 129FEE and 129TCE.
9. Prior to ClOSing, Owner shall promptly obtain from the hoiders of any liens,
exceptions and/or qualifications encumbering the Property, the execution of such
mstruments which wit! remove, release or subordinate such encumbrances from
the Property upon their recording In the public records of Collier County, FlOrida.
Owner shall provide such Instruments, properly executed. to County on or before
the date of ClOSing.
10. The Cioslng shall occur within thirty (30) days irom the date Couniy executes this
Agreement; proVided however. that County shall have the unilateral right to
extend the Closing Date pending receipt of such Instruments, properly executed,
which either remove. release or subordinate any and all such liens.
encumbrances or qualifications affecting County's enjoyment of the Property.
11. County shall pay all fees to record any curative instruments reqUired to clear litle,
all recording fees, and any and all costs and/or fees associated with secunng and
recording a release or subordination of any mortgage, lien or other encumbrance
recorded against the Property.
12. ThiS Agreement and the terms and prOVISions hereof shall be effective as of the
date this Agreement is executed by both parties and shall inure to the benefit of
and be binding upon the parties hereto and their respective heirs, executors,
personal representatives, successors, successor trustees. and/or assignees,
whenever the context so requires or admits.
13. Conveyance of the Property by Owner is contingent upon no other prOVisions,
conditions. or premises other than those so stated above; and thiS written
Agreement, including all exhibits atlached hereto, shall constrtute the entire
Agreement and understanding of the parties, and there are no other prior or
contemporaneous written or oral agreements, undertakings, promises, warranties,
or covenants not contained herein.
14. Time is of the essence with respect to the terms and conditions of thiS
Agreement.
15. This Agreement is governed and construed in accordance With the laws of the
State of Florida
