EXECUTIVE SUMMARY
Recommendation to grant final approval of the roadway and drainage
Improvements for the final plat of Olde Cypress Unit One (Olde Cypress
PUD), roadway and drainage improvements from Logan Boulevard into the
project will be privately maintained. Collier County will accept
maintenance for the roadway and drainage improvements within the Logan
Boulevard Extension right of way (Tract R-1)
OBJECTIVE:
To grant final approval of the infrastructure improvements associated with that
subdivision known as Olde Cypress Unit One.
CONSIDERATIONS:
1. On March 24, 2000, Engineering and Environmental Services Department
granted preliminary acceptance of the roadway and drainage
improvements in Olde Cypress Unit One.
2. The roadway and drainage improvements except for Logan Boulevard will
be maintained by the project's Master Property Owners Association. On
September 6, 2003 the County accepted a Warranty Deed for Tracts R-1
and R-3 (Logan Boulevard) according to the plat of Olde Cypress Unit
One. The developer's to the North of Olde Cypress are responsible for
the roadway and drainage improvements within Tract R-3 and the County
will accept maintenance for these improvements at a future date. A copy
of this deed is attached. The roadway will not function as a through publiC
road for an undetermined amount of time yet the County will be assuming
all of the maintenance responsibilities. The County will require all future
development approvals north of this section of roadway to be responsible
for fair share of maintenance or deterioration due to additional traffic or
construction impacts.
3. The required improvements have been constructed in accordance with the
Land Development Code. The Engineering and Environmental Services
Department has inspected the improvements and is recommending final
acceptance of the improvements.
4. A resolution for final acceptance has been prepared and approved by the
County Attorney's Office. A copy of the document is attached.
5. On April 13, 1999, the Board entered into a Construction and Maintenance
Agreement for Subdivision Improvements with the developer. The
developer has fulfilled his obligations with respect to the Agreement

6. According to PUD Monitoring, the outstanding PUD commitments are as
follows: park site, nature trails, fair share contribution for traffic signal.
The developer is in the process of closing out this PUD and addressing
these issues. The Transportation Services Department has requested
that the developer prepare a full DRI Monitoring Report that would include
the preparation of a full traffic study, in order to establish the developer's
fair share as it relates to the Development Order commitments. The
developer has provided a proposal to fulfill park and walking trails
requirement; however, staff has advised the developer that the proposal
must include at a minimum an amendment to the PUD Master Plan to
reflect the location of the park site or a site development plan to accurately
reflect the proposed improvements. The developer has acknowledged the
outstanding PUD commitments and intends to fulfill these obligations in a
timely manner. The Preserve Commons commercial subdivision is also
within this PUD and the County currently has a performance security from
this developer for the infrastructure improvements associated with
Preserve Commons.
Pursuant to Board direction initiated at the PUD monitoring Workshop of
October 11, 2007, staff is providing the status of PUD obligations
associated with this PUD.
7 A letter from the Olde Cypress Master Property Owner's Association is
attached. The developer was unable to obtain a letter from a resident
because no one who was approached was willing to accept tm>
responsibility for signing off on behalf of all property owners.
FISCAL IMPACT:
The roadway and drainage improvements within the subdivision will be
maintained by the project's Master Property Owner's Association. Funds for
m:lintpn;:mce of Logan Boulevard within Tract R-1 will come from Transportation
operations and maintenance budget.

The County Attorney's Office has reviewed and approved the Resolution for legal

maintenance security.

mentioned this momin9 during the BOCC meeting, the Agreement only pertains to the water, sewer, paving, & drainage
improvements for the Unit One plat. Since landscaping improvements are NOT part of this agreement and we have met all
of the obligations listed herein, we are requesting that all of the funds held in escrow be released at this time. The landscape
buffer for Vila Tuscana along Lone Pine is the obligation of Empire Builders and our bond release should not be held up
based on their commitment. Thanks.

I'm not sure who to ask, so I'll start with PUO monitoring.
Is Olde Cypress required to install a type "0" (or whatever?) buffer along any portion of their southern common property line
with Vila Tuscana, HO Development property, or the driving range... or does Empire Builders' installation of the enlBnced
buffer satisfy part or all of the requirement?
It is not in their Construction amd Maintenance Agreement

TIllS CONSTRUCTION, MAINTENANCE AND ESCROW AGREEMENT. FOR
SUBDIVISION IMPROVEMENTS AGREEMENT entered into this ~ day of ~ ,.
1999, by OLDE CYPRESS DEVELOPMENT, LTD., a Florida Limited Partnership, by OLDE
CYPRESS DEVELOPMENT CORPORATION, its General Partner, (hereinafter "Developer"),
the Board of County Commissioners of CoUiflf County, Florida, (hereinafter the "Board") and
QUARLES & BRADY, (hereinafter "Escrow Agent").
PREMISES
A. Developer has, simultaneously with the delivery of this Agreement, applied for the
approval by the Board of certain plat of subdivision to be lmown as:

B. The subdivision will include certain improvements which are required by Collier COlmty
ordinances, as set forth in a site construction cost estimate ("Estimate") prepared by _
HOLE, MONTES AND ASSOCIATES, INC., a copy of which is attached hereto and
incorporated herein as Exhibit 1. For purposes of this Agreement, the "Required
Improvements" are limited to those described in the Estimate.
C. Sections 3.2.6.5.6 and 3.2.9.1 of the Collier County Subdivision Code Division of the
Land Development Code requires the Developer to provide appropriate guarantees for the
construction and maintclJllI)Ce of the Required Improvements.
D. Escrow Agent has entered into a construction and development Escrow Agreement with
Developer dated 3/18/99 , (the "Escrowed Funds") in the amoWlt of
$1 ,Z04,205. 70,
E. Developer and the Board have aclmowledged that the amount Developer is required to
guarantee pursuant to this Agreement is $ 1.204,205.70, and this amount represents 110%
of the Developer's engineef's estimato of tho construction costs for the Required
Improvements.
NOW THEREFORE, in consideration of Ihe foregoing premises and mutual covenants
hereinaftef sel forth, Developer, the Board and the Escrow Agent do hereby covenant and agree
as follows:
1. Developer will cause the water, sewer, roads, drainage and like facilities, the Required
Improvements, 10 be constructed pursuant to specifications that have been approved by
the Development Services Director within 36 months from !he date of approval of
said subdivision plat.

2. Developer hereby authorizes Escrow Agent to hold $ 1,204,205.70 from the Escrowed
Funds, in escrow, Pll{lluant to the terms of this Agreeltlent.
3. Escrow Agent agrees to hold in escrow $ 1,204,205.70, from the Escrowed Funds to be
disbursed only pursuant to this Agreement.
4. The escrowed funds shall be released to the Developer only upon written approval of the
Development Services Director who shall approve the release of the funds on deposit not
more that once a month to the Developer, in amounts due for work done to date based on
the percentage completion of the work multiplied by the respective work costs less ten
percent (10%); and further, that upon completion of the work, the Development Services

pursuant to Paragraph 10 of the Agreement. However, in the event that Developer shall
fail to comply with the requirements of this Agreement, then the Escrow Agent agrees 10
pay to the County immediately upon demand the balance of !.he funds held in escrow by
the Escrow Agent, as of the date of the demand, provided that upon payment of such
balance to the County, the CoUnty will have e:ltecuted and delivered to the Escrow Agent
in exchange for such funds a statement to be signed by the Dovelopment Services
Director to the effect that:
(a) Developer for more that sixty (60) days after written notification of such failure
has failed to comply with the requirements of this Agreement;
(b) the County, or its authorized agent, will complete the work called for under the
terms of the above-mentioned contract or will complete such portion of such work
as the County, in its Bole discretion, shaH deem necessary in the public interest tQ
the extent of the funds then held in escrow;
(c) the escrow funds drawn down by the County shall be used for construction of the
Required Improvements:, engineering, legal and contingent costs and expenses,
and to offset any damages, either direct or consequential, which the County may
sustain on account of the failure of the Developer to carty out and execute the
above-mentioned development work; and,
(d) the County will promptly repay to the Escrow Agent any portion of the funds
drawn down and not expended in completion of the said development work,
5. Written notice to the Escrow Agent by the County specifying what amounts are to be paid
to the peveloper shall constitute authorization by the County to the Escrow Agent for
release of the apecified funds to the Developer. Payment by the Escrow Agent to the
Developer of the amounts specified in a letter of authorizalion by the County to the

Escrow Agent shall constitute a release by the County III1d Developer of the Escrow
Agent for the funds disbursed in accordance with the letter of authorization from the
County.
6. The required improvements shall not be considered complete until a statement of
substantial completion by Developer's engineer along with the final project records have
been furnished to be reviewed and approved by the Development Services Director for
compliance with the Collier County Subdivision Regulations.
7. The Development Sexvices Director shall, within sixty (60) days of receipt of the
statement of substantial completion, either: a) notifY the Developer in writing of his
preliminary approval of the improvements; or b) notifY the Developer in writing of this
refusal to approve the improvements, therewith specifYing those conditions which the
Developer must fulfill in order to obtain the DUecto~ of the Required Improvements.
However, in no event shal1 the Development Services Director refuse preliminary
approval of the improvements if they are in fact constructed and submitted for approval in
accordance with the requirements of this Agreement.
&. Should the funds held in escrow be insufficient to complete the Required Improvements,
tho Board, after duly considering the public interest, may at its option complete the
Required Improvements md resort to any and all legal remedies against the Developer.
9. Nothing in this Agreement shllll make the Escrow Agent liable for any funds other than
those placed in deposit by the Developer in accordance with the foregoing provision;
provided, that the Escrow Agent does not release any monies to the Developer or to any
other person except as stated in this Escrow Agreement.
10. The Developer shall maintain all Required Improvements for one year after preliminary
approval by the Development Services Director, After the one year maintenance period
by the Developer and upon submissioll of a written request for inspection, the
Development Services Director shall inspect the Required Improvements and, if found to
be still in compliance with the Code as reflected by final approval by the Board, the
Escrow Agent's responsibility to the Board under this Agreement is terminated. The
developer's responsibility for maintenance of the Required Improvements shall continue
unless or until the Board accepts maintenance responsibility for and by the County.
