EXECUTIVE SUMMARY
Recommendation to grant final approval of the roadway and drainage
improvements for the final plat of Olde Cypress Unit One (Olde Cypress
PUD). roadway and drainage improvements from Logan Boulevard into the
project will be privately maintained. Collier County will accept
maintenance for the roadway and drainage improvements within the Logan
Boulevard Extension right of way (Tract R-1)
OBJECTIVE:
To grant final approval of the infrastructure improvements associated with that
subdivision known as Olde Cypress Unit One.
CONSIDERATIONS:
1. On March 24, 2000, Engineering and Environmental Services Department
granted preliminary acceptance of the roadway and drainage
improvements in Olde Cypress Unit One.
2. The roadway and drainage improvements except for Logan Boulevard will
be maintained by the project's Master Property Owners Association. On
September 6, 2003, the County accepted a Warranty Deed for Tracts R-1
and R-3 (Logan Boulevard) according to the plat of Olde Cypress Unit
One. The developer to the north of Olde Cypress are responsible for the
roadway and drainage improvements within Tract R-3 and the County will
accept maintenance for these improvements at a future date. A copy of
this deed is attached. The roadway will not funclion as a through public
road for an undetermined amount of time yet the County will be assuming
all of the maintenance responsibilities. The County will require all future
development approvals north of this section of roadway to be responsible
for fair share of maintenance or deterioration due to additional traffic or
construction impact.
3. The required improvements have been constructed in accordance with the
Land Development Code. The Engineering and Environmental Services
Department has inspected the improvements and is recommending final
acceptance of the improvements.
4. A resolution for final acceptance has been prepared and approved by the
County Attorney's Office. A copy of the document is attached.
5. On April 13, 1999, the Board entered into a Construction and Maintenance
Agreement for Subdivision Improvements with the developer. The
developer has fulfilled his obligations with respect to the Agreement.

6. According to PUD Monitoring, the outstanding PUD commitments are as
follows: park site, nature trails, fair share contribution for traffic signal.
The developer is in the process of closing out this PUD and addressing
these issues. The Transportation Services Department has requested
that the developer prepare a full Development of Regional Impact (DRI)
Monitoring Report that would include the preparation of a full traffic study,
in order to establish the developer's fair share as it relates to the
Development Order commitments. The developer has provided a
proposal to fulfill park and walking trails requirement; however, staff has
advised the developer that the proposal must include at a minimum an
amendment to the PUD Master Plan to reflect the location of the park site
or a site development plan to accurately reflect the proposed
improvements. The developer has acknowledged the outstanding PUD
commitments and intends to fulfill these obligations in a timely manner.
The Preserve Commons commercial subdivision is also within this PUD
and the County currently has a performance security from this developer
for the infrastructure improvements associated with Preserve Commons.
Pursuant to Board direction initiated at the PUD monitoring Workshop of
October 11, 2007, staff is providing the status of PUD obligations
associated with this PUD.
7. A letter from the Olde Cypress Master Property Owner's Association is
attached. The developer was unable to obtain a letter from a resident
because no one who was approached was willing to accept the
responsibility for signing off on behalf of all property owners.
8. The engineer's estimate that the performance bond is based on does not
include money for landscaping or landscape buffers
FISCAL IMPACT:
The roadway and drainage improvements within the subdivision will be
maintained by the project's Master Property Owner's Association. Funds for
maintenance of Logan Boulevard within Tract R-1 will come from Transportation
operations and maintenance budget.
GROWTH MANAGEMENT IMPACT: There is no growth management impact.
LEGAL CONSIDERATIONS:
The County Attorney's Office has reviewed and approved the Resolution for legal
sufficiency.

That the Board of County Commissioners grant final acceptance of the roadway
and drainage improvements in Olde Cypress Unit One and release the
maintenance security.
1. Authorize the Chairman to execute the attached resolution authorizing

Thank you for presenting Item 10G regarding the final approval of roadway & drainage improvements for Olde Cypress-
Unit One this morning. Attached is a copy of the Construction, Maintenance, & Escrow Agreement for this phase. As
mentioned this morning during the BOCC meeting, the Agreement only pertains to the water, sewer, paving, & drainage
improvements for the Unit One plat. Since landscaping improvements are NOT part of this agreement and we have met all
of the obligations listed herein, we are requesting that all of the funds held in escrow be released at this time. The landscape
buffer for Vila Tuscana along Lone Pine is the obligation of Empire Builders and our bond release should not be held up
based on their commitment. Thanks.

Is Olde Cypress required to install a type "0" (or whatever?) buffer along any portion of their southern common property line
with Vila Tuscana, HO Development property, or the driving range u. or does Empire Builders' installation of the enhanced
buffer satisfy part or all of the requirement?
It is not in their Construction amd Maintenance Agreement

THIS CONSTRUCTION, MAlNIENANCE AND ESCROW AGREEMENT. FOR
SUBDIVISION IMPROVEMENTS AGREEMENT entered into this ~ day of ~ '
1999, by aLOE CYPRESS DEVELOPMENT, LTD., a Florida Limited Par1nership, by aLOE
CYPRESS DEVELOPMENT CORPORATION, its General Partner, (hereinafter "Developer"),
the Board of COlUlty Commissioners of Collifll' County, Florida, (hereinafter the "Board") md
QUARLES & BRADY, (hereinafter "Escrow Agent").
PREMISES
A. Developer has, simultaneously with the delivery of this Agreement, applied for the
approval by the Board of certain plat of subdivision to be known as:

B. The subdivision will include certain improvements which are required by Collier County
ordinances, as set forth in a site construction cost estimate ("Estimate") prepared by
HOLE, MONTES AND ASSOCLATES, INC., a copy of which is attached hereto and
incorporated herein as Exhibit 1. For purposes of thi8 Agreement, the "Required
Improvements" are limited to those described in the Estimate.
C. Sections 3.2.6.5.6 and 3.2.9.1 of the Colli a County Subdivision Code Division of the
Land Development Code requires the Developer to provide appropriate guarantees for the
construction and maintenance of the Required Improvements.
D. Escrow Agent has entered into a constru~tion and development Escrow Agreement with
Developer dated 3/18/99 , (the "Escrowed Funds") in the amount of
$1,204,205,70.
E. Developer and the Board have acknowledged that the amount Developer is required to
guarantee pursuant to this Agreement is $ 1.204,205.70, and this amount represents 1l0%
of the Developer's engineer's estimate of the construction cosls for the Required
Improvements.
NOW THEREFORE, in consideration of the foregoing premises and mutual covenants
hereinafter set fDrth, Developer, the Board and the Escrow Agent do hereby covenant and agree
as follows:
1. Developer will cause the water, sewer, roads, drainage and like facilities, the Required
frnprovements, to be con9trU~ted pursuant to specifications that have been approved by
the Development Services Director within 36 months from the date of approval of
said subdivision plat.

2. Developer hereby authorizes Escrow Agent to hold $ 1,204,2Q5.70 from the Escrowed
FWlds, in escrow, Purlluant to the terms of this Agreement.
3. Escrow Agent agrees to hold in escrow $ 1,204,205.70, from the Escrowed Funds to be
disbursed only pursuant to this Agreement.
4. The escrowed funds shall be released to the Developer only upon written approval of the
Development Services Director who shan approve the release of the funds on deposit not
more that once a month to the Developer, in amounts due for work done to date based on
the percentage completion of the work multiplied by the respective work costs less ten
percent (10%); and further, that upon completion of the work, the Development Services

pursuant to Paragraph 10 of the Agreement. However, in the event that Developer shall
fail 10 comply with the requirements of this Agreement, then the Escrow Agent agrees to
pay to the County immediately upon demand the balance of the funds held in escrow by
the Escrow Agent, as of the date of the demand, provided that upon payment of such
balance to the COWlty, the Coimty will have executed and delivered to the Escrow Agent
in exchange for such funds a statement to be signed by the DovelDpment Services
Director to the effect that:
(a) Developer for more thaI sixty (60) days after written notification of such failure
has failed to comply with the requirements of this Agreement;
(b) the County, or its authorized agent, will complete the work called for under the
terms of the above-mentioned contJact or will complete such POrtiDD of such wDrk
as the COWlty, in its sole discretion, shall deem necessary in the public interest to
the extent of the funds then held in escrow;
(c) the escrow funds drawn down by the County shall be used for construction of the
Required Improvements, engineering, legal and contingent costs and expenses,
and to offset any damages, either direct or consequential, which the County may
sustain on account of the failure of the Developer to carry out and execute the
ahove-mentioned development work; and,
(d) the County will promptly repay to the Escrow Agent any portion of the funds
drawn down and not expended in completion of the said development work.
5. Written notice to the Escrow Agenl by the County specifying what amoWlts are to be paid
to the Developer shall constitute authorization by the County to the Escrow Agent for
release of the specified funds to the Developer. Payment by the Escrow Agent to the
Developer of the amounts specified in a letter of authorization by the County to the

Escrow Agent shall constitute a release by the County IIIId Developer of the Escrow
Agent for the funds disbursed in accordance with the letter of authorization from the
County.
6. The required improvements shall not be considered complete until a statement of
substantial completion by DevelDper's engineer along with the final project records have
been furnished to be reviewed and approved by the Development SetVices Director for
compliance with the Collier County Subdivision Regulations.
7. The Development Services Director shaH, within sixty (60) days of receipt of the
statement of substantial completion, either: a) notify the Developer in writing of his
preliminary approval of the improvements; or b) notify the Developer in writing of this
refusal to approve the improvements, therewith specifying those conditions which the
Developer must fulfill in order to Dbtain the DU:ecto~ of the Required Improvements.
However, in no event shall the Development Services Director refuse preliminary
approval of the improvements if they are in fact constructed and submitted for approval in
accordance with the requirements of this Agreement.
8. Should the funds held in escrow be insufficient to complete the Required Improvements,
tho Board, after duly considering the public interest, may at its option complete the
. Required Improvements and resort to any and all legal remedies against the Developer.
9. Nothing in this Agreement shall make the Escrow Agent liable for any funds other than
those placed m deposit by the Developer in accordance with the foregoing provision;
provided, that the Escrow Agent does not release any monies to the Developer or to any
other person exceptlL'l stated in this Escrow Agreement.
10. The Developer shall maintain all Required lmprovements for ono year after preliminary
approval by the Development Services Director. After the one year maintenance period
by the Developer and upon submission of a written request for inspection, the
Development Services Director shall inspect the Required Improvements and, if found to
be still in compliance with the Code as reflected by final approval by the Board, the
Escrow Agent's responsibility to the Board under this Agreement is terminated, The
developer's responsibility for maintenance Dr the Required Improvements sha\) continue
unless or until the Board accepts maintenance respDnsibility for and by the County.
II. All of the terms, covenants and conditions herein contained are and shall be binding upon
the Developer and Escrow Agent, the respective successors and assigns of the Developer
and Escrow Agent.

A RESOLUTION OF THE BOARD OF COUNTY
COMMISSIONERS OF COLLIER COUNTY,
FLORIDA AUTHORIZING FINAL
ACCEPTANCE OF CERTAIN ROADWAY AND
DRAINAGE IMPROVEMENTS IN OLDE
CYPRESS UNIT ONE, ACCORDING TO THE
PLAT THEREOF RECORDED IN PLAT BOOK
32, PAGES I THROUGH 11; RELEASE OF THE
MAINTENANCE SECURITY; AND
ACCEPTANCE OF THE MAINTENANCE
RESPONSIBILITY FOR THE ROADWAY AND
DRAINAGE IMPROVEMENTS THAT ARE NOT
REQUIRED TO BE MAINTAINED BY THE
OLDE CYPRESS MASTER PROPERTY
OWNER'S ASSOCIATION, i.e, LOGAN
BOULEVARD EXTENSION WITHIN TRACT R-I
WHEREAS, the Board of County Commissioners of Collier County, Florida, on
April 13, 1999 approved the plat of Olde Cypress Unit One for recording; and
WHEREAS, the Developer has constructed and maintained the roadway and
drainage improvements in accordance with the approved plans and specifications as
required by the Land Development Code (Collier County Ordinance No, 0441, as
amended); and
WHEREAS, the Developer is requesting final acceptance of the roadway and
drainage improvements and release afhis maintenance security; and
WHEREAS, the Engineering and Envirorunental Services Section of the
Development Services Department has inspected the roadway and drainage
improvements, and is recommending acceptance of said facilities.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY
COMMISSIONERS OF COLLIER COUNTY, FLORIDA, that final acceptance is hereby
granted for those roadv.ray and drainage improvements in Olde Cypress Unit One,
pursuant to the plat thereof recorded in Plat Book 32, pages 1 through II, and the Clerk is
hereby authorized to release the maintenance security.
BE IT FURTHER RESOLVED AND ORDERED that the Counly accept the
future maintenance and other attendant costs for those roadway and drainage
improvements that are not required to be maintained by the OIde Cypress Master Property
Owner's Association, i.e. that portion of Logan Boulevard within Tract R-I. Logan
Boulevard was deeded to Collier County at O.R. Book 3398. Pages 1214 -1218.
This Resolution adopted after motion, second and majority vote favoring same,
