OBJECTIVE: To obtain approval from the Board of County Commissioner's to authorize and consent to the re-assignment of Contract No. 06-3959, "Annual Contract for Analytical Laboratory Services for Collier County", from the original party, ELAB Inc. to Pace Analytical Services Inc. and approve the release of the original party, ELAB Inc. from liability after the effective date of the consent, CONSIDERATIONS: County staff was notified by letter dated July 8, 2008 that Pace Analytical Services Inc. had acquired the assets of ELAB Inc, on August 1, 2007. This RFP No. 06-3959, hereafter known as the "Agreement", was approved and dated at the May 23, 2006, BCC Board Meeting, Agenda Item 16.C.3, by and between ELAB Inc. and Collier County. Following the Procurement Administration Procedures, staff has acquired the necessary documents from Pace Analytical Services Inc., for the Board to approve this re-assignment of the contract to which Pace Analytical Services Inc. has become a successor in interest by assignment and assumption from ELAB, Inc. FISCAL IMPACT: There is no fiscal impact associated with this Executive Summary GROWTH MANAGEMENT IMPACT: There is no growth management Impact associated with this Executive Summary. ASSUMPTION AGREEMENT This Assumption Agreement is made and entered into as of , 2008, by and between Pace Analytical Services, Inc., and Collier County, a political subdivision of the State of Florida ( "County "). WHEREAS, on May 23, 2006, the Collier County Board of County Commissioners entered into Agreement 06 -3959 "Annual Contract for Analytical Laboratory Services for Collier County" (attached hereto as Exhibit A, and hereinafter referred to as the "Agreement "); and WHEREAS, Pace Analytical Services, Inc. hereby represents to Collier County that by virtue of an asset purchase agreement, Pace Analytical Services, Inc. is the successor in interest to ELAB, Inc., in relation to the Agreement; and WHEREAS, the parties wish to formalize Pace Analytical Service Inc., assumption of rights and obligations under the Agreement, effective as of the date first above written NOW THEREFORE, IN CONSIDERATION of the mutual promises in this Assumption Agreement, and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged by the parties, it is agreed as follows: 1. Pace Analytical Services, Inc. accepts and assumes all rights, duties, benefits, and obligations of the Contractor under the Agreement, including all existing and future obligations to pay and perform under the Agreement. 2 Pace Analytical Services, Inc. will promptly deliver to County evidence of insurance consistent with insurance requirements for this Agreement. 3. Except as expressly stated, no further supplements to, or modifications of, the Agreement are contemplated by the parties. 4. Representative lists of the services to be provided are included (see tables). The services required by this contract shall include but not be limited to the items on these exhibits. The County shall order analytical services as required but makes no guarantee as to the quantity, number, type or distribution of tests that will be ordered. Laboratory Services shall be requested as needed throughout the year. A representative calendar of such services is attached as per Exhibit "A" but should be used only as general information since the actual distribution may vary. It is anticipated that approximately Fifty thousand dollars ($50,000) will be spent by Collier County in a one (1) year period for Analytical Laboratory services. This contract shall be available for use by all County departments. SCOPE OF WORK Laboratory Requirements Laboratories should prepare unit costs for specified parameters for the life of the Contract. The actual numbers of samples to be analyzed for any given parameter may vary from the estimated number. 1. Laboratories must be certified by DOH and NELAC, and demonstrate participation in the NELAC Quality Assurance and Quality Control Program for all parameters for which there is DOH and NELAC certification. These certifications must be maintained for the life of the contract. 2. Results sent to the appropriate Collier County Department must be signed by the QA /QC officer or designee of the company verifying the authenticity of the analyses. 3. For all parameters, the analytical method used (including quality controls) must provide for minimum detection limits, be specified and approved by the Department of Environmental Protection (FDEP). All Drinking Water analysis must be per F.A.0 62 -550. 4. The laboratory must complete all Chain of Custody forms as appropriate and return the original completed forms to appropriate Collier County Department. 5. Properly pre - cleaned sample containers and preservatives for samples that require them will be provided by contracted lab. 6. Laboratories may subcontract a portion of the analysis to "other facilities ". The 'other facilities" are subject to the same requirements listed herein. 7. The contracted lab must be responsible for the cost of all packing and shipping of samples and containers that will be sent to other laboratories for subsequent analysis. All results must include the contract laboratories name, address and state certification. 3. The contracted lab must supply, in good condition, the properly pre - cleaned sample containers (tightly sealed), and coolers, for the samples to be shipped back to the contracted laboratory. The contracted lab will be responsible for all -� shipping /handling charges for this only. 9. All results reported to the appropriate Collier County Department must include the program /project name, the County's ID number, Station, Name of the Parameter, the EPA Storet #, Detection Limits, Preservative(s) used, the date collected /received, date analysis performed and analyst performing analyses and method used. 10. Laboratory must notify appropriate Collier County Department immediately if analysis cannot be performed, i.e., loss of certification, broken bottles, samples received beyond acceptable holding times, malfunctioning instrumentation /equipment, etc. 11. For chemical analysis, "Greater Thans ", will not be accepted. 12. Results of the laboratory analyses must be available within ten (10) working days after receipt of the samples by the lab and the written report must be postmarked within fifteen (15) days. A mechanism must also be available for electronic transmission of data via a modem using a database or spreadsheet program compatible with Collier County's system (e.g., electronic mail or fax machine). 13. A telephone number of the lab director or responsible person will be provided so that the County can make arrangements for special circumstances (i.e. after normal working hours, weekends, etc). 14.The contracted laboratory will submit invoices which provide a summary of the number of specific parameters analyzed by name of Program /Projects, by the County's sample ID number, the assigned Purchase Order number and date collected for each billing period. Important: Since this contract will be utilized by multiple County departments, samples from different sites must be invoiced separately. 15. In the event samples are lost by the Contractor or not properly analyzed (e.g. incorrect parameters analyzed, samples analyzed beyond approved holding times without County lab authorization, etc.), the Contractor will be liable for costs incurred by the County in collecting additional samples. These costs will include human resources, transportation and any supplies associated with sampling the parameter(s) in question. Any other associated cost incurred by Collier County as a consequence of improper /incorrect analysis of samples shall be Contractor's responsibility and liability. 16. All Drinking Water Analytical results must be on, or accompanied by, signed "Public Drinking Water Analysis Reporting Forms ". All reporting forms shall be current. 17. An DOH analyte sheet for all certified parameters must accompany each proposal submitted. 18. Results for samples that have multiple parameters shall be listed on one report sheet. Results for samples with a single parameter can be combined in table form. Samples will be identified by the Departmental I.D. Number, Program /Project Name, Station, Name of the Parameter, and the date collected and analyzed. 19. Contractor(s) shall be responsible for providing appropriate shipping and sampling containers at no charge to the County. Contractors shall also be responsible for the expense of shipping said containers as well as samples, to and from County locations at no charge, as well as arranging the appropriate shipping method. r 14 RFP No. 06 -3959 -- Annual Contract for Analvtical Laboratory Services for Collier County Page 6 e 1 -,f -': 9 20. Data for projects (CCWQ, IMKS, and SGGE) will be submitted to the Pollution Control and Prevention Laboratory in the Automated Data Processing Tool (ADaPT) electronic format (both EDD and LRD) as specified in Appendix A. 21. All metals data submitted to the Pollution Control and Prevention Laboratory shall be in ug /L. 22. All laboratory analytical reports prepared for an industrial user or a control authority must comply with Rule 62- 160.670, F.A.C. Wastewater samples should be analyzed using the approved methods listed in 40 CFR 136. Also, in accordance with Rule 62- 4.246, F.A.C., the control authority must ensure approved analytical methods that are used to achieve an appropriate method detection limit (MDL) and practical quantization limit (PQL) for determining compliance with parameter limits. Accordingly, industrial users and control authorities should refer to the table located at ftp: / /ftp.dep.state.fl.us/ pub / labs /assessment /guidance /mdlpgl.pdf to determine the correct analytical method, and appropriate MDL and PQL, for each pollutant. To ensure that the contracted laboratory can meet the necessary MDLs and PQLs, the control authority should consider requesting the documentation to support their claims for MDLs and PQLs. There will be no cost to the County for re- works. Licenses The Proposer, at time of proposal submittal, shall possess the correct occupational licenses, all professional licenses or other authorizations necessary to carry out and perform the work required by the project pursuant to all applicable Federal, State and Local Laws, Statute, Ordinances, and rules and regulations of any kind. Copies of the licenses should be submitted with the proposal indicating that the entity proposing is properly licensed to perform the activities or work included in the contract documents. The vendor shall be licensed to operate within Collier County. Special Note: All laboratories which propose to perform work under this contract must be Florida Department of Health (DOH) certified and must provide a certificate and analyte sheet. All laboratories must additionally provide proof of NELAC certification. In addition, laboratories must provide a current Laboratory Quality Manual. Proposers must currently possess and continue to maintain the State of Florida's Water Certification Program in Drinking Water and Basic Environmental. If additional parameters are required at any time during the period of the contract, the proposal prices will remain constant. Late Results Penalty It is critical that the contractor meet the schedule for delivery of Results and Reports. Consequently, the County reserves the right to assess and charge late fees in the amount of five dollars ($5.00) or five percent (5 %) of cost of report (whichever is greater) per working day for each Report postmarked after the deadline specified above. Further, continual or protracted late submission may be grounds for termination of the agreement by the County. Subcontractors If subcontracted laboratories are to be used for any portion of this work, a list of these subcontractors, along with the type of analyses to be performed and a copy of the approved DOH /NELAC Quality Manual shall be included in submittal. Plan and copies of the appropriate licenses for all subcontracted laboratories shall be submitted to the Purchasing Department for review and approval by the County departments using this contract. All subcontracted laboratories shall be required to meet the conditions and requirements of the original RFP. The County reserves the right to refuse any subcontracted lab before or after contract inception. Contract Renewal The County retains the right to renew this contract, with the consent of the vendor, under the same terms and conditions for three (3) additional years in one (1) year increments. Subsequent to the closing of proposals, the Purchasing Agent and Project Manager shall review the proposals received and verify whether each proposal appears to be minimally responsive to the requirements of the published RFP. Should both the Purchasing Agent and Project Manager be appointed to the committee as voting members, such meetings shall be open to the public and the Purchasing Agent shall publicly post prior notice of such meeting in the lobby of the Purchasing Building at least one (1) day in advance of all such meetings. 4. Z01D3 RFP No. 06 -3959 -- Annual Contract for Analytical Laboratory Services for Collier County Paae 42 Pa^e -7 of 4.9 Attachment A Special Notice from the FDEP Sediment Research Group The metal to aluminum tool, as outlined in the 1988 FDEP publication, requires use of a "total" digestion technique of the sediment, which employs hydrofluoric (HF), nitric (HNO3), and perchloric (HCLO4 acids. Total digestion of the sample is necessary in order to effectively use the metal to aluminum normalization method. Proper use of HF acid insures dissolution of the silicate minerals in the sediment. To liberate trace metals bound to organic molecules requires a strong oxidizing dissolution stage, which can be accomplished through the use of either perchloric acid, or aqua regia, which is a mixture of HNO3 and HCL acid. Organic molecules on sedimentary particle surfaces enhance adsorption of toxic organic compounds, therefore sediments with high total organic carbon (TOC) concentrations have greater capacity to bond with organic contaminants. Given variation in other acid digestion techniques, such as different dissolution times, different normality and type of acid used to dissolve the sediment, or variable temperatures at which dissolution occurs, the FDEP strongly discourages the use of other sample digestion techniques, commonly referred to as "weak," "partial," or "preferential" digestion. These techniques may not produce comparable sediment chemistry data. It has come to our attention that commercial labs do not always conduct total digestion procedures unless required by contract. We suggest review of the laboratory procedures section in QA plans to insure the plan contains a requirement of total digestion of sediment samples. Directly question the lab to make sure they are employing HF to digest mineral phases, and aqua regia or perchloric acid to digest organic matter. Perhaps most importantly, ask your laboratory to analyze standard reference materials (e.g. the NIST -SRM 1646 estuarine sediment standard or the NIST -SRM 2704 Buffalo River sediment standard) to insure the accuracy of data from your own samples. If you can send it in as a "blind" standard, that is even better. The use of reference materials provides the only adequate means of judging analytical accuracy because it allows assessment of digestion efficiency, as well as instrument calibration. The FDEP conducted an intercalibration laboratory exercise in 1990 -1991, which illustrated the variability of sediment data from different analytical laboratories. Four laboratories participated in the exercise, which assessed accuracy and precision of reported metals data from "real- world" samples, as well as sediment reference materials (standards). The laboratories selected for the study represent facilities that typically report environmental data to state, regional and local agencies. Results of the exercise indicate the sediment trace metal data from different labs are usually not comparable, due to different sample digestion techniques, and that laboratories must utilize standard reference materials as quality control check. Conclusions of the FDEP study are supported by results of an international intercalibration exercise for trace metals analysis in sediments.
