EXECUTIVE SUMMARY
Recommendation to approve an amendment of the Microsoft Enterprise
Agreement to add telephone integration licensing for $72,680.76.
OBJECTIVE: To obtain Board approval to procure additional Microsoft licenses for the
integration of computer and telephone features as part of the Telephone System
Upgrade / Modernization project and to execute an amendment to the agency's existing
Microsoft Enterprise license agreement.

CONSIDERATIONS: The Information Technology Department is engaged in an effort to
modernize the telecommunications system which serves all county agencies (except the
CCSO). As part of this project, the County is moving to Voice over IP technology which
provides a platform for the introduction of converged computer/telephone functionality.
These additional features will only be made available to computers that are part of the
BCC network. In order to activate these features, additional licensing from Microsoft is
required. Through a special promotion, Microsoft has waived the license fees and will
grant licenses to Collier County for $72,680.76 which is the cost of software assurance
(maintenance) for three years to be paid in three annual installments of $24,226. The
first installment is due upon signing the Amendment (effective date) and the second and
third installments will be paid on the next two anniversaries of the effective date. After
this three year agreement concludes, Collier County may, at its discretion continue to
pay annual maintenance fees of approximately $25,000 per year which will entitle the
County to product upgrades as they become available.
FISCAL IMPACT: Funds in the amount of $72,680.76 are available from the Telephone
System upgrade capital project (301-121153-500252). It is expected that the County will
choose to keep these licenses under maintenance. After this three year agreement
concludes, ongoing annual software assurance fees will be paid through an increase of
$16 per computer per year of the IT indirect allocation fees paid by agency computer
users' departments.
LEGAL CONSIDERATIONS: This item has been approved by the County Attorney's
Office and is legally sufficient for Board action. --SRT
GROWTH MANAGEMENT IMPACT: There is no growth impact associated with this
Executive Summary.

RECOMMENDATION: That the Board of County Commissioners: (1) Approves the
amendment to the Microsoft Enterprise Agreement, and (2) Authorizes the Chairman to
execute the amendment to the agreement.

This amendment is entered into between the customer and Microsoft affiliate signing, as of the effective
date identified below. All terms used but not defined will have the same meanings as in the Microsoft
Enterprise Enrollment identPfied above "the enrollment." The following terms and conditions amend the
terms and conditions of the enrollment identified above, but only with respect to the customer identified
below and only for purposes of this enrollment.
1. The list of additional products licensed pursuant to this enrollment Is hereby amended by the
addition of the follOWing additional product(s) ('the "Added Additional Products"):

The addition of the Added Additional Products shall be made retroactive to the effective date
of this enroltment, and the originally-chosen additional products shall remain licensed hereby.
2. The parties acknowledge that the quantity of 1,550 shown in the table above represents your
initial Quantity of qualified desktops as of the effective date of this enrollment. Because you
have placed true up orders for your other enterprise products for a total of 6 qualified
desktops between the effective date of the enrollment and the date you executed this
amendment, you agree that you will submit a true up order, concurrenl with your execution
of this amendment, to add the Added Additional Products to such 6 qualified desktops.
