referred to as "County"), and LEE COUNTY ELECTRIC COOPERATIVE, INC., a Florida;;; ~

33918 (hereinafter referred to as "LCEC"), approving the usc of County-owned property for the
purpose of constructing utility facilitics.
WHEREAS, LCEC requires the use of County-owned property for the purpose of
constructing, operating, and maintaining utilities, including but not limited to, distribution lines
and other related equipment for fiber optic telecommunications and television purposes, over and
through the property described as follows, to wit;
Tract "D" of MARCO BEACH UNIT SEVEN, according to the plat thereof
recorded in Plat Book 6, Pages 55 through 62, inclusive of the Public Records of
Collier County, Florida ("Property").
WHEREAS, the COUNTY is willing to approve the use of the Propcrty for such
purposes;
NOW THEREFORE, THE PARTIES AGREE AS FOLLOWS:
I. The COUNTY herein approvcs, for Ten Dollars ($10.00) and other valuable
considerations, the use of the Propcrty for the purpose of constructing, operating and maintaining
utilities, including but not limited to, distribution lines and other related equipment for fiber optic
telecommunications and television purposes, over and through the property as more particularly
described above, hereinafter referred to as "Property".
2. The approval of the use of the Property by LCEC shall expire upon grant of a permanent
Utility Easement.
3, Upon completion of the construction of the utility facilities on the property, a permanent
Utility Easement will be granted to LCEC for the 16 foot strip of land wherein the utility
facilities are located, The original, signcd and sealed sketch and description of the easement area
shall be prepared by a licensed Florida surveyor and will be provided to LCEC at no cost to
LCEC. Upon the completion of construction, LCEC shall restore the surface of the property to
its original location.
4. This Revocable Temporary License shall be administered on behalf of the COUNTY by
and through the Collier County Real Property Management Department.
5. LCEC, to the extent pemlitted by law, and as limited by Section 768.28, F,S" shall
indemnify, save, protect and hold harmless COUNTY against any damages and claims arising by
reason of LCEC's utility installations or the operation of same.
6. LCEC covenants and agrees not to assign this Revocable Temporary License or to permit
any other persons to occupy same without the written consent of COUNTY.
7. The COUNTY and LCEC specifically agree that this Agreement represents a license for
the COOP'S use of the property and does not convey any estate in the property or create any
interest whatsoever.

EASEMENT
KNOW ALL MEN BY THESE PRESENTS that Collier County, a political subdivision
of the State of Florida, as Grantor, whose post office address is 3301 East Tamiami Trail,
Naples, Florida 34112-4902, in consideration of the sum of ten dollars ($10.00) and other
valuable considerations, receipt of which is hereby acknowledged, does hereby grant to
Lee County Electric Cooperative, Inc., a Florida non-profit corporation, whose post office
address is Post Office Box 3455, North Fort Myers, Florida 33918-3455, and to its
successors and assigns (the term "assigns" meaning any person, firm, or corporation
owning by way of assignment all rights under this Agreement or a portion of such rights,
with the Grantee or its other assigns retaining and exercising the other rights), a perpetual
easement for a right-of-way to be used for the construction, operation, and maintenance of
one or more overhead and underground electric distribution lines, including, but not limited
to, wires, poles, cables, conduits, anchors, guys, and roads, trails, and equipment
associated therewith, attachments and appurtenant equipment for fiber optic
telecommunications and television purposes (all ofthe foregoing hereinafter referred to as
"facilities"), over, under, in, on, upon, and across the lands of the Grantor situated in the
County of Collier and State of Florida and being more particularly described as follows:

BY THIS REFERENCE MADE A PART HEREOF
together with the right and privilege from time to time to reconstruct, inspect, alter, improve,
enlarge, add to, change the voltage, as well as the nature or physical characteristics of,
replace, remove, or relocate such facilities or any part of them upon, across, over, or under
the right-of-way described above with all rights and privileges necessary or convenient for
the full enjoyment or the use thereof for the purposes described herein, including, but not
limited to, the right to trim, spray, cut, and keep clear all trees and undergrowth and other
obstructions within said right-of-way and on lands of Grantor adjoining said right-of-way
that may interfere with the proper construction, operation, and maintenance of such
facilities or any part of them, the right to mark the location of any underground facilities by
above-ground markers and other suitable markers, and the right of ingress and egress for
personnel and equipment of Grantee, its contractors, agents, successors or assigns, over
the adjoining lands of the Grantor, for the purpose of exercising and enjoying the rights
granted by this easement and any or all of the rights granted hereunder.
By the execution and delivery hereof, Grantor so expressly agrees that no portion of the
right-of-way shall be excavated, altered, obstructed, improved, surfaced, or paved without
the prior written permission of the Grantee, or its successors or assigns, and no building,
well, irrigation system, drainage system, structure, obstruction, or improvement (including
any improvements for recreational activities) shall be located, constructed, maintained, or
operated over, under, upon, or across said right-of-way by the Grantor, or the heirs,
personal representatives, successors or assigns of Grantor.
By the execution hereof, Grantor covenants that it has the right to convey this easement
and that the Grantee and its successors and assigns shall have quiet and peaceful
possession, use, and enjoyment of this easement and the rights granted hereby.
