RlGHTS GRANTED: The rights hereby granled shall be subject 10 any and all prior rights of the United States and any and all prior grants by the Grantor in and 10 the submerged lands situaled within the limits of this easement. 3. DAMAGE TO EASEMENT PROPERTY AND INTERFERENCE WITH PUBLIC AND PRlV ATE RlGHTS: Grantee shall not damage the easement lands or unduly interfere with public or private rights therein. 4. GRANTOR'S RlGHT TO GRANT COMPATIBLE USES OF THE EASEMENT PROPERTY: This easement is nonexclusive, and the Grantor, or ils duly authorized agent, shall retain the righllo enler the property or to engage in managemenl activities not inconsistent with the use herein provided for and shall retain the right 10 grant compalible uses of Ihe property to Ihird parties during the term oflhis easement. 5. Nothing herein shall be construed as an indemnity or a waiver of sovereign immunity enjoyed by any party herelo, as provided in Section 768.28, Florida Statules, as amended from time to time, or any other law providing limitations on claims. 7. VENUE: Grantee waives venue as to any liligalion arising from matters relating 10 this easement and any such litigation between Granlor and Grantee shall be initialed and mainlained only in Leon County, Florida. 8. ASSIGNMENT OF EASEMENT: This easement shall not be assigned or otherwise transferred withoul prior written consent of the Grantor or its duly authorized agent. Any assignment or other transfer without prior written consent of the Grantor shall be null and void and withoullegal effec!. [40] 16D3 9. TERMINATION: The Grantee, by acceptance of this easemenl, binds itself, its successors and assigns, to abide by the provisions and conditions herein set forth, and said provisions and conditions shall be deemed covenants of the Grantee, ils successors and assigns. In the event the Grantee fails or refuses to comply with the provisions and conditions herein sel forth or in Ihe evenl the Granlee violates any of !he provisions and conditions herein, this easement may be terminated by the Grantor upon 30 days wrillen notice to Granlee. If terminated, all of the above-described parcel of land shall revert to !he Grantor. TAXES AND ASSESSMENTS: The Grantee shall assume all responsibility for liabilities that accrue to !he subject property or to the improvements thereon, including any and all drainage or special assessments or taxes of every kind and descriplion which are now or may be hereafter lawfully assessed and levied against the subject property during the effective period of this easement which result from the grant of !his easemenl or !he activities of Grantee hereunder. II. RENEWAL PROVISIONS: Renewal oflhis easement is allhe sole oplion of the Granlor. Such renewal shall be subjecllo !he terms, conditions and provisions of this easement, current management standards, easemenl fees, and applicable laws, rules and regulations in effect at that time. In the event !hat Grantee is in full compliance wilh !he terms of!his easement, the Grantee may apply in writing for a renewal. Such application for renewal must be received by Grantor no later Ihan six months prior to the expiration date of !his easement. The term of any renewal granted by Ihe Grantor shall commence on !he last day oflhe previous easement term. If the Grantee fails 10 apply for a renewal, or in the event the Granlor does nol grant a renewal, the Granlee shall vacale the easement premises and remove all structures and equipmenl occupying and erected thereon at its expense. 12. REMOVAL OF STRUCTURES/ADMINISTRATIVE FINES: If the Granlee does nol remove said structures and equipment occupying and erected upon Ihe premises after expiration or cancellalion of this easement, such struclures and equipment will be deemed forfeited to !he Grantor, and !he Grantor may aulhorize removal and may sell such forfeited structures and equipment after ten (10) days written notice by certified mail addressed to the Grantee al the address specified in Item] 0 or al such address on record as provided 10 Ihe Grantor by !he Granlee. However, such remedy shall be in addition 10 all other remedies available to Grantor under applicable laws, rules and regulations including !he righl to compel removal ofall structures and the right to impose administrative fines. 13. ENFORCEMENT OF PROVIS]ONS: No failure, or successive failures, on Ihe part of the Grantor 10 enforce any provision, nor any waiver or successive waivers on its part of any provision herein, shall operate as a discharge thereof or render !he same inoperative or impair !he righl of !he Granlor to enforce the same upon any renewal !hereof or in the event of subsequenl breach or breaches. 14. RECORDATION OF EASEMENT: The Grantee, at its own expense, shall record !his fully executed easemenl in its entirety in the public records of !he county within which !he easemenl site is located within fourteen (14) days after receipl. and shall provide to the Grantor within ten (10) days following the recordation a copy of the recorded easement in its entirety which contains !he O.R. Book and pages at which Ihe easemenl is recorded. 15. AMENDMENTSIMODIFICA TlONS: This easement is the entire and only agreement between the parties. Its provisions are not severable. Any amendment or modificalion to !his easement must be in wriling and must be accepted, acknowledged and executed by the Grantee and Granlor. ]6. ACOE AUTHORIZATION: Prior to commencemenl of construction andlor activities authorized herein, the Grantee shall obtain the U.S. Army Corps of Engineers (COE) permil ifit is required by Ihe COE. Any modificalions to the construction andlor activilies au!horized herein !hal may be required by the COE shall require consideration by and the prior written approval of !he Grantor prior 10 the commencement of construction andlor any activities on sovereign, submerged lands. 17. ADDITIONAL STRUCTURES OR ACTlVlTIESIEMERGENCY STRUCTURAL REPAIRS: No additional structures shall be erected andlor activities undertaken, including bul nOllimited 10, dredging, relocalion/realignment or major repairs or renovations made to authorized structures, on, in or over sovereignly, submerged lands withoullhe prior written consent of the Granlor, with Ihe exception of emergency repairs. Unless specifically authorized in wriling by Ihe Grantor, such activities or structures shall be considered unau!horized and a violation ofChapler 253, Florida Slatules, and shall subjecl!he Grantee 10 administrative fines under Chapler 18-14, Florida Administralive Code. If emergency repairs are required to be undertaken in Ihe interests of public health, safety or welfare, Ihe Granlee shall notify the Granlor of such repairs as quickly as is practicable; provided, however, that such emergency activities shall nol exceed !he activities au!horized by !his easement.
