COMMERCIAL FACADE IMPROVEMENT PROGRAM RECIPIENT AGREEMENT

between the Collier County Community Redevelopment Agency (CRA) (Immokalee)
(hereinafter referred to as "CRA") and Triquest. Inc. (hereinafter referred to as "GRANTEE").
WIT N E SSE T H:
WHEREAS, in Collier County Ordinance No. 2002-38, as amended July 22, 2008, by
Ordinance 2008-40, the Board of County Commissioners delegated authority to the CRA to
award and administer CRA programs and awards including contracts with business GRANTEES
within the boundaries of the Immokalee CRA for CRA grants; and
WHEREAS, the CRA Commercial Facade Improvement Program (hereinafter referred to
as the Fa9ade Program) allows for the use of CRA funds, in conjunction with private
investments, for certain improvements to commercial structures located within the boundaries of
the Immokalee CRA; and
WHEREAS, the intent of the Facade Program is to increase commercial occupancy rates
and property values within the CRA while revitalizing the overall appearance of the Immokalee
Area; and
WHEREAS, GRANTEE has applied for a fa9ade grant in the amount of 12.866 dollars;
and
WHEREAS, the CRA has determined that GRANTEE meets the eligibility requirements
and was approved for a Fa9ade Program award in the amount of 12.866 dollars on May 26.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and
other valuable consideration, the parties agree as follows:
1. GRANTEE acknowledges to the CRA that GRANTEE has received a copy of the
Fa9ade Program, that GRANTEE has read the Fac;ade Program Policies and Procedures
document, and that GRANTEE has had ample opportunity to discuss the F~ade Program with
GRANTEE'S counselor advisor. GRANTEE further acknowledges to the CRA that GRANTEE
understands and agrees to abide by all of the terms and conditions of the Fa9ade Program.
GRANTEE agrees to the terms and conditions of the Fa9ade Program attached hereto as Exhibit
A and incorporated herein by reference.
2. GRANTEE is the record owner of property described as: 212 & 214 South First
Street. Immokalee. FL. Folio #00116800000. Legal Description: 3 47 29 S. 233.5 ft. of N.
399.65 ft. of the following: Comm. SW Comer of NW '14 of sec. 3. EL Y 40 ft. POB.

3. GRANTEE has agreed to make certain improvements to the property pursuant to
the Fa9ade Program application submitted to the CRA dated May 26. 2009 attached hereto as
Exhibit B and incorporated herein by reference.
4. CRA has approved an award to GRANTEE in the amount of $ 12866 to be
administered pursuant to the terms of this Agreement based on an estimated cost of $ 19299 .
5. Unless prior disclosure is included in the grant application, no GRANTEE, or any
immediate relative of GRANTEE, shall serve as a contractor or subcontractor for the
construction of the improvements and no GRANTEE or any immediate relative of GRANTEE,
shall receive compensation for labor for the construction of the improvements. An immediate
relative of GRANTEE shall include mother, father, brother, sister, aunt, uncle and cousin or
family member by marriage to include mother-in-law, father-in-law, brother-in-law and sister-in-
law. GRANTEE has verified that all contractors who have provided bids for the approved work
are actively licensed by Collier County and GRANTEE agrees that all labor will be performed
only by the lowest bidding contractor.
6. GRANTEE agrees to obtain all necessary permits and submit any required plans
to the Collier County Community Development and Environmental Services Division. Upon
completion of the work, GRANTEE shall submit a closeout package to the CRA which will
include all applicable (electrical, structural, fire, plumbing, etc.) final inspection verification
from Collier County Building Inspection Division. The CRA, through its staff, shall confirm that
the improvements were constructed pursuant to the terms of this agreement approved by the
CRA and shall create a final report to include digital color photographs of the project before and
after completion.
7. Within forty-five (45) days after confirmation that the improvements were
constructed pursuant to the terms of the approved application, GRANTEE shall be issued a
check in the amount of the award. However, if GRANTEE fails to make the improvements
pursuant to the terms of this agreement, including construction start within 90 days of execution
of the grant agreement and completion within 12 months of the execution of the grant agreement,
the award shall be deemed revoked and GRANTEE shall be entitled to no funding.

Good morning, everyone, on this nice, wonderful rainy day. So
glad you're here to join us today. This is June 9th, and Board of
County Commissioners' meeting begins.
Would you all please stand with me. We're going to have a
prayer, and then the Pledge of Allegiance. The prayer will be offered
by our County Manager, Jim Mudd.
MR. MUDD: Heavenly Father, we come to you today as a
community thanking you for the blessings that you have so generously
provided. Today we are especially thankful for the dedicated elected
officials, staff, and members of the public who are here to help lead
this county as it makes the important decisions that will shape our
community's future.

today so that your will for our county will always be done.

MR. MUDD: Yes, ma'am. Agenda changes, Board of County
Commissioners' Meeting, June 9, 2009.
Withdraw 5A. This item continued from the May 26,2009, BCC
Meeting. It was a presentation by Michael Sole, Secretary of the
Florida Department of Environmental Protection, regarding the
Comprehensive Everglades Restoration Plan, and that item is at staffs
request.
The next item, which really is related to that withdrawal of 5A, is
to add on Item 10F with a time certain of 11: 15 a.m. This is a
recommendation to approve a resolution of a dispute between the
Collier County Water/Sewer District and the South Florida Water
Management District concerning the Picayune Strand reservation rule
and the water use permit application 060908-9, where the Collier
County Board of County Commissioners, as ex-officio and governing
board of the Collier County Water/Sewer District, agrees to withdraw
its petition for administrative hearing challenging the Picayune Strand
water reservation rule contingent on approval by the South Florida
Water Management District governing board of the attached district
staff report authorizing an increase in the county's permitted allocation
under water use permit 11-00249- W from the lower Tamiami aquifer
from 686 -- no, excuse me -- 6,868 million gallons per year to 9,673
million gallons per year, and the attached letter confirming this
increased allocation shall be considered an existing legal use of water
as of June 11, 2009. This add-on item is at district -- at staffs request.
Commissioners, we've been working on this agreement with the
South Florida Water Management now for almost four weeks, and I'm
so glad it's over. I've talked to and seen Mr. Tom Olliff more in the
last four weeks than I did the entire time he was the County Manager.
And so that -- that relationship would be nice if we don't have it
anymore.
The really good news item is our 2006 water use permit that we
applied for, again, in 2006, they agreed to approve. The thing that

they told us -- the challenge that we had in administrative court that
they told us would not impact their Comprehensive Everglades
Restoration Plan backfired, and it basically did affect their
Comprehensive Everglades Restoration Program.
And that was all the way up till November when they said they
agreed for us to put in the particular administrative ruling claim and
said it would be fine with them. It turned out that that was bad advice
on their part and it would almost impact a hundred million dollars
worth of federal monies that would go into the restoration of the South
Golden Gate Estates, which is the first shovel-ready project that they
have for the Everglades Restoration Program, so it turned out to be a
win-win for both organizations. But it was -- it wasn't easy.
The next item is to move Item 16B2 to 10D with a time certain of
11 :30 a.m. It's a recommendation that the Board of County
Commissioners approves the transfer of administrative duties and
services for the Haldeman Creek maintenance dredging municipal
services taxing unit from the alternative transportation modes to the
Bay -- to Bayshore/Gateway Triangle Community Redevelopment
Agency, CRA staff; directs the budget office to discontinue the annual
transfer of funds from the road and bridge maintenance, Fund 101, to
the Bayshore beautification MSTU, Fund 1263, as ofFY10. The item
is being moved to the regular agenda at Commissioner Coyle's
req uest.
The next item is to move 16C 16 to 10C. That's easy for you to
say, Leo. Again, we'll move 16C 16 to 10C. It's a recommendation for
board approval for county staff to attend the June 19, 2009, Florida
Public Service Commission meeting to challenge the Florida Power
and Light Company, FPL, rate review and proposed rate of return on
investment, ROI, of 12.5 percent, and to support the proposed electric
services prepayment concept. This item is being moved from the
consent agenda to the regular agenda at Commissioner Henning's
request.

The next item is to move Item 16E6 to 10E. It's a
recommendation that the Board of County Commissioners approve the
submittal of United States Department of Energy, energy efficiency
and conservation block grant application for American Recovery and
Reinvestment Act of 2009, which is ARRA funding, in the amount of
$3,036,000. This item is being -- was requested to be moved from the
consent to the regular agenda at Commissioner Coyle's request.
The last on the change sheet is a note. Item 16F 1. The
explanation for budget amendment 09-306 in the resolution is
improperly worded. This is not a resurfacing project. It is an
intersection expansion project.
The, $3-million-budget amendment is to recognize revenue from
a developer-funded prepayment impact fees for expansion of the U.S.
41/State Road 951 intersection project. That clarification is at staffs
request and also is Commissioner Henning's request.
That's all I have, Madam Chair, Commissioners.

called and spoken -- gee, I wish I could remember who now -- to ask
that the FPL rate increase be put on the regular agenda and pulled off
the consent agenda. Did that happen?

EXECUTIVE SUMMARY
Request that the Collier County Redevelopment Agency approve the application and
recipient agreement for the Immokalee Community Redevelopment Agency (CRA)
Commercial Fac;;ade Improvement Grant Program for reimbursement of $12,866 for
TriQuest, Inc. for improvements to their commercial property located at 212 & 214 South
First Street in Immokalee, Florida.
OBJECTIVE: To approve the Commercial Fa9ade Grant Application and Agreement between
the Collier County CRA and TriQuest, Inc. in the amount of $12,866 for improvements to their
commercial property located at 212 & 214 South First Street in Immokalee, Florida.
CONSIDERATIONS: On July 22, 2008, Agenda Item 8G, at Public Hearing, the Board of
County Commissioners approved Ordinance No. 08-40 amending Ordinance No. 2002-38 in
order to create a Commercial Fa9ade Improvement Grant Program within the geographical
limits of the Immokalee Community Redevelopment Agency.
The purpose of the Fa9ade Improvement Grant Program is to increase commercial occupancy
rates and property values within the CRA while revitalizing the overall appearance of the
Immokalee Urban Designated Area.
Eligible applicants can receive grant funding up to $20,000 as reimbursement, using a one-half
(%)-to-1 match with equal applicant funding for fa9ade improvements to commercial structures.
TriQuest, Inc. has met all the criteria for reimbursement as required by the application process
approved by the CRA and the BCC for fa9ade improvements to their commercial property
located at 212 & 214 South First Street in Immokalee, Florida, Exhibit A represents the
Application submitted for approval and Exhibit B is the Recipient Agreement. Back up
documentation attached to this Executive Summary includes: Applicant Commitment of
Resources Form (Exhibit C), Proof of Ownership (Exhibit D), Property Tax Payment Verification
(Exhibit E), Proof of Property Insurance (Exhibit F), Contractor Bids (Exhibit G), Conceptual
Rendering (Exhibit H), and Existing Conditions Photos (Exhibit I).
FISCAL IMPACT: Sufficient budget exists within the FY09 Immokalee CRA Trust Fund (186) to
satisfy this new grant application. This fa9ade grant project total is $19,299 and the grant
request is $12,866.
CONSISTENCY WITH GROWTH MANAGEMENT PLAN: The Immokalee Commercial Fa9ade
Grant Program furthers the programs and projects within the budgetary and policy guidance and
directives of the Community Redevelopment Agency and the Board of County Commissioners in
furtherance of Policy 4.2 of the Future Land Use Element of the Growth Management Plan
which reads as follows:
"****The Immokalee Area Master Plan addresses conservation, future land use, population,
recreation, transportation, housing, and the local economy. Major purposes of the Master Plan
are coordination of land uses and transportation planning, redevelopment or renewal of blighted
areas, and the promotion of economic development."

LEGAL CONSIDERATIONS: This Executive Summary has been reviewed for legal sufficiency
and is legally sufficient for Board action. This item is not Quasi judicial, and as such, ex parte
disclosure is not required. This item requires a majority vote only. (STW)
ADVISORY BOARD RECOMMENDATION: During the regular January 26,2009 meeting, the
Immokalee Local Redevelopment Advisory Board approved a motion to allow the CRA
Executive Director to approve applications for the Commercial Fac;:ade Grant Program to be
submitted to the CRA Board for final approval, and that upon approval by CRA Executive
Director, the applications will be ratified by the CRA Advisory Board.
RECOMMENDATION: Recommend that the Collier County Redevelopment Agency approve
the application and recipient agreement for the Immokalee Community Redevelopment Agency
(CRA) Commercial Fac;:ade Improvement Grant Program for reimbursement of $12,866 for
TriQuest, Inc. for improvements to their commercial property located at 212 & 214 South First

5. Unless prior disclosure is included in the grant application, no GRANTEE, or any
immediate relative of GRANTEE, shall serve as a contractor or subcontractor for the
construction of the improvements and no GRANTEE or any immediate relative of GRANTEE,
shall receive compensation for labor for the construction of the improvements. An immediate
relative of GRANTEE shall include mother, father, brother, sister, aunt, uncle and cousin or
family member by marriage to include mother~in-Iaw, father-in-law, brother-in-law and sister-in-
law. GRANTEE has verified that all contractors who have provided bids for the approved work
are actively licensed by Collier County and GRANTEE agrees that all labor will be performed
only by the lowest bidding contractor,
6. GRANTEE agrees to obtain all necessary permits and submit any required plans
to the Collier County Community Development and Environmental Services Division. Upon
completion of the work, GRANTEE shall submit a closeout package to the CRA which will
include all applicable (electrical, structural, fire, plumbing, etc.) final inspection verification
from Collier County Building Inspection Division. The CRA, through its staff, shall confirm that
the improvements were constructed pursuant to the terms of tIus agreement approved by the
CRA and shall create a final report to include digital color photographs of the project before and
after completion.
7. Within forty-five (45) days after confirmation that the improvements were
constructed pursuant to the terms of the approved application, GRANTEE shall be issued a
check in the amount of the award. However, if GRANTEE fails to make the improvements
pursuant to the terms of this agreement, including construction start within 90 days of execution
of the grant agreement and completion within 12 months of the execution of the grant agreement,
the award shall be deemed revoked and GRANTEE shall be entitled to no funding.

Section 1 - Proe:ram Purpose and Benefits
The Inunokalee Community Redevelopment Agency's Commercial Facade Improvement
Program allows for the use of Conmmnity Redevelopment Agency (CRA) grant funds, in
conjunction with private investments, for general improvements to the exterior of conm1ercial
structures located within the boundaries of the Immokalee Urban Designated Area.
The intent of the Commercial Facade Improvement Program is to increase commercial
occupancy rates and property values within the CRA while revitalizing the overall appearance of
the Immokalee Urban Designated Area. To accomplish this objective, the Program assists
commercial property owners and tenants to restore or renovate the exteriors of their structures,
thereby improving the area's physical characteristics and enhancing the visual quality and
attractiveness of the environment, which will lead to increased investment, occupancy and
property values.
Eligible applicants can receive grant funding up to $20,000 using a one-half (Y2)-to-one match
with equal applicant funding for facade improvements to commercial structures. To illustrate, if
a grant amount of $20,000 is requested, the applicant must provide funding in an amount of at
least $10,000 toward redevelopment of the project as well.
All facade improvements must be consistent with the Immokalee Community Redevelopment
Plan, Immokalee Area Master Plan, and the Land Development Code.
CRA staff will review applications for completeness and determine if funding is to be
recommended, Grant funds will be distributed only upon completion of improvements and
submittal of all receipts, invoices and required documentation to eRA staff. Applicants must be
willing to maintain the renovations and improvements for at least five years. The Grantee shall
not be liable to the CRA for repayment of the grant funds provided the Grantee complies with all
conditions set forth in the Grant Agreement. Should the Grantee transfer, sell, divest itself of its
interest in the subject property, or f:1il to maintain the renovations and improvements during the
five-year period following receipt of the grant funds, the CRA shall be entitled to reimbursement
of the grant funds as follows:

I. The structure to be improved must be within the boundaries of the Immokalee Urban
Designated Area.
2. Applicants must demonstrate that all necessary financing required to complete the project
has been secured and that the applicant is providing matching funds that are at least one-
half (12) of the amount of the grant amount being requested.
3. Applicants must have received the requisite CRA, CRA Executive Director or designee
approval prior to commencement of improvements.
4. All necessary permits and approvals must be obtained from Collier County before work
is commenced. All work is to be perf0l111ed to the satisfaction of the Collier County
Building Department officials, and all site and landscaping work is to be perfomled in
compliance with the Land Development Code and all applicable County ordinances and
regulations,
S. A licensed contractor must perform the work; proof of licensure and insurance is
required,
6, Applicants must agree to maintain the improvements for at least tive years. The CRA,
CRA Executive Director or designee, as applicable, must approve any changes proposed
to the improvements.
7. The property must be free ti'om any judgment liens, and all mortgage and tax obligations
mllst be cunent.
8. There may be no more than one approval for project funding per tiscal year. A "project"
is defined as a single or set of enhancement/renovation activities for an eligible property.
9, The tOlal amount of grant funds available for anyone property under this Program is
$20,000. Any subsequent applications for the same property in future years will be
treated cumulatively tor purposes of determining funding eligibility.
Section 6 - Evalmltion Criteria
Grant funds are limited and will be awarded on a first-come, first-served basis. Because one of
the primary objectives of the COlmnercial Facade Improvement Program is to eliminate blighted
conditions and improve the visual impact of the redevelopment area, competed applications will
be evaluated using the following criteria:
1. Consistency with the goals, objectives, policies and principles of the lnunokalee
Conmllll1ity Redevelopment Plan and the lnmlokalee Area Master Plan,
2. Adjacency of the project to a recent or proposed redevelopment project.
3, Likelihood that the project will result in the occupancy of a presently vacant building.
4, The amount of flll1ds that the applicant pledged to match leveraged against eRA funds.
S. The extent to which the project encourages a secure and convenient environment for
patrons and employees.
6. Receipt of previolls facade improvement grant awards (first-time applicants will have
priority over repeat applicants).

Section 7 - Application Procedures
A property mvner or tenant that is interested in participating in the Commercial Facade
Improvement Program must submit a completed and signed application, along with supporting
documentation, to:

In addition to other supporting documents, applicants arc required to submit quotes from two
licensed contractors with the application.
CRA staff will review applications for completeness and for compliance with Program criteria.
Applications that are incomplete may be returned for additional information. Projects that do not
comply with Program criteria will not be considered for funding.
Awards of funding will bc based on the lowest qualified bid. The applicant may elect to choose a
contractor other than the one with lowest qualified bid but shall be responsible for all costs
exceeding the lowest qualified bid. Under all circumstances, the contractor perfOlming the work
must be licensed, insured and have worker's compensation insurance,
It is recommended that applicants retain the services of a registered architect, or similarly
qualified design professional to prepare plans, drawings, renderings and construction
specifications for their projects. Fees for services provided by a registered architect or similarly
qualified design professional may be counted towards the applicant's Program match.
The CRA will not be responsible in any manner for the selection of a contractor. An applicant
should pursue all activities necessary to determine contractor qualifications, quality of
workmanship, and reputation, The applicant will bear full responsibility for reviewing the
competence and abilities of prospective contractors and secure proof of licensing and insurance
coverage.

Pre-Application Meeting
If desired, CRA staff will review the applicant's conceptual plans in an informal setting,
including discussion of the eligibility criteria, Program requirements, proposed project
scheduling, and consistency of the proposal with the intent of the Program. At this stage, staff
can offer assistance with the completion of the application torm and provide limited technical
and architectural guidance on the project proposal. At the conclusion of the pre-application
meeting, staff will provide the applicant with a general determination as to whether the proposed
project is likely to qualify to receive Program funds and whether the applicant is sumciently
prepared to move on to the application stage.
Required Submissions
Items required for submission include:
I. A completed and signed application torm.
2. At least four 4" by 6" color photographs of the existing building exterior, showing all
sides of the building, \-vith emphasis on the area to be improved,
3, Renderings or conceptual drawings of the project when completed.
4, Two bids from licensed contractors detailing the following:
a. Description of the materials to be used and the construction procedure: and.
b. Itemized cost estimate of the project.
5. A legal description of the propelty.
6, Proof of property ownership and, if a tenant, a copy of the lease.
7. If the property is leased, the property owner must also be a party to the grant application
and grant agreement.
8. Documentation from all lending institutions verifying all mortgage payments on the
propeliy are current and that the lending institutions will provide updated information
upon request by the CRA, CRA Executive Director, or designee,
9. Documentation indicating that all property tax payments are cunent.
10, Proof of property insurance.
Application Approval
Projects will be torwarded to the CRA Advisory Board with a recommendation from eRA staiT
for flmding approval or denial. All applicants will receive written notitlcation regarding approval
or denial of their application. If an applicant's proposal is approved by the eRA the applicant
will receive written notification of the approval, which will include a funding agreement listing
the amount of matching funds that are approved.
Documentation of Applicant's Required Match
The applicant will be required to document the type and source of the matching flmds on the
application submitted to the CRA, Verilication of the funding sources will be required before
tinal approval of the grant application.
At the discretion of the CRA Executive Director or designee, or the CRA, structural repairs
directly related to the building's facade that were completed within six months prior to the date
of the grant application MAYbe used as part or all of the applicant's required match,

Construction Start
After the grant agreement has been executed, the applicant may award the construction contract
and secure all necessary construction permits. The owner/tenant must issue a "Notice to
Proceed" to the contractor and apply for a building permit within 60 days of executing the grant
agreement. Construction must begin within 90 days of execution of the grant agreement and be
completed within 12 months of the execution of the grant agreement. Extensions may be granted
at the discretion of the CRA Executive Director or designee, contingent upon the applicant's
demonstrating just cause for such an extension.
Modifications to the approved final plans or changes to the construction documents, which
produce visible differences in the approved fhcade design, will require review and approval by
the CRA and/or CRA staff. Failure to receive such approval shall invalidate the grant agreement,
and the agreement will be deemed tenninated, In the event the agreement is terminated, and if
any grant funds have been disbursed to the applicant by the CRA as provided below, the
disbursed funds shall become immediately due and payable to the CRA.
Disbursements
Generally, approved projects willl'eceive reimbursement funding upon completion of the project
and submission of aU required receipts, invoices and documentation. For projects in excess of
$10,000 (grant and applicant match combined), where the applicant cannot secure full funding
for the project, the Executive Director of the CRA may approve the patiial payment of grant
nl11ds once a project has reached agreed-upon milestones. In these cases, the applicant and the
CRA will reach an agreement before construction begins on the terms and conditions of such a
milestone and the amount of the partial payment. However, grant nmds cannot be used to
reimburse the applicant for any work done on the building prior to the date of a fully executed
Grant Agreement between the applicant and the CRA.
Funds will be disbursed by a check payable to the applicant (l) upon certif1cation of completion
by a County Building Official, or as agreed to with the CRA Executive Director; (2) CRA staff
verification that the work was completed as proposed in a satisfactory and professional manner;
and (3) submission of all receipts and required documentation, including contractor invoicing,
and evidence of payment of funds for reimbursement and match, to CRA stan: Funds will not be
disbursed on projects that are not in accordance with the approved plans.
The lmmokalee CRA. will make the final determination as to whether the project is complete.
Applicants must provide verif1cation, satist:1ctory to the CRA, of all project costs, including
contractor invoicing, and evidence of payment of funds for reimbursement and match, before
grant nmds can be disbursed.

The CRA expressly reserves the right to reject any or all applications or to request additional

guidelines and application procedures without notice, The eRA also retains the right to display
and advertise properties that receive grant funding.
