ASSIGNMENT AND ASSUMPTION AGREEMENT OF
COLLIER COUNTY AIRPORT AUTHORITY
STANDARD FORM LEASE
ThisAssignment and Assumption Agreement is made and entered into thish day of
, 2019 by and between Tellus Florida, LLC ("Assignor" or "Tellus"), Galexa,
Inc. ("A ignee"or"Galexa"), and the Collier County Board of County Commissioners in its capacity
as the Collier County Airport Authority("Landlord"or"Authority").
WHEREAS, on July 7, 2015,the Authority entered in to a Collier County Standard Form Lease
with Tellus Florida,LLC (Tellus)for construction,manufacturing, and storage of prefabricated concrete
residential and commercial building materials at the Immokalee Regional Airport, attached as Exhibit
A, and hereinafter referred to as the Lease Agreement; and
WHEREAS, on June 28, 2016, the Authority entered into the First Amendment to the Lease
Agreement to expand the use of the leased space to allow the placement of trailers to be used for office
space and containers for storage,attached as Exhibit B; and
WHEREAS, Paragraph 15 of Lease Agreement allows assignment only with express written
permission of the Authority; and
WHEREAS, on May 30, 2019, Galexa notified the Authority of its desire to transfer the Lease
Agreement, inclusive of all Amendments, from Tellus to Galexa, Inc.; and
WHEREAS,Tellus does not object to the transfer of this Lease to Galexa,
NOW, THEREFORE, in consideration of the mutual promises in this Assumption Agreement,
and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged,
the Parties agree as follows:
1. Tellus hereby assigns, conveys, transfers and sets over unto Galexa, all of Tellus' right, title and
interest, as Tenant, in, to and under the Lease, expressly subject to the rights and privileges of the
Landlord under the Lease. Tellus represents and warrants to Galexa that Tellus' right, title and interest
in and to the Lease is free of any and all liens,charges,or encumbrances of any kind or nature whatsoever
and that Tellus has not previously assigned, transferred or conveyed any part or all of its right, title or
interest under the Lease to any other person.
2. Galexa accepts and assumes all rights, duties,benefits, and obligations under the Lease, including
all existing and future obligations to pay and perform under the Agreement.
3. Galexa will promptly deliver to the Authority evidence of insurance consistent with Paragraph 16,
of the Lease.

4. Except as expressly state,no further supplements to,or modification of,the Lease are contemplated
by the parties.
5. Notice required under the Lease to be sent to Galexa shall be directed to:

6. The Authority hereby consents to Galexa's assumption of the Lease. assignment of the Lease by

7. No waivers of performance or extensions of time to perform are granted or authorized. The
Authority will treat Galexa as the Lessee for all purposes and the Agreement.
8. Excepting the aforementioned modifications set forth herein, all terms and conditions of the
Agreement remain in full force and effect.
IN WITNESS WHEREOF, the undersigned have executed this Assignment and Assumption

FIRST AMENDMENT TO COLLIER COUNTY AIRPORT AUTHORITY
STANDARD FORM LEASE
TELLUS FLORIDA, LLC
THIS FIRST AMENDMENT TO LEASE AGREEMENT entered into this day of
2016 by and between Tellus Florida, LLC, hereinafter referred to as the
"Le ee," and Collier County Airport Authority, hereinafter referred to as "Lessor,"
collectively stated as the "Parties.",
RECITALS
WHEREAS, on July 7, 2015, the Parties entered in to a Standard Form Lease for
construction, manufacturing, and storage of prefabricated concrete residential and commercial
building materials at the Immokalee Regional Airport (hereinafter referred to as the "Lease"),
incorporated herein as Exhibit "A";
WHERAS, the Parties desire to amend the Lease to expand the use of the Premises to
allow placement of trailers to be used as office space and containers for storage for its
prefabricated concrete residential and commercial building materials business.
NOW, THEREFORE, in consideration of the foregoing Recitals, and other good and
valuable consideration, the receipt and sufficiency of which is hereby mutually acknowledged,
the Parties agree as follows:
1. The foregoing Recitals are true and correct and are incorporated by reference herein.
2. Paragraph 4 is amended as follows:
4, Use of' Premises: Lessee shall utilize the Premises solely for construction,
manufacturing, and storage of prefabricated concrete residential and commercial building
materials. Lessee may place one "Office 'frailer", one "Office/Storage Combo" trailer, and up to
two 40' "Storage Containers" upon the property to be used as office space or for storage of tools,
supplies and equipment. Lessee must obtain atmlicablepennits and governmental authorizations
prior to placement. Diagrams of the approved aforementioned trailers and storage containers are
attached as Exhibit "B". Authority shall have the right to terminate this Lease should Lessee
utilize the Premises in any manner inconsistent with the approved use. In the event Lessee shall
cease to use the Premises for the purposes described herein, and such cessation of use shall
continue for a period of sixty (60) days, this Lease, at the option of the Authority, upon thirty
(30) clays written notice to the Lessee, shall he terminated and Lessee shall surrender and vacate
the Premises to the Authority within thirty (30) days after notice of such termination. Provided,
however, said sixty (60) day period shall be tolled if such cessation is caused by events beyond
the control of the Lessee such as acts of God or if such cessation is due to closing for
reconstruction or repair at the building constructed by Lessee and the Leased Premises. Lessee
shall not use or allow anyone to use the Premises for residential purposes or as a public meeting
place of facility of any kind.
3. Paragraph 14 is amended as follows:
14. 'termination and Surrender. Unless otherwise mutually agreed by the Parties, no
later than the final day of the lease term, Lessee shall redeliver possession of the premises to

Authority in good condition and repair. Lessee shall have the right at any time during Lessee's
occupancy of the Premises to remove its trailer, any of its personal property, equipment, and
signs provided however, at the termination of this Lease, Authority shall have the option of
either requiring Lessee to demolish and remove all improvements made by Lessee, to the
Premises, upon Lessee's vacation thereof, or to require Lessee to retain said improvements with
fixtures on the Premises which improvements, and fixtures will become the property of the
Authority upon Lessee's vacation of the Premises. Lessee must remove the trailer from the
Premises no later than the final day of the lease term.
4. Excepting the aforementioned modifications set forth herein, all terms and conditions of the
Agreement remain in full force and effect. This First Amendment merges any prior written and
oral understanding and agreements, if any, between the parties with respect to the matters set
forth herein.
IN WITNESS WHEREOF, the Parties have executed this First Amendment to Collier County
Airport Authority Standard Form Lease on the date and year first above written.
