EXECUTIVE SUMMARY
Recommendation to authorize the Chairman to execute an easement instrument and
related conveyance documents to convey a utility easement and related utility facilities to
the City of Naples at the Freedom Park (aka Gordon River Water Quality Park).
OBJECTIVE: Recommendation to authorize the Chairman to execute an easement instrument
and related conveyance documents to convey a utility easement and related utility facilities to the
City of Naples at the Freedom Park (aka Gordon River Water Quality Park), project number
51018.
CONSIDERATIONS: A new maintenance facility is being constructed at the Freedom Park. A
utility easement and bill of sale need to be granted to the City of Naples for access, operation and
maintenance of the utility facilities located in the easement area to provide water to the building
and park facilities.
LEGAL CONSIDERATIONS: This item has been reviewed for legal sufficiency and there are
no outstanding legal considerations. This item is not quasi-judicial (no ex parte disclosures are
required); requires a simple majority vote; and is legally sufficient for Board action. -JW
FISCAL IMPACT: Funding for recording the easement is available in Fund 325 Freedom Park
Project (Project No. 51018). The source of funding is ad valorem taxes.
GROWTH MANAGEMENT IMPACT: This easement complies with the requirements of the
Collier County Growth Management Plan.
RECOMMENDATION: That the Board of County Commissioners approves the attached utility
easement and bill of sale to the City of Naples, and authorizes the Chairman to execute the
easement and bill of sale, together with any related conveyance documents, on behalf of the
Board; directs the County Manager or his designee to proceed to follow all appropriate
procedures, and to record the easement instrument in the public records.

UTILITY EASEMENT
THIS UTILITY EASEMENT made and entered into this 28`h day of July, 2009, by and
between Collier County (the "Grantor "), whose mailing address is 3301 Tamiami Trail East,
Building F, Naples, Florida 34112, and the City of Naples, 735 8`h Street South, Naples, Florida
34102, a municipal corporation of the State of Florida, its successors and assigns (the
"Grantee ").
(Wherever used herein, the terms "Grantor" and "Grantee" include all the parties to this instrument and their
respective heirs, legal representatives, successors and assign and are used for singular or plural, as the context
requires.)
WITNESSETH
WHEREAS, the Grantor, for and in consideration of the sum of TEN AND NO /100THS
DOLLARS ($10.00) and other good and valuable considerations paid by the Grantee, receipt of
which is hereby acknowledged by Grantor, hereby conveys, grants, bargains and sells unto the
Grantee, its successors and assigns, a perpetual, non - exclusive easement, license, right and
privilege to enter upon and to install, operate, relocate, repair, replace and/or maintain utility
facilities and/or system(s) in, upon, over or under the following described lands being located in
Collier County, Florida, to wit:
See attached Exhibit "A" attached hereto and incorporated herein by reference.
TO HAVE AND TO HOLD the same unto the Grantee, together with the right to enter
upon said land to place, excavate, relocate and/or take materials for the purpose of constructing,
operating, relocating, repairing and/or otherwise maintaining utility facilities and/or system(s)
thereon. The easement granted herein shall constitute easements running with the land and shall
burden the lands described above.

BILL OF SALE
THIS BILL OF SALE, evidencing the sale and conveyance of the utility facilities
described herein is made this 28`h day of July, 2009, by COLLIER COUNTY, a political
subdivision of the State of Florida (hereinafter referred to as SELLER), and the CITY OF
NAPLES, its successors and assigns (hereinafter referred to as BUYER).
WITNESSETH:
That said Seller, for and in consideration of the sum of Ten Dollars (S 10.00) and
other good and valuable consideration to said Seller in hand paid by said Buyer, the
receipt of which is hereby acknowledged, has granted, bargained, sold, transferred, set
over, and delivered, and by these presents does grant, bargain, sell, transfer, set over, and
deliver unto Buyer, and Buyer's heirs, successors, and assigns forever, all those certain
utility facilities lying within the following described land, together with appurtenant
easement rights for the operation, installation, and maintenance of said facilities, situate,
Iying, and being in Collier County, to wit:
(See Exhibit "A" attached hereto and incorporated by reference herein)
Seller, for itself and its successors, hereby covenants to and with Buyer and its
successors and assigns that it is the lawful owner of said goods and chattels herein
referred to as utility facilities; that it has good right, title, and authority to sell same, and
that it will warrant and defend the same against the lawful claims and demands of all
persons whomsoever. Seller and Buyer are used for singular or plural, as the context
requires.
IN WITNESS WHEREOF, SELLER has caused these presents to be executed the
date and year above written.
