EXECUTIVE SUMMARY
Recommendation to approve acquisition of a Utility Easement and a Right of Entry
required for the replacement and rehabilitation of the water distribution system
serving the West Wind Estates Condominium at an estimated cost not to exceed
$37.00, Project Number 71010.
OBJECTIVE: To obtain approval from the Board of County Commissioners of Collier County,
Florida, as the Governing Body of Collier County, and as Ex-Officio the Governing Board of the
Collier County Water-Sewer District (District), to acquire the Utility Easement and the Right of
Entry required for the replacement and rehabilitation of the water distribution system serving the
West Wind Estates Condominium (West Wind). West Wind is located off the north side of
Tamiami Trail East (U.S. Route 41) in southeast Collier County; a location map is attached.
CONSIDERATIONS: The water distribution system serving West Wind was constructed privately
and established in late 1975, and now requires replacement and upgrading in order to meet
current District Utility Standards. The existing system will be replaced 'and rehabilitated, the
existing substandard piping will be replaced with a ten inch main and eight inch lateral mains,
new meters will be set, service lines will be replaced and rerouted, and fire hydrants will be
installed throughoul West Wind.
A permanent Utility Easement will be required over that portion of the West Wind condominium
common area constituting the West Wind road network to accommodate the installation,
operation and maintenance of the water mains and fire hydrants. A Right of Entry will be required
over all of the West Wind condominium common areas to permit the District to enter those areas
for the replacement and rerouting of individual water service lines.
The West Wind Estates Condominium Association, Inc. has agreed to convey the necessary
Utility Easement and grant the necessary Right of Entry over the condominium common areas at
no cost to the District. Copies of the Donation Agreement, Utility Easement and Right of Entry are
attached.
The Water Department, Public Utilities Planning and Project Management Department, and the
County Attorney's Office have reviewed and approved the Donation Agreement and executed
Utility Easement and Right of Entry.
FISCAL IMPACT: The costs of recording the Utility Easement and the Right of Entry will not
exceed $37.00. Funding is available in and consistent with the FY 09 budget in Project Number
71010, as stated in the 2008 Water Master Plan Update dated June 24, 2008, Table 8-2, page 3
of 5, lines 88 through 91. The Board of County Commissioners approved Ihe FY 09 budget on
September 18, 2008. The source of funds is Water User Fees (412).
GROWTH MANAGEMENT IMPACT: Projects funded with Water User Fees (412) have no
impact on the Growth Management Plan.
LEGAL CONSIDERATIONS: The Donation Agreement, Utility Easement, and Right of Entry
have been approved for form and legal sufficiency. This item is not quasi-judicial, and as such,
no ex-parte disclosure is required, This item requires majority vote only. STW

RECOMMENDATION: That the Board of County Commissioners of Collier County, Florida, as
the Governing Body of Collier County, and as Ex-Officio the Governing Board of the Collier
County Water-Sewer District:
1. Approve the attached Donation Agreement and authorize the Chairman to execute the
Agreement and any and all other County Attorney's Office approved documents related
to this transaction; and
2, Accept the attached Utility Easement and Right of Entry; and
3. Direct the County Manager or his designee to proceed to acquire the Utility Easement
and Right of Entry, to follow all appropriate closing procedures, and to record the Utility
Easement and Right of Entry in Ihe Public Records of Collier County, Florida.

OONA TION AGREEMENT
THIS DONATION AGREEMENT (hereinafter referred to as the "Agreement") is made
and entered into this day of , 2009 by and between WEST WIND
ESTATES CONDOMINIUM ASSOCIATION, INC., a Florida Non Profit Corporation
formerly known as West Wind Mobile Home Estates Condominium Association, Inc., a
Florida Non Profit Corporation, (hereinafter referred to as "The Association"), whose
mailing address is 301 Joseph Lane, Naples, Florida 34114 and the BOARD OF COUNTY
COMMISSIONERS OF COLLIER COUNTY, FLORIDA, AS THE GOVERNING BODY OF
COlliER COUNTY AND AS EX-OFFICIO THE GOVERNING BOARD OF THE COLLIER
COUNTY WATER-SEWER DISTRICT COUNTY, (hereinafter referred to as "County"),
whose mailing address is 3301 Tamiaml Trail East, Naples, Florida 34112.
WITNESSETH:
WHEREAS, County desires to rehabilitate the existing water distribution system within
the West Wind Estates Condominium area, including re-routing and replacement of the water
main and the installation of fire hydrants within the common elements of the condominium,
and the re-routing and replacement of service lines and water meters to serve the residents
of the West Wind Estates community, and;
WHEREAS, County has requested that The Association convey to the County a
perpetual, non-exclusive Utility Easement for all purposes of access, construction, operation,
and maintenance of County utility facilities including water mains and fire hydrants, over,
under, upon and across portions of the common elements of the condominium, as more
particularly described in Exhibit "A". Said Easement is hereinafter referred to as the
"Easement" and which is attached hereto and made a part of this Agreement;
WHEREAS, County has requested that the Association grant to the County a
Temporary Right of Entry on, over, under, upon and across all common elements and
contiguous unit limited common elements of the condominium for purposes of replacing and
re.routlng water service lines and meters, (hereinafter referred to as the "Right of Entry").
and;
WHEREAS, The Association recognizes the benefit to The Association and desires to
convey the Easement and grant the Right of Entry to the County for the stated purposes. on
the terms and conditions set forth herein, said terms including that no compensation shall be
due and payable for the Property requested by County;
NOW, THEREFORE, in consideration of these premises, the sum of Ten Dollars
($10,00), and other good and valuable consideration, the receipt and sufficiency of which is
hereby mutually acknowledged. It is agreed by and between the parties as follows:
1. The Association shall convey Ihe Easement and grant the Right of Entry to County
at no cost to the County, unless otherwise stated herein.
2. Prior to Closing, The Association shall obtain from the holders of any liens.
exceptions and/or qualifications encumbering the Easement, the execution of such
Instruments which will remove, release or subordinate such encumbrances from the Property
upon their recording in the public records of Collier County. Florida. The Association shall
provide such Instruments, properly executed, to County on or before the date of Closing.
3. Closing shall occur within sixty (60) days from the date County executes this
Agreement; provided; however. that County shall have the unilateral right to extend the tenm
of this Agreement pending receipt of such instruments, properiy executed, which either
remove, release or subordinate any and all such liens, encumbrances or qualifications
affecting County's enjoyment of the Property.

4. The Association is aware and understands that this Agreement is subject to the
acceptance and approval by the Board of County Commissioners of Collier County, Florida.
5, The Association represents that the property underlying the easement and all uses
of the property haye been and presently are in compliance with all Federal, State and Local
environmental laws; that no hazardous substances have been generated, stored, treated or
transferred on the property underlying the easement except as specifically disclosed to the
County; that The Association has no knowledge of any spill or environmeotallaw vioiation 00
any property contiguous to or in the vicinity of the Easement to be conveyed to the County,
that The Association has not received notice and otherwise has no knowledge of a) any spill
on the property underlying the Easement, b) any existing or threatened environmental lien
against the property underlying the Easement, or c) any lawsuit, proceeding or investigation
regarding the generation, storage. treatment, spill or transfer of hazardous substances on the
property underlying the Easement. This provision shall survive Closing and is not deemed
satisfied by conveyance of title,
6. The Association shall indemnify, defend, save and hold harmless the County
against and from, and to reimburse the County with respect to. any and all damages, claims,
liabilities, laws, costs and expenses (including without limitation reasonable paralegal and
attorney fees and expenses whether in court, out of court, in bankruptcy or administrative
proceedings or on appeal), penalties or fines incurred by or asserted againsl the County by
reason or arising out of the breach of The Association's representation under Section 5. This
provision shall survive Ciosing and is not deemed satisfied by conveyance of title.
7. The County shall pay for all costs of recording the conveyance and grant
instruments, and recording costs for any curative instruments, in the Public Records of Coliier
County, Fiorida. County shall be responsible for paying any costs andlor fees associated
with the securing and recording a Subordination, Consent & JOinder of Easement of the
mortgage(s) recorded against the Property from the mortgagee(s), if any. All other costs
associated with this transaction shall be borne and paid by Counly, The cost of a title
commitment shall be paid by County.
B. This Agreement and the terms and provisions hereof shall be effective as of the
date this Agreement is executed by both parties and shall inure to the benefit of and be
binding upon the parties hereto and their respective heirs, executors, personal
representatives, successors, successor trustees, and/or assignees, whenever the context so
requires or admits,
g. Conveyance of the Easement and the grant of the Right of Entry by The
Association is contingent upon no other provisions, conditions, or premises other than those
so slated above; and the written Agreement, including all exhibits attached hereto, shall
constitute the entire Agreement and understanding of the parties, and there are no other
prior or contemporaneous written or oral agreements, undertakings, promises, warranties, or
covenants not contained herein,
10, This Agreement is governed and construed in accordance with the laws of the
State of Florida

aforementioned lands, and agrees to provide Grantor with advance notice when exercising its rights
hereunder. At the conclusion of construction, replacement. rehabilitation, and testing activities, Grantee
