EXECUTIVE SUMMARY
Recommendation that the Board of County Commissioners approve the Landscape
Maintenance Agreement between Collier County, Florida and Pine Air Lakes Development
District for landscaping within the right-of-way on Naples Boulevard.
OBJECTIVE: To recommend that the Board approve a landscape maintenance agreement with
the Pine Air Lakes Development District for the installation and future maintenance of the
improvements within the right-of-way on Naples Boulevard.
CONSIDERATION: Collier County Transportation has reviewed and approved the landscape
and inigation plans for the improvements on Naples Boulcvard. The improvements are to be
funded and maintained by Pine Air Lakes Development District. The landscape maintenance
agreement permits the installation of enhanced landscaping, irrigation, and provides for ongoing
maintenance of all improvements within the County's rights-of-way. The long term maintenance
and its associated expense will be the responsibility ofthe Pine Air Lakes Development District
(CDD).
FISCAL IMPACT: There is a recording fee, which will be paid for by Pine Air Lakes
Community Development District. All expenses associated with the improvements and the
related ongoing maintenance shall be the responsibility of Pine Air Lakes Development District
(CDD).
LEGAL CONSIDERATIONS: This item has been revicwed and approved by the County
Attorney's Office, is not quasi-judicial and requires no ex parte disclosure, requires only a
majority vote for approval, and is otherwise legally sufficient for Board action.-SRT
GROWTH MANAGEMENT IMPACT: There is no Growth Management Impact associated
with this Executive Summary.
RECOMMENDA TION: That the Board of County Commissioners approve the Landscape
Maintenance Agreement betwcen Collier County, Florida and Pine Air Lakes Development
District for landscape and inigation improvements on Naples Boulevard.

LANDSCAPE MAINTENANCE AGREEMENT
This Landscape Maintenance Agreement is entered into this _ day of .
2009, by and between Collier County, Florida, a political subdivision of the State of Florida whose
mailing address is 3301 Tarniarni Trail East, Naples, FL 34112 (hereinafter referred to as the "County").
and the Pine Air Lakes Community Deve1otll1lent District. a local unit of special-purpose government
organized and existing under the laws of the State of Florida, whose mailing address is_5701 North Pine
Island Road, Suite 370, Fort Lauderdale. FL 33321 (hereinafter referred to as the "COD").
RECITALS:
WHEREAS. County is the owner of that certain right-of-way located in Collier County,
Florida and known as Nao1es Boulevard (hereinafter referred to as ''Road"); and
WHEREAS, Section IV,.-B-12 of the Construction Standards Handbook for Work Within The
Public Rights-Of-Way, Collier County, Florida (2003) provides as follows:
Permitting
The responsible property owner or his authorized agent must apply for a "Permit to
Perform Work and/or Maintenance in Public Rights-of-way ".
Landscaping Permit Within the public rights-of-way: A privale owner, Developer or
civic or homeowners' association desiring to landscape within a public right-of-way
shall submit a landscape and irrigation construction documents prepared by a
licensed landscape architect for County review. The Permit application shall include
three (3) sets of detailed plaT1.Y indicating the existing right-of-way facilities and the
type and location of the proposed plantings, location of electrical and irrigation
systems(s). Ajler acceptance of the landscape and irrigation plaT1.Y, a landscape
agreement shall be prepared by the contracting parties and approved by the COlOIIy
attorney's office. (See Appendix for example) The purpose of the landscape
agreement is to ensure that the Permittee, or his successors or assign, shall be
responsible to maintain such material and irrigation system until removed or unless
otherwise specified; and
WHEREAS, in keeping with the above, the CDD has applied for a Landscaping Permit
Within the Public Rights-of-Way, and has submitted landscape and irrigation construction
documents prepared by a licensed landscape architect for County review. A copy of this Permit and
the plans are attached hereto as Schedule "A", The CDD shall follow the Collier County
Maintenance specifications attached as Schedule "B".
NOW, THEREFORE. in consideration of the covenants contained herein, the parties agree as

1. Subject to the issuance of all necessary Permits, CoWlty hereby grants to the COO the
right to use those portions of the Road depicted in Schedule "A", for the sole purpose set forth in
Schedule "A". The Pcnnits address, among other things, the timing of the work, maintenance of
traffic flow during construction, and the permissible lane closures during the time that work is to be
performed.
2. The CDD agrees to construct and maintain the improvements set forth in Schedule "A"
(hereinafter referred to as "Improvements") at its sole cost and expense, Wltil such time as the
County executes a release from indemnification as discussed below.
3. Should the CDD fail to construct or maintain the Improvements in accordance with
Schedule "A" or law, the COWlty may provide notice to the CDD in writing, specifying the nature of
the deficiency. Within five working days following receipt of such notice, the CDO at its sole cost
shall cause the appropriate repairs or cure to be effected. In the event damage to, or failure to
maintain the Improvements results in a situation where public safety is at risk, (I) the COO shall
effect repairs within twenty-four hours of receipt of the COWlty'S written notice, or (2) the County
may, at its option, effect repairs to the Improvements, without the need for prior notice to the COO,
and will promptly bill the COO for all actual costs incurred in effecting the repairs. The COD shall
reimburse the County for such costs within thirty days of receipt of the COWlty'S bill.
4. The COD, as lndemnitor hereunder, shall indemnify and save harmless the County, lIS
Indemnitee hereunder, including all employees of the County, from any loss or damages lndemnitee
may suffer as a result of claims, suits, demands, damages, losses, fines, penalties, interest, expenses,
costs, or judgments, including attorneys' fees and costs oflitigation, against the County arising out
of the CDD's use of the Road for the purposes set forth in this Agreement, including the construction
and removal of the Improvements. The Indemnitee shall not wtdertake to settle any lawsuit or
threatened lawsuit that could give rise to Indemnitor's obligation hereunder without the prior consent
of Indemnitor, such consent to not be WlI"easonably withheld. It is acknowledged that the COD's
liability wtder the foregoing indemnity shall only be to the extent the County would be liable under
statutory limited waiver of immunity or limits ofliability in Section 768.28, Florida Statulcs, or
other applicable statute. Nothing herein shall constitute or be construed as a waiver of the COD's or
the County's limitations of liability contained in Section 768.28, Florida Statute or other statute or
law.
5. The indemnity provided for by this Agreement will extend from the date of this
Agreement until such time as the parties hereto acknowledge in writing that the COD has ceased to
use the Road for the purposes stated within this Agreement and the Road has been restored as set
forth below, at which time, following receipt of the COD's written request, the County will execute a
release fium indemnification in favor of the COD.

6. Indemnitee agrees to give Indemnitor written notice of any claims filed against the
COlUlty in connection with this Agreement, within thirty days of the date that ColUlty is aware of
such claim.
7. Unless terminated as set forth below, this Agreement shall remain in full force and effect
in perpetuity from the date first set forth above, and shall be binding upon the parties and all their
successors in interest. The Agreement may be freely terminated as of right by eithec party, with or
without cause, upon written notice to the other. If the COO exercises this right, or if the County
exercises this right based upon the COD's substantial breach of this Agreement, then upon written
demand by County, the COD, at its sole cost and expense, shall remove the hnprovements and will
restore the Road to the condition that existed immediately prior to the effective date of this
Agreement. If the County exercises this right, or if the COD exercises this right based upon the
CoIUlty'S substantial breach of this Agreement, then the County will be responsible for any removal
of the Improvements or restoration of the Road. Except for the above, neithec party will be liable to
the other for any damages or claims resulting from the termination of this Agreement.
8. In the event eithec party hereto shall institute legal proceedings in connection with, or
for the enforcement of, this Agreement, the prevailing party shall be entitled to recovec its costs of
suit, including reasonable attorney's fees, at both trial and appellate levels.
9. This Agreement may be recorded by the County in the Official Records of Collier
County, Florida. The COD shall pay all costs of recording this Agreement prior to the execution of
this Agreement. A copy ofth,e Recorded Agreement will be provided to the COD.
I O. This Agreement is the entire agreement between the parties, and supercedes all
previous oral and written representations, agreements and understandings between the parties. This
Agreement shall be governed by the laws of the State of Florida., and may not be altered or amended
in any way, save by written agreement signed by both parties.
11. The rights and obligations of this Agreement shall bind and benefit any successors or
assigns of the parties.

RlGHT OF W A V LANDSCAPE MAINTENANCE SPECIFICA nONS
These specifications arc: intended to provide the information by which private entities may understand the minimum
requirements of Collier c"unty relative to maintaining c"unty rights of ways. Records of all specification requirements sbaIl
be kept and made available to the c"unty's representative upon request.
A. MOWING AND EDGING: Mowing and edgin& sbaII include medians.. weD as those areas, if existing, alOng the
outside edge ofthe sidewalks of a4jaCCllt )>I"<lpelties. All turf sball be mowed with mulching type mower equipment
to eliminate the need to bag and transport grass clippings. Should bagging be necessary, lhe baged clippings sbaU
be coliected and removed at no additional cost. Grass sbaIl be cut at a beight of three and one half inches (3 \0\").
The frequency of cutting will be weekly during the rainy season and no 1... frequently !ban every other week during

performed "prior" to mowing in all turf areas. The disposal of all trash and debris must be at a proper landfill or

E. STREET CLEANINGISWEEPING: Street Cleaning: A four foot (4') wide area measured ftom tile face of the
curb and guners including turn lanes shall be cleaned with each site service to remove any accumulation of debris or
objectionable growth so to maintain a neat and safe coodition.

F. TRAFFIC CONTROL: The CDD shail comply with the requir=ents of Collier CoUllly Maintenance of Traffic
(MOT) Policy. copies of which llte aV1lilable through Risk Management or the Purchasing Department. The CDD
shall obtain and review the County MOT policy requirements prior to submitting a hid.
The CDD will be responsible for obtaining copies of aJl required ll1lllluals, MlITCD, FOOT Roadway & Traffic
Design Standard Indexes, or other related documents, so to become familiar with the requirements. Strict adherence
to the requiIemems oflhe MOT policy will be eofon:e<! under this Contract.

Palms shall be pruned annually during June of eacb year. The palms sball be pruned to a "Tropical Cut" or to a nine
(9) o'clock- three (3) o'c1ock angle from the borizontal at the base of the palm's bud or lowest fronds.
Approximately seven (7) to (10) ten green fronds sban be left at the hoarl after pruning. The pruning shall include
removal of all nuts, see<! stalks. brown or dead and lowor fronds.

Should yellowing occur on the top of the fronds, manganese sulfa!e will be required and if on the lower fronds, SuI-
Po-Mag or equivalent will be required to be applied with the palm fertilizer at the rates specified.

K. IRRIGATION SYSTEMS: The irrigation systems shall be checked and repaired as necessary. Each zone shall be
manually turned on at the valve once a week and a thorough inspection conducted to ascc:rtain proper operations of
the sylllem. Quick coupling valves, if existing shall be reviewed weekly and operated quarterly to insure proper
oper1lIion. Maintenance responsibilities win include cleaning and adjustment of h...... nozzles, installation or
replacement of risers, repair of minor PVC piping breaks or subsurface piping or restricted sprinkler lines,
replacement of damaged valve boxesllids and adjustment of controller and rain shut ofT switches for selIings and
operations. Where required, the COD shall maintain on site reclaimed water irrigation signage.
SUBSURFACE IRRIGATION SYSTEMS:
No excavation or mechanical metal edging around plant beds sball be done within the Right-of-way. Mechanical
metal blade edging is permitted along the back of curbing.
Weeldy Service Requirements:
I. A visual inspection of the subsurface irrigation SYSlems shall be performed weeldy 10 d..-termine if the
systems arc: functioning normally and if cuts, leaks, piping damage, flooded ....... exist, and repair as
necessary. This sball also include review and re-setting ofthe controller and in-ground moisture sensor
adJustments or other rain sensing devices as needed.
2. System Compuler/Controller
a. Operate. adjust. and set conlroller to provide proper operation of the systems.
b. Diagnose and repair electrical and mechanical malfunclious.

b. Open zone control valve assemblies and quick coupling valve boxes 10 review valves for leaks;
pressure gauge operation; proper settings and arc clean of debris or mulch.
4. Pump Sites
a. Inspect for proper opemtions.
b. The CDD shal1 record and provide to the County's representative the well water flow meter readings
for any well locations on the Ckneral Maintenance Report Sheets.

7. Notification to the County's representative is required when a..'i8 of vandalism or accid..-nts have occurred
to the imgation system. Photos shall be taken and provideclto the County's representative at no addecl

Miscellaneous Irrigalion Maintenance Responsibilities:
1. Should the temp....lUre be forecast to be below thirty-four (34) degrees, the CDD shall be responsible for
turning the irrigation system off in order to protect plants from possible freeze damage.
2. It shall be the COD's responsibility to notify the County', ~tative of any imgJllion problems or
additional irrigation maintenance Deeds.
3. The irrigation serviceperscnnel must trouble shoot time clocks, i.e. power-in 110 voll and 24-voltfuses, 24
volts output when necessary.
4. The imgation services personnel must trouble shoot any pump Slarl n:lay,lllIIin fuses and capacitors when
necessary.
L. BRICK P AVERS: All median brick paving shall be pn:ssure cleaned twice p"" year, in April and November, to
n:move marks, gum and other dirt that may be deposited on the surface areas. Upon finding damll/led areas, the
COD shall clean-up debris ifpresent, and or !lag off the areas with protec:tive bani..,. and/or high visibility hazard
tape. Damaged areas must be repaired as quickly as possible.
