BE IT RESOLVED, that the Board of County Commissioners •
of. Collier County, Florida hereby accepts all those canals •
in the Golden Gate Estates canal systc•n: not previously
accepted with the exception of the canals which are both
South of Stewart Boulevard and North of Tnn{:ami. TraiZ said
acceptance to become operable upon (a) .-. ? *ender to the
County of the $300, 000 fund referred to in Paragraph Three
of the attached Agreement by the Trustees of GAC Properties ,
Inc. to the County and (b) approval by the Bankruptcy Court
of the attached Agreement.
This Resolution passed after motion, second and roll
call vote as follows :

The Trustees of GAC Corporation and its subsidiaries
'
� ' '• ' ("the Company") have rec,uented the Board of County Coremisstoners
of Collier County , Florida ("the County") to accept: , in
principal , a program for the completion of the roads and
canals in Golden Cate Estates and the eventual acceptance of
such roads and canals by the County. This Agreement: is
. subject to approval of the El;.tnlcruptc} Court .
The Company estimates t:he total dollar value of its;
planned expenditures to be $3, 100, 000. Thin total i.t, broken
down into four categories as per the attached lchedulc A.
The Company would propose to fund $300, 000 to the

County to be utilized for capital improvements , ;maintenance
and restoration work in the Gol den Gate Er;tat en canal system.
Tho Company proposes to upend approximately !',300, 000 or
such sum as is necessary to accomplish ! he clearing and
restoration of those canals lying South of Stewart tlnulevard

and North of Tamiami Trail (which canals are cross-hatched

on Exhibit l attached hereto) .
The Company estimates that road restoration aril rrri,e• ,
dial efforts on unacc^pted completed roads including; the
raising of road elevations on certain roads; predominantly •
South of Stewart Poulevurrl and forth of Tntrttnn,l Trni l (art
identified by broken Line's on Exhibit 2 at tached) would cost:
approximately $1 , 200, 000.
The Company propoacs to spend the sum of $500 , 000
or such sum as is necessary to accomplish the raising of

Lion and remedial efforts for unaccepted completed roads , �`'+

• (which work could he deferred until the County determined to
have it accomplished) is approximately ;700 , 000. The
Company proposes to fund this $700, 00U t:o the County for
use for capital improvements , restoration and maintenance

as required by the Golden Gate road system.

This $700, 000 figure is subject to verification as to
adequacy by the County staff or to rodification by mutual
agreement .
The Company would be agreeable to the $300, 000 canal
fund referred to above and the $700, 000 road fund referred
to above comprising f1 ;tingle $1 , 000, 000 fund for use by ( ha
County for capital improvements and maintenance of roads
` $ and/or canals in the Golden Gate Estates area .
The Company proposes to upend approximately $1 , 200 , 000
for water. management (r.t;terhti.on) and related structures to
enhance the overall water management of the Golden Gate
Estates Area. The details of the proposal which at present
contemplaten a 500 acre plus or minus retention pond with
controlled discharge will be refined and worked out with the
County Engineer and independent hydrological engineers
engaged by the Company end the Company staff prior to corn-
mcncement: of construction thereof.
The Company proposes to spend approximately $100, 000 on
drainage and dike work in addition to that: set forth above,
including the repair of certain duce breaches on the pert-
.
meters of the Golden Gate Estates area .
As stated previously, the Company Is requecti.ng initial
approval of the above concept, which concept includes the
acceptance by resolution of the entire Golden Gate Estates
canal system (with the exception of the canal:; South of
Stewart Boulevard and North of Tamiami ''t'rail) upon the
tender of the sum of $300, 000 by the Trustees of GAC to the
County . Implicit in the request is the understanding that
an application for, acceptance of those canals South of
Stewart Boulevard and North of Tamiami Trail will be
accepted by the County upon the completion of the clearing

and restoration work contemplated herein in a manner and
condition consistent with original design standards .
BE IT RESOLVED that the foregoing program is hereby
approved in principal , subject to further refinement .
