OUTGOING LOAN AGREEMENT
AGREEMENT: The Naples Art Association, Inc. agrees to provide Collier County Board of County
Commissioners c/o Collier County Parks and Recreation "Borrower" Loaned Objects
(artwork)for display at the North Collier Regional Park, Exhibit Hall at no cost to the rt
Borrower. The Parties agree that there wilt be a minimum of three different exhibits -3
per year with the value of each exhibit not to exceed$200,000.

OBJECTS: The County Manager or Designee will sign the receipt of acceptance of artwork at the
time of delivery.
INSURANCE: The Total Insurance Value is not to exceed $1,000,000. Borrower agrees to insure
loaned objects during the Loan Period.
EXHIBITION: Exhibit Title: The Naples Art Association will provide Collier County Parks and t
Recreation with a minimum of three exhibits per year.
EXHIBITION DATES: Dates will be determined between the Borrower and Lender. Vi
LOAN PERIOD: This Agreement is valid for 5 years from the effective date.
INSTALLATION
REMOVAL: The Naples Art Association will install the exhibition. After the exhibition ends,
the Naples Art Association will remove all loaned objects. .

RECEPTION: Collier County Parks and Recreation will host a reception for the exhibition together
with the Naples Art Association. If the artist or artists exhibiting are willing and able
to conduct a workshop or other exhibition related educational activity during the
exhibition, the Naples Art Association agrees to facilitate, administer and cover all ''

costs for the workshop or educational activity.
ARTWORK SALES: Loaned Objects(artwork) in the exhibition may be priced individually for purchase.
The Naples Art Association will process any and all sales. Individuals interested in x
making a purchase should be instructed to visit or call the Naples Art Association.

CONDITIONS GOVERNING LOANS
Care and
Preservation: Collier County Parks and Recreation agrees to give artwork left in its custody the •
same care provided similar property of its own. Evidence of damage to objects
at the time of receipt or while in Collier County Parks and Recreation's custody
will be reported immediately to the lender. No alteration, restoration or repair
to objects will be undertaken without the written authorization of the lender.
The lender certifies the objects lent are in good condition.
Publicity and
Photography: Unless otherwise notified in writing, the borrower has the right to photograph
and reproduce photographs of the Loaned Objects for educational and publicity
purposes and for use in a catalog and other printed materials,such as newsletter,
that relate to or announce the exhibition to the public.Any other use of images
must first be approved in writing by the lender.
Insurance: Borrower agrees to insure loaned objects during the loan period.if the borrower `E
agrees to obtain its own insurance and this is not done,then the borrower agrees
to release the Naples Art Association from any liability for damage to or loss of
the loaned property. The Naples Art Association agrees to provide the Borrower
an agreed amount value of the artwork.
No Partnership: Nothing herein contained shall create or be construed as creating a partnership
between the Borrower or Lender or to constitute the Lender as an agent of the
Borrower.
