FIRST AMENDMENT TO GRANT AGREEMENT BETWEEN CRA AND GRANTEE
FOR RESIDENTIAL RENOVATIONS LOCATED WITHIN THE
IMMOKALEE COMMUNITY REDEVELOPMENT AREA
THIS FIRST AMENDMENT ("Amendment"), entered into this I0( day of2019,
by and between Collier County Community Redevelopment Agency (hereinafter referred to as " ") and
Residential Options of Florida,Inc. and ROOF Housing Trust,Inc. (hereinafter referred to as"Grantee").
RECITALS:
WHEREAS, CRA and Grantee have previously entered into a Grant Agreement for Residential
Renovations for the lmmokalee Community Redevelopment Area, dated February 27, 2018, hereinafter referred to
as the `Grant Agreement',attached hereto as Exhibit"A"; and
WHEREAS, the CRA and Grantee are desirous of amending the Grant Agreement to extend the
construction period start date to September 28, 2018.
NOW, THEREFORE, in consideration of the covenants and agreements provided within the Grant
Agreement,and Ten Dollars($10.00)and other valuable consideration,the Parties agree as follows:
1. The foregoing Recitals are true and correct and are incorporated by reference herein;
2. Paragraph 10 is amended as follows:
Within forty-five (45) days after confirmation that the improvements were constructed pursuant to
the terms of the approved application, GRAN fhE shall be issued a check in the amount of the
award. However, i f GRANTEE fails to make the improvements pursuant to the terms of this
Agreement, the Community Redevelopment Plan or Chapter 163, Florida Statutes, including
construction start within 90 213 days of execution of this Agreement and completion within 12
months of the execution of this agreement, the award shall be deemed revoked and GRANTEE
shall be entitled to no funding.
3. Except as expressly provided herein, the Grant Agreement remains in full force and effect
according to the terms and conditions contained therein, and said terms and conditions are
applicable hereto except as expressly provided otherwise herein.

GRANT AGREEMENT

between the Collier County Community Redevelopment Agency (CIA) (Immokalee)
(hereinafter referred to as "CRA") and Residential Options of Florida, Inc. and ROOF housing
'frust, Inc. (hereinafter collectively referred to as "GRANTEE").
WITNESSETH:
WHEREAS, Resolution No. 2000-83 was adopted by the Board of County
Commissioners (Board) on March 14, 2000 creating the Community Redevelopment Agency of
Collier County, Florida (then"CRA"); and
WHEREAS, Ordinance No. 2000-42 was adopted by the Board on June 13, 2000
adopting the Community Redevelopment Plan (the "Plan") for the community redevelopment
area described in that Resolution; and
• WHEREAS, Ordinance No. 2000-42 was adopted by the Board on June 1, 2000,
establishing the Redevelopment Trust Fund which appropriates "incremental tax revenues" for
community redevelopment purposes; and
WHEREAS, this Agreement authorizes use a portion of the funds in the Redevelopment
'frust Fund to complete a project within the Immokalee CRA that complies with goals and
objectives of the Community Redevelopment Plan,as well as Chapter 163,Florida Statutes.
WHEREAS, the intent of the project is to increase the availability of affordable housing
to the special needs population within the CRA; and
WHEREAS, GRANTEE has requested a grant in the amount of$30,000 dollars, Request
for Funding attached hereto as Exhibit "A"; and
WHEREAS, the CRA has determined that GRANTEE meets the goals of the CRA and
and approves the award under the terms and conditions set forth herein.
NOW, Tl-HEREFORE, in consideration of the mutual covenants contained herein and
other valuable consideration, the parties agree as follows:
1. The foregoing Recitals are true and correct and are incorporated by reference herein.
2. GRANTEE is the record owner of property described as: Folio ## 22430018349) 953
Hamilton Street, Immokalee, Florida. ("Property")
3. GRANTEE has agreed to make certain improvements to the Property pursuant to
Exhibit "A"and incorporated herein by reference.

4. CRA has approved an award to GRANTEE in the amount of $30,000 to be
administered pursuant to the terms of this Agreement based on an estimated cost of
$55,000.
5. GRANTEE understands and agrees to abide by all of the terms and conditions as
outlined in this Agreement, the Community Redevelopment Plan and Chapter 163,
Florida Statutes.
6. Any failure by GRANTEE to meet the terms and conditions of this Agreement, the
Community Redevelopment Plan or Chapter 163,Florida Statutes, will be considered
a substantial breach of this Agreement. Upon such breach, the CRA's repayment
requirement will automatically terminate.
7. The Parties acknowledge that the Property will be transferred to the ROOF Housing
Trust in the future and ROOF Housing Trust will comply with this Agreement.
Should the GRANTEE transfer,sell,divest itself of its interest in the subject property,
to anyone other than ROOF Housing Trust, or fail to maintain the renovations and
improvements during the five-year period following receipt of the grant funds, the
CRA shall be entitled to a prorated reimbursement of the grant funds as follows:
Prorated Amount Due CRA
0 to one year after grant funds received 100%($30,000)
One year after grant funds received 80% ($24,000)
Two years after grant funds received 60% ($18,000)
Three years after grant funds received 40%($12,000
Four years after grant funds received 20%($6,000)
Five years after grant funds received 0%
8. Unless prior disclosure is included, no GRANTEE, or any immediate relative of
GRANTEE,shall serve as a contractor or subcontractor for the construction of the improvements
and no GRANTEE or any immediate relative of GRANTEE, shall receive compensation far
labor for the construction of the improvements. An immediate relative of GRANTEE shall
include mother, father, brother, sister, aunt, uncle and cousin or family member by marriage to
include mother-in-law, father-in-law, brother-in-law and sister-in-law. GRANTEE has verified
that all contractors who have provided bids for the approved work are actively licensed by
Collier County and GRANTEE agrees that all labor will be performed only by a qualified
contractor as approved by Florida Housing Finance Corporation.
9. GRANTEE agrees to obtain all necessary permits and submit any required plans
to the Collier County Community Development and Environmental Services Division. The
terms and conditions of this Agreement, the Community Redevelopment Plan and Chapter 163,
Florida Statutes will be used to validate payment made by the CRA to GRANTEE. Upon
completion of the work, GRANTEE shall submit a closeout package to the CRA which will
include all applicable (electrical, structural, fire, plumbing, etc.) final inspection verification
from Collier County Building inspection Division. The CRA, through its staff, shall confirm that
the improvements were constructed pursuant to the terms of this agreement approved by the

} CRA and shall create a final report to include digital color photographs of the project before and
after completion,
10. Within forty-five (45) days after confirmation that the improvements were
constructed pursuant to the tenns of the approved application, GRANTEE shall be issued a
check in the amount of the award. However, if GRANTEE fails to make the improvements
pursuant to the terms of this Agreement, the Community Redevelopment Plan or Chapter 163,
Florida Statutes, including construction start within 90 days of execution of this Agreement and
completion within 12 months of the execution of this agreement, the award shall be deemed
revoked and GRANTEE shall be entitled to no funding.
1 l. This Agreement shall be governed and construed pursuant to the laws of the State
of Florida.
12. This Agreement, along with its incorporated attachments, contains the entire
agreement of the parties and their representatives and agents, and incorporates all prior
understandings, whether oral or written. No change, modification or amendment, or any
representation,promise or condition, or any waiver, to this Agreement shall be binding unless in
writing and signed by a duly authorized officer of the party to be charged.
13. This Agreement is personal to GRANTEE, and may not be assigned or transferred
by GRANTEE or to GRANTEE'S respective heirs, personal representatives, successors or
assigns without the prior written consent of the CRA.
