RESOLUTION AUTHORIZING THE EXECUTION OF A THREE-
PARTY AGREEMENT BETWEEN "DISTRICT", "COUNTY", AND
"COLLIER" AS THE PARTIES ARE DEFINED IN THE AGREE-

i7, MENT AND FOR THE PURPOSES AS SET FORTH THEREIN.
v. WHEREAS, Collier County plans to widen Pine Ridge Road and R
.' in order to accomplish this construction project must acquire
4 property to which the North Naples Fire Control District

WHEREAS, the District is agreeable to conveying said parcel J �

WHEREAS, the District has indicated that a specified parcel .

the agreement as "Collier", is a suitable site for a fire

NOW, THEREFORE BE IT RESOLVED BY THE BOARD OF COUNTY
COMMISSIONERS OF COLLIER COUNTY, FLORIDA that:

the State of Florida, hereinafter referred to as "County"/ the
t North Naples Fire Control District, a Special District of the ,
1m State of Florida, hereinafter referred to as "District"; and
Lamar Gable, Harold S. Lynton and Marguerite R. Collier, Trustees ,
'' for Marguerite R. Collier under the Will of Barron Collier, Jr.,
is
1 deceased (probated in the Circuit Court for the Twentieth Judicial
Circuit, Collier County, Florida, Probate Division No. 76-33), and
Lamar Gable, Harold S. Lynton and Juliet C. Sproul, as Trustees
for Juliet C. Sproul under said Will of Barron Collier, Jr. , and
Lamar Gable, Harold S. Lynton and Barron Collier, III, as Trustees
for Barron Collier, III under said Will of Barron Collier, Jr.,
and Barron Collier, III, individually, hereinafter collectively
• called "Collier."
RECITALS
The District currently owns a certain parcel of real property
described in Exhibit "A" hereto. The County plans to widen Pine
Ridge Road and in order to accomplish this construction must 4 _._
acquire the District's property. The District is agreeab!l to

conveying this property to the County in exchange for the County e

The District has indicated that the parcel of real prop<:'rty owned

agreeable to acquiring, by eminent domain or purchase, the parcel
described in Exhibit "B" and to then exchange said parcel for the
District's property. Collier is agreeable to a sale of the
property in accordance with the terms of this agreement.

herein the parties agres as follows:
SECTION ONE: TM! COUNTY fi4 '
1.1 The County willacquire

Section 4 of this Agreement. Following the execution of this
Agreement by the County, the County will communicate to Collis, °.

1.2 The County may assign the right to purchase undere.
Section 4 to District. Such assignment in the form shown in
Exhibit "C," shall be in writing and shall state that by such
writing the County is assigning its rights and obligations under
Section 4. The assignment shall be effective upon proper
• execution and delivery to District and Collier. If County makes
any of the payments required of it under Section 4 prior to making
an assignment, County shall receive a credit for such amount in
'
County's purchase of District's present station site under Section
5. If County does not assign, but instead takes title to the
property described in Exhibit "B," County will, at closing, convey
this property to the District.
1.3 The County shall construct a median opening, east-bound -
• left turn lane, west-bound right turn lane when Pine Ridge Road is
four laned at approximately Station 61 in accordance with the
drawing attached as Exhibit "D" at no cost to Collier, it being
recognized that the purchase price for the parcel described in

Exhibit "B" includes a discount for such construction. ,.
1.4 The County shall provide a 12 inch casing across the new
roadway and terminating at a point as shown on Exhibit "5" on the
northerly right-of-way line on Pine Ridge Road. This will be for

the sole use of Collier in the event water, sewer, or other
utilities are extended from the south side of Pine Ridge Road.
1 .5 The County shall provide access for the fire station as
r,: shown on the drawing attached as Exhibit "p".

1 .6 The County shall purchase the real property, and
improvements thereon, described in Exhibit "A" in accordance with
the terms of Section 5. '
` SECTION TWO: THE DISTRICT

• 2.3 Should the District acquire the authority in the future
to impose impact fees or development fees, Collier will be given
credit as having paid such fees as to any lands it develops in

Sections 3 and 10, Township 49 South, Range 25 East. This shall -,
in no way limit the County in the application or imposition of any
,, uniform fees or land use regulations presently in effect or which
may be adopted in the future.
• SECTION THREE: COLLIER.

3. 1 Collier shall sell to the County, or to the District if

an assignment be made, the real property described in Exhibit "B"

in accordance with the terms of Section 4 of this Agreement.
SECTION FOUR: AGREEMENT FOR PURCHASE OF NEW FIRE STATION SITE
4. 1 Collier shell sell and County shall buy, or District

shall buy if an assignment be made, that certain parcel of land ,
• located on Pine Ridge Road in Naples, Collier County, Florida •
immediately west of that property upon which the Naples Area Board
of Realtors building is located. Although said parcel is more
particularly described in Exhibit "B" hereto, its approximate
dimensions are 190 feet (Pine Ridge Road frontage) by 240 feet and .
it shall hereinafter be referred to as "Subject Property." As - . .
provided in Section 1 .2 of this Agreement, County may assign its
rights and obligations under this Section to District and if such
assignment be made, County will notify Collier, and all references
• in this Section to rights and obligations of County shall be
, rights and obligations of Districts Collier shell Accept such
assignment upon written notification. However, County may not
assign its obligations uncle, Sections 1 .3 and 1 .4 of this
Agreement to install median opening and lanes and twelve ( 12) inch
casing.
4.2 The Purchase Price for the Subject Property shell be the
net sum of One Hundred Sixty-one Thousand Four Hundred Fifty
Dollars ($161 ,450.00) and shall be payable as follows:
(a) At the time of execution of this Agreement by
County, County shall pay an initial deposit of
Fifteen Thousand Dollars ($15,000.00) by County
warrant, which must be paid prior to closing.
• (b) The balance of the Purchase Price shall be due andiF

(c) County shall pay all costs of this transaction so

4.3 County has examined an Abstract of Title certified to
, 1983, and is satisfied Collier's title is good
and marketable as of such date and subject only to those
exceptions set forth in Exhibit "G", At closing, title shall bO
conveyed by Fee Simple Deed, subject only to the exceptions sot
forth in Exhibit "G". A copy of the Fee Simple Deed to be used is
attached as Exhibit "J".
4.4 Each party agrees that if a claim for a brokerage
commission for the sale of Subject Property is asserted against
any party, the party against whom the claim is asserted will
' indemnify and hold harmless the other for any liability on such
claim.
4. 5 Collier hereby approves the architectural concept of the
structure to he erected upon the Subject Property as depicted in

the attached Exhibit "H", Collier shall have the right within the

reasonable exercise of its discretion, to review the final
construction plans prior to County submitting them for a building
permit. If Collier does not approve the construction plans, no
building may be constructed on Subject Property. Collier shall
v also have the right , within the reasonable exercise of its
'' discretion to review and approve a landscape plan for the
facility. Collier shall have ten (10) days from the date any plan
is submitted to Collier pursuant to this Section within which to advise
'e- County in writing of its action. ' f Collier takes no action in

4.6 Collier hereby grants to County, its agents and
employees. prior to closing, permission to enter upon Subject Property
for the purpose of conducting soil test, engineering and construction
studies, and surveys thereof all at County's expense, provided that
County gives Collier not less than twenty-four (21) hours advance
notice, stating the purpose(sj of each entry.

construction of the facility, County shall have the right to terminate 'y

. County shall notify Collier if the site is unsuitable at least ten
(10) days prior to closing and give Collier copies of test reports. ' 4.
4 .7 Collier shall retain oil , gas and mineral rights but
shall waive surface exploration rights.
SECTION FIVE: AGREEMENT FOR PURCHASE OF THE DISTRICT'S EXISTING
FIRE STATION AND PROPERTY
. 5. 1 The District currently owns a certain parcel of real
property described in Exhibit "A" hereto. The County plans to
widen Pine Ridge Road and in order to accomplish this construction •
must acquire the District's property. This Section sets forth the
' terms and conditions under which the District will convey this
• property to the County.
5. 2 The District will convey to the County at closing the
\ property described in Exhibit "A" as provided herein for the net
. sum of Fifty Thousand Dollars ($50,000.00) . Said sum shall be paid
at closing by certified check.
5. 3 The County will pay the District the sum of Ono Hundred

SECTION SIX: GENERAL TERMS
6. 1 This Agreement will become effective only upon execution
by all the parties.
6.2 In the event of a default by any party: (a) no other
party shall have any further obligation under this Agreement;
(b) no party shall have the right of specific performance, and
,4 all deposit monies shall be returned immediately; and (c) the

' '' breaching party shall be liable to each of the non-breaching
parties for the agreed sum o: $2,500.00 each as liquidated

damages. Should any party claim that the other party or parties
• has (have) breached this Agreement, the party claiming a breach
, shall notify the alleged breaching party or parties, with copy of
