THIS SECOND AMENDMENT TO AGREEMENT FOR THE PROVISION OF TELE OMMUNICATI0,m
SERVICES AND FACILITIES ("Second Amendment") is entered into this J� `� day of C �� ,
2018, by and between Vertical Bridge S3 Assets, LLC, a Delaware limited liability company, as ultimate successor in
interest to Sprint -Florida, Incorporated ("Company"), and Collier County, a political subdivision of the State of Florida,
whose mailing address is in care of Real Property Management, 3335 East Tamiami Trial, Naples, Florida 34112
("Customer")
RECITALS
WHEREAS, Company and Customer are parties to that certain Agreement for the Provision of
Telecommunication Services and Facilities dated May 1, 1997, as amended by that certain First Amendment to
Standard Agreement for Central Office Space Lease and License dated October 23, 2001 (collectively, the
"Agreement°), whereby Company licenses to Customer certain space on the real property and improvements located
at 33943 Loop Road, Ochopee, FL 34141 (the "Premises");
WHEREAS, Company and Customer, in their mutual interest, wish to amend the Agreement as set forth
below.
NOW, THEREFORE, in consideration of the foregoing and other good and valuable consideration, the receipt
and sufficiency of which are hereby acknowledged, Company and Customer agrees as follows.
1. Customer Equipment. Exhibit A attached hereto is hereby added to the Agreement as if an original exhibit
thereto. Exhibit A identifies Customer's equipment presently installed and to be installed on the Premises. For
the avoidance of doubt, Exhibit A identifies the only equipment that Customer may install at or on the Premises
under the terms and conditions of the Agreement.
2. Contract Price. Customer's current monthly rental under the Agreement shall increase by One Thousand
Fifty and 00/100 Dollars ($1,050.00) per month on the earlier to occur of (i) the first day of the month in which
Company issues Customer a Notice to Proceed authorizing Customer to commence the equipment
modification contemplated herein, or (ii) October 1, -2 9B.Thereafter, Customer's monthly rental shall continue
to escalate as presently required under the Agreement. 40113

6. Capitalized Terms. All capitalized terms used herein but not defined shall have the same meanings ascribed
to such terms in the Agreement.
7. Binding Effect. This Second Amendment shall be binding upon and inure to the benefit of the parties hereto
and their respective heirs, executors, administrators, successors and assigns.
8. Authority. Company and Customer represent and warrant to one another that the person signing this Second
Amendment on their respective behalves is duly authorized to do so, and that this Second Amendment, as so
executed, constitutes a legal, valid, and binding obligation of the parties hereto.
