This amendment, dated 1!Jf1n,A't. 'UtD to the referenced agreement shall be by and between the parties to the
original Agreement, Waste Management Inc. of Florida (to be referred to as "Contractor") and Collier County,
Florida, (to be referred to as "Owner").
Statement of Understanding
RE: "LANDFILL OPERATION AGREEMENT BETWEEN COLLIER COUNTY AND WASTE
MANAGEMENT INC. OF FLORIDA"
In order to continue the services provided for in the original Contact document referenced above, the Contractor
agrees to amend the above referenced Contract as follows:
To provide for Administrative changes to clarify Definitions to conform to Florida Administrative Code,
Chapter 62-701 Solid Waste Management Facilities, to align current business processes; and for the
restructuring of payment formulas due to the implementation of alternate daily cover materials including
Posi-Shell@, and other Florida Department of Environmental Protection agency approved alternate daily
cover materials to maintain odor control, landfill airspace preservation and to provide annual operating
cost savings, as per Exhibit 5-A attached to this Amendment and incorporated herein by reference.
All other terms and conditions of the agreement shall remain in force.

1.0 Definitions
"Airspace Reimbursement-Per Ton Rate" means the pavment for airspace consumed in the Collier County Landfill
as a result of implementing dailv cover and alternative dailv cover materials based upon the amount of tons of
solid waste buried in the Landfill""
"Alternative Daily Cover IADC)" means material used as Initial Cover. other than earthen material placed on the
surface of the active face of a municipal solid waste landfill at the end of each operating dav to satisfy the
requirements of Initial Cover. The term includes other material or thickness. approved bv the Department. that
minimizes disease vector breeding. animal attraction. and moisture infiltration. minimizes fire potential. prevents
blowing litter. controls odors. and improves landfill appearance.

"Closing" means the time at which a solid waste management facility ceases to accept wastes. and includes those
actions taken by the owner or operator of the facility to prepare the facility for anv necessary monitoring and

"Construction and Demolition Debris" means discarded materials generallv considered to be not water soluble and
non-hazardous in nature. including but not limited to steel. glass. brick. concrete. asphalt material. pipe. gypsum
wallboard. and lumber. from the construction or destruction of a structure as part of a construction or demolition
proiect or from the renovation of a structure. including such debris from construction of structures at a site remote
from the construction or demolition proiect site. The term includes rocks. soils. tree remains. trees. and other
vegetative matter that normallv results from land clearing or land development operations for a construction
proiect: clean cardboard. paper. plastic. wood. and metal scraps from a construction proiect: except as provided in
Section 403.707(9)(i). F.S.. vard trash and unpainted. non-treated wood scraps from sources other than
construction or demolition proiects. scrap from manufacturing facilities that is the type of material generallv used
in construction proiects and that wonld meet the definition of construction and demolition debris if it were
generated as part of a construction or demolition proiect. including debris from the construction of manufactured

homes and scrap shingles. wallboard. siding. concrete, and similar materials from industrial or commercial
facilities: and de minimis amounts of other non-hazardous wastes that are generated at construction or demolition
proiects, provided such amounts are consistent with best management practices of the construction and demolition
industries. Mixing of construction and demolition debris with other tvpes of solid waste will cause it to be
classified as other than construction and demolition debris. Rule 62-701.200 (24). F.A.C.
"Facility" or Facilities" means the Nllj3les Latlafill the Collier Countv Landfill and the Immokalee Landfill to be
operated pursuant to this Agreement and, upon Closure of the Immokalee Landfill, the Transfer station te--be
constrlletea that has been constructed and will be operated by the Contractor at the Immokalee Landfill
"HazanlmlS waste" means a ~olia wasts inaeatified by the Department as a hazardolls ,':aste in Rule a2 730

"Hazardous Waste" means a solid waste regulated by the Department as a hazardous waste pursuant to Chapter 62-
730. FAC.
"Initial eo':er" Ras the meaning given it in Rule a2 791.200(10) P.!,.C.
"Initial Cover" means a 6-inch laver of compacted earth, used to cover an area of solid waste before placement of
additional waste. intermediate cover. or final cover. The term also includes other material or thickness. approved
bv the Department. that minimizes vector breeding. animal attraction. and fire potential. prevents blowing litter.
controls odors. and improves landfill appearance. Rule 62-701.200 (53), F.A.C. Refer to the definition for
Alternative Dailv Cover (ADC).
"Inteffileaiate cever" has the meatling gi'ien it in Rule a2 701.200 (al) P. f.. C.
"Intermediate Cover" means a laver of compacted earth at least one foot in depth applied to a solid waste disposal
unit. The term also includes other material or thickness. approved bv the Department that minimizes disease
vectors. odors. and fire. and is consistent with the leachate control design of the landfill. Rule 62-701.200 (55),
FAC.
"L<ll1Elfill" or "Sanitary landfill" has the msaning giveR it in RlIle a2 701.209 (12) P.f..C.
"Landfill" means a solid waste disposal facilitv. which is an area of land or an excavation where wastes are or have
been placed for disposal. for which a pennit. other than a general permit. is required bv Section 403.707. F.S. This
term shall not include:
(a) A land spreading site;
(b) A surface impoundment;
(c) An iniection well defined under and subiect to the provisions of Chapter 62-528. F.A.C.: or
(d) A construction and demolition debris disposal site regulated bv Rule 62-701.730. F.A.C.
Rule 62-701.200 (57). F.A.C.
"On site" means en the same or geogrilphically contigllolls propsrty, which may bs divide a by a public or private
right of.say.
"On-Site" means on the same or geographicallv contiguous property. which mav be divided bv a public or private
right-of-wav. It does not include two or more parcels of land more than a mile apart that are connected onlv bv a
public or private right-of-wav. Rule 62-701.200 (80). F.A.C.
"Operating Day" means any calendar day during which the Landfill is operating and is open for receipt of waste
from County and contract haulers, private commercial haulers and lor the public. Normal operating days shall be

six days per week, Sundays excluded. The Fourth of Julv. Thanksgiving Day, and Christmas Day aJHI New Ye!H"'s
gay shall not be operating days. If Fourth of Julv or Christmas Day or Yc&r's Day falls on a Sunday, the following
Monday shall not be an operating day.

"Processing" means anv technique designed to change the phvsical. chemical. or biological character or
composition of anv solid waste so as to render it safe for transport. amenable to recovery. storage or recvcling: safe
for disposal: or reduced in volume or concentration. Rule 62-701.200 (88), F.A.C.
"Reeovered materials" has the meanmg gi'ien te it in Rille 62 701.20Q (65) P.f..C.
"Recovered Materials" means metal. paper. glass. plastic. textile. or rubber materials that have known recvcling
potential. can be feasibly recvcled. and have been diverted and source separated or have been removed from the
solid waste stream for sale. use. or reuse as raw materials. whether or not the materials require subsequent
processing or separation from each other. but does not include materials destined for anv use that constitutes
disposal. Recovered materials as described above are not solid waste. Rule 62-701.200 (95). F.A.C.
"Reeycling" has the meaning given to it in Kale 62 701.2QQ (67) P./..C.
"Recvcling" means anv process bv which solid waste. or materials which would otherwise become solid waste. are
collected. separated. or processed and reused or returned to use in the form of raw materials or products. Rule 62-
701.200 (99). F.A.C.
"SoM waste" has the meafling gi';en te it in Rule 62 701.2QO(73) L^..C.
"Solid Waste" means: sludge that is not regulated under the federal Clean Water Act or Clean Air Act. as well as
sludge from a waste treatment works. water supplv treatment plant. or air pollution control faeility: or garbage.
rubbish. refuse. special waste. or other discarded material. including solid. liquid. semi-solid. or contained gaseous
material resulting from domestic. industrial. commercial. mining. agricultural. or governmental operations.
Materials not regulated as solid waste pursuant to this chapter are: recovered materials: nuclear source or
byproduct materials regulated under Chapter 404. F.S.. or under the Federal Atomic Energv Act of 1954 as
amended: suspended or dissolved materials in domestic sewage effluent or irrigation retum flows. or other
regulated point source discharges: regulated air emissions: and fluids or wastes associated with natural gas or crude
oil exploration or production. Rule 62-701.200 (107). F.A.C.
"Soil" means fragmental material composed of earth. sand and rock. It also includes ash. mineral particles. other
non-odorous earth-like materials or combinations thereof. suitablv graded crushed concrete. Posi-Shell and such
other material as mav be agreed bv the County and Contractor to be equivalent or better than soil for the pUrPoses
for which the material will be used. A material meeting the definition of soil herein is soil for pUrPoses of this
Agreement including. but not limited to. reimbursement pursuant to Section 2.26: provided. however. that where
Section 2.26 calls for reimbursement of that specific material. for example. as Posi-Shell or mulch. such specific
requirements shall prevail.

"Special Wastes" means solid wastes that can require special handling and management. including but not
limited to. white goods. waste tires. used oil. lead-acid batteries. construction and demolition debris. ash
residue. yard trash. biological wastes. and mercury-containing devices and lamps. Rule 62-701.200 (113).

"Waste Tire" means a tire that has been removed from a motor vehicle and has not been retreaded or re-grooved.
The term includes used tires and processed tires. but does not include solid rubber tires and tires that are
inseparable from the rim. Rule 62-701.200 (126). F.A.C.

"White Goods" means inoperative and discarded refrigerators. ranges. washers. water heaters. freezers. and other

"Working Face" means that portion of a solid waste disposal unit where waste is deposited. spread. and compacted
before placement of initial cover. Rule 62-701.200 (134). F.A.C.
"Yard Trash" means vegetative matter resulting from landscaping maintenance or land clearing operations and
includes materials such as tree and shrub trimmings, grass clippings, palm fronts, trees and tree stumps, and
associated rocks and soils. Rule 62-701.200 (135). F.A.C.
Section 2.14 Cover Material
Any use of tarpaulins in lieu of Initial cover material shall be for the working face only and shall require
the prior written approval of the County Manager. In no event shall the Landfill working face exceed a
fifty (50) foot by one hundred (100) foot area when daily work ceases on the working face.
Subiect to the provisions of this paragraph and the requirements and procedures set forth in Section 2.26(5) and
2.26(6). the Contractor shall be allowed to use ADC if the use of such material is requested in writing bv the
County. accepted bv the Contractor and approved bv the Department. For the purposes of this paragraph onlv. the
alternate initial cover material shall consist of: biomass (e.g.. mulch); construction and demolition debris (not
including gypsum wallboard); a combination of biomass and construction and demolition debris; 6f a combination
of biomass. construction and demolition debris. and soit;. a combination of Posi-Shell. soil and biomass; or a
combination ofPosi-Shell and soil. If the ADC is used in coni unction with initial cover material containing soiL
the Contractor shall be reimbursed for the soil and ADC pursuant to the provisions of Subsection 2.26(5) of this
Agreement. The parties acknowledge that the County has requested. the Contractor has accepted and the
Department has approved the use of a combination ofPosi-Shell and soil and a combination of Posi-ShelL soil and
biomass for ADC.
2.26 Additional Odor Control Measures:
2.26 (I )(c): The Contractor shall construct horizontal gas collection trenches and other necessary piping and,shall

install these horizontal collectors treaches within the first forty (40) vertical feet of waste placement and will be

used until such time there is sufficient depth that vertical wells can be effectivelv installed as part of normal
operations.
Section 2.26 (I) (g) The Contractor shall promptly install an upgraded blower and flare system with a lRiRimHlR
manufacturer's rated flow capacity of at least 3,000 standard cubic feet per minute. This system shall be designed,
maiffiaine", aHa oj3eratea to ensure that the slo'.ver ana flare are operatea continHously ana restart automatically, if
necessary with an automatic restart feature and manuallv activated redundant blower unit. The svstem shall be
maintained to minimize downtime and operated continuous Iv to the extent practical. The Countv shall be notified
of anv downtime within one hour or scheduled maintenance with at least one week of advance notice. The
Contractor shall maintain an inventorv of critical parts in accordance with the manufacturer's recommendations
and specifications and utilize best management practices to ensure prompt and efficient return to operations in the
event of an outage.
2.26 (1): The Contractor shall e reimbursed $9.36 for each ton of soli" waste that is "i5j3ose" of in a lincd

2.26 (5) Subiect to the limitations and procedures contained in this agreement the Countv shall pav the contractor
a per ton base rate for each ton of solid waste that is disposed of in a lined cell at the Collier Countv Landfill. This
pavrnent is compensation for the use of soil. mulch and Posi-Shell. or a combination thereof as approved bv the
Department. The base rates to be utilized for each component are set forth in Attachments A-I. A-2, A-3 and A-4
attached hereto and made a part hereof. The base rates are established pursuant to the methodology set forth in
Attachment A-2. Attachment A-I contains base rates for compensation for (i) dailv cover material/odor control
(shown as Material Reimbursement) and (ii) airspace reimbursement. The Airspace Reimbursement-Per Ton Rate
pavrnent is for airspace consumed in the Collier Countv Landfill as a result of implementing the requirements of
Subsection 2.26 (n(a) and (b), above. As referenced in Attachment A-I. Note 2. the $0.36 per ton of sa lid waste
reimbursement will cease when the Collier Countv Landfill has received or will receive 9.3 million tons of solid
waste for disposal in the lined cells after Mav 1. 2001 and the time of the Landfill's final closure.
Attachment A-I sets forth base rates in four scenarios: (a) use of soil onlv; (b) use of soil and Posi-shell: (c) use of
soil. Posi-Shell and mulch: and (d) use of soil and mulch on Iv. The parties have established multiple base rates to

address the four scenarios in which one or more of the material components for dailv cover and odor control
measures are unavailable due to failure of supplv, regulatory restrictions, Countv directive as allowed in this
Agreement or similar reasons. It is expected that soil. mulch and Posi-Shell will be available so that such materials
mav be used on an annual basis in approximatelv the following percentages for dailv cover: 25% Posi-Shell. 30%
mulch and 45% soil. However, should one or more become unavailable, for the time of such unavailabilitv, the
appropriate base rate in AttachmentsA-2a and A-3 (as subsequently modified as provided in this Agreement) shall
be used to calculate the pavment to be made bv the County to the Contractor. In this regard. the County, at no
charge, will cause to provide vegetative yard waste to Contractor for processing into mulch. The rates regarding
processing vegetative vard waste into mulch are included in Attachment A-4.
Contractor shall prepare a monthlv invoice for initial cover. ADC. odor control and airspace reimbursement and
provide same to the County. The methodologv for producing the invoice with corroborating documents pursuant to
this Section 2.26(5) is set forth in the attachment entitled "Instructions" attached hereto as Attachment B.

2.26 (6) The base rates for soil and Posi-Shell shall be adiusted month Iv based on the indexes provided in
Attachments A-2 and A3. These Attachments reflect the average monthlv cost per cubic vard for purchasing soil.

per ton is adiusted upwards or downwards to reflect the average cost of soil purchased during that month. For
example, if the average cost of soil for the month is $7.335. the base rate is $3.18 per buried ton in the Collier
Countv Landfill. Attachment A-3 relates to the average monthly cost per load of Posi-Shell. The cost for Posi-
Shell will be updated each time new material is purchased for the use of Posi-Shell. The updated cost will include
components as listed on Posi-Shell Cost Worksheet. Based on the cost per load. the per ton base rate is adiusted
upwards or downwards based on the updated cost per load of Posi-Shell. Attachment A-2b is an index that reflects
the base rate for soil when onlv soil and Posi-Shell are available. Attachment A-2c reflects the base rate for soil
when on Iv soil and mulch are available. Attachment A-2d is an index that reflects the base rate for soil when soil.
Posi-Shell and mulch are available for use. Contractor agrees to utilize best value procurement practice in
obtaining soil from offsite sources. In doing so, Contractor mav consider the following factors in selecting vendors
and making purchases: qualitv and quantity of soil: geographic location: transportation costs: vendor history and
reliabilitv; price: pavment tenus: rebates and discounts.

On all of the soil escalation worksheets, there are assumptions indicating the following:
o Base soil price per cubic yard - In all cases this is $7.22jcu yd.
o Annual assumed tons -In all cases this is 219,100 tons of solid waste, equivalent to 700 tons per
day.
o Base rate for soil reimbursement is predicated on the escalation scenario. The rate reflects the
base rate cost per ton at the annual usage assumed, and base soil prices per cubic yard. The
base rate is predicated on the amount of soil used in each scenario, see below:

Operating Agreement, Section 2.15, "Construction and Demolition Debris; Biomass; and Tire
Chipping Processing". The County and WMIF agree that the cost for this service is $14.84 per
inbound ton, which includes a 15% margin. The County recognizes that the cost for performing the
grinding, mulching and blending services may increase or decrease annually due to changes in
contractual obligations between WMIF and their subcontractors. If the costs increase or decrease,
WMIF must notify the County in \vriting of such changes within twenty (20) business days prior to
commencement of the increase or decrease.
If WMIF and the County are unable to agree upon the fee within ten (IO) business days from the
notification, WMIF must obtain competitive, best value proposals fi-om three (3) qualified vendors,
within twenty (20) business days and submit to the County. The County will have five (5) business
days from the submittal date to review and approve the proposed new rate. Upon the County's
approval of the per ton adjustment, the approved cost shall be utilized for reimbursement to WMIF
by the County.
In the event the County does not approve the new rate, or takes longer than five (5) business days to
approve, WMIF will use stocked soil and mulch mix. In the event that the stocked soil and mulch
mix is depleted, \VMIF will use either Soil Only or Soil and Posi-Shell. Upon changing the daily
cover method the Soil Only or Soil and Posi-shell Per Ton (as applicable) Reimbursement Rate will
be utilized for payment to WMIF by the County for each month during which the mulch could not
be processed at an approved rate. Upon reaching a negotiated, mutually agreed price for the
blending of mulch and soil, WMIF will re-commence the use of soil and mulch mix.
In the event that vegetative waste is not utilized for blending with soil as set forth above, the unused
vegetative waste will be diverted to an area within the Collier County Landfill or the Resource
Recovery Park designated by the County Manager or its designee, where it will remain and be
utilized by Collier County as needed. In the event that the County Manager or designee request that
the unused vegetative waste be transported off-site, \VMIF will develop a process for the removal of
the excess vegetative waste, which provides best value pricing for the reuse, recycle or disposal of
excess, unused vegetative waste and submit the process to the County for review. The County will
have five (5) business days from the submittal date to review and approve the proposed process.
Upon the County's approval of the per ton adjustment, the approved cost shall be utilized for
reimbursement to WMIF by the County.
In instances in which manmade or natural disasters affect the County and the amount of vegetative
waste is substantially increased, the County reserves the right to negotiate final disposition and rate
of the vegetative waste in compliance with FEMA regulations regarding debris removal and
management.

Per your request, I have completed putting the attached schedule together to illustrate the cost benefits to
Collier County from reduced monthly odor control payments as well as saved airspace impacts. The
worksheet contains two pages, the first is the annual impacts and the other is the 30 year impact. The
following is a summary of the file:
There are two components to the schedule, the odor control reimbursement part and the airspace benefit
section. The odor control reImbursement savings is calculated by taking the cubic yards of soil that are
saved by use of Posi-Shell and then reducing them further by replacing some soil usage with mulch. The
net impact is we would be using 55% less soil in combination with Posi-Shell and mulch. This reduced
soil lowers the odor control reimbursement amounts which on a 30 year basis are almost $8,000,000.
A larger portion of the benefit to Collier County relates to the freed up airspace that can now be used to
bury additional tons of garbage. The impact is calculated by taking the soil savings related to the use of
Posi-Shell and converting it into tons. Savings of 716,580 cubic yards is reduced by the .25 inches of
airspace used by the Posi-Shell (44,726 cu/yds) which results in a net airspace savings of 671,854 cubic
yards. Those cubic yards are then converted to tons by multiplying by .65 which results in 436,705
additional tons of airspace available for disposal. At the current gate rate of $50.58 per ton the airspace
value would be in excess of $22,000,000,
The grand total benefit to Collier County is over $30,000,000 over the 30 year period for the combination
of reduced odor control payments as well as additional airspace saved. Cleariy, as the tipping fees
increase over the next 30 years, the value increases. I have used a similar format to the handouts we
were using during our negotiating sessions. Please review and let me know if you have any questions.
