WHEREAS, Margaret C. Perry, AICP, ofWilsonMiIIer, Inc., and John Passidomo, Esq.,
representing OIde Florida Golf Club, Inc., petitioned the Board of County CommissioDers to
change the zoning classification of the herein described real property.
NOW, THEREFORE, BE IT ORDAINED BY THE BOARD OF COUNTY
COMMISSIONERS OF COLLIER COUNTY, FLORIDA, that:
SECTION ONE:
The zoning classification of the real property more particularly described in Exhibit A,
attached hereto and incorporated herein by reference, located in Section 31, Township 48 South,
Range 27 East, Collier County, Florida, is changed from the Golf Course (GC) Zoning District
and the Rural Fringe Mixed Use District-Neutral Lands Zoning Overlay District to the
Agriculture (A) Zoning District and the Rural Fringe Mixed Use District-Neutral Lands Zoning
Overlay District for a 554+/- acre project known as OIde Florida Golf Club. The appropriate
zoning atlas map or maps, as described in Ordinance Number 2004-41, as amended, the Collier

County Land Development Code, is/are hereby amended accordingly, subject to the Conditions
of Approval, attached hereto as Exhibit B and incorporated herein and in accordance with the

Ordinance 91-16 is hereby repealed in its entirety.
SECTION THREE:
This Ordinance shall become etfective upon filing with the Department of State.

Conditions of Approval
I. The property will retain the Audubon Cooperative Sanctuary Program for its golf courses,
and it shall be subject to the rules and regulations for golf course operations for properties
designed as neutral lands under the County's Growth Management Plan.
2. The setback on the western boundary of the property shall be 100 feet to allow County to
acquire easements, if needed, in the future.
3. The permitted uses in RFMU District-Neutral Lands are permitted on the property as of
right except for farm labor housing.
4. The accessory uses in the RFMU District-Neutral Lands are permitted on the property as
accessory to uses permitted as of right or to approved conditional uses.
5. The following uses in the RFMU District-Neutral Lands are permissible as conditional uses
subject to the standards and procedures established in Section 10.08.00 of the LDC:
a Community facilities, such as places of worship, childcare facilities, cemeteries,
social and fraternal organizations.
b. Multi-family residential structures subject to the following development standards:
(i) Building height limitation: 2 stories
(ii) Buffer: 10 foot wide landscape buffer with trees spaced no more than 30 feet
on center
(iii) Setbacks: 50% of the height of the building, but not less than 15 feet
c. Those essential services identified in sections 2.01.03(G)(1) and (0)(3) of the LDC.

EXHIBIT B
Conditions of Approval
1. The Property will retain the Audubon Cooperative Sanctuary Program for its golf courses, and it
shall be subject to the rules and regulations for golf course operations for properties designed as
neutral lands under the County's Growth Management Plan.
2. The landowner, its successors or assigns shall, at the time of physical development of the
Property under an approved site plan or subdivision plat, provide at its sole cost and expense an
integrated storm water management system designed, permitted, and constructed to provide
appropriate facilities for on-site stormwater and for conveyance of stormwater off-site flow from
adjacent properties to the north, per historic overland flow patterns. The integrated stormwater
management system may include an engineered flow-through channel, a natural flow-way
through contiguous preserve or buffer areas, a hydraulic connection to an approved development
water management system, or any combination thereof, but expressly excludes design, permitting
or construction of any improvements located on any land off~site to the Property which is rezoned
under this Ordinance. Capacity of the conveyance shall be determined by mutual agreement of
the County and the landowner based upon analysis of the basin as required by site plan or
subdivision plat review and approval. The design, pennitting and construction of such system
must be approved by the County and a drainage easement encumbering the appropriate
components of such system shall be dedicated to Collier County with no responsibility for
maintenance at the sole cost and expense of the landowner, its successors or assigns.
3. The permitted uses in RFMU District-Neutral Lands are permitted on the Property as of right
except for farm labor housing.
4. The accessory uses in the RFMU District-Neutral Lands are permitted on the Property as
accessory to uses permitted as of right or to approved conditional uses.
5. The following uses in the RFMU District-Neutral Lands are permissible as conditional uses
subject to the standards and procedures established in Section 10.08.00 of the LDC:
a. Community facilities, such as places of worship, childcare facilities, cemeteries, social
and fraternal organizations.
b. Multi-family residential structures subject to the following development standards:
(i) Building height limitation: 2 stories
(ii) Buffer: 10 foot wide landscape buffer with trees spaced no more than 30 feet on
center
(iii) Setbacks: 50% of the height of the building, but not less than 15 feet
c. Those essential services identified in Sections 2.01 .03(G)( I) and (G)(3) of the LDC.
6. At the request of Collier County, at the time the Ordinance rezoning the Property becomes final
and non-appealable the landowner, its successors or assigns shall execute and deliver a Donation
Agreement for Parcel I 19FEE on the Vanderbilt Beach Road Extension Project to Collier County
at no cost or expense to the County.

DONATION AGREEMENT
THIS AGREEMENT (hereinafter referred to as the "Agreement") is made and
entered into on this .?f/ti... day of #l<ttcA ,2010, by and between OFC OF
NAPLES, INC., a dissolved Florida corporation, whose mailing address is 9393
Vanderbilt Beach Road Extn., Naples, FL 34120 (hereinafter referred to as "Owner"),
and COLLIER COUNTY, a political subdivision of the State of Florida, whose mailing
address is 3301 Tamiami Trail East, Naples, Florida 34112 (hereinafter referred to as
"County").
WITNESSETH:
WHEREAS, County has requested that Owner convey to the County a Fee
Simple Estate over, under, upon and across the lands described in Exhibit "A"
(hereinafter referred to as the "Property"), which is attached hereto and made a part of
this Agreement; and
WHEREAS, Owner recognizes the benefit to Owner and desires to convey the
Property to the County for the stated purposes, on the terms and conditions set forth
herein, said terms including that no compensation shall be due and payable for the
Property requested by County.
NOW, THEREFORE, in consideration of these premises, the sum of Ten Dollars
($10.00), and other good and valuable consideration, the receipt and sufficiency of
which is hereby mutually acknowledged, it is agreed by and between the parties as
follows:
1. All of the above RECITALS are true and correct and are hereby expressly
incorporated herein by reference as if set forth fully below, and all Exhibits
referenced herein are made a part of this Agreement.
2. Owner shall convey the Property to County, in a form acceptable to County and
free and clear of all encumbrances, and at no cost to the County unless otherwise
stated herein. Said conveyance (Owner's delivery to County of a properly
executed Deed) is hereinafter referred to as the "Closing."
3. This Agreement shall be null and void, and of no further force or effect, unless
Closing shall occur within sixty (60) days from the date County executes this
Agreement; provided; however, that County shall have the unilateral right to
extend the term of this Agreement pending receipt of such instruments, properly
executed, which either remove, release or subordinate any and all such liens,
encumbrances or qualifications affecting County's enjoyment of the Property.
4. County shall pay all fees to record the conveyance instrument and any curative
instruments required to clear title. In addition, County may elect to pay
reasonable processing fees required by mortgagees in connection with the
execution and delivery of a Release or Subordination of any mortgage, lien or
other encumbrance recorded against the property underlying the Property.
5. This Agreement and the terms and provisions hereof shall be effective as of the
date this Agreement is executed by both parties and shall inure to the benefit of
and be binding upon the parties hereto and their respective heirs, executors,
personal representatives, successors, successor trustees, and/or assignees,
whenever the context so requires or admits.
6. Conveyance of the Property by Owner is contingent upon no other provisions,
conditions, or premises other than those so stated above; and this written
Agreement, including all exhibits attached hereto, shall constitute the entire

Agreement and understanding of the parties, and there are no other prior or
contemporaneous written or oral agreements, undertakings, promises, warranties,
or covenants not contained herein.
7. This Agreement is governed and construed in accordance with the laws of the
State of Florida

change the zoning classification of the herein described real property.
NOW, THEREFORE, BF IT ORDAINED BY THE BOARD OF COUNTY
COMMISSIONERS OF COLLIER COUNTY, FLORIDA, that:
SECTION ONE:
The zoning classification of the real property more particularly described in Exhibit A,
attached hereto and incorporated herein by reference, located in Section 31, Township 48 South,
Range 27 East, Collier County. Florida, is changed from the Golf Course (GC) Zoning District
and the Rural Fringe Mixed Use District-Neutral Lands Zoning Overlay District to the
Agriculture (Al Zoning District and the Rural fringe Mixed Use District-Neutral Lands Zoning
Overlay District for a 554+/- acre project known as Olde Florida Golf Club. The appropriate
zoning atlas map or maps, as described in Ordinance l\umber 2004-41, as amended, the Collier

Ordinance 91-16 is hereby repealed in its entirety.

This Ordinance shall become effective upon filing with the Department of State.

Conditions of Approval
L The Property will retain the Audubon Cooperative Sanctuary Program for its golf courses, and it
shall be subject to the rules and regulations I(lf golf course operations for properties designed as
neutral lands under the County's Growth Management Plan.
2. The landowner, its successors or assigns shall, at the time of physical development of the
Property under an approved site plan or subdivision plat, provide at its sole cost and expense an
integrated stormwater management system designed, permitted, and constructed to provide
appropriate facilities for on-site stormwater and for conveyance of storm water off-site flow from
adjacent properties to the nonh. per historic overland flow patterns. The integrated stormwater
management system may indude an engineered flow-through channel, a natural flow-way
through contiguous preserve or buffer areas, a hydraulic conncction to an approved development
water management system, or any combination thereof, but expressly excludes design, permitting
or construction of any improvements located all any land otf...site to the Propeny which is rezoned
under this Ordinance. Capacity of the conveyance shall be detennined by mutual agreement of
the County and the landowner based upnl1 analysis of the basin as required by site plan or
subdivision plat review and approval. The design, permitting and construction of such system
must be approved by the County and a drainage easement encumbering the appropriate
components of such system "hall be dedicated to Collic:r COllnty with no responsibilit) for
maintenance at the sole cost and expense of the landowner, its successors or assign~.
3. The pennitted uses in RFMU District-Neutral Lands are pennitted on the Property as of right
except for fann labor housing.
4. The accessory uses in the RF\1U District-Neutral Lands are permitted on the Property as
accessory to uses permitted as of right or to approved conditional uses,
5. The following uses in the RFMlI District-Neutral Lands are permissible as conditional uses
subject to the standards and procedures established in Section 10.08.00 of the LDC:
a. Community facilities, such as places of worship. childcare facilities, cemeteries, social
and fraternal organizations.
b. Multi-family residential structures subject to the following development standards:
(i) Building heightlirnitation: 2 stories
(ii) Buffer: 10 foot wide landscape buffer with trees spaced no more than 30 feet on
center
(iii) Setbacks: 50% oftlte height of the building. but not less than 15 feet
c. Those essential services identified in Sections 2.01.03(U)( I) and (U)(3) of the tOe.
6. At the request of Collier County. at the time the Ordinance rezoning the Property becomes final
and non-appealable the landowner. its successors or assigns shall execute and deliver a Donation
Agreement for Parcel 119FEE on the Vanderbilt Beach Road Extension Project to Collier County
at no cost or expense to the County.
