UTILITY EASEMENT
THIS UTILITY EASEMENT, made and entered into this qday of \ ��-
2017 by BALDRIDGE-NORTH NAPLES, L.L.C., a Florida limited liability company, as Grantor,
whose address is 7935 Airport Pulling Rd. N., #4-379, Naples, FL 34109, to the BOARD OF
COUNTY COMMISSIONERS OF COLLIER COUNTY, FLORIDA, AS THE GOVERNING
BODY OF COLLIER COUNTY AND AS EX-OFFICIO THE GOVERNING BOARD OF THE
COLLIER COUNTY WATER-SEWER DISTRICT, whose address is 3335 East Tamiami Trail,
Ste. 101, Naples, Florida 34112, its successors and assigns, as Grantee.
(Wherever used herein the terms "Grantor" and "Grantee" include all the parties to this instrument
and their respective heirs, legal representatives, successors or assigns.)
WITNESSETH:
Grantor, for and in consideration of TEN DOLLARS ($10.00) and other valuable consideration
paid by the Grantee, the receipt and sufficiency of which is hereby acknowledged, hereby
conveys, grants, bargains and sells unto the Grantee, its successors and assigns, a perpetual,
non-exclusive easement, license, and privilege for utility purposes, on the following described
lands located in Collier County, Florida, to wit:
See attached Exhibit"A"which is
incorporated herein by reference.
Subject to easements, restrictions, and reservations of record.
THIS PROPERTY IS NOT THE HOMESTEAD OF GRANTOR
TO HAVE AND TO HOLD the same unto the Grantee together with the right to enter
upon said land, excavate, and place or remove materials including, but not limited to, water and
sewer lines and pipes, water meters, fire hydrants, service and pump stations, and other
equipment or improvements appurtenant thereto or thereunder for the purpose of constructing,
operating, and maintaining utility facilities thereon. Grantor and Grantee are used for singular
or plural, as the context requires. The utility easement granted herein shall constitute an
easement running with the land and shall burden the lands described above.
IN WITNESS WHEREOF, the Grantor has caused these presents to be executed the

THIS SUBORDINATION, CONSENT AND JOINDER OF EASEMENT given this
day of J u\q 'Z O F , 294 by ST. LOUIS BANK, whose address is 14323
South Outer Forty Road,Town 8 Country, MO 63017 (hereinafter referred to as"Mortgagee"),
in favor of The Board of County Commissioners of Collier County, Florida, as the Governing
Body of Collier County and as Ex-Officio the Governing Board of the Collier County Water-
Sewer District, its successors and assigns, whose address is 3335 Tamiami Trail East, Ste.
101, Naples, Florida 34112 (hereinafter referred to as"Collier County"). Mortgagee is used as
singular or plural, as the context requires.
WITNESSETH:
WHEREAS, Mortgagee is the owner and holder of that certain Mortgage executed by
Baidridge-North Naples, LLC, a Florida limited liability company In favor of Sterling Bank dated
April 1, 2014 and recorded April 2, 2014 in Official Records Book 5022, Page 1553;Assignment
of Leases and Rents recorded April 2, 2014 in Official Records Book 5022, Page 1563;
Assignment of Note and Lien recorded on December 7, 2018 in Official Records Book 5341,
Page 683; Modification of Mortgage dated December 21, 2016 and recorded December 27,
2016 in Official Records Book 5347, Page 1939; all of the Public Records of Collier County,
Florida (hereinafter collectively referred to as "Mortgage"), enaunbering the premises legally
described therein(hereinafter referred to as the"Encumbered Property");
WHEREAS, Collier County has requested and received from the fee simple owner of the
Encumbered Property a perpetual non-exclusive easement, license and privilege for installing
and maintaining utilities over, under and across a portion of the encumbered premises legally
described in Exhibit "A" attached hereto and incorporated herein by virtue of this reference
(which premises are hereinafter referred to as the"Easement Property");and
WHEREAS, Collier County has requested that Mortgagee consent to, join in, and
subordinate its Mortgage to the interest that Collier County has in the Easement Property to
which request Mortgagee has agreed.
NOW, THEREFORE, in consideration of TEN DOLLARS ($10.00) and other good and
valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the
Mortgagee does hereby consent to, join in and subordinate its Mortgage to the grant of that
certain easement described herein over, under, on and across the Easement Property and any
interest of Collier County in any utility facilities located therein or affixed thereto. Except as
subordinated to the easement described herein over, under, on and across the Easement
Property, or any utility facilities located therein or affixed thereto, said Mortgage shall remain in
full force and effect.
