CALL TO ORDER AND PLEDGE OF ALLEGIANCE Vice-Chair Sjostrom called the meeting to order at 2:00 P.M. A quorum of three was present. The Pledge of Allegiance was recited. II. APPROVAL OF AGENDA Mr. Sjostrom moved to approve the Agenda of the Vanderbilt Beach M.S.T.U. subject to hearing Item VII. C. Project Managers Report - Status of Phase IV design after Item IV. Second by Mr. Weber. Carried unanimously 3 - 0. IV. APPROVAL OF THE MINUTES OF MAY 3, 2018 Mr. Weber moved to approve the minutes of the May 3, 2018 Vanderbilt Beach M.S.T.U. meeting as presented. Second by Ms. Miyamoto. Carried unanimously 3 - 0. Mr. Harris arrived. A quorum of four was present. VII. PROJECT MANAGERS REPORT – HARRY SELLS C. STATUS OF PHASE IV DESIGN FPL UFCA with GAF Phase IV $287,680 Mr. Sells presented the “Underground Facilities Conversion Agreement – Government Adjustment Factor Waiver” contract between Florida Power & Light Company (FPL) and the M.S.T.U. for the Vanderbilt Drive FPL Phase IV Project, encompassing the section from 111th Avenue to the north side of the third bridge, in the amount of $287,680. for consideration. • The MSTU will assume responsibility as a sub-contractor for burying the utilities (similar to the activity for Phases 2 & 3). Upon completion FPL will assume responsibility for the network. • The contract authorizes the M.S.T.U. to go out for bid for the burial of conduit and placing of equipment, including Comcast cable and Century Link installations and networks. September 6, 2018 Vanderbilt Beach MSTU • A new contract for Construction Engineering Inspection (CEI) professional services will be drafted and Request for Quote’s (RFQ) solicited. • Two new bridges require CenturyLink and Comcast plans to be modified to accommodate underground cable installation. • Estimated timeline for construction is four to five months with a possible start date of April 2019. • Invitations to Bid will be distributed to qualified contractors in October 2018. • The Conversion Agreement Contract will be submitted to the Board of County Commissioners on September 25, 2018 for consideration. Mr. Harris motioned to recommend the Board of County Commissioners (BCC) approve the “Underground Facilities Conversion Agreement – Government Adjustment Factor Waiver” contract between Florida Power & Light Company (FPL) and the Vanderbilt Beach M.S.T.U. for the Vanderbilt Drive FPL Phase IV Project in the amount of $287,680.00. Second by Mr. Weber. Carried unanimously 4- 0. . V. LANDSCAPE MAINTENANCE REPORT – AARON GROSS, GROUND ZERO LANDSCAPE Mr. Gross reported on landscape irrigation maintenance as follows: • As instructed by Mr. Sells, two large hedges were cut to the top of the existing wall height conforming to County site design code standards. • Four heads and three nozzles on existing smaller laterals of the irrigation system were replaced. • The public utilities contractor shut off the irrigation system in response to apparent damage to the main line at 96th Street. Mr. Sells directed Mr. Gross, Ground Zero Landscape, to repair the line and turn the water on by Friday September 7, 2018. VI. CONNER PARK LANDSCAPE DESIGN – MIKE McGEE, McGEE & ASSOCIATES Mr. McGee distributed Vanderbilt Drive Landscape Improvement Concept Plans for Committee review including a site plan, the community identification signage design, existing conditions, site improvements, landscape plantings and a landscape planting plan legend accompanied by color graphics depicting the plant material noting: • The concept is to balance the landscape and sign presentation on both corners of Bluebill Avenue and Vanderbilt Drive and create a Gateway into Conner Park and Delnor- Wiggins State Park. • A rendering for the new sign design, including fencing with posts and community logo, was presented for Committee consideration. • The County sign specialist confirmed the sign can be sixty-four (64) square feet; the proposed height of the monument conforms to County standards. • Fixtures in the Right of Way require County approval; setbacks requirements have to be abided by; signage symmetry will not be identical on both sides. • Multi-levels for the mound and screening, i.e. a Clusia hedge, are positioned behind the new sign. • Committee members can participate in site selection for the sign; a ROW permit is required. • A single decorative gate to secure and provide access to the County Lift Station Facility is proposed. 2 September 6, 2018 Vanderbilt Beach MSTU • Landscaping proposed for the northwest corner includes palm trees, excluding coconut palms, flowering canopy trees, large trees layered in, bougainvillea specimens, ground covers and sub plantings. • The central area of the sign will feature a focal point of colorful seasonal flowers. • Incorporating a vista location to enhance water views will be considered for the design. During Committee discussion the following was addressed: • Color of the sign and graphics will be determined by the Committee during the design process. • Paver walkways (6 feet wide) on the Park entryway perimeter for aesthetic enhancement, with consideration given to extending the pavers to the parking lot entrance, should be reviewed for cost effectiveness. • Mangroves on the water’s edge and bordering the sea wall will be protected. • Three large trees on the north side of the fence, by the canal, will remain. • Exotic vegetation and storm debris will be removed. • Sign pillar post dimensions will be reviewed for proportion. • Elimination of one large telephone pole and two existing Delnor-Wiggins signs will enhance the visual appearance of the area. • The M.S.T.U. will assume responsibility for maintenance of the Gateway. Mr. Sells will provide Committee members with McGee & Associates Landscape Design Plans and solicit their comments and recommendations for review at the October 2018 meeting. VII. PROJECT MANAGERS REPORT – HARRY SELLS A. BUDGET REPORT for 09/06/2018 Mr. Sells provided an overview on the “Vanderbilt MSTU Budget Report on Fund 143” FY18 dated September 6, 2018 noting: • $1,233,452.58 of the FY18 Ad Valorem property tax revenue budget of $1,280,300.00 has been collected. • Total revenue FY18 is $3,280,236.70 including investment interest, transfers and contributions (minus a 5% reserve of $64,300). • Operating Expense Budget is $3,138,436.70 of which $1,316,552.30 is committed; $437,292.19 is expended. • Unencumbered Operating Expense funds available are $1,384,592.21. • One more invoice in the $200K range is anticipated from MasTec for FY-18. • An estimated six tons of gravel was required to stabilize the network due to Hurricane Irma in the “washouts.” • Estimated Cash Balance, including funds committed and not spent, as of September 6, 2018 is $2,713,636.55. • FY-18 Carry Over funds, estimated at $1,100,000. plus Ad Valorem Tax revenue FY-19 of $1,345,208. will generate income in the $2,400,000. range as of October 1st. 3 September 6, 2018 Vanderbilt Beach MSTU B. GENERAL STATUS OF BURIAL PROJECT and DELAYS Phases II and III Network Electrical Activation Mr. Sells distributed a ROW Agreement package for FPL to Energize Primaries and Feeders for the Vanderbilt Drive Public Utilities Renewal Project noting: • On May 14, 2018 activation commenced for the Florida Power & Light (FPL) underground network on Bluebill Avenue. • The red lines on the ROW Agreement drawings depict the primaries which feed the transformers; blue lines depict activated feeders. • FPL will activate four sets of primaries not indicated on the drawings when the equipment causing switching issue is resolved. • The Dunes of Naples, Egret, Flamingo and Heron Avenues are activated. • Two remaining sections of Vanderbilt Beach Road should be activated by September 7th. • Estimated completion of activation is third week of September, 2018. • Most cable is off the poles; poles will be removed except for Vanderbilt Drive and four finger streets as FPL is unwilling to “break up” the phase. • The north and south perimeters of the “washout” locations retained aerial utility poles to enable network activation of Vanderbilt Drive and the finger streets. • Quality Enterprises USA, Inc. (QE) initiated construction to repair five “washout” locations on the West side of Vanderbilt Drive as a result of Hurricane Irma, September 10, 2017. • Mitchell & Stark Construction, the contractor for the Public Utilities project, ceased operation of that area pending completion of “washout” repairs by QE. C. STATUS OF PHASE IV DESIGN FPL UFCA with GAF Phase IV $287,680 This Item was addressed after Item IV – Approval of the Minutes D. STREET WIDENING A Public Utilities project to widen eleven (11) finger street entrances twenty feet (20) and increase the curb radius to thirty feet (30) is progressing. Mr. Sells reported:  The goal of the project is to increase the radius to thirty feet, entrance width to twenty feet, and enhance the pedestrian/driver interface to improve not only the aesthetics of the intersection but also the safety and the efficiency of the intersection for fourteen finger streets.  Install six foot paver block crosswalks with twelve inch flat ribbon curbs to enhance visibility and intersection aesthetics.  Sight line issues will be addressed by relocating the sidewalks within six feet of Vanderbilt Drive and removing existing Right-of-Way landscaping.  Proposals for street widening and curb installation for the northern three (3) finger streets, paver installations for the fourteen (14) finger street crossings and relocation of the sidewalks within (6) feet of Vanderbilt Drive will be obtained by Staff. 4 September 6, 2018 Vanderbilt Beach MSTU E. CONNER PARK LANDSCAPING This item was discussed under VI. – Conner Park Landscape Design, McGee & Associates. F. NEW IRRIGATION LINE Mr. Sells reported: • The existing main supply irrigation line on Vanderbilt Drive, buried three to four inches, should be at a depth of three to four feet. Directional boring for underground conduit installation was completed and a 3” PVC line and 2” PVC conduit line was installed. • A Scope of Work is being prepared for replacement of control wires for the existing line and activation of the new system. • Quotes will be presented to the Committee for approval at a future meeting. VIII. OLD BUSINESS The removal of two pieces of equipment from a grassy area between Bluebill Avenue and Vanderbilt Towers created a hole in which water accumulates. Approximately 130 feet of curbing to alleviate the issue will be installed. IX. NEW BUSINESS A. BY LAWS APPROVAL The Committee agreed to review the By Laws at the October 4, 2018 meeting. B. POSSIBLE NEW PROJECTS Mr. Sells introduced concepts for future improvements to the Vanderbilt Beach M.S.T.U. for Committee consideration including: • Street Lights Street lights will be considered as a future project on completion of Phases II and III construction. • Park Benches Additional benches will be considered for installation on completion of the County’s utility project. • Trash Cans on Vanderbilt Drive Trash cans placed next to benches will be considered on completion of utility construction. The Landscaping contractor would be responsible for trash removal weekly with the costs incorporated into the landscaping contract. • Refurbishment of Vanderbilt Drive Landscape This project will be considered upon completion of Public Utility construction and the underground utility project. • Sidewalks east and west side of Gulf Shore Drive This project requires designing and fund allocation and the sidewalks must conform to codes and be ADA compliant. • Trees in ROW Finger Streets A resident’s proposal to plant trees on one or both sides of the finger streets will be considered. 5 September 6, 2018 Vanderbilt Beach MSTU X. PUBLIC COMMENT AND BOARD COMMENTS Conner Park Landscape Project In response to Mr. Spinelli’s, 477 Flamingo Avenue, query regarding the M.S.T.U.’s plans to remove vegetation along the bank as part of the Conner Park Landscape Refurbishment, Mr. Sells and Mr. McGee noted: • Three large trees on the north side of the fence, by the canal, and Mangroves will remain. • Habitat for marine species such as Manatees will be protected. • Exotic vegetation and storm debris will be removed. • The proposed Clusia hedge by the fence will provide privacy for homeowners. Mr. Sells will apprise homeowners on project status as it progresses. Street Signs The Committee requested Street Signs be included as a discussion topic for a future meeting. XI. Commencement of Work. Applicant shall perform the Work, or any portion of the Work, only upon receipt of a notice to proceed containing the approved drawings, specifications and instructions from FPL ("Notice to proceed"). Applicant shall not make any substitution of any contractor for the performance of Work unless the substitution is approved by FPL in writing. The Applicant's contractor(s) shall perform ALL work as outlined within Exhibit a & Exhibit B. No contract or purchase order between Applicant and its contractor(s) shall bind or purport to bind FPL, but each contractor entering into a contract with Applicant with respect to the Work shall name FPL as an intended third-party beneficiary and include a provision permitting its assignment to FPL upon FPL's written request, following default by Applicant or te1mination or expiration of this Agreement. Applicant shall provide FPL with written certification from each of its contractors performing Work that all warranties, guarantees and obligations of such contractors are equivalent or better than those granted by such contractor to FPL for similar work and shall require that each such contractor name FPL as an intended third party beneficiary of such warranties, guarantees and obligations with the same rights of enforcement as Applicant. Applicant shall assign all representations, warranties, guaranties, and obligations of all contractors at the request and direction of FPL, and without recourse to Applicant, to FPL upon default by Applicant or termination or expiration of this Agreement; provided, however, that, notwithstanding such assignment, Applicant shall be entitled to enforce each such representation, warranty, guaranty, and obligation so long as Applicant has any liability under this Agreement. Applicant hereby assigns to FPL, effective as of the termination or expiration of this Agreement, all representations, warranties, guaranties and obligations of all Contractors. 6. Right of Entry. FPL reserves the right, together with its agents or designees to enter the Jobsite as it may elect for the purpose of inspecting the Work, or constructing or installing such collateral work as it may desire, or testing, boring or surveying, or any other purpose. 7. Inspection and Correction of Deficiencies. Page 3 of 7 (Rev. 10/23/06) 7.1. All Work shall be properly inspected and tested, if appropriate, by Applicant and shall at all times be subject to additional inspection by FPL and its designee(s). 7.2. Neither the failure to make such inspection, nor the failure to discover defective workmanship, materials, or equipment, nor approval of or payment to Applicant for such Work shall prejudice the rights of FPL thereafter to c01Tect or reject the same. 7.3. Applicant shall correct any deficiencies found with the Work, including but not limited to discrepancies that are inconsistent with FPL' s design, instructions, standards or specifications within te n (10) business days. If Applicant does not adequately rectify the identified deficiencies in the required timeframe, FPL may, at its sole discretion, perform, or have performed by its contractor the required repairs and Applicant shall pay FPL for any costs incurred. These requirements apply whether the discovery of deficiencies occurs while Applicant is performing its Work or while FPL, or its contractor, is performing its portion of the work. 7.4. If any Work or part thereof is covered over contrary to the requirements of this Agreement or the written request of FPL, it must, if required by FPL, be uncovered for observation and inspection and covered again at Applicant's sole expense. 7.5. If any Work that FPL has not specifically requested to observe and inspect prior to being covered has been covered, FPL may request to see such Work or part thereof and it shall be uncovered by Applicant. If such Work or part thereof is found to be in accordance with this Agreement, the cost of uncovering and covering again shall be paid by FPL. If such Work or part thereof fails to meet the requirements of this Agreement, Applicant shall pay all costs of uncovering, correcting, and covering again 7.6. Applicant shall pay FPL for all time spent reviewing and inspecting Applicant's Work. 7.7. No electric customers shall be connected to the Underground Facilities prior to all deficiencies being rectified. 8. Indemnity I Liability of Applicant. 8.1. Applicant shall protect, defend, indemnify and hold FPL free and unharmed from and against any liabilities whatsoever resulting from or in connection with this Agreement, the Conversion or in connection with the performance of the Work by the Applicant, its employees, Contractors or Contractor employees, whether or not such liabilities are due to or caused in whole or in part by negligence of FPL; including but not limited to payment disputes between contractor and Applicant. 8.2. Applicant shall assume full responsibility for all damages and all restoration arising in connection with the Work. 9. Design Work FPL shall provide all design, instruction, standards and specifications necessary to perform the Conversion. 10. Completion of Work and Ownership. Applicant shall complete the Work by , 2018 and notify FPL when said Work is complete. Upon FPL's final written approval of the completion of the Work ("Acceptance"), Applicant acknowledges that all rights, title and interest, free and clear of all liens, in and to the Work shall vest in FPL. If requested by FPL, Applicant shall provide FPL, in a form acceptable to FPL, an affidavit of Applicant certifying payment of all indebtedness to all Contractors and a written release of liens from Applicant and each Contractor. 11. No Liability by FPL . FPL assumes no liability due to any damage, misunderstanding of installation drawings or specifications, or any actions due to Applicant or its Contractor. 12. Suspension for Cause; 12.1. FPL may at its sole discretion, by Notice, temporarily suspend the Work, or any portion thereof, under this Agreement when the performance by Applicant or its contractor is unsatisfactory by FPL to obtain the results required by this Agreement. 12.2. The methods by which Applicant performs its Work are entirely the responsibility of Applicant. FPL's right to suspend Work is intended solely to verify that the Work being performed by Applicant and its Contractor conforms to the design, instruction, standards and specifications and shall not obligate FPL to review the efficiency, adequacy or safety of Applicant's or its Contractors methods or means of operation or construction. 12.3. Any additional costs incurred by Applicant resulting from such suspension shall be borne solely by Applicant if suspension is a result of applicant’s failure to perform to FPL’s standards. 12.4. When an Applicant Immediately corrects an unsatisfactory condition FPL shall authorize resumption of the Work . Applicant's failure to immediately effect correction of the unsatisfactory conditions shall be cause for termination of this Agreement. 13. Termination for Cause: 13.1. FPL may, upon Notice to Applicant, and without prejudice to any remedy available to FPL under law, in equity or under this Agreement, terminate the whole or any part of this Agreement for cause and take possession of the Work without termination charge, penalty or obligation in the event Applicant fails to perform a material obligation under this Agreement and fails to cure such material obligation default within a reasonable pe1iod of time, but in no event more than ten (10) Page 4 of 7 Page 5 of 7 (Rev. 10/23/06) business days, after Notice from FPL specifying the nature of such default (any such termination referred to as a "Termination for Cause"). 13.2. In the event of Termination for Cause by FPL, Applicant shall: a. Unless instructed othe1wise in the Notice, immediately stop all Work hereunder; b. Issue no further contracts except with the prior written consent of FPL; c. Assign to FPL, to the extent requested by FPL, all rights of Applicant under contracts outstanding; d. Terminate, to the extent requested by FPL, outstanding contracts; e. Fully cooperate and refrain from hindering or interfering in any manner with any other persons or parties currently or prospectively performing the Work; and f. Take any other action toward tem1ination, or toward preservation of the Work, that FPL may direct. 13.3. Upon a Termination for Cause, all obligations of FPL hereunder shall terminate effective immediately. Upon such Termination for Cause, FPL may either rework or take over the terminated Work and proceed to provide such materials, supplies, equipment and labor of both FPL and FPL contractors, as may be reasonably necessary to complete said Work. FPL may have any partially fabricated portion of the Work removed from Applicant's or contractor's facilities upon Notice to Applicant. Applicant shall be liable for any increase of FPL's costs, including rework costs, incurred by FPL as a result of FPL's termination of the contract for cause. 13.4. In the event of Termination for Cause, FPL shall have no liability to Applicant for costs incurred by Applicant as a result of such termination. 14. Termination Prior to Construction. Applicant may terminate this Agreement at any time prior to the start of construction. If Applicant elects to still complete the Conversion, then the Contribution-In-Aid-of-Construction (CIAC) amount provided in the Conversion Agreement shall be revised accordingly. The revised Conversion Agreement must be executed and any additional CIAC due received by FPL prior to the start of construction. 15. Assignment. This Agreement is not assignable. 16. Applicant’s Payments to FPL. Any monies that are owed by Applicant to FPL under this Agreement shall be paid to FPL within thirty (30) days of FPL producing an invoice. As used herein, the term "Notice" shall mean any formal written correspondence providing notice of action, purpose, intent or the like given under the provisions of this Agreement. Unless otherwise provided in this Agreement, Notice shall be delivered in person, by courier or by certified mail and shall be effective when received. General correspondence is not categorized as Notice. Exhibit B WR # 5686943 Standards and Specifications 1 VANDERBILT BEACH BEAUTIFICATION MUNICIPAL SERVICE TAXING UNIT (MSTU) ADVISORY COMMITTEE BY LAWS ARTICLE I Name The name of this Advisory body shall be the Vanderbilt Beach Beautification Municipal Service Taxing Unit (MSTU) Advisory Committee ARTICLE II Jurisdiction The Advisory Committee shall function as an advisory body to the Board of County Commissioners (BCC) and is governed under Ordinances 96-84 as amended. The Committee will make recommendations to the BCC in matters related to Beautification Projects in the Vanderbilt Beach MSTU area, pr eparation of bid documents, management of contracts, and managing the annual budget. The BCC shall have the final authority over the actions of the MSTU. ARTICLE III Officers and their Duties Section 1. The officers shall consist of a Chair and Vice-Chair. Section 2. The Chair shall preside at the meetings and shall have the duties normally conferred by parliamentary usage of such officers. Section 3. The Chair may call special meetings, appoint subcommittees, and act as a liaison with government bodies and other related committees. Section 4. The Chair shall have the privilege of discussing all matters before the Committee and shall have the same voting rights as all Committee members. Section 5. The Vice-Chair during the absence of the Chair or the Chair’s inability to serve, exercise all of the duties and powers of the Chair. Section 6. The full Committee may participate in the election process and vote. Section 7. The Advisory Committee shall adopt procedures by which it shall operate. ARTICLE VI Election of Officers Sections 1. Nomination of Chair and Vice-Chair shall be made from the floor at the annual organization meeting in February of each year, and the election shall be held immediately thereafter. 2 Section 2. A candidate receiving the majority vote shall be declared elected and shall serve a term of one (1) year, or until a successor shall take office. An Officer is eligibility for reelection if the term of the Advisory Committee is extended. Section 3. Vacancies in the position of Chair and Vice-Chair shall be filled immediately by regular elections procedures. Section 4. The Chair of Vice-Chair may be removed by a super majority of the Committee with or without cause. ARTICLE V Committee Structure and Meeting Requirements Section 1. The Vanderbilt Beach Beautification MSTU Advisory Committee shall consist of five (5) members. Section 2. Committee Appointments - Appointment of members to the Advisory Committee shall be by resolution of the BCC, which resolution shall set forth a date of appointment. Each appointment shall be for a term of three years. Appointments to fill any vacancies on the Advisory Board shall be for the remainder of the unexpired term. Section 3. Regular Meetings – Regular meetings of the Advisory Committee shall be held on the first Thursday monthly at the Claussen Family Center of St John’s Church, 625 111th Ave, Naples, FL 34108. The meetings will begin at 2:00 p.m. If a regular meeting is required to be held at a time and location other than what is specified herein, notice will be provided at least 72 hours prior to the meeting and posted on the County website. Section 4. Special Meetings – Special meetings of the Advisory Committee may be convened by the Chair upon giving notice thereof. Section 5. Notices – Notices of an Advisory Committee meeting shall be given to all members and to the Public at least seventy-two (72) hours in advance of the meeting. At any meeting, the Committee may set a future meeting date. Staff may provide notices and agendas to members at least seventy-two (72) hours prior to meetings. Section 6. Attendance – Members may notify the Staff Liaison if they cannot attend a meeting. If a member misses two (2) successive Committee meetings without a satisfactory excuse, he/she may forfeit his/her appointment. Attendance is preferred in person but may occur telephonically provided that (1) there is a quorum of the Committee members physically present; and (2) the members who are present both authorize the participation by telephone and find that the absence was due to “extraordinary circumstances.” Once approved to participate, the absent member can conduct themselves in the same manner as if they were present, including making motions and voting on items. 3 Section 7. Quorum – A quorum of the Advisory Committee shall consist of three (3) members and an affirmative vote of a majority of those present and voting shall be necessary to pass any motion. In the absence of a quorum, those members present may review the agenda items and make recommendations that may be reviewed for approval by the Advisory Committee at its next meeting where there is a quorum present. Section 8. Voting – Voting shall be by voice vote, or show of hands, if necessary, and may be recorded by individual (or group). Section 9. Meetings - All meetings shall be open to the public to encourage public awareness and participation. Section 10. Minutes - Minutes shall be taken at all Advisory Committee meetings. Voice recording of meetings is acceptable. A written record of meetings, resolutions, findings and determinations shall be kept for the Advisory Committee. Section 11. Documents - The Public Transportation and Neighborhood Enhancement staff shall assist with preparation, duplication, and distribution of materials necessary for meetings. Copies of all Advisory Committee minutes, resolutions, reports and exhibits shall be submitted to the Clerk’s Office and posted on the County Website for public viewing. Section 12. Except as otherwise provided in these Bylaws, Roberts Rules of Order shall be followed at all meetings. Section 13. Agendas – Agendas are set by the Chair with coordination with the Staff Liaison. Members may send agenda items request to the Staff Liaison prior to the publishing of the Agenda. Otherwise, the agenda may be change at the meeting prior to approval of the Agenda.
