THIS AMENDMENT, dated l / ( >I P / 2012, to the above - referenced
Agreement shall be by and between the parties to the original Agreement between "Immokalee Non -
Profit Housing, Inc. D /B /A Immokalee Housing & Family Services (IHFS)" a private not - for - profit
corporation existing under the laws of the State of Florida, having its principal office at 2449 Sanders
Pines Circle, Immokalee, Florida 34142, and its Federal Tax Identification number as 59- 2716833 and
DUNS #84- 985 -5549, ( "DEVELOPER/SPONSOR "), and Collier County, a political subdivision of
the State of Florida, (to be referred to as "COUNTY. ")
RE: HUD Grant # M- 10 -UC -12 -0017, Energy Efficiency Upgrades
The following changes to the above referenced Agreement have been mutually agreed to by the
Subrecipient and the County. The additions to the existing language in the Agreement are shown
herein by underlining; deletions from the Agreement are shown by s4ikedffettghs-.
III. TIME OF PERFORMANCE

The effective date of this Agreement between IHFS and Collier County shall be June 14, 2011.
The terms of the Agreement between HUD and Collier County, dated July 1, 2010 _. are also
applicable to DEVELOPER/SPONSOR ". The services of the DEVELOPER/SPONSOR shall

VI. GENERAL CONDITIONS
C. LOCAL AND FEDERAL RULES REGULATIONS AND LAWS
26. Compliance - Compliance with the provisions of Section 3 of the HUD Act of 1968, as
amended and as implemented by the regulations set forth in 24 CFR 135, and all
annlicable rules and orders issued hereunder prior to the execution of this contract, shall

be a condition of the Federal financial assistance rovided under this contract and
binding �upon the Grantee the Developer /Sponsor and any of the Developer /Sponsor 's
subrecipients and subcontractors Failure to fulfill these requirements shall subject the
Grantee the Developer /Sponsor and any of the Developer /Sponsor's subrecipients and
subcontractors their successors and assigns to those sanctions specified by the
Agreement through which Federal assistance is provided The Developer /Sponsor
certifies and agrees that no contractual or other disability exists that would prevent
compliance with these requirements.
The Developer /Sponsor further agrees to comply with these "Section 3" requirements
and to include the -following language in all subcontracts executed under this
Agreement:
"The work to be performed under this Agreement is a project
assisted under a program providing direct Federal financial
assistance from HUD and is subject to the requirements of
Section 3 of the Housing and Urban Development Act of 1968, as
amended (12 U.S.C. 1701) Section 3 requires that to the greatest
extent feasible importunities for training and employment be
given to low and very low - income residents of the protect area,
and that contracts for work in connection with the protect be
awarded to business concerns that provide economic
opportunities for low- and very low-income persons residing in
the metropolitan area in which the project is located."
The Developer /Sponsor further agrees to ensure that opportunities for training and
employment arising in connection with a housing rehabilitation (including reduction
and abatement of lead based paint hazards) housing construction, or other public
construction project are given to low- and very low- income persons residing within the
metropolitan area in which the CDBG - funded project is located-, where feasible, priority
should be given to low- and very low - income persons within the service area of the
project or the neighborhood in which the project is located and to low- and very low-
income Rarticipants in other HUD programs-, and award contracts for work undertaken
in connection with a housing rehabilitation (including reduction and abatement of lead -
based paint hazards) housing construction or other public construction protect to
business concerns that provide economic opportunities for low- and very low- income
persons residing within the metropolitan area in which the CDBG - funded protect is
located-, where feasible priority should be given to business concerns that provide
economic opportunities to low- and very low - income residents within the service area
or the neighborhood in which the project is located and to low- and very low -income
participants in other HUD programs.
The Developer /Sponsor certifies and agrees that no contractual or other legal incapacity
exists that would prevent compliance with these requirements.
a. Notifications
The Developer /Sponsor agrees to send to each labor organization or
representative of workers with which it has a collective bargaining agreement or

other contract or understanding if any a notice advising said labor organization
or worker's re resentative of its commitments under this Section 3 clause and
shall post copies of the notice in conspicuous places available to employees and
applicants for employment or training.
b. Subcontracts
The Developer /Sponsor will include this Section 3 clause in every subcontract
and will take appropriate action pursuant to the subcontract upon a finding that
the subcontractor is in violation of regulations issued by the grantor agency. The
Developer /Sponsor will not subcontract with any entity where it has notice or
knowledge that the latter has been found m violation of regulations under 24
CFR Part 135 and will not let any subcontract unless the enti has first provided
it with a prelimingg statement of ability to comply with the requirements of
these regulations.

ENERGY EFFICIENCY UPGRADES
A. PROJECT SCOPE:
On April 27th, 2010, the Board of County Commissioners approved the HUD Action Plan
allocating funding for this initiative. Home Investment Partnerships Program (HOME) funding
will be used for the installation of new air conditioners and water heaters in
34 single family homes located at Timber Ridge in Immokalee, Florida.
In the Action Plan the intended outcome is to provide funding for energy efficient upgrades to
34 affordable rental units (refer to Exhibit C for a complete listing of addresses for all 34 units)
using HOME funds in collaboration with Immokalee Housing and Family Services. The grant
funding will cover all costs associated with the removal, replacement and installation of Energy
Efficient hot water heaters, and Central Air Conditioning units, including, but not limited to,
equipment, as needed duct work, permits, inspections, labor and other related materials.
The detailed project scope will be contained in the bid specifications of the vendor. The
contract will include details sufficient to document the number, amount and costs associated
with all activities.
The project activities will meet the U.S. Department and Housing and Urban Development's
national objective to provide decent housing.

The DEVELOPER/SPONSOR agrees that this amends the original Agreement. All other terms
and conditions of the Agreement shall remain in force.
