EXECUTIVE SUMMARY
Recommendation for the Board of County Commissionel's to enter into a Landscape Maintenance
Agreement with The Shores at Berkshire Lakes Master Homeowner's Association, Inc. for work
performed along Easement along Santa Barbara and Radio Road (hereinafter referred to as
"Easement").
OBJECTIVE: To obtain approval from the Board of County Commissioners for the Chairman of the
Board of County Commissioners to sign a Landscape Maintenance Agreement with the Shores at
Berkshire Lakes Master Homeowner's Association, Inc. for work perfonned along Easement along Santa
Barbara and Radio Road (hereinafter refcrred to as "Easement").
CONSIDERATIONS: On March 2S, 200S, thc Shores at Berkshire Lakes Master Homeowner's
Association entered into an agreement with the Board of County Commissioners where the Association
has agreed to fund a separate contract with thc County's Santa Barbara Boulevard noise wall contractor to
extend the noise wall from the eastern boundary of The Shorcs at Berkshire Lakes community. The
Association agreed to deed to County a fifteen foot wide strip of right of way along Radio Road.
The Shores at Berkshire Lakes Master Homeowner's Association through the original agreement
acknowledges all responsibilities fi)r continuing and perpetual maintenance of the required landscaping
and in-igation. As a condition to the original agrcement, the Association is required to prepare landscape
architectural plans and enter into a landscape maintenance agreement for the landscaping along the noise
wall, In addition, the association is responsible for all future wall maintenance responsibilities.
The landscape and wall maintenance agreement satisfies the conditions of the original agreement.
FISCAL IMPACT: The Shores at Berkshire Lakes Master Homeowner's Association is responsible for
all permitting and associated recording fees.
LEGAL CONSIDERATIONS: This item has been review cd and approved by the County Attorney's
Office and is legally sufficient for Board action~SRT.
GROWTH MANAGEMENT IMP ACT: There is no Growth Management Impact associated with this
Executive Summary.

LANDSCAPE MAINTENANCE AGREEMENT
This Landscape Maintenance Agreement is entered into this 14th day of December, 2010,
by and between Collier County, Florida, a political subdivision of the State of Florida whose
mailing address is 3301 Tamiami Trail East, Naples, FL 34112 (hereinafter referred to as the
"County"), and The Shores at Berkshire Lakes Master Homeowner's Association, Inc., whose
mailing address is 7845 Berkshire Pines Drive, Naples, FL 34104 (hereinafter referred to as the
"Association").
RECITALS:
WHEREAS, County is the owner of that certain right-of-way located in Collier County,
Florida and known as Easement along Santa Barbara and Radio Road (hereinafter referred to as
"Easement") and more particularly described in Exhibit "A" to this Agreement.
WHEREAS, Section l-A-1 of the Construction Standards Handbook for Work Within
The Puhlic Rights-Of-Way, Collier County, Florida (2009) provides as follows:
Permitting
The responsible property owner or his authorized agent must apply for a "Permit
to Perform Work andlor Maintenance in Public Right-ofway. "
WHEREAS, Section 1: Planning and Development of the Landscape and Irrigation
Specifications for Beautification Improvements within the Public Right-of-way, Collier County,
Florida (2009) provides as follows:
Imvrovements to unimproved medians in the right of way: A private owner, Developer
or civic or homeowners' association desiring to landscape within a public right-of way
shall submit landscape and irrigation construction documents prepared by a licensed
landscape architect for County review, The Permit application shaY include three (3)
sets of detailed plans indicating the existing right-of way facilities and the type and
location of the proposed plantings. location of electrical and irrigation systems(s).
After acceptance of the landscape and irrigation plans, a landscape agreement shall be
prepared by the contracting parties and approved by the County Attorney's Office. ...
The purpose of the landscape agreement is to ensure that the permittee, or his
successors or assigns, shall be responsible to maintain such material and irrigation
system until removed or unless otherwise Jpecified.
WHEREAS, in keeping with the above, the Association has applied for a Landscaping
Permit within the Public Right-of-Way, and has submitted landscape and irrigation construction
documents prepared by a licensed landscape architect for County review. A copy of this Permit
and the plans are attached hereto as Schedule "A." The Association shall follow the Collier
County Maintenance specifications attached as Schedule "8,"
NOW, THEREFORE, in consideration of the covenants contained herein, the parties

agree as follows:
I. Subject to the issuance of all necessary Permits, County hereby grants to the
Association the right to use those portions of the easement depicted in Schedule "A," for the sole
purpose set forth in Schedule "A."
2. The Association agrees to construct and maintain the improvements set forth in
Schedule "A" (hereinafter referred to as "Improvements") at its sole cost and expense, until such
time as the County executes a release from indemnification as discussed below.
3. Should the Association fail to construct or maintain the Improvements in accordance
with Schedule "A," Permit requirements or as otherwise provided by law, the County may
provide notice to the Association in writing, specifying the nature of the deficiency. Within
seven (7) working days following receipt of such notice, the Association at its sole cost shall
cause the appropriate repairs or cure to be effected. In the event damage to, or failure to
maintain the Improvements results in a situation where public safety is at risk, (I) the
Association shall effect repairs within twenty-four hours of receipt of the County's written
notice, or (2) the County may, at its option, effect repairs to the Improvements, without the need
for prior notice to thc Association, and will promptly bill the Association for all actual costs
incurred in effecting the repairs, The Association shall reimburse the County for such costs
within thirty days of receipt of the County's bill.
4. Tbe Association, as Indemnitor hereunder, shall indemnify and save harmless the
County, as Indemnitee hereunder, including all employees of the County, from any loss or
damages Indemnitee may suffer as a result of claims, suits, demands, damages, losses, fines,
penalties, interest, expenses, costs, or judgments, including attorneys' fees and costs ofIitigation,
against the County arising out of the Association's use of the Road for the purposes set forth in
this Agreement, including the construction and removal of the Improvements. The Indemnitee
shall not undertake to settle any lawsuit or threatened lawsuit that could give rise to Indemnitor's
obligation hereunder without the prior consent of Indemnitor, such consent to not be
unreasonably withheld,
5, The indemnity provided for by this Agreement will extend from the date of this
Agreement until such time as the parties hereto acknowledge in writing that the Association has
ceased to use the easement for the purposes stated within this Agreement and the easement has
been restored as set forth below, at which time, following receipt of the Association's written
request, the County will execute a release from indemnification in favor of the Association.
6, Indemnitee agrees to give Indemnitor written notice of any claims filed against the
County in connection with this Agreement, within thirty days of the date that County is aware of
such claim.

7. Unless terminated as set forth below, this Agreement shall remain in full force and
effect in perpetuity from the date first set forth above, and shall be binding upon the parties and
all their successors in interest. The Agreement may be freely terminated as of right by either
party, with or without cause, upon written notice to the other. If the Association exercises this
right, or if the County exercises this right based upon the Association's substantial breach of this
Agreement, then upon written demand by County, the Association, at its sole cost and expense,
shall remove the Improvements and will restore the easement to the condition that existed
immediately prior to the effective date of the Agreement. If the County exercises this right, or if
the Association exercises this right based upon the County's substantial breach of this
Agreement, then the County will be responsible for any removal of the Improvements or
restoration of the easement. Except for the above, neither party will be liable to the other for any
damages or claims resulting from the termination of this Agreement.
8. In the event either party hereto shall institute legal proceedings in connection with,
or for the enforcement of, this Agreement, the prevailing party shall be entitled to recover its
costs of suit, including reasonable attorney's fees, at both trial and appellate levels.
9. This Agreement may be recorded by the County in the Official Records of Collier
County, Florida. The Association shall pay all costs of recording this Agreement prior to the
execution of this Agreement. A copy of the Recorded Agreement will be provided to the
Association by the County.
10. This Agreement is the entire agreement between the parties, and supersedes all
previous oral and written representations, agreements and understandings between the parties.
This Agreement shall be governed by the laws of the State of Florida, and may not be altered or
amended in any way, save by written agreement signed by both parties.
II. The rights and obligations of this Agreement shall bind and benefit any successors
or assigns of the parties.

RIGHT OF WAY LANDSCAPE MAINTENANCE SPECIFICATIONS
These specifications are intended to provide the information by which private entities may understand the minimum
requirements of Collier County relative to maintaining County rights of ways. Records of all specification requirements shall
be kept and made available to the County's representative upon request.
A. MOWING AND EDGING: Mowing and edging shall include medians as well as tho~e~areas, if existing, along the
outside edge of the sidewalks of adjacent properties. All turf shall be mowed with mulChing 'type mower equipment
to eliminate the need to bag and transport grass chppings. Should bagging be nec~ssary, the b~gged clippings shall
be collected and removed at no additional cost. Grass shall be cut at a heighti>ftl1ree and o?$I1~lf inches (3 1,").

During the first week. of October and April, ornamental grasses, such as Fountain grass, Florida Gamma or
Fakahatchee grass shall be pruned in a pyramid shape to a twelve inch (12") or twenty. four (24") height based upon
the type of pl;;tnt, Ornamenlallype grasses such as Liriope muscari 'Evergreen Giant', shall only be pruned at the
dir~9tiOIrand approval of the County's representative.
Plant material with a canopy over pedestrian sidewalks shall be maintained at a minimum height of one hundred
twenty iq<;hes (120"). Shrubs and groundcovers adjacent to pathways or sidewalks shall be pruned to maintain one
foot (1 ') ofclearailce from the edge of the pathway. IT is recommended that adjacent shrubs and groundcovers be
maintained sO that they angle or are rounded away from the pathway.
D. TRASH REMOV AL: With each service, all sites shall be cleaned hy removing all trash or debris to include, but
not limited to; paper, bottles, cans, other trash, and horticultural debris. All debris or trash pick-ups shall be
perfonned "prior" to mowing in all turf areas. The disposal of all trash and debri~ must be at a proper landfill or
disposal site.

E. STREET CLEANING/SWEEPING: Street Cleaning: A four foot (4') wide area measured from the face of the
curb and gutlers including turn lanes shall be cleaned with each site service to remove any accumulation of debris or
objectionable growth so to maintain a neat and safe condition.
F. TRAFFIC CONTROL: The developer shall comply with the requirements of Collier County Maintenance of
Traffic (MOT) Policy, copies of which are available through Risk Management or the Purchasing Department. The
Developer shall obtain and review the County MOT policy requirements prior to submitting a bid.
The Developer \\'ill be responsible for obtaining copies of all required manuals, MUTeD, FDOT Roadway &
Traffic Design Standard Indexes, or other related documents, so to become familiar with the requirements. Strict
adherence to the requirements of the MOT policy will be enforced under this Contract.
To assist in employee visibility; approve bright day glow red/orange colored safety
employees when servicing the area.
G. CANOPY TREE AND PALM PRUNING: For this sile, canopy trees shall be defined ~s any large slnup, tree, or
palm with foliage above a ten-foot (10') level.

All canopy trees and palms shall be pruned on a continuous basis to create and maintain a seVenteen-foot (IT)
canopy clearance over the roadways and a ten-foot (10') canopy clearance over all pathways. Canopy trees shall be
selectively pruned tw'ice per year in April and September so to thin the interior canopy ,of cross branching and to
shape the canopy of the trees. The County's representative shall approve a professional licensed to prune tress
under the direction of a Licensed Landscape Architect~Arborist, Tree Surgeori,or other approved professional shall
do the pruning and sharpening. The work shall be performed per ANSI AS300 "Standard Practices for Trees,
Shrubs, and other \Voody Plant Maintenance" and done in a professional manner in accordance with "'Pruning
Standards" of the national Arborist Association or accepted locallrade standards and practices.

Palms shall be pruned annually during June of each year. The palms shall be pruned to a "'Tropical Cut" or to a nine
(9) o'clock- three (3) o'clock angle from the horizontal at the base of the palm's bud or lowest fronds.
Approximately seven (7) to (10) ten green fronds shall be left at the head after pruning. The pruning shall include
removal of alllluts, seed stalks, brown or dead and lower fronds.
The work shall be done in a professional mmmer in accordance with acceptable trade standards and practices. The
palms shall not qe climbed wilh tree spikes to remove the 1i'onds. The pruning shall be accomplished by the use of a
ladder, boom truckor lift. All debris from the pruning shall be removed and the site shall be left on a clean and neat
manner.
When the annual or bi-annual heavy pruning work is being performed with the use of a lift or boom truck, it is
required that the adjacent traffic or lum lane to the work area, be closed using traffic control devices and signage per
the CUITent FDOT traffic control standards and indexes.
II. FERTILIZATION: Granular fertilization of shrubs and groundcovers shall be applied by hand in a twelve-inch
(12") wide radius ring around lhe base of the plants. Granular fertilization of the trees and palms shall be
delermined by the caljper (diameter) of the trunk and broadcast by hand in a band~round the plant's base from a
distance of 12" to the drip line orthc palm, whenever possible.
An 8 02. cup equals olle (1) pound. Trees and palms shall receive one (1) cup perone-inch (1") caliper. Shrubs and
groundcovers shall receive one (l) cup per three foot (3 ') of height or spread. Shrubs and groundcovers shall receive
(me-half (1/2) cup per eighteen inches (18") of height or spread. All fertilizer shall be swept off all sidewalks,
concrete curbing and paving.
The fertilizer shall be applied as sct fOlth in the following schedule.

The (13.3.13) fertilizer shall be applied at a rate often (10) pounds per one thousand (1000) sq ft. for all areas. Four
applications of(13.3.13) fertilizer will be applied yearly during the months of February, May, July, and October.
Palms: Developer shall apply approved by County's representative palm fertilizer during February, May, July, and
October as specified below.
Should yellowing occur on the top of the fronds, manganese sulfate will be required and if on the lower fronds, SuJ-
Po~Mag or equivalent will be required to be applied with the palm fertilizer at the rates specified.
I. MULCHING: Organic Mulch Areas with no mulch or new planting areas shall have mulch placed to provide for a

comprised of common element lands to which title is held by The Shores at Berkshire Lakes

WHEREAS, County has conducted a study to determine whether or not portions of The
Shores at Berkshire Lakes community meet the criteria for pUblic funding of sound
attenuation barriers ("noise walis") in connection with the 6-laning or Santa Barbara
Boulevard; and
WHEREAS, only a portion of The Shores at Berkshire Lakes community's frontage on
Radio Road (between Station 259+70 and Station 265+92.70) qualified under said criteria for
public funding of noise walis; and
WHEREAS, Association desires to have the noise wali extended along ils Radio Road
frontage from the easterly terminus of the publicly funded noise wali to the, eastern boundary
of The Shores at Berkshire Lakes community; and
WHEREAS, Association has agreed to fund a separate contract with the County's
Santa Barbara Boulevard noise wali contractor to extend the noise wali from Station
265+92.70 to the eastern boundary of The Shores at Berkshire Lakes community
(hereinafter referred 10 as the "Privately Funded Privacy Wali'); and
WHEREAS, Association agrees to deed to County a fifteen (15) foot wide strip of right.
of-way along Radio Road (see Exhibit "A," hereinafter referred to as "Right-of,Way") within
which a Privately Funded Privacy Wali may be constructed; and
WHEREAS, Association agrees to pay for the cost of recording the deed for the Right.
of-Way in the public records and to pay all documentary stamp taxes in connection therewith;
and
WHEREAS, Association acknowledges that it will be responsible for continuing and
perpetual maintenance of not only the interior but also the exterior surfaces of the Privately
Funded Privacy Wali; and
WHEREAS, Association acknowledges that County will have no obligation whatsoever
for the maintenance and/or repair of the Privately Funded Privacy Wall; and
WHEREAS, Association agrees to instali and maintain landscaping and irrigation
outside the Privately Funded Privacy Wali section consistent with the requirements of the
Collier County Land Oevelopment Code (LDC).
NOW, THEREFORE. in consideration of these premises, the sum of Ten Dollars
($10.00), and other good and valuable consideration, the receipt and sufficiency of which is
hereby mutually acknowledged. it is agreed by and between the parties as foliows:
1. All of the above RECITALS are true and correct and are hereby expressly incorporated
herein by reference as if set forth fuliy below. and ali Exhibits referenced herein are
made a part of this Agreement.

2. Association shall convey to County the Right-ol-Way free and clear 01 all liens and
encumbrances within thirty (30) days 01 the effective date 01 this Agreement. This
conveyance is conditioned upon the completion of lhe Privately Funded Privacy Wall
as proposed. In the event the Association is unable to permit and construct the
Privately Funded Privacy Wall within twelve months of this Agreement and makes
written request 01 the County, County will deed the Right-of-Way back 10 the
Association.
3. Association shall pay all recording costs, documentary stamps, and costs associeted
with the release or subordination of all existing liens or encumbrances on the Right-ol-
Way.
4, Association may contract with County's wall contractor, separate and apart from
County, lor construction 01 a privately-funded privacy wall within the proposed Right.of-
Way from Station 265+92.;70 to the eastern boundary of The Shores at Berkshire
Lakes Community, County is under no obligation to coordinate or facilitate the
construction of the Privately Funded Privacy Wall.
5. In the event that Association elects to fund construction of the Privately Funded Privacy
Wall referenced in Paragraph 3 (above), it shall first apply lor a Collier County Right-ol-
Way Permit and agree to abide by all the conditions thereol. As an express condition
of the Right-ol-Way Permit, Association shall indemnify County against any claims
arising out 01 the construction and future maintenance of the Privately Funded Privacy
Wall by Association, its successors and assigns. Prior to commencement of wall
construction, Association shall submit to the County's Transportation Division LDC-
compliant landscaping and irrigation plans prepared by a licensed landscape architect,
as well as plans and/or shop drawings of the proposed Privately Funded Privacy Wall,
signed and sealed by a licensed professional engineer, attesting to the wall's
compliance with all applicable building codes.
6. After completion of the Privately Funded Privacy Wall, and all associated
improvements, including landscaping and irrigation, Association will enler into a
standard County Landscape Maintenance Agreement for the perpetual maintenance 01
all improvements, including the wall, constructed within the Right-of-Way.
7. All design, permitting and conslruction activities are the sole responsibility 01 the
Association and will be in compliance with all state and local laws and regulations.
County makes no express or implied representations about the permiltability of the
Privately Funded Privacy Wall. The Association understands that certain code
requirements need to be met and that transfer of the Right-of-Way may result in non-
compliance with existing Preserve requirements. The parties hereto acknowledge the
foregoing and agree that the terms of this Agreement shall not be construed, or are not
intended, as authorization for the permitting 01 the Privately Funded Privacy Wall or a
deviation or waiver of existing code requirements.
8. This Agreement and Ihe terms and provisions hereof shall be effective as of the dale
this Agreement is executed by both parties and may only be modified by written
amendment thereto.
9. This Agreement is conlingent upon no other provisions, conditions, or premises other
than those so stated above; and this written Agreement, including all exhibits attached
herelo, shall constitute the entire Agreement and understanding 01 the parties, and
there are no other prior or contemporaneous written or oral agreements, undertakings.

10. Association hereby releases, holds harmless, defends and indemnifies County for and
from any and all damages, claims, liabilities, actions, costs and expenses (including
without limitation reasonable paralegal and attorney's fees and costs), penalties or

fines incurred by or asserted against the County by reason or arising out of the
Associations, it's agents, contractors, or employees' performance hereunder.
11. This Agreement is not intended to create any rights, benefits or entitlements in any
person or entity who is not an undersigned party to this agreement. No third-party
beneficiary ciaims may be asserted on the basis of this Agreement.
12. This Agreement is governed and construed in accordance with the laws of the State of
Fiorida.
13. All obligations contained herein shall survive the recording of the deed.
