EXECUTIVE SUMMARY
Recommendation to approve the second amendment to the agreement between
Collier County and the Economic Development Council of Collier County for
continuation of the Economic Diversification Program by providing a contribution
to the EDC of up to $400,000 for Fiscal Year 2011, and authorizing the Chairman of
the Board of County Commissioners to sign the amendment on behalf of Collier
County.
OBJECTIVE: That the Board of County Commissioners approves the second
amendment to the Agreement between Collier County (County) and the Economic
Development Council (EDe), thus continuing the private/public partnership for economic
diversification and the associated funding of up to $400,000 for fiscal year 2011, and
authorizes the Chairman to sign the amendment on behalf of Collier County.
CONSIDERATIONS: The Board of County Commissioners (Board) has reviewed the
proposed FY 2011 Growth Management Division (Planning and Regulation) budget and
directed that an appropriation of $400,000 be included to continue the public/private
partnership between the County and the EDC, known as the Economic Diversification
Program. This program was initially establi shed in 1997 and has continued through the
current year. The Program's objective is to promote economic development initiatives
that diversify the County's economy, create high-wage value-added jobs, and enable
County residents to have meaningful opportunities for upward mobility while improving
the diversity and economic stability of Collier County.
The proposed second amendment to the executed agreement provides for a one-year
extension to the tenn, to continue from October I, 2010 through September 30, 2011,
unless earlier terminated. The Summary Budget (Exhibit "A" - attached) has also been
updated to reflect the date extension. The remaining terms and conditions are unchanged
and continue in full force and effect.
FISCAL IMPACT: The proposed FY 2011 budget provides an appropnatJon of
$400,000 of General Fund funding for the Economic Diversification Program through the
Economic Development budget managed by the Impact Fee Administration section of the
Growth Management Division. The EDC will be reimbursed up to a maximum of
$400,000 for expenses incurred beginning October 1, 2010, as prescribed in the attached
Agreement between the County and the EDe. The EDC is committed to providing a
minimum of $400,000 as the private sector participation in the Program.
GROWTH MANAGEMENT IMPACT: This request is consistent with Objective 3 of
the Economic Element of the Collier County Growth Management Plan which states:
"Collier County will support programs which are designed to promote and encourage the
recruitment of new industry as well as the expansion and retention of existing industries
in order to diversify the County's economic base," Additionally, the Board of County

Commissioners has identified economic diversification as a Strategic Goal that will serve
to strengthen the economic viability of Collier County.
LEGAL CONSIDERATIONS: The County Attorney's Office participated III the
preparation of this amendment which is legally sufficient for Board action. - JAK
RECOMMENDATION: That the Board of County Commissioners approves, and
authorizes its Chairman to sign, the second amendment to the Agreement between Collier
County and the Economic Development Council in order to continue the private/public
partnership for economic diversification and provide funding of up to $400,000 for fiscal
year 2011.

SECOND AMENDMENT TO AGREEMENT
THIS AMENDMENT to the Economic Diversification Program Agreement (the
"Agreement") is entered into this _ day of 2010, by and between Collier
County, Florida, a political subdivision of the State of Florida, through its Board of County
Commissioners (the "County") and the Economic Development Council, a Florida not-for-profit
corporation (the "EDC"),
RECITALS:
WHEREAS, the County and the EDC entered into an Agreement on September 9, 2008,
a copy of which is attached hereto, related to the public/private partnership between the County
and the EDC and the funding for the Economic Diversification Program; and
WHEREAS, on September 29, 2009, the parties agreed to extend the Agreement for an
additional year, which is the attached "First Amendment to Agreement" providing ,for an
extension to September 30, 2010; and
WHEREAS, the parties wish to extend the Agreement for an additional year on the
tenus and conditions set forth herein.
NOW, THEREFORE, in consideration of the premises and for good and valuable
consideration, receipt and sufficiency of which is hereby acknowledged by both parties, the
parties hereby agree to the changes as follows;
1. The foregoing Recitals are true and correct and are incorporated by reference herein.
2. The tenu of the Agreement is hereby extended to September 30, 20 I], unless earlier
tenuinated in accordance with Article 3(b).
3, Exhibit "A" is hereby superceded and replaced by the updated "Exhibit A" which is
attached.
4. Except as amended, all other tenus and conditions of the September 9, 2008
Agreement remain in full force and effect. This Amendment and its provisions merge any prior
agreements, if any, between the parties with respect to the matters set forth in this Amendment.
5. This Amendment shaIl be recorded by the County, at the expense of the County, in
the Official Records of Collier County, Florida, within sixty (60) days after execution of this
Amendment by the County.

appropriate accounting of the expenditure of public funds, especially by a non-public
agency such as the EnC; and

812.081, Florida Statutes, and in other provisions of said statutes, the public interest in
maintlining certain confidentiality in the business diversification and development
process; and
WHEREAS, the County finds the EnC is an especially appropriate entity to
facilitate business diversification and development in Collier County which includes
providing business candidates with the type of confidential assistance which is essential
to successful business diversification and development; and
WHEREAS, pursuant to the Florida Industrial Development Financing Act, Part
n of Chapter 159, Florida Statutes, the County is permitted to issue Industrial

WHEREAS, the EDC serves as the primary entity for developing and
implementing business disaster recovery programs for the Collier County business
community in partnership with the Governor's Office of Tourism, Trade and Economic
Development, Enterprise Florida and Collier County; and

paid Six Hundred Thirty-Eight Thousand Six Hundred Eighty-One Dollars and Seventy
Cents (5638,681.70) to the County in occupational license fees; and
WHEREAS, the County has appropriated for the County's Fiscal Year 2008
(October I, 2008 - September 30, 2009), the sum of Four Hundred Thousand dollars and

NOW, THEREFORE, in consideration of the mutual promises and covenants
contained herein, the parties hereto agree as follows.
ARTICLE J
a.
The County hereby grants to the EOC up to $400,000 for the tenn of the
Agreement for the EDC's business diversification and development activities,
conducted in cooperation with the County, as descn"bcd in the Summmry Budget
attached hereto as Exhibit "A." Thc EDC shall be paid for its actual cost not to
exceed the total amount for various line items and up to the maximum amount
budgeted pursuant to the Attaehed "Exhibit A," subject to the maximwn total
amount. Each individual line item may be increased or decreased by up to ten

a. Establish and maintain staff to process, investigate and review business
candidates that will retain, expand andlor create high wage jobs in Collier County.
b. Provide business promotion collateral materials and business assistance services
to business candidates.

perfonnance of these services at the lowest practical costs and shall expend funds
in accordance with the Summmry Budget attached hereto as Exhibit "A".
d. Furnish the County Manager with a quarterly nairative progress report on the

Exhibit "A". Such reports will contain basic statistical infonnation relevant to the

c. To the fullest extent permitted by law, the EDC will indemnifY and hold harmless
the County fiom and against all claims, damages, losses, and expenses, inCluding
reasonable attorney's fees and costs, arising out of or resulting fiom the

d. The EDC is hereby declared by the parties to be an independent contractor for the
perfonnance of the economic diversification and development activities and will
be responsible for the initiating, maintaining and supervising of all safety
precautions and programs necessary in connection with this Agreement. The

duties described herein. The EDC agrees to comply with all applicable safety
laws, ordinances, rules, regulations, standards and laWful order of any public

Business Attraction Provides Opportunities to Collier County
The Jackson Lahoratory Florida
As part of a strategic rlan initiated in conjunction with the Board of County Commissioners inJanuary of
2on8, the EDe has been .working to attract a top notch non-profit research institute to Collier County. This
effort began with the creation of a Catalyst Committee that worked to idcnti~\' specific opportunities and
strategies needed to accomplish this goal. The EDC specifically identified The Jackson Laboratory and in
March 2008 hegan to work with the leadership to dctermine if the institute would consider Collicr County
for an cxpansion and to hecome an anchor tenant in a larger research <lnd education park in Eastern Collier
County. By the end OfJUIlC, the EDC announct:d that the Florida Legislature had funded $130 million for
The Jackson Laboratory -- Florida pro;ecllhrough the 1 nno"ation Incentive program. Ongoing efforts
continue as the EDC .works with local officials, as well as the institutc to finalize funding and the plans to
attract the TheJachoJ1 Lahoratory to Collier County.
Science Cafe Featuring The Jackson Laboratory June 16, 2010
Personalized medicine and the proposed Jackson Lahoriltor}'-Florida were till' focus of Collier County's
first Science Cafe, held at Gcmi's Cafe. Mike Hyde, vice president for advancement and external
relations for The Jackson Lahoratory, ,addressed the intimate crowd about the history of the Lab. its
vision for Collier County and the roll' of personalized medicine in the venture.
Alzheimer's and cancer will he the focus of the research at the facility in eastern Collier County which
will create about 244 jobs within the first ten years. Advancements in genome testing have made
personalized medicine a reality hy connecting a genetic sequcnce with 0l1e's health.
The science cafe, organized hy Collier County Commissioner Donna Fiala and EDC, also allowed for
11yclc to answer questions from attendees t1hour the project and its affect on the county and its citizens.

Community Room. A team of experts rcvic'wcd a number of financing options available for qualified companies and determined if a company
m~the criteria to participate. In addition, representatives from SCORE wCrt' availahle to counsel CEOs and business owners who might need

The team of experts included Tim Cartwright, Gulf Coast Venture Forum, to discuss venture capita};JJ. Miranda, Fifth Third Bank, to present
loans available through the Small Business Administration; Don Pickworth, ,P.A. , to provide a synopsis of the Recovery Bonds Program and revenue
bond financing available through the Tndustrial Development Authority; and, Inez Long, SBIF, to explain thc Economic Gardening Loan program
for second stage growth companies.
"Therc arc quite a few financing options available to businesses in Collier County. This seminar provided participants with the knowledge to
determine which opportunity is best suited to their business," said Tim Cart\vright, "Using capital efficiently inside of your enterprise is crucial in
this tight economy and choosing the right financing option is part of that equation. Ncv,:' alternatives such as Recovery Zone Bonds and Economic
Gardening loans are attractive and deserve attention from CEOs and their Boards.

Collier Businesses Expand Around the World
The EDC continues to selectively target global busincss opportunities to generate high.-wage jobs and increased
investment in Collier County. The Naples- Marco Island MSA increased its merchandise exports by 7R.I% and
$324-4 million between 2006 and 2009. .

The EDC and SCORE Tnternational hosted an Export TOI seminar featuring Enterprise Florida, Inc. and the
United States Commercial Service. Over 56 people particip3ted in the program. The workshop connected a
local business with the Florida Manufacturing Extension Partnership to explore relocating its manufacturing
from China to Collier County, creating joh opportunities and capital investment. Two companies were also
assisted ,,,ith export financing for existing export contract orders.

County, This program marks the "Era of the Entrepreneur" and is designed to provide technical assistance to CEOs of second stage grmvth
'h"npanics. those companies that employ hetween 10 and 99 employees and hctwccn $1 111illion and $50 million in revenue. The Collier County
Jgram is supported by the Florida Economic Gardening lnstitute, located in Orlando. Florida and the Edward Lowe Foundation, located
in Cassopolis, Michigan. The Florida Economic Gardening Institute was created as a result of a pilot program funded in 2009 by the Florida

Project Innovation Endorsers consist of non-profit and public sector partners from throughout Collier County. Currently, there arc more
than 72 endorser organizations. These organizations will meet every 5 weeks to r('vie"" Driver Teams work, share success stories of APPS and
provide input into the continuing developlllcnt and implementation of Project Innovation.
Project Innovation Driver Teams
The Driver Teams deliver the ABCs of Project Innovation. The six teams, comprised of volullteers from Project Innovation Endorser
and Support organizations, arc self-managed groups to surport Project J nnovation advocacy, determine and set benchmarks, and enhance
connectivity between driver teams, endorser organizations and the community.
