This property is owned by 50% Luis G. Patino and 50% Papadorelly, LLC. I am Counsel for Jean Louis Perales, the sole member of Papadorelly, LLC and have been privy to many of the developments and progression of this project since its inception. Although I cannot comment on the day to day operations on this project, Mr. Perales, has asked me to draft documents and handle other transactional matters related to this business, on multiple occasions over the last year. What follows is simply my understanding of what has transpired here, based (1) on what my client has told me and (2) based on my personal knowledge within the context of some of the legal services I have performed for Mr. Perales. On October 25, 2016, the parties entered into an agreement and purchased the property located at 741 18th Ave NW Naples, FL. During the same time period, Mr. Patino and Mr. Perales purchased two other properties located in Port Charlotte- 440 Adalia Terrace and 448 Adalia Terrace. The parties began building on 440 Adalia Terrace, Port Charlotte immediately after the purchase closed. Their intention at the time of purchase, was to commence construction on 741 18th Ave NW Naples, FL immediately upon completion of 440 Adalia Terrace Port Charlotte. I was advised that there had been some delay relating to due diligence matters (wetland determination among other things) that needed to be addressed in order to commence that second project. On December 5, 2016 Mr. Perales, individually, and Papadorelly LLC were served a civil complaint in connection with five properties purchased by Mr. Perales and Papadorelly to which his estranged "wife" (with whom his marriage had been annulled for bigamy, in France) made claim. I represented Mr. Perales and Papadorelly in that lawsuit which ended up being rather complex litigation because of a parallel legal proceeding in his home county of France. As counsel for Mr. Perales, with no guarantee of how the litigation would turn out, I advised him it was prudent to suspend any plans to build, or invest in any other capital intensive ventures, until the litigation was resolved. It was at that point that Mr. Perales explained that his company (the same company named as a defendant in the instant litigation) was in the process of building out 440 Adalia with Mr. Patino. My client made clear that without his financial contribution through Papadorelly LLC, completion of the project would be extremely difficult, since his partner on the deal (Mr. Patino) had been relying on that capital. While sympathetic to those issues, my main concern was protecting Mr. Perales, and I reiterated that his involvement and capital contributions a project involving the same entity that was currently involved in civil litigation, could put both Mr. Patino and Mr. Perales' at risk, (jeopardizing the entire project) if we had an adverse ruling in the litigation here in Collier County. The proceedings here relied heavily on an appellate ruling out of the High Court of Albertville in France and I had no way of guessing how that would turn out. Mr. Patino was under tremendous pressure to find immediate capital from a new partner or investor, without which he would not be able to finish the build out. Apparently, at some point thereafter, my client Quit Claimed 440 Adalia Terrace Port Charlotte to Oasis Builders of SWFL, LLC, an entity owned by Mr. Patino and Mr. Melvin Alfaro, so they could obtain a loan and finish the build out. It is my understanding that as of approximately two weeks ago, the property located at 440 Adalia is about 70% completed. On May 1, 2018 Civil Suit involving the five Florida properties and my client, Mr. Perales was finally resolved. The parties executed a global settlement agreement, bringing an end to lengthy and contentious litigation between Mr. Perales and his former"wife". The appellate court ruled the marriage was in fact void, for bigamy and fraud. With a waiver of all claims, (arising from or relating to, both the litigation in France and the action in Collier County) and a full release of liability for both Mr. Perales , individually and for Papadorelly, my client is once again in a position to proceed with the business ventures that he was working on when we got notice of the lawsuit. The sudden and unequivocal withdrawal of the venture capital Mr. Perales committed to provide, caused Mr. Patino to scramble and take steps to try and procure another investor with very little notice. As a result, he was not able to move forward with completion of 741 18th Ave NW Naples, FL as quickly as originally projected. During the course of Mr. Perales' litigation, the property sat vacant and Mr. Patino had no way to move forward until he found a venture capitalist to step in. It appears he was unable to obtain the capital he needed. Now that Mr. Perales is able, he says he is ready, willing and able to proceed and build on the property located at 741 18th Ave NW Naples, FL. He's asked me to draft various documents and agreements in preparation to move forward. Last I spoke to Mr. Perales he mentioned the wetland determination (which apparently had caused extensive delays) was completed and the building plans had been drafted. The parties are using a portion of the proceeds from 440 Adalia Terrace, for the construction of 741 18th Ave NW Naples, Florida, so it appears both Mr. Perales and Mr. Patino are operating full throttle to get 440 Adalia finished and sold.
