EXECUTIVE SUMMARY Recommendation to approve and authorize the Chairman to sign the Assumption Agreement from Naples Printing, Inc., to The PK Group, Inc., d/b/a Allegra, for an annual contract for all Collier County printing and copying services. OBJECTIVE: To complete the assignment of the agreement from the original party, Naples Printing, Inc. ("Naples Printing"), to The PK Group, Inc., d/b/a Allegra ("Allegra"). CONSIDERATIONS: The original contract, #08-5100 "Annual Contract for All Collier County Printing and Copying Services", was approved by the BCC as Agenda Item 16.E.5 on November 18, 2008. The Contract was by and between Collier County and Naples Printing. All Collier County departments utilize the services provided under this contract. Subsequently, Allegra purchased the assets of Naples Printing on December 7, 2009. County staff was notified on December 11, 2009, of the asset purchase. Following the Procurement Administration Procedures, staff has acquired the necessary documents from Allegra, which have been reviewed and approved by the County Attorney's staff. The Purchasing Department is recommending approval of the assumption of this Contract by the new firm, Allegra. ,-,..- FISCAL IMPACT: There is no fiscal impact. GROWTH MANAGEMENT IMPACT: There is no Growth Management Impact associated with this Executive Summary. M-' - -,--,- Agenda Item No, 16E 1 0 January 12, 2010 Page 3 of 6 ASSUMPTION AGREEMENT This Asswnption Agreement is made and entered into as of and between The PK Group, Inc, d/b/a Allegra ("Allegra") and Collier County, subdivision of the State of Florida ("County"). ,2010, by a political WHEREAS, on November 18, 2008, the Collier County Board of County Commissioners entered into an Agreement with Naples Printing, Inc. ("Naples Printing"), for an annual contract for all Collier County printing and copying services (attached hereto as Exhibit A, and hereinafter referred to as the "Agreement"); and WHEREAS, Allegra hereby represents to Collier County that by virtue of an asset purchase agreement Allegra is the successor in interest to Naples Printing, in relation to the Agreement; and WHEREAS, the parties wish to formalize Allegra's assumption of rights and obligations under the Agreement effective as of the date first above written NOW THEREFORE, IN CONSIDERATION of the mutual promises in this Asswnption Agreement, and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged by the parties, it is agreed as follows: I. Allegra accepts and assumes all rights, duties, benefits, and obligations of the Contractor under the Agreement, including all existing and future obligations to pay and perform under the Agreement. 2. Allegra will promptly deliver to County evidence of insurance consistent with Section IX of the Agreement. 3. Except as expressly stated, no further supplements to, or modifications of, the Agreement are contemplated by the parties. 4. The County hereby consents to Allegra asswnption of the Agreement. No waivers of performance or extensions of time to perform are granted or authorized. Also approve the Collier County Graphics Standards manual. OBJECTIVE: To effectively combine all the printing needs of Collier County into a specific standard per the Collier County Graphics Standards Manual (Exhibit A). CONSIDERATIONS: All Board departments utilize outside printers for numerous printing and copying needs in their daily operations. RFP #08-5100 was publicly posted on August 11, 2008. Sixty three (63) notices were sent to vendors, of which thirty four (34) requested the package, nine (9) vendors submitted proposals per the RFP and two (2) submitted non- response forms. All of the work was consolidated into four categories. Three vendors were selected under each category based on the evaluation criteria published in the RFP. Staff has reviewed the proposals, toured plant sites and recommends awarding the following: CateQorv A - Black and White and Color Copying Service: Primary Award: Cecil's Copy Express Secondary Award: Naples Print Source Tertiary award: Naples Printing CateQories Band C - Printing Flat Forms one color, Carbon less Forms, & Envelopes, & Flat Forms - Two to Six colors, Business Cards: Primary Award: Intech Printing Secondary Award: Cecil's Copy Express. Tertiary award: Naples Print Source. CateQorv D - Special Color Printing, Rack Brochures,Booklets, Newsletters, Posters, Catalogs, Calendar, Door Hangers, CAT schedules. tickets etc.: Primary Award: Intech Printing Secondary Award: Naples Print Source Tertiary award: Prestige Printing Rate pricing schedules for all categories and vendors is attached. Letters of Understanding will be signed by the outside printers upon BCC approved award. All projects that are different than the specifications in the agreed upon Rate Schedule will be quoted individually. Staff will be implementing and updating The Graphic Standards Manual ( Exhibit A) on a regular basis. The manual is intended to be a professional guideline for staff and outside printing companies to affirm Collier County's professionalism. FISCAL IMPACT: These services will be used by all the Collier County Departments. Individual orders are to be consistent with current budget requirements. GROWTH MANAGEMENT IMPACT: There is no growth management impact associated with this action. Purchase Orders will be issued for all orders.
