WHEREAS,the Collier County Board of County Commissioners and the Florida Fish and Wildlife Conservation Commission wish to establish an Agreement between the parties to provide mutually beneficial support in their respective efforts to complete the project known as Ann Olesky Park Shoreline and Habitat Enhancement;and WHEREAS, the COUNTY desires to restore the eroded shoreline and stabilize it from further erosion, the FWC desires to enhance the aquatic habitat, and the parties have agreed to undertake certain project responsibilities in a joint effort to accomplish both parties work under a single project. 1. Responsibilities of the FWC: A. The FWC will provide survey data that will enable the COUNTY'S consultant, RWA, Inc., to create a base map of the existing conditions. In addition, the FWC shall provide sufficient desi . detail for lake bottom enhancements that will be appended to RWA's design plans. B. The FWC shall review final(100%complete)construction plans and specifications, and shall provide notice of approval or comments to the COUNTY within ten(10)days of receipt of such plans and specifications. C. Upon receipt of invoices totaling up to $113,000, the FWC shall reimburse the COUNTY up to $113,000 for any work included in the construction bid plans and specifications including, but not limited to earthwork, mobilization/demobilization, plantings,shoreline stabilization armoring,and lake bottom enhancements. D. In the event $113,000 is insufficient to cover the cost to enhance the aquatic habitat in accordance with the plans and specifications, which includes, but is not limited to, plantings of water lily (Nymphaea spp.), eelgrass (Vallisneria americana), cypress tree (Taxodium spp.),pond apple Winona glabra),giant bulrush(Schoenoplectus cal jsraicus) and spikerush(Eleocharis sp.),picker+eiweed (Porttederia cordata), duck potato/arrowhead (Sagittaria latifolia, S. lancifolia), and sand cordgrass (Spartina baked), the FWC agrees that the COUNTY has the right to modify the scope of work and reduce improvements so the total cost of lake bottom enhancement does not exceed the reimbursement +t!t unt of $113,000. In addition to$113,000 for work components listed in Clrnica 1(C),the FWC shall reimburse up to$25,000 to the COUNTY to install gravel bed fish attractors in accordance with the COUNTY's plans and specifications. The sum up to $25,000 shall be reimbursed to the COUNTY upon installation and completion of this work item. F. The FWC will make reimbursements to the COUNTY through an issued purchase order and shall make a check payable to Collier County Board of County Commissioners within 40 days of FWC's receipt of invoice. 2. Responsibilities of the COUNTY: A. The COUNTY, via its consultants and professionals, shall provide project management and coordination and geotechnical, environmental, and construction management services; provide construction plans and specifications at 60% completion (ATTACHMENT 1)and at 100%completion; meet with regulatory agencies; and obtain all required environmental and construction permits. B. The COUNTY shall prepare bid documents and shall select contractors through the competitive bid process in accordance with Chapter 287, Florida Statutes and in compliance with the Collier County Procurement Ordinance No.2017-08,as amended. C. The COUNTY agrees to incorporate into the design bid plans and construction contract,improvements requested by the FWC for work components listed in Clause 1(C) for a cost not to exceed$113,000, and gravel bed fish attractors for a cost not to exceed $25,000. In addition,the COUNTY shall incur approximately$200,000 in costs to perform the County's scope of work,which includes but is not limited to shoreline stabilization. 3. TERM: It is understood and agreed that the relation established by this Agreement is meant to be for the benefit of both parties, and that this Agreement shall be effective on the date of execution by both parties and shall remain in effect until June 30, 2019, unless otherwise terminated, suspended, or modified in writing by an appropriate amendment executed by both parties. 4. TERMINATION. Either party may terminate this Agreement by giving written notice to the other party specifying the termination date,by certified mail, return receipt requested,at least 30 calendar days prior to the termination date specified in the notice. 5. NOTICES. Any and all notices shall be delivered to the parties at the following addresses (or such changed address or addressee as may be provided by notice). A notice or other communication shall be deemed received by the addressee on the next business day after having been placed in overnight mail with the U. S. Postal Service, or other overnight express service such as FedEx,UPS,or similar service. Ensure that public records that are exempt or confidential and ex-a.. from public records disclosure requirements are not disclosed except as authorized by law for the duration of the contract term and following completion of the contract if the FWC does not transfer the records to the public agency. 4. Upon completion of the contract,transfer, at no cost, to the public agency all public records in possession of the FWC or keep and maintain public records required by the public agency to perform the service. If the FWC transfers all public records to public agency upon completion of the contract, the FWC shall destroy any duplicate public records that are exempt or confidential and exempt from public records requirements. If the FWC keeps and maintains public records upon completion of the pct,the FWC shall meet all applicable requirements for retaining public records.All records stored electronically must be provided to the public agency,upon request from the public agency's custodian of public records, in a format that is compatible with the information technology systems of the public agency. 7. S. STATE REQUIRED CLAUSES. a. Non-discrimination. No person, on the grounds of race, creed, color, national origin, age, sex, or disability, shall be excluded from participation in, be denied the proceeds or benefits of, or be otherwise subjected to discrimination in performance of this AGREEMENT. b. Prohibition of Discriminatory Vendors. In accordance with Section 287.134, Florida Statutes,an entity or affiliate who has been placed on the discriminatory vendor list may not submit a bid, proposal, or reply on a contract to provide any goods or services to a public entity;may not submit a bid,proposal or reply on a contract with a public entity for the construction or repair of a public building or public work; may not submit bids, proposals, or replies on leases of real property to a public entity; may not be awarded or perform work as a COUNTY supplier, subcontractor, or consultant under a contract with any public entity;and may not transact business with any public entity. c. Public Entity Crimes. In accordance with Section 287.133(2Xa), F.S., a person or affiliate who has been placed on the convicted vendor list following a conviction for a public entity crime may not perform work • a COUNTY grantee,supplier, subcontractor, consultant or by any other manner under a contract with any public entity, 's; may not transact business with any public entity in excess of the threshold amount provided in Section 287.017,F.S.,for Category Two, for a period of 36 months from the date of being placed on the convicted vendor list. d. Legislative appropriation. For contracts whose term extends beyond the State fiscal year in which encumbered funds were appropriated,the State of Florida's performance and obligation to pay is contingent upon an annual appropriation by the Legislature. 9. NON-ASSIGNMENT. This Agreement may not be assi in whole or in part without the written approval of all parties. Any such assignment or attempted assignment shall be null and void. 10. SEVERABILITY AND CHOICE OF VENUE. This Agreement has been delivered in the State of Florida and shall be construed in accordance with the laws of Florida. Wherever possible, each provision of this Agreement shall be interpreted in such manner as to be effective and valid under applicable law,but if any provision of this Agreement shall be prohibited or invalid under applicable law, such provision shall be ineffective to the extent of such prohibition or invalidity,without invalidating the remainder of such provision or the remauring provisions of this Agreement. Any action in connection herewith, in law or equity, shall be brought in Collier County, Florida,to e exclusion of all other lawful venues. The parties hereto do not intend nor shall this Agreement be construed to grant any rights,privileges or interest to any person not a party to this Agreement. 12. JURY TRIAL WAIVER. As part of the consideration for this Agreement, the parties hereby waive trial by jury in any action or proceeding brought by any party against any other party pertaining to any matter whatsoever arising out of or in any way connected with this Agreement, or with the products or services provided under this Agreement; including but not limited to any claim of quantum meruit. 13. PROHIBITION OF UNAUTHORIZED ALIENS.In accordance with Executive Order 96-236, the FWC shall consider the employment by the COUNTY of unauthorized aliens a violation of section 274A(e)of the Immigration and Nationalization Act. Such violation shall be cause for unilateral cancellation of this AGREEMENT if the COUNTY knowingly employs unauthorized aliens. 14. EMPLOYMENT ELIGIBILITY VERIFICATION. The COUNTY shall verify the employment eligibility of all new employees hired by the COUNTY during the term of this AGREEMENT. 15, ENTIRE AGREEMENT; AMENDMENT. This AGREEMENT with all incorporated attachments and exhibits represents the entire agreement of the parties. This AGREEMENT may be amended by mutual written agreement of the parties.
