FIRST AMENDMENT TO GROUND LEASE AGREEMENT FOR COMMUNICATION TOWER
THIS FIRST AMENDMENT TO GROUND I,ESAE AGREEMENT FOR COMMUNICATION
TOWER (Amendment) entered into this , day of k , 2018, at
Naples, Collier County, Florida, by and between COLLIER COUNTY, a political subdivision of the State
of Florida,whose mailing address is, in care of Real Property Management,3335 East Tam iarni Trail,Suite
101,Naples,Florida 34112,hereinafter referred to as"OWNER,"and SBA Towers II LLC,whose mailing
address is, 8051 Congress Avenue, Boca Raton, Florida 33487-1307, successor to Clearshot
Communications, LLC, as assigned by Acme Tower Group, LLC, hereinafter referred to as "TENANT."
WITNESSETH:
WHEREAS, OWNER and Acme Towers Inc., a Florida corporation, entered into that certain
Ground Lease Agreement for Communication Tower, dated April 13, 1999, as evidenced by that certain
Notice of Commencement recorded June 17, 1999, in OR Book 2560, Page 213, as further evidenced by
that certain Memorandum of Lease recorded October 26, 1999, in OR Book 2605, Page 106,and ultimately
assigned to TENANT as evidenced by that certain Memorandum of Assignment recorded February 23,
2009, in OR Book 4429, Page 2707, all recordings of the Clerk's Office of Collier County, Florida
(collectively,"Lease")for TENANT's use of a portion of the real property("Leased Area") located at 3916
Vanderbilt Beach Rd,Naples, FL 34112(-Owner's Land"), being more particularly described in the Lease;
and
WHEREAS, the OWNER and TENANT are desirous of amending the Lease Agreement; and
WHEREAS,Article 3.D.allows the Lease to be extended past 20 years by way of mutual agreement
of the parties; and

NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is
hereby acknowledged, the parties hereto covenant, agree and bind themselves to the following
modifications to the Lease:
|. In keeping with Article 3. A. of the Lease:
Commencing on April 13' 2019 (the -Additional Renewal Term Commencement Date-),
OVVl�ER`xaonuu| rent shall be increase to Fi�vOne Thousand Eight Hundred Forty and no/10'
(51,840.00) Dollars, per year. Annual payments shall be paid by April 15, 2019 and by April 15
for each year thereafter throughout the life of the Lease.
2. In keeping with Article 3. D. of the Lease:
In addition to the terms as referenced in the Lease, the Lease is hereby amended to include six (6)
additional successive terms of five (5) years (each an "Additional Renewal Term.'"). Each
Additional Renewal Term shall be deemed automatically extended, unless TENANT or Owner
notifies the other party of its intention not to renew the Lease at least one hundred and eighty(I 80)
days prior to the commencement of the succeeding Additional Renewal Term. The first Additional
Renewal Term shall commence on the Additional Renewal Term Commencement Date, upon the
expiration of the term expiring on April 12, 2019. The Lease is hereby extended until the April
12, 2049.
3. In keeping with Article 3. F. of the Lease:
On April 13, 2020, and each anniversary of such date thereafter, OWNER's rent shall incur an
increase of three percent(3%). All escalations currently provided in the Lease arising prior to the
Additional Renewal Term Commencement Date shall be unaffected by this section.
4. In keeping with Article 10.Notices, of the Lease is hereby amended as follows:

applicable hereto except as expressly provided otherwise herein.
