EXECUTfVES~ARY Recommendation to approve and authorize the Chairman to sign an Agreement with Physician Led Access Network (pLAN) of Collier County for $488,000 to provide a shared information network for PLAN participants in Collier County. OB,JECTlVE: To approve and authorize the Chairman to sign an Agreement with Physician Led Access Network (PLAN) of Collier County for $488,000 to provide a shared information network for PLAN participants in Collier County. Services will be paid on behalf of the PLAN program through a $594,000.00 grant awarded by HRSA. PLAN's funding will be utilized to pay salaries and benefits, travel costs, supplies, marketing and materials, office furniture, laboratory and phannacy vouchers, laboratory subsidy, phannacy services, consultants, public relations, website development, financial services, rent, utilities, and insurance. Housing, Human and Veterans Services will utilize the remaining $106,000 for administration, supplies, customer support, computer equipment, and computer support. CONSIDERATIONS: In the Fall of 2008, staff of the Housing, Human and Veteran Services Depmtment met with representatives of The Ferguson Group to discuss and present a project questionnaire on a proposed project for health care access for the uninsured in partnership with a local not for profit provider, the Physician Led Access Network (pLAN). PLAN is the community-based referral network that coordinates volunteer medical care for eligible low- income, uninsured adults in need of health services in Collier County. Led by local physicians, it is a community partnership that brings together physicians, community clinics, hospitals, diagnostic and laboratory facilities, and other healthcare providers through an integrated delivery system of volunteer care. PLAN is an initiative launched by the Collier County Medical Society. In 2009, PLAN served 480 residents and provided over 2,400 specialty physician visits/procedures for services valued at over $3.1 million dollars. On July 27, 2010, item 16D4, the Board provided an after the fact approval for a grant application for the Outreach Focused Special Congressional Initiative grant from the U.S. Department of Health and Human Service, Health Resources and Services Administration as specified in the Omnibus Appropriations Bill for Fiscal Year 20 I 0 (p.L. 111-8). This current appropriation was approved as part of the Omnibus Appropriations Bill for Fiscal Year 2010 (pL 111-80). The Housing, Human and Veteran Services Department received an official Notice of Grant Award for this program with an effective date of September 1, 2010 and end date of August 31, 2012. On October 12, 20 10, Item 16D4, the BCC approved the acceptance of the Rural Health Outreach Special Congressional Initiative from the United States Departn1ent of Health and Human Services in the amount of $594,000 and approved the necessary budget amendment to recognize the revenue. The purpose of the Outreach Focused Special Congressional Initiative program is to improve health care access to the uninsured in rural areas by increasing marketing, education and outreach. Funds will be used to increase access by implementing a new Primary Care Services Program that will include financial assistance for laboratory services, phannacy access and the implementation and licensing of a new electronic database tracking system that will allow PLAN and other participating community health providers to identify, serve and track those who quality for indigent healthcare and other social services. Collier County Housing, Human and Veteran Services will serve as the Fiscal Entity for this grant. There is no match required and no general fund dollars will be expended FISCAL IMP ACT: There are no fiscal impacts associated with these amendments. Acceptance of this agreement will have no additional effect on ad valorem or general fund dollars. GROWTH MANAGEMENT IMPACT: Implementation of this agreement will further the goals, objectives and policies of the County's Growth Management Plan. LEGAL CONSIDERATIONS: This item has been reviewed and approved by the County Attorney's Office and is legally sufficient. AGREEMENT FOR PHYSICIAN LED ACCESS NETWORK OF COLLIER COUNTY (PLAN), CFDA: 93.888 GRANT #D1ARH20098 HRSA THIS AGREEMENT, made and entered into on this _ day of , 20---, by and between Physician Led Access Network (PLAN) of Collier County, authorized to do business in the State of Florida whose business address is 1012 Goodlette-Frank Rd., Suite #201, Naples, Florida 34102, hereinafter called the "Subrecipient" and Collier County, a political subdivision of the State of Florida, Collier County, Naples, hereinafter call the "County" : WITNESSETH: 1. COMMENCEMENT: The Agreement shall be for a twenty-four (24) month period, commencing on the date assigned by the U.S. Department of Health and Human Services, Health Resources and Services Administration (HRSA); September 1, 2010, and terminating on August 31, 2012. 2. STATEMENT OF WORK: The Subrecipient shall provide services in accordance with the Scope of Services, included in Attachment A. Allowable costs associated with the project are included in Attachment A. Payment will be made to project vendors upon receipt of a proper invoice and in compliance with Section 218.70 Florida Statutes, otherwise known as the "Florida Prompt Payment Act" and a signed affidavit from the PLAN Executive Director, attesting that the work has been completed. Collier County reserves the right to withhold andf or reduce an appropriate amount of any payments for work not performed or for unsatisfactory performance of Contractual requirements. SPECIAL CONDITIONS: The Subrecipient agrees to comply with the requirements set!forth in Attachment B. 8. SUBCONTRACTS: Any work or services subcontracts by the Subrecipient shall be specifically by written contract or agreements, and such subcontracts shall be subject to ieach provision of this Agreement and applicable County, State, and Federal guidelines and regulations. Prior to execution by the Subrecipient of any subcontract he~eunder, such subcontracts must be submitted by the Subrecipient to Housing, H~an and Veteran Services (HHVS) for its review and approval. AMENDMENTS: The County may, at its discretion, amend this Agreement to conform to changes required by HRSA guidelines, directives, and objectives. Such amendments shall be incorporated by written amendment as a part of this Agreement and shall be subject to approval of Collier County. Except as otherwise provided herein, no amendment to this Agreement shall be binding on either party unless in writing, approved by the County and signed by each Party's designee. 10. PERMITS: LICENSE TAXES: In compliance with Section 218.80, F.S., all permits necessary for the prosecution of the Work shall be obtained by the Subrecipient. Payment for all such permits issued by the County shall be processed internally by the County. All non-County permits necessary for the prosecution of the Work shall be procured and paid for by the Subrecipient. The Subrecipient shall also be solely responsible for payment of any and all taxes levied on the Subrecipient. In addition, the Subrecipient shall comply with all rules, regulations and laws of Collier County, the State of Florida, or the U. S. Government now in force or hereafter adopted. The Subrecipient agrees to' comply with all laws governing the responsibility of an employer with respect to persons employed by the Subrecipient. 11. NO IMPROPER USE: The Subrecipient will not use, nor suffer or permit any person to use in any manner whatsoever, County facilities for any improper, immoral or offensive purpose, or for any purpose in violation of any federal, state, county or municipal ordinance, rule, order or regulation, or of any governmental rule or regulation now in effect or hereafter enacted or adopted. In the event of such violation by the Subrecipient or if the County or its authorized representative shall deem any conduct on the part of the Subrecipient to be objectionable or improper, the County shall have the right to suspend the contract of the Subrecipient. Should the Subrecipient fail to correct any such violation, conduct, or practice to the satisfaction of the County within twenty-four (24) hours after receiving notice of such violation, conduct, or practice, such suspension to continue until the violation is cured. The Subrecipient further agrees not to commence operation during the suspension period until the violation has been corrected to the satisfaction of the County. 12. PROmBITION OF GIFfS TO COUNTY EMPLOYEES: No organization or individual shall offer or give, either directly or indirectly, any favor, gift, loan, fee, service or other item of value to any County employee, as set forth in Chapter 112, Part III, Florida Statutes, Collier County Ethics Ordinance No. 2004-53, and County Administrative Procedure 5311. Violation of this provision may result in one or more of the following consequences: a. Prohibition by the individual, firm, and/ or any employee of the firm from contact with County staff for a specified period of time; b. 2010 HRSA PLAN Earmark III Page 3 of16 Packet Page -1653- 6/14/2011 Item 16.0.7. Prohibition by the individual and/ or firm from doing business with the County for a sp~cified period of time, including but not limited to: submitting bids, RFP, and/ or . quotes; and, c. immediate termination of any contract held by the individual and/ or fir$ for cause. 13. TERMINATION: Should the Subrecipient be found to have failed to perform his services in a manner satisfactory to the County as per this Agreement,the County may terminate this Agreement immediately for cause; further, the County may terminate this Agreement for convenience with a seven (7) day written notice. The County shall be pole judge of non-performance. 14. NO DISCRIMINATION: The Subrecipient agrees that there shall be no discrimination as to race, sex, color, creed or national origin. a. Executive Order 13166, August 11, 2000 requires recipients receiving Federal financial assistance to take steps to ensure that people with limited English proficiency can meaningfully access health and social services. Subrecipient's organization must comply with this requirement as set forth in Attachment A, page 4 item 9. 15. INSURANCE: The Subrecipient shall provide insurance as follows: I A.: Commercial General Liability: Coverage shall have minimum limits of $1,000,000 . Per Occurrence, Combined Single Limit for Bodily Injury Liability and Property Damage Liability. This shall include Premises and Operations; Independent Contractors; Products and Completed Operations and Contractual Liability. B. Business Auto Liability: Coverage shall have minimum limits of $500,000 Per Occurrence, Combined Single Limit for Bodily Injury Liability and Property Damage Liability. This shall include: Owned Vehicles, Hired and Non-Owned Vehicles and Employee Non-Ownership. c.: Workers' Compensation: Insurance covering all employees meeting Statutory Limits in compliance with the applicable state and federal laws. The coverage must include Employers' Liability with a minimum limit of $1,000,000 for each accident. Special Requirements: Collier County shall be listed as the Certificate Holder and included as an Additional Insured on the Comprehensive General Liability Policy. i Current, valid insurance policies meeting the requirement herein identified shall i be maintained by Subrecipient during the duration of this Agreement. There shall be a 30 day notification to the County in the event of cancellation or modification of any stipulated insurance coverage. Subrecipient shall insure that all subcontractors comply with the same insurance requirements that he is required to meet. The same Subrecipient shall provide County with certificates of insurance meeting the required insurance provisions. 16. INDEMNIFICATION: To the maximum extent permitted by Florida law, the Subrecipient shall indemnify and hold harmless Collier County, its officers and employees from any and all liabilities, damages, losses and costs, including, but not limited to, reasonable attorneys' fees and paralegals' fees, to the extent caused by the negligence, recklessness, or intentionally wrongful conduct of Subrecipient or Consultant or anyone employed or utilized by the Subrecipient or Consultant in the performance of this Agreement. This indemnification obligation shall not be construed to negate, abridge or reduce any other rights or remedies which otherwise may be available to an indemnified party or person described in this paragraph. This section does not pertain to any incident arising from the sole negligence of Collier County. The foregoing indemnification shall not constitute a waiver of sovereign immunity beyond the limits set forth in Section 768.28, Florida Statutes. 17. CONTRACT ADMINISTRATION: This Agreement shall be administered on behalf of the County by the HHVS Deparhnent. 18. REPORTS, AUDITS, AND EVALUATIONS: Reimbursement will be contingent on the timely receipt of complete and accurate reports required by this Agreement, and on the resolution of monitoring or audit findings identified pursuant to this Agreement. The Subrecipient agrees that HHVS will carry out periodic monitoring and evaluation activities as determined necessary. The continuation of this Agreement is dependent upon satisfactory evaluations. The Subrecipient shall, upon the request of HHVS, submit information and status reports required by HHVS or HRSA to enable HHVS to evaluate said progress and to allow for completion of reports required. The Subrecipient shall allow HHVS or HRSA to monitor the Subrecipient on site. Such site visits may be scheduled or unscheduled as determined by HHVS or HRSA. 19. CONFLICT OF INTEREST: Subrecipient represents that it presently has no interest and shall acquire no interest, either direct or indirect, which would conflict in any manner with the performance of services required hereunder. Subrecipient further represents that no persons having any such interest shall be employed to perform those services. 20. GRANT CLOSEOUT PROCEDURES: SUBRECIPIENT's obligation to the COUNTY shall not end until all closeout requirements are completed. Purchasing All purchasing for services and goods, including capital equipment, shall be made by purchase order or by a written contract and in conformity with the procedures prescribed by the Federal Management Circulars A-ll0, A-l22, 24 CFR Part 84, and 24 CFR Part 85. Audits and Inspections 1. Non-profit organizations that expend $500,000 or more annually in federal awards shall have a single or program-specific audit conducted for that year in accordance with OMB A-133. Non-profit organizations expending federal awards of $500,000 or more under only one federal program may elect to have a program-specific audit performed in accordance with OMB A-133. 2. Non-profit organizations that expend less than $500,000 annually in federal awards shall be exempt from an audit conducted in accordance with OMB A-133, although their records must be available for review (e.g., inspections, evaluations). These agencies are required by HHVS to submit "Reduced Scope" audits (e.g., financial audit, performance audits). They may choose, instead of a Reduced Scope Audit, to have a program audit conducted for each federal award in accordance with federal laws and regulations governing the program in which they participate. 3. When the requirements of OMB A-133 apply, or when the Subrecipient elects to comply with OMB A-133, an audit shall be conducted for each fiscal year for which federal awards attributable to this contract have been received by the Subrecipient. A copy of the audit report must be received by HHVS no later than six months following the end of the Subrecipient's fiscal year. 4. If an audit is required but the requirements of OMB A-133 do not apply or are not elected, the Subrecipient may choose to have an audit performed either on the basis of the Subrecipient's fiscal year or on the basis of the period during which HHVS- federal assistance has been received. In either case, each audit shall cover a time period of not more than twelve months and an audit shall be submitted covering each assisted period until all the assistance received from this contract has been reported. Each audit shall adhere to all other audit standards of OMB A-133, as these may be limited to cover only those services undertaken pursuant to the terms of this contract. A copy of the audit report must be received by HHVS no later than six months following each audit period. 5.
