EXECUTIVE SUMMARY Recommendation to approve and authorize the Chairman to sign Agreement 11"5693 with Collier County Child Advocacy Council, Inc. d/b/a Children's Advocacy Center of Collier County (CAC) to continue providing supervised visitation services funded by a grant from the United States Department of Justice, Office on Violence against Women and term.iwlte Agreement 10"5385 with the CAC for convenience to accurately cover grant funding years. OBJECTIVE: Recommendation to approve and authorize the Chairman to sign Agreement 11- 5693, and terminate Agreement 10-5385 for convenience to continue supervised visitation services. CQNSIDERATIONS: On October 27, 2009, the Board of County Commissioners ('~Board") accepted the Safe Havens Supervised Visitation and Safe Exchange Grant in the amount of $350,000, to run from October 1, 2009 through September 30, 2012. A new agreement with CAC should have been subsequently approved by the Board. Instead, Agreement 10-5385, also for supervised visitation services provided by CAC, was renewed to facilitate payments under the new grant. CAC Agreement 10-5385 was approved by the Board on February 10, 2009 (Agenda Item 16.D.I0), and was funded by the previous Supervised Visitation grant of $200,000, wruch expired August 31, 2009. The new Agreement 11-5693 is needed to incorporate the current Supervised Visitation grant of $350,000, which commenced October 1, 2009 and tenninates September 30, 2012. . To date, the CAC has been reimbursed for services in the amount of$183,199.56 through April 28, 2011. Agreement 11-5693 is required to authorize services for the remainder of the grant period and expend the grant balance of $135,839.44. This will allow retroactive expenditures from the beginning of the grant period of October 1,2009 through September 30, 2012. CAC Agreement 10-5385 must be terminated for convenience in order to accurately capture grant funding based on grant years October 1, 2007 through September 30, 2009. CAC Agreement 11-5693 will capture grant funding years October 1, 2009 through September 30, 2012. Agreement 11-5693 will allow retroactive expenditures from the beginning of the grant period. FISCAL IMPACT: The total grant amount of$350,000 is funded from the U.S. Department of Justice, Office on Violence Against Women. Of this amount, $30,961 is retained by Collier County Housing, Human and Veteran Services for administrative expenses. The balance of $319,039 is designated for the CAC. GROWTH MANAGEMENT IMP ACT: There is no growth management impact due to this request. . LEGAL CONSIDERATIONS: This item is legally sufficient for Board action. AG R EEMENTll-5693 for Child Advocacy - Supervised Visitation THIS AGREEMENT, made and entered into on this day of 2011, by and between Collier County Child Advocacy Council, Inc. d/b/a Children's Advocacy Center of Collier County (CAC), authorized to do business in the State of Florida, whose business address is 1034 6th Avenue North, Naples, Florida 34102, hereinafter called the "Consultant" and Collier County, a political subdivision of the State of Florida, Collier County, ~aples, hereinafter called the IICountyll: , WITNESSETH: 1. COMMENCEMENT. This Agreement shall begin on June 14, 2011, and terminate on September 30, 2012. 2. STATEMENT OF WORK. The Consultant shall provide services in accordance with the tenns and conditions of Attachment II A", incorporated herein by reference. This Agr~ement contains the entire understanding between the parties and any modifications to this Agreement shall be mutually agreed upon in writing by the ConSultant and the County project manager or his designee, in compliance with the CO$ty Purchasing Policy and Administrative Procedures in effect at the time such services are authorized. I ~ ! Seryices to be provided under this Agreement may include, but not be limited to, the follqwing: a. Improve supervised visitation services, enhance security and expand visitation center services. b. Increase the ability for child protection services, courts and domestic violence agencies. c. Provide bilingual (English/ Spanish) case manager and bilingual (English/Spanish) visitation monitor for the underserved population as well as translators for Creole. d. Expand services to regularly scheduled office hours in Irnmokalee with security for supervised visitation and safe exchanges. 3. COMPENSATION. The County shall pay the Consultant for the performance of this A~eement a total amount of Three Hundred Nineteen Thousand and Thirty-Nine , . Payment will be made upon receipt of a proper invoice and a signed affidavit from the CAC Executive Director, attesting that the work has been completed and upon approval by the Project Manager or designee, and in compliance with Chapter 218, Fla. Stats., otherwise known as the "Local Government Prompt Payment Act". Collier County reserves the right to withhold and/ or reduce by an appropriate amount any payments for work not performed or for unsatisfactory performance of the contractual requirements. The budget for this Agreement is shown in Attachment "B", incorporated herein by reference. 3.1 Payments will be made for services furnished, delivered, and accepted within the contract period, upon receipt and approval of invoices submitted on the date of services or at any time thereafter within six (6) months after completion of contract. Any untimely submission of invoices beyond the specified deadline period is subject to non-payment under the legal doctrine of "laches" as untimely submitted. Time shall be deemed of the essence with respect to the timely submission of invoices under this agreement. 4. 3.2 Allowable expenditures under the referenced grant are retroactively authorized to October 1, 2009, the beginning of the grant period. FUNDING REQUIREMENTS. The County and u.s. Department of Justice, Office on Violence Against Women, have agreed that these funds will only be used to fund projects that demonstrate expertise in the area of family violence, provide a sliding scale fee for clients, demonstrate adequate security measures, and prescribe standards and protocols by which supervised visitation or safe exchanges will occur. 5. NOTICES. The Consultant further agrees to abide by all other applicable laws as outlined in the Notice of Grant Award, Attachment " A" . 8. SUBCONTRACTS. Any work or services subcontracted by the Consultant shall be spec~cally by written contracts or agreements, and such subcontracts shall be subject to each provision of this Agreement and applicable County, State and Federal guidelines and regulations. Prior to execution by the Consultant of any subcontract hereunder, such subcontracts must be submitted by the Consultant to Housing, Human and Vet~ran Services for its review and approval. None of the work or services covered by this . Agreement, including but not limited to, Consultant work or services, shall be subcontracted by the Consultant or reimbursed by the County without prior written approval of the Housing, Human and Veteran Services Director or designee. 9. AMENDMENTS. The County may, at its discretion, amend this Agreement to conform to shanges required by Federal, State, County or Department of Justice, Office on Violence Against Women guidelines, directive and objectives. Such amendments shall be fu.corporated in writing as a part of this Agreement and be signed by each party's designee. Except as otherwise provided herein, no amendment to this Agreement shall be ~inding on either party unless in writing and signed by each party's designee. ! Page 3 of9 . Incompliance with Section 218.80, F.S., all permits necessary for the prosecution of the Work shall be obtained by the Consultant. Payment for all such permits issued by the County shall be processed internally by the County. All non-County permits necessary for the prosecution of the Work shall be procured and paid for by the Consultant. The Consultant shall also be solely responsible for payment of any and all taxes levied on the Consultant. In addition, the Consultant shall comply with all rules, regulations and laws of Collier County, the State of Florida, or the U. S. Government now in force or hereafter adopted. The Consultant agrees to comply with all laws governing the responsibility of an employer with respect to persons employed by the Consultant. . 11. NO IMPROPER USE. The Consultant will not use, nor suffer or permit any person to use in any manner whatsoever, County facilities for any improper, immoral or offensive purpose, or for any purpose in violation of any federal, state, county or municipal ordinance, rule, order or regulation, or of any governmental rule or regulation now in effect or hereafter enacted or adopted. In the event of such violation by the Consultant or if the County or its authorized representative shall deem any conduct on the part of the Consultant to be objectionable or improper, the County shall have the right to suspend the contract of the Consultant. Should the Consultant fail to correct any such violation, conduct, or practice to the satisfaction of the County within twenty-four (24) hours after receiving notice of such violation, conduct, or practice, such suspension to continue until the violation is cured. The Consultant further agrees not to commence operation during the suspension period until the violation has been corrected to the satisfaction of the County. 12. TERMINATION. Should the Consultant be found to have failed to perform his services in a manner satisfactory to the County as per this Agreement, the County may terminate said agreement for cause; further the County may terminate this Agreement for convenience with a thirty (30) day written notice. The County shall be sole judge of non-performance. 13. NO DISCRIMINATION. The Consultant agrees that there shall be no discrimination as to race, sex, color, creed or national origin. 14. INSURANCE. The Consultant shall provide insurance as follows: A. Commercial General Liability: Coverage shall have minimum limits of $1,000,000 Per Occurrence, Combined Single Limit for Bodily Injury Liability and Property Damage Liability. This shall include Premises and Operations; Independent Consultants; Products and Completed Operations and Contractual Liability. . B. Business Auto Liability: Coverage shall have minimum limits of $500,000 Per Occurrence, Combined Single Limit for Bodily Injury Liability and Property Damage Liability. This shall include: Owned Vehicles, Hired and Non-Owned Vehicles and Employee Non-Ownership. Page 4 of9 . Packet Page -1576- 6/14/2011 Item 16.0.4. C. : Workers' Compensation: Insurance covering all employees meeting Statutory : Limits in compliance with the applicable state and federal laws. I The coverage must include Employers' Liability with a minimum limit of $1,000,000 for each accident. Special Requirements: Collier County Government shall be listed as the Certificate Holder and included as an Additional Insured on the Comprehensive General Liability Policy. Current, valid insurance policies meeting the requirement herein identified shall . be maintained by Consultant during the duration of this Agreement. Renewal certificates shall be sent to the County ten (10) days prior to any expiration date. There shall be a thirty (30) day notification to the County in the event of cancellation or modification of any stipulated insurance coverage. Consultant shall insure that all Sub-consultants comply with the same insurance requirements that he is required to meet. The same Consultant shall provide County with certificates of insurance meeting the required insurance provisions. 15. INDEMNIFICATION. To the maximum extent permitted by Florida law, the Consultant shall indemnify and hold harmless Collier County, its officers and . employees from any and all liabilities, damages, losses and costs, including, but not limited to, reasonable attorneys' fees and paralegals' fees, to the extent caused by the negllgence, recklessness, or intentionally wrongful conduct of the Consultant or anyone employed or utilized by the Consultant in the performance of this Agreement. This inde~ication obligation shall not be construed to negate, abridge or reduce any other rights or remedies which otherwise may be available to an indemnified party or person des~ibed in this paragraph. This section does not pertain to any incident arising from the sole negligence of Cdllier County. 16. CONTRACT ADMINISTRATION. This Agreement shall be administered on behalf of the County by the Housing, Human and Veteran Services Department. 17. CONFLICT OF INTEREST: Consultant represents that it presently has no interest and shaU acquire no interest, either direct or indirect, which would conflict in any manner with the performance of services required hereunder. Consultant further represents tha~ no persons having any such interest shall be employed to perform those services. I 18. COMPONENT PARTS OF THIS CONTRACT. It is further understood and agreed by and between the parties herein that this agreement is subject to appropriation by the Board of County Commissioners. 20. PROHIBITION OF GIFTS TO COUNTY EMPLOYEES. No organization or individual shall offer or give, either directly or indirectly, any favor, gift, loan, fee, service or other item of value to any County employee, as set forth in Chapter 112, Part III, Florida Statutes, Collier County Ethics Ordinance No. 2004-05, and County Administrative Procedure 5311. Violation of this prov.ision may result in one or more of the following consequences: a. Prohibition by the individual, firm, and/ or any employee of the firm from contact with County staff for a specified period of time; b. Prohibition by the individual and/ or firm from doing business with the County for a specified period of time, including but not limited to: submitting bids, RFP, and/ or quotes; and, c. immediate termination of any contract held by the individual and/ or firm for cause. 21. IMMIGRATION LAW COMPLIANCE. By executing and entering into this agreement, the Consultant is formally acknowledging without exception or stipulation that it is fully responsible for complying with the provisions of the Immigration Reform and Control Act of 1986 as located at 8 U.S.c. 1324, et seq. and regulations relating thereto, as either may be amended. Failure by the Consultant to comply with the laws referenced herein shall constitute a breach of this agreement and the County shall have the discretion to unilaterally terminate this agreement immediately. 22. AGREEMENT TERMS. If any portion of this Agreement is held to be void, invalid, or otherwise unenforceable, in whole or in part, the remaining portions of this Agreement shall remain in effect. 23. DISPUTE RESOLUTION.
