EXECUTIVE SUMMARY
Recommendation to approve a settlement agreement prior to litigation with the Railhead
Industrial Park Owners Association, Inc., for the sum of $33,705.50 to be paid to the
County and authorize the Chairman to execute the Settlemcnt Agreement.
OBJECTIVE: Recommendation to accept a proposed settlement tendered by the Railhead
Industrial Park Owners' Association, Inc. for the sum of $33,705.50 and authorize the Chairman
to execute the Settlement Agreement.
CONSIDERATIONS: On August 14, 199], the County entered into an Agreement of
Undertaking with Commercial Development Company, a Florida corporation, which Agreement
was joined in and consented to by the Railhead Industrial Park Owners' Association, Inc., and
Seminole Gulf Railway, L.P., successor in interest to the Seaboard Coastline Rail Road
Company. The purpose of the Agreement was to provide for the enlargement of the Pagel's
Road (now known as "Railhead Boulevard") crossing over Seminole Gulfs railroad tracks
(located a short distance east of Old 41) and the installation of gates and flashers at the crossing.
Previous to the Agreement with Seminole Gulf Railway, in 1980, the County had entered into a
License Agreement with the Seaboard Coastline Rail Road for the original Pagel's Road
crossmg.

The Agreement of Undertaking called for the Railhead Industrial Park Owners' Association to be
responsible for annual payments made by the County 10 Seminole Gulf Railway to, in essence,
keep the railroad crossing open. The payments are subject to an annual adjustment for inflation
and the 20] 0 payment is $8,757.02. Historically, the invoices would come directly to the County
from Seminole Gulf Railway and the invoice would be forwarded to the Railhead Industrial Park
Owners Association for payment. This two-step process broke down and the County began
paying the invoices directly to the railroad without ever forwarding the invoices to the
Association. This has been the case since at least 1995 and perhaps earlier. This was brought to
the County Attorney's Office attention by Transportation staff in August of 2010 and a demand
was sent to the Association for past due payments.
A meeting was held on January 19, 201], with counsel for the Association, individual property
owners, Transportation staff and the County Attorney's Office to discuss the matter in depth.
Subsequent to the meeting, a proposed Settlement agreemenl was tendered by the Association's
counsel. The Agreement calls for full payments to be made to lhe County for the years 2007,
2008, 2009 and 20 1 O. This is significant as lhe Statute of Limilations on a written agreement is
five years and if the County were to initiate litigation, the County would be prohibited from
seeking funds from prior to 2006. The Association will pay all future invoices.
FISCAL IMPACT: The settlement sums are to be deposited into revenue account 101-163630-
369802 for reimbursement for this Fiscal Year and revenue account 101-163630-369300 for
prior years, and the total positive impact will be $33,705.50. Payments of $20,000.00 within 30
days of acceptance of the offer and $13,705.50 within 90 days of the offer have been proposed.

LEGAL CONSIDERATIONS: The County Attorney's Omce has reviewed this settlement
with the Transportation Department and recommends that the Board of County Commissioners
approve this Settlement Agreement. This ilem is legally sufficient for Board action and requires
a majority vote. - STW

SETTLEMENT AGREEMENT
This Settlement Agreement (this "Agreement") is made effective as of this _ day of
March, 2011, by and among THE BOARD OF COUNTY COMMISSIONERS OF
COLLIER COUNTY (the "BCC"), and RAILHEAD INDUSTRIAL PARK OWNERS'
ASSOCIATION, INC., a Florida not-for-profit corporation (the "RAILHEAD").
WITNE SETH:
WHEREAS, BCC and RAILHEAD entered into an Agreement of Undertaking dated
August 14, 1991 and recorded at Official Records Book 2166, Page 1735, of the Public Records
of Collier County, Florida ("Undertaking") which Undertaking incorporated a License
Agreement by Seminole Gulf Railway, L.P. ("Seminole"); and
WHEREAS, the Undertaking provided that RAILHEAD would be responsible for the
BCC's obligations under the License Agreement and Amendment to the License Agreement; and
WHEREAS, annual invoices from Seminole were presented to Bee for the years 2003
through 2010, payment of such invoices being the" responsibility of RA]LHEAD under the
Undertaking; and
WHEREAS, BCe paid $63,6]5.58 toward the invoices; and
WHEREAS, the invoices were neither presented to nor paid by RAILHEAD at the time
of invoicing by Seminole;
WHEREAS, RAILHEAD and BCe have agreed to a payment amount in full settlement
of the obligations of RAILHEAD as paid by BCC.
NOW, THEREFORE, in consideration of the premises and of the mutual covenants and
agreements contained herein, and for other good and valuable consideration, the adequacy and
receipt of which are hereby acknowledged, the parties agree, each with the other, as follows:
J. Recitations. The foregoing recitations are true and correct, and are incorporated
herein by this reference.
2. Authorization. The execution, delivery and performance of this Agreement by
RAILHEAD have been duly and properly authorized and approved, and RAILHEAD has the
power and authority to execute this Agreement and perform their respective obligations
hereunder.
3. Settlement Amount. Bee and RAILHEAD acknowledge and agree that upon
payment of the sum of $33,705.50 from RAILHEAD to Bee, RAILHEAD shall fulfill its
obligation under the Undertaking for invoices submitted for the years 2003 through 2010.
4. Timing ofPavment. Payment of the settlement sum shall be paid by RAILHEAD
to Bee as follows:

(a) $20,000.00 due within 30 days of the date of this Agreement; and
(b) $13,705.50 due within 90 days of the date of this Agreement.
5. Representations and Warranties. RAILHEAD represents and warrants to Bee
that:
(a) This Agreement is being freely and voluntarily entered into after such legal
consultation concerning the legal effects of doing the same;
(b) This Agreement constitutes a legally binding obligation and is enforceable against
RAILHEAD;
(c) No consent, approval, authorization or other form of permission is needed by
RAILHEAD to enter into, execute, deliver and perform this Agreement;
(d) Neither this Agreement nor any other document delivered in connection herewith
or action taken in connection herewith shall be deemed or construed to be a release of any
obligations of RAILHEAD under the Undertaking for Seminole invoices submitted either to
Bee or RAILHEAD for the year 20 II and later years.
6. Default. In the event of a default of the payment of the settlement amount, Bec
may accelerate the balance due and may immediately exercise, any and all rights and remedies
which BCC may possess under the Undertaking or applicable law, and may proceed forthwith
and without further notice against RAILHEAD. Bee shall be entitled to receive, in addition to
the settlement amount, all expenses incurred by BeC in exercising and enforcing its rights under
the Undcrtaking or this Agreement, which expenses shall include reasonable attorneys' fees and
costs incurred in any proceeding before any state, federal, administrative, appellate or
bankruptcy court, and/or incurred whether or not suit is filed, beginning from the time of
RAILHEAD's default.
7. Complete Agreement. By executing and acting in accordance with this
Agreement, none of the parties hereto have made or make any representations to any other party
other than as set forth in this Agreement. RAILHEAD and BCC confirm that any and all oral
communications among or between any of them or their attorneys prior to the execution of this
Agreement are in the nature of settlement discussions and, except to the extent embodied in
writing and signed by the parties, no position taken and no statement made during any such
discussions shall be admissible as evidence in any legal proceeding pertaining in any way to this
Agreement or the transactions contemplated therein or arising therefrom.
8. Waiver and Release. In consideration of the payment of the settlement amount by
RAILHEAD to Bee as provided in this Agreement, BeC does hereby remise, release, quit,
satisfy and forever discharge RAILHEAD and all of its past, present, and future officers,
direclors, employees, agents, attorneys, heirs, representatives, successors and assigns from any
and all manner of action and actions, causes of action, suits, debts, sums of money, accounts,
covenants, contracts, controversies, obligations, liabilities, agreements, promises, expenses,
damages. liens, claims, counterclaims, setoffs, recoupment, or demand of every nature and kind
whatsoever, if any, at law or in equity, whether now accrued or hereafter maturing and whether

known or unknown which Bee now has or hereafter can, shall or may have by reason of any
matter, cause or thing, arising out of, in connection with or in any way relating to the Seminole
invoices prior to and including those for the year 2010.
9. GoveminlZ Law. This Agreement shall be governed by and construed in
accordance with the laws of the State of Florida.
10. Modification. The terms of this Agreement may not be changed, modified,
waived, discharged or terminated orally, but may only be done so by instruments in writing
signed by the party against whom enforcement of the change, modification, waiver, discharge or
termination is asserted.

"Owner" and THE BOARD OF COUNTY COMMISSIONERS OF COLLIER COUNTY,
FLORIDA, herein referred to as "County", and joined in and

Inc. snd consented to by Seminole Gulf Railway, L.P.
WIT N E SSE T H:
WHEREAS, Seaboard Coastline Rail Road Company entered into a
certain License Agreement with Collier County on November 4,
1980, for the purposes of the construction and. maintenance of a
railroad crossing on Pagels Road in Collier County, Florida, a
copy of which agreement is attached hereto as Exhibit "A"; and
WHEREAS, Owner is in the process of constructing a
commercial industrial park on certain property owned by Owner as
described in Exhibit "S" attached hereto and located in Collier
County directly adjacent to said railroad crossing on Pagels
Road, which is the access to said property; and
WHEREAS, Owner has requested County to upgrade and enlarge
the existing railroad crossing located at Pagels Road and to
obtain an additional easement for utility lines on property owned
by S_inole Gulf Railway, L. P., the successor in intere8t to
Seaboard Coast Line Railroad Company, of t.he railroad cros8ing
located on pagels Road; and
WHEREAS, County has entered into an Amen:;nt tOdLicenae
Agreement with Seminole Gulf Railway, dated u(r ~ ,
1991, a copy of which Amenclment is attached here 0 as Exhibit
"C"; and
WHEREAS, County has entered into said Agree_nt in
consideration of Owner (80 long as Owner owns any Luts in
Railhead Industrial park), Owners successors, transferee8 and
a8signs and Railhead Indu8trial Park Owners' Association, Inc.'s
agreement to perform all of County's obligations under said
License Agreement and Amendment to License Agreement.
NOW, THEREFORE, in consideration of the SUIIl of $10.00 and
other good and valuable consideration the receipt of which is
hereby acknowledged, Owner (ao long as Owner owns any Lot8 in
Railhead Industrial Park), its successors, transferees and
assigns and Railhead Industrial park Owners' ASSOCiation, Inc.
hereby assumes and agl:ees to perform all of the obligations of
County as provided in the above described License Agreement and
AIIIendment thereto within the time set for performance of said
obligations.
To secure Owners, its successors, grantees and assigns anu

of their respective obligations hereunder, Owner and Railhead

AMENDMENT TO LICENSE AGREEMEN!
This Amendment is to that certain License Agreement dated
November 4, 1980, by and between the SEABOARD COAST LINE RAILROAD
COMPANY, a corporation under the laws of the State of Vi~glnia,
referred to therein as Licensor, and COLLIER COUNTY, of the State
of Fl~rfda, thereinAreferred to as Licensee, and is entered into
this B- day of ~~f,r ,199/1.., by and between SEMINOLE GULF
RAILWAY, L. P., a De aware 1 ilnited partnership, successor in
interest to SEABOARD COAST LINE RAILROAD COMPANY, herein referred
to as Licensor, and the BOARD OF COUNTY COMMISSIONERS OF COLLiER
COUNTY, FLORIDA, herein referred to as Licensee.
WIT N E SSE T HI
WHEREAS, Seaboard Coast Line Railroad Company and Licensee
entered into a certain License Agreement as described above for
the purposes of the construction and maintenance of a railroa<i
crossing on pagels Road in Collier County, Florida, and
WHEREAS, Licensor and I.icensee wish to amend portions of
said License Agreement as more fully set forth herein.
NOW, THEREFORE, in consideration of the sum of $10.00 and
other good and valuable consideration, the receipt of which is
hereby acknowledged, the parties hereto agree as follows.
1. paragraph 1 of said License Agreement shall be revised
as follows I
1.1 The purpose of this License Agreement is for the
construction and maintenance of a roadway known as pagels
Road which crosses the railroad as shown on drawings
numbered 243-A-14 (D.E. drawing number 3417-R) and D.E.
drawing numbered 34870-102, copies of which are attached
hereto. Additionally, Licensor grants to Licensee the right
and privilege to construct and maintain underground utility
facilities includinq, but not limited to water line8, storm
8ewer and sanitary sewer lines on said property under the
conditions set forth herein.
2. Paragraph 2 of said License Agreement shall be deleted
in its entirety and the following paragraph shall be substituted:
2.1 The Crossing sholl be constructed by Licensor as 0
contractor for Licensee, and for which construction Licensee
agrees to pay the sum os set forth below.
(a) Prior to construction. Licensee agrees to
deposit with Licensor the sum of $137,208.00 (the
"Deposit"), being the cost of construction of the
Crossing in accordance with the specifications set
forth in Exhibit A. Upon completion of the
construction of the crossing, Licensor shall furnish to

Licensee a detailed atatement showing the cost of the
work, including materials used for improving the
croning. Said funds shall be utilized by Licens..
only in connection with the improvement. to the
Crossing.
(b) Licensee shall alao pay to Licensor the SUIlI
of $1,850.00 as an annual fee for each year that said
License Agreement is in effect, co_ncing as of the
date the License Agreement is aigned, and on the s..e
date every year thereafter.
(e) Licensee shall also pay Licensor an annual
maintenance fee of $875.00 and an annual signal
maintenance fee of $1,500.00, the first of which will
be payable on execution of this Agreement. These fees
will cover incidental maintenance such as flange way
cleaning. Specific maintenance or crossing ren_al
projects costing more than $200.00 shall be paid for by
Licensee prior to commencement of such projects. The
maintenance fee set forth in this section shall be
adjusted each year in accordance with changes in the
Consumer Price Index - All Urban Conswaers for the
South, Population 50,000 - 450,000 (1982 - 1984 . 100).
The final index fiyure for the calendar year in which
this Agreement i8 executed shall be the base period for
adjustmenta. The adjustments shall be _de by
calculating the per cent of increase in the index
figure between the base period and the calendar year
prior to the year being adjusted and adjusting the
maintenance fees to the nearest cent by the percentage
change.
2.2 Licensor shall install and thereafter maintain at
the cro.sinq, at Licensee's sole expense, autoaatlc grade
crossinq signals and other traffic control devices in
accordance with the specifications set forth in Exhibit A.
(a) Any maintenance to the Crossing perfo~ by
Licensor, shall be performed in such a matter as to not
block access acros. the Crossinq and if any ..ergency
_intenance or repair is required lit the Cro..ing,
Licensor shall perform same i..-diately after
notification by Licensee. The routine repair and
maintenance to be performed by Licen.or will be
coordinated with the Transportation Depart..nt of
Licensee.
(b) The Cro8sinq shall be located, constructed
and maintained in exact accordance with Exhibit A, end
no departure shall at any time be made therefrom except
upon permi8sion in writinq granted by Licensor:

provided, however, that if any cOIl8i8sion or other
regulatory body duly constituted and appointed in
compliance with the laws of the State of Florida and
competent jurisdiction, has by ruling or other general
order determined and fixed the IIIAnner and ..ans of
construction, maintenance, repair, alteration, renewal,
relocation or removal thereof, then 8aid ruling or
general order 8hall prevail for the CraBBing.

to the approval of Licensor, or its successors or
assigns.
(C) The construction, maintenance, repair.
alteration or removai of the Crossing shall be done
under Buch general conditions, including aceeS8 to the
Bite, as will be sati.factory to Licensor, and as will
not interfere with the proper and safe use, operation
and enjoyment of the property uf the Licensor by
Licen.or. or its succe8sors or assigns or of the
CroBsing by Licensee or the public util1dnq Pagels
Road.
(d I Licensor Bhall perform such ..aintenance of
the Cros.ing on Licensor'B property as it may detaraina
i8 required for the Bafe operation and aaintenance of
the Crossing. If neeessary to protect the property,
traffic, patrons, or employeea of Licensor, or any
other person from damage or injury, Licen.or aay with
or without notice to Licensee at any tilll8 IIIAke sllch
repairs and furnish Buch matarial therefor as it d....
adeqllate and necessary, all at the sole cost and
expense of Liceneee, Any cOBta incurred by Licensor
pursuant to this paragraph shall be reiabllrsed to
Licen.or by Licensee at Licen.or's reasonable and
cllstomary charges in the manner and to the extent
provided below.
(e) The Crossing shall include adequate drainage
facilities necessary or appropriate for the prevention
of flooding or any other kind of water d_ge in the
\Jeneral area, and said drainage facilities shall be
installed, repaired, maintained and cleaned at all
time. by and at the Bole risk, cost and expense of
Licensee, All such work to be perfo~d on Licen.or's
property Bhall be performed by Licensor,
(f) LicenBor'B right of supervision over the
location of the construction work and inspection of the
Cros.ing trom time to time thereafter shall extend for

Licensor's reasonable judgment, be necessary to support
and sustain the trecks end roadbed of Licensor.
2.3 Licensee, at its own COftt and expense, when
performing any work in connection with the Crossing shall
request Llcensor to furnlsh any necessary inspectors,
flagmen or watchmen for the protection of any person or
property, including persons not parties hereto and their
property. Licensor shall be not if ied at least three ( 3)
weeks in advance of the performance of any work in
connection with the Crossing. In the event of an emergency
situation , the three (3) week time period may be waived in
lieu of notification via telephone to the chief engineer of
the Licensor. Llcensor shall provide to Licensee on an
annual basis the name, address and daytime and evening phone
number of laid engineer.
(a) In addition to, but not in limitation of any
of the foregoing provisions, if at any time Licensor
should deem it necessary to place inspectors, flagmen,
or watchmen for the protection of any person or
property, during the construction, maintenance, repair,
alteration, renewal, or removal of the Crossing,
Licensor shall have the right to place luch inspectors,
flagmen, or watchmen, or other persons at the lole cost
and expense of the Licenlee. Upon receipt of a bill
from Licensor, Licensee shall promptly pay Licensor the
full cost and expense of such inspectors, fla\llll8n or
watchmen.
2.4 If Licensee desirel or is required by Licensor to
revise, renew, add to, alter or relocate the Crossing in any
manner whatsoever, it shall submit plans to Licensor and
obtain its written approval thereto before any work or
alteration of the structure is performed. Licensor reserves
the right to make reasonable adjustments in its charges in
connection with any such work.
2.5 Licensor shall have the right frolll tiM to tilll8,
and only when necessary, to take up and replace all or any
part of the Crossing in order to maintain, repair or renew
facilities of Licensor within the Crossing and to bill
Licensee therefor.
3. Paragraph 7 shall be added as follows:
7.1 The utility hcilities to be constructed at the
Crossing shall be constructed according to the following
condition.,

referred to as "utility lines' shall include a water
transmiasion main consisting of 9 and 5/100 inch
( 9 . 05" ) PVC carrier pipe encaseu in a fourt.een and
sixty-six hunureds inch (14.66") steel casing pipe and
a sewer transmission main consisting of a 6 and 90/100
inch (6.90") pvC carrier pipe encased in a 12 and
75/100 inch (12.75") steel casing pipe and a gravity
st.orm water pipe consisting of a 19.5" Class IV
Reinforced Concrete Pipe under the railroad
right-of-way and track of the line at Pagels Road
approximately 2,031 feet North from railroad milepost
AX-990 in Collier County, Florida, and installed in
accordance with the application for pipeline
crossing/parallel ism under/over properties and tracks
submitted to LicenBor along with construction drawings
approved by LicenBor and attached hereto and lIIade a
part hereof 8S Exhibit "B".
(b) The utility lines ahall be located,
constructed and maintained in exact accordance with
Exhibit "B" and no departure shall at any time be ..de
therefrom excevt upon permission in writing granted by
the Licensor: provided, however, that if any
governmental or regulatory body having jurisdiction in
the premises has regulated the ..nner and _ana of
construction, maintenance, repair, alteration, renewal,
relocation or removal thereof, then Licens.. shall
cOlllpiy therewith after prior notice to Licensor as to
any required departure from Exhibit B. Supervision
over the location of the construction work, inspection
of the construction, maintenance, repair, alteration,
renewal, relocatiun and reDlOval of the utility lines
shall be subject to the approval of Licensor. The
utility lines shall not be installed until the method
of inltallation, the Icheduling of installation, and
all related matters have been approved in writing by
Licensor.
(C) The construction, maintenance, repair,
renewal, alteration, or reJaOval of the utility lin.a
shall be done under such conditions, including access
to the site, as will be satisfactory to Licensor, and
aa will not interfere with the property and aafe use,
operation and enjoyment of the property of Licensor or
its successors or assigns.
(d) Licensee, when performing any work in
connection with the utility linea, shall requeat
Licenaor to furntsh, at Licensee '8 own C08t and
expense, any nec.ssary inspectora, flagmen or watchaen
for the protection of any person or property, including
persons not parties hereto and their property.

Licensor shall be notified at least three (3) weeks in
advance of the performance of any work on the utility
lines, excepting emergency repairs in which case

sole cost and expense of Licen.ee. Upon receipt of a
bill from Licensor. Licensee shall proaptly pay
Licen.or the full cost and expense of _playing such

(f) If Licensee de.ires or is required, as herein
provided, to revise, renew, add to or alter the utility
lines in any manner whatsoever, it shall su~it plan.

performed or materials furnished by Licensor pursuant

Licensor the actual COlt of material plus the current
applicable overhead percentages for storage. handling.

arising solely from or as a result of the installation
of the utility lines, and Licensee agrees to pay
Licensor on demand the full cost and expense of
repairing or restoring Licensor's faciliti.s.
(m) Lines for telephone, power and cable .ay only
be installed after approval of the location is obtained
from Licensor.
(n) Licensee shall pay Licensor an annual fee of
One Thousand Eiyhty Dollars ($1,080.00) (.Occupancy
Charge.) for said utility line. each year this
Agreement is in effect payable on the anniversary date
of this Agreement. Licensor shall change the Occupancy
Charge in accord with the followin", provisions. The
Occupancy Charge may be increased annually, at
Licensor's lIole discretion, during the tera of thie
Agreement in accordance with the Consu..r Price Index -
All Urban Consumers for the South, Population
50,000-450,000 (1982-1994-100). The final index figure
for the calendar year 1999 shall be the base period for
adjustments. The adjustment shall be aad. by
calculating the percent of increalle in the index figure
for .All Items. between the base period and the
calendar year prior to the year being adjusted and
adjusting the Occupancy Charge to the near.st cent by
the percentage change.
4. The terms of thill License Agreement and AaendlDent shall
be binding and effective upon the parties hereto, and unless and
until terainated, 88 hereinbefore provided, this License
Agree_nt and Amendment shall inure to the benefit of and be
binding upon the parties hereto, their successora and aSliyns.
