22. Copy of video tape test report
23. Letter from Engineering Services Department certifying that the
preliminary inspection reveals that the Utility facilities have been
constructed in accordance with County ordinances and regulations.

THIS SUBORDINATION, CONSENT AND JOINDER given this 1"3 ~y of N Q JCIW\\w( 2002,
by ORION BANK, as successor by merger with Gulf Coast National Bank, (Hereinafter referred to as
"Secured Party"), in favor ofthe BOARD OF COUNTY COMMISSIONERS OF COLLIER COUNTY,
FLORIDA, AS THE GOVERNING BODY OF COLLIER COUNTY AND AS EX-OFFICIO THE
GOVERNING BOARD OF THE COLLIER COUNTY WATER-SEWER DISTRICT, its successors and
assigns, (hereinafter referred to as "County"). Secured Party is used as singular or plural, as the context
reqUIres.

WHEREAS, Secured Party is the owner and holder of that certain Mortgage from N.D.C., L.L.C., to
Colonial Bank as recorded in Official Records Book 2666, page 1504; together with Assignment of Rents,
Leases, Profits and Contracts, recorded in Official Records Book 2666, page 1519; UCC-l Financing
Statement from recorded in Official Records Book 2666, page 1529; as modified by those certain Loan
Modification Agreements and Future Advances recorded in Official Records Book 2858, Page 3301;
Official Records Book 2874, Page 2479, Official Records Book 2892, Page 0976, Official Records Book
2961, Page 2364, Official Records Book 2961, Page 2368, Official Records Book 3108, Page 1769; and
Assignment of Note, Mortgage and Loan Documents recorded in Official Records Book 2961, Page 2361;
all of the Public Records of Collier County, Florida, and UCC-1 Financing Statement #200000092904 filed
with the Florida Secretary of State (hereinafter referred to as the "Securing Instruments") encumbering the
premises legally described therein (hereinafter referred to as the "Encumbered Property").
WHEREAS, County has requested and received from the fee simple owner of the Encumbered Property
non-exclusive easements for the installation, relocation and/or maintenance of utility facilities over, under
and/or across a portion of the encumbered premises legally described in Exhibit "A" attached hereto and
incorporated herein by virtue of this reference, which premises are hereinafter referred to as the "Easement
Property" .
WHEREAS, County has requested that Secured Party consent to, join in and subordinate its Securing
Instruments to the interest that County has in the Easement Property to which request Secured Party has
agreed.
NOW, THEREFORE, in consideration ofTEN DOLLARS ($10.00) and other good and valuable
consideration, the receipt of which is hereby acknowledged, the Secured Party does hereby consent to, join
in and subordinate the lien of its Secured Instruments to the grant of that certain easement described herein
over, under, and across the Easement Property and any interest ofthe County in any utility facilities located
therein, thereon, or affixed thereto. Except as subordinated to the easement described herein over, under,
and across the Easement Property or any utility facilities located therein or affixed thereto, said security
interest shall remain otherwise in full force and effect.

WARRANTY DEED AND BILL OF SALE
THIS INDENTURE made this .31 day of Oc:hÄ-./O ,2002, between
N.D.C., L.L.C., a Florida limited liability company (hereinafter referred to as "Grantor"), -and the
BOARD OF COUNTY COMMISSIONERS OF COLLIER COUNTY, FLORIDA, AS THE
GOVERNING BODY OF COLLIER COUNTY AND AS EX-OFFICIO THE GOVERNING
BOARD OF THE COLLIER COUNTY WATER-SEWER DISTRICT, its successors and
assigns, (hereinafter referred to as "Grantee").

That said Grantor, for and in consideration of the sum ofTen Dollars ($10.00) and other good
and valuable consideration to said Grantor in hand paid by said Grantee, the receipt whereof is
hereby acknowledged, has granted, bargained and sold to the said Grantee, and Grantee's heirs,
successors and assigns forever, all water utility facilities lying within the following described
land, together with appurtenant easement rights for the operation, relocation, installation and
maintenance of said facilities, situate, lying and being in Collier County, Florida, to wit:

incorporated by reference herein.)
and said Grantor does hereby fully warrant the title to said utility facilities, be they realty,
personalty, or mixed, and will defend the same against the lawful claims of all persons
whomsoever. For the purposes of this conveyance, the utility facilities conveyed herein shall not
be deemed to convey any of the lands described in Exhibit "A". Grantor and Grantee are used for
singular or plural, as context requires.
TO HAVE AND TO HOLD the same unto the Grantee and its assigns, together with the right to
enter upon said land, excavate, relocate and/or take materials for the purpose of constructing,
relocating, operating, and maintaining utility facilities thereon.

specifications, or extra items, used in the construction or repair of water utility facilities on the real
estate hereinafter described, have been paid in full and that such work has been fully completed and
unconditionally accepted by the Owner.
4. No claims have been made to the Owner, nor is any suit now pending on behalf of any contractor,
subcontractor, sub-subcontractor, supplier, laborer or materialman, and no chattel mortgages or
conditional bills of sale have been given or are now outstanding as to the subject utility facilities
placed upon or installed in or on the aforesaid premises.
5. The utility facilities described herein are encumbered by, or subject to a Mortgage from N.D.C.,
L.L.C., to Colonial Bank, as recorded in Official Records Book 2666, page 1504; together with
Assignment of Rents, Leases, Profits and Contracts, recorded in Official Records Book 2666, page
1519; UCC-1 Financing Statement from recorded in Official Records Book 2666, page 1529; as
modified by those certain Loan Modification Agreements and Future Advances recorded in Official
Records Book 2858, Page 3301, Official Records Book 2874, Page 2479, Official Records Book
2892, Page 0976, Official Records Book 2961, Page 2364, Official Records Book 2961, Page 2368,
Official Records Book 3108, Page 1769; and Assignment of Note, Mortgage and Loan Documents

6. As and on behalf of the Owner of the subject utility facilities, does for valuable consideration
hereby agree and guarantee, to hold the Board of County Commissioners of Collier County, Florida,
as the governing body of Collier County and as Ex-Officio the Governing Board of the Collier County
Water-Sewer District harmless against any lien, claim or suit by any general contractor, subcontractor,
sub-subcontractor, supplier, mechanic or materialman, and against chattel mortgages, security

herein by reference, said land being located in Collier County, Florida.
4. The Affiant has examined record title information to both the real and personal property referenced
in this affidavit, including but not limited to, information requested from the Florida Secretary of State
relative to any Uniform Commercial Code financing statements.
5. The record owner of the real property described herein is N.D.C., L.L.c., a Florida limited liability
company (hereinafter "Owner"). The Owner acquired record title to the subject real property by
instrument recorded at Official Records Book 2666, at Page 1502, Public Records, Collier County,
Florida (copy attached) .
6. Affiant has examined corporate information obtained from the Florida Secretary of State. The
Owner is current and active within said state, and is currently authorized to do business in the State of
Florida. Stephen L. Pistner, as President of Pistner Associates, Inc., a Florida corporation, as
Managing Member of N.D. C., L.L.C., a Florida limited liability company is authorized to execute the
instruments on behalf of the N.D.C., L.L.C. in conjunction with the conveyance of the subject real and
personal property.

This is to infonn you that the above referenced project has been granted preliminary acceptance
by Engineering Services in compliance with Collier County Land Development Code, Section 3.
All water and/or sewer facilities accepted and required to be maintained by Collier County have
been conveyed to the County pursuant to the provisions set forth in Collier County Ordinance
No. 2001-57, as amended.
You are reminded that it is your responsibility to petition the Development Services Director for
fmal approval of the improvements upon the expiration of the minimum one (1) year
maintenance period. After satisfactory completion of all final inspections, the Board of County
Commissioners shall grant final approval of the required improvements establishing County
responsibility for maintenance of the required improvements if it is the Board's desire to accept
and maintain the facilities.

Dear Mr. Kuck:
Please accept this letter as representation that in our professional judgment and to the best of
our knowledge and belief the potable water distribution and sanitary sewer collection systems
for Olympia Park Phase I have been completed in substantial accordance with the enclosed
plans (Sheets 1-12, Revision 1) and specifications approved by Collier County Project Plan
Review Services.
Furthermore, to the best of our knowledge and belief the project infrastructure (water, sewer)
has been constructed within the public right -of-way and/or dedicated easements, as required, or
as applicable.

EXECUTIVE SUMMARY
Recommendation to approve final acceptance of water and sewer utility facilities
for Olympia Park
OBJECTIVE: The Board of County Commissioners, Ex-Officio the Governing
Board of the Collier County Water-Sewer District, to accept the conveyance of the water
and sewer facilities.
CONSIDERATIONS:
1) The Developer of Olympia Park has constructed the water and sewer facilities within
dedicated easements to serve this development. See attached location map.
2) Preliminary acceptance was approved by the Community Development and
Environmental Services staff on 3/7/2003. Final Acceptance is in accordance with
Ordinance 2001-57.
3) Staff has recorded all appropriate legal documentation which has been reviewed by
the County Attorney's office for legal sufficiency.
4) The water and sewer facilities have been operated and maintained by the Collier
County Water-Sewer District during the one (1) year warranty period.
5) A final inspection to examine for any defects in materials and workmanship was
conducted by the Community Development and Environmental Services Division
staff and found to be satisfactory.
6) The Utilities Performance Security (UPS), in the form of a Cash Bond in the amount
of $1,040.10, will be released to the Project Engineer or the Developer's designated
agent upon the Board's approval.
FISCAL IMPACT: The water facilities were constructed without cost to the Collier
County Water-Sewer District. The cost of operating and maintaining the water and
sewer facilities will be paid by monthly user revenues.
GROWTH MANAGEMENT IMPACT: This project has been connected to the County
Regional Water Treatment Plant and North/South Regional Wastewater Treatment Plant.
Capacity presently exists to serve this project.
RECOMMENDATION: The Community Development and Environmental Services
Division Administrator recommends that the Board of County Commissioners, Ex-Officio
the Governing Board of the Collier County Water-Sewer District, accept the water and
sewer facilities for Olympia Park, and release the UPS to the Project Engineer or the
Developer's designated agent.
