The Board of County Commissioners, meeting in regular session on
November 5, 1996, accepted the water facilities within the above-
referenced project.
Attached, please find the following documents that need to be
recorded, in order:
1. Utilities Facilities Subordination, Consent and Joinder
2. Bill of Sale
3. Utility Easement
4. Utilities Facilities Warranty Deed
Also, please find attached the following documents for your
files.
5. Owner's Affidavit
6. Attorney's Affidavit
7. Copy of cashier's check & receipt for maintenance
8. Certification of pressure testing of water lines by
Engineer of Record
9. Bacteriological clearances (DER certification) for
water facilities
10. Contractor's Final Release of Lien
11. Lab results on bacteriological test for water lines

Commissioners' acceptance for both water and sewer
facilities
15. Payment of water usage, laboratory and administrative
charges for filling, flushing and bacteriologically
certifying water lines from invoice prepared by the
Utilities Division
16. Letter from fire district regarding ownership and
maintenance of fire hydrants
17. Certification of field fire flow capacity testing by
fire district
18. Copy of backflow prevention assembly test report
19. Letter from Compliance Services section certifying that
the final inspection reveals that the Utility
facilities have been constructed in accordance with
County ordinances and regulations
20. One copy of the Utility Easement
Once the first documents are recorded, please send copies of the
recorded documents for our files. Also, please forward the
recording fee bill so we can collect from the developer. Thanks

UTILITY FACILITIES SUBORDINATION, CONSENT AND JOINDER
THIS SUBORDINATION, CONSENT AND JOINDER given this 2/41 day of October, 1996,
by CHASE FEDERAL BANK, successor by merger with Founders National Trust Bank (hereinafter
referred to as "Mortgagee"), in favor of the Board of COUNTY COMMISSIONERS OF COLLIER
COUNTY, FLORIDA, AS THE GOVERNING BODY OF COLLIER COUNTY AND AS EX-
OFFICIO THE GOVERNING BOARD OF THE COLLIER COUNTY WATER-SEWER DISTRICT,
its successors and assigns, (hereinafter referred to as "County"). Mortgagee is used as singular or plural,
as the context requires.
WITNESSETH:
WHEREAS, Mortgagee is the owner and holder of that certain Mortgage Security Agreement
recorded in Official Records Book 2138, Page 943 et seq. of the Public Records of Collier County,
Florida, (hereinafter referred to as "Mortgage"), in favor of Founders National Trust Bank as modified
by the Loan Modification Agreement recorded in O. R. Book 2190, Pages 1360, et seq. of the public
records of Collier County, Florida, encumbering the premises legally described therein, (hereinafter
referred to as the "Encumbered Property"), and is the owner and holder of a security interest in all
property rights of any kind located at or used in connection with or arising out of the conduct of the
debtor's business related to the property encumbered by the above described mortgage. Said security
interest is evidenced by a U.C.C. Financing Statement recorded in O.R. Book 2138, Page 967 of the
Public Records of Collier County, Florida.
WHEREAS, County has requested and received from the fee simple owner of the Encumbered
Property non-exclusive easements for the installation and maintenance of utility facilities over and
across a portion of the encumbered premises legally described in Exhibit "A" attached hereto and
incorporated herein by virtue of this reference, which premises are hereinafter referred to as the
"Easement Property".
WHEREAS, County has requested and received from the fee simple owner of the Encumbered
Property non-exclusive easements for the installation and maintenance of utility facilities over and
across a portion of the encumbered premises legally described in Exhibit "A" attached hereto and
incorporated herein by virtue of this reference, which premises are hereinafter referred to as the
"Easement Property".
NOW, THEREFORE, in consideration ofTEN DOLLARS ($10.00) and other good and valuable
consideration, the receipt of which is hereby acknowledged, the Mortgagee does hereby consent to, join
in and subordinate the lien of its Mortgage and the lien of its U.C.C. Financing Statement to the grant of
that certain easement described herein over, under, and across the Easement Property and any interest of
the County in any utility facilities located therein or affixed thereto. Except as subordinated to the
easement described herein over, under, and across the Easement Property or any utility facilities located
therein or affixed thereto, said Mortgage and U.C.C. Financing Statement shall remain otherwise in full
force and effect.
IN WITNESS WHEREOF, the Mortgagee has caused these presents to be executed the date and
year first above written.

THIS BILL OF SALE ev~encing the sale and conveyance of the water utility facilities
described herein is made this ~ day of October, 1996, by
SUNSET 12, INC., a Florida corporation
(hereinafter referred to as "Seller"), and the BOARD OF COUNTY COMMISSIONERS OF
COLLIER COUNTY, FLORIDA, AS THE GOVERNING BODY OF COLLIER COUNTY
AND AS EX-OFFICIO THE GOVERNING BOARD OF THE COLLIER COUNTY W A TER-
SEWER DISTRICT, its successors and assigns, (hereinafter referred to as "Buyer").
WITNESSETH:
That said Seller, for and in consideration of the sum of Ten Dollars ($10.00) and other
good and valuable consideration to said Seller in hand paid by the said Buyer, the receipt
whereof is hereby acknowledged, has granted, bargained, sold, transferred, set over and
delivered, and by these presents does grant, bargain, sell, transfer, set over and deliver unto the
Buyer, and the Buyer's heirs, successors and assigns forever, all those certain water utility
facilities lying within the following described land, together with appurtenant easement rights for
the operation, installation and maintenance of said facilities, situate, lying and being in Collier

that it has good right, title and authority to sell same, and that it will warrant and defend the same
against the lawful claims and demands of all persons whomsoever. Seller and Buyer are used for
singular or plural, as the context requires.

THIS INDENTURE made this g ~ay of October, 1996, between
SUNSET 12, INC., a Florida corporation
(hereinafter referred to as "Grantor"), and the BOARD OF COUNTY COMMISSIONERS OF COLLIER COUNTY,
FLORIDA, AS THE GOVERNING BODY OF COLLIER COUNTY AND AS EX-OFFICIO THE GOVERNING
BOARD OF THE COLLIER COUNTY WATER-SEWER DISTRICT, its successors and assigns, (hereinafter referred to
as "GRANTEE").
WITNESSETH:
That said Grantor, for and in consideration of the sum ofTen Dollars and other good and valuable consideration
to said Grantor in hand paid by said Grantee, the receipt whereof is hereby acknowledged, has granted, bargained and
sold to the said Grantee, and Grantee's heirs, successors and assigns forever, all water utility facilities lying within the
following described land, together with appurtenant easement rights for the operation, installation and maintenance of
said facilities, situate, lying and being in Collier County, Florida, to wit:

and said Grantor does hereby fully warrant the title to said utility facilities, and will defend the same against the lawful

context requires.

OWNER'S AFFIDAVIT

On thiS~ay of October, 1996, before me personally appeared DONALD J. PERRENOUD, as
President of SUNSET 12, INC., a Florida corporation, owner of the property to me personally known (hereinafter
"Affiant"), who, being duly sworn on his oath, did say that all of the persons, firms and corporations, including
the general contractor and all subcontractors, who have furnished services, labor or materials according to plans
and specifications or extra items, used in the construction or repair of water utility facilities on the real estate
hereinafter described, have been paid in full and that such work has been fully completed and accepted by the
owner.
Affiant further says that no claims have been made to the Owner by, nor is any suit now pending on
behalf of, any contractor, subcontractor, laborer or materialman, and further that no chattel mortgages or
conditional bills of sale have been given or are now outstanding as to the subject utility facilities placed upon or
installed in the aforesaid premises.
Affiant further states that a lien had been filed in O. R. Book 2168, Page 1509 of the Public Records of
Collier County, Florida by Berkshire Lakes Master Association, Inc., and said lien may have encumbered the
subject utility facility, however, said lien has been satisfied and a release has been recorded in O.R. Book 2191,
Page 2367, of the Public Records of Collier County, Florida. Affiant, in any event, states it will hold Collier
County harmless against said lien and will resolve any claim arising under said lien without involving the county.
As set forth above, the lien has been satisfied and released.
Affiant further says that the utility facilities described herein are not included in, encumbered by, or
subject to any real property mortgage, chattel mortgage, security agreement, Uniform Commercial Code
financing statement, or any other encumbrance.
Affiant, as and on behalf of the owner of the subject water utility facilities, does for valuable
consideration hereby agree and guarantee, to hold the Board of County Commissions of Collier County, Florida,
as the governing body of Collier County and as Ex-Officio the Governing Board of the Collier County Water-
Sewer District harmless against any lien, claim or suit by any general contractor, subcontractor, mechanic or
materialman, and against chattel mortgages, security interests or repair of the subject utility facilities. Affiant is
used as singular or plural, as the context requires.

Suite 103, Naples, Florida 34108, (941) 566-3600 (hereinafter "Affiant"), who, being duly
sworn on his oath, does say:
1. This Affidavit is given as an inducement to the Board of County Commissioners
of Collier County, Florida, as the governing body of Collier County and as Ex-Officio the
Governing Board of the Collier County Water-Sewer District to accept the dedication or
conveyance of water utility facilities located within or upon the real property described in the
attached Exhibit "A", which is incorporated herein by reference, said land being located in
Collier County, Florida and being a part of land described in Exhibit "B".
2, The Affiant has examined record title information to both the real and personal
property referenced in this affidavit, including but not limited to, information requested from the
Florida Secretary of State relative to any Uniform Commercial Code financing statements.
3. The record owner of the real and personal property described herein is SUNSET
12, INC., a Florida corporation existing under the laws of the State of Florida (hereinafter
"Owner"). The Owner acquired record title to the subject real property by instrument recorded at
Official Records Book 2088, at page 2215, Public Records, Collier County, Florida, a copy of
which is attached hereto as Exhibit "B".
4, Affiant has examined the records contained in the office of the Secretary of State
of the State of Florida and the owner, SUNSET 12, INC., is current and active within said State,
the entity is currently authorized to do business in the State of Florida and DONALD J.
PERRENOUD, as President, is authorized to execute instruments on behalf of the entity in
conjunction with the conveyance of the subject real and personal property.
5. The subject property is encumbered by that certain Mortgage in favor of CHASE
FEDERAL BANK, successor by merger with Founders National Trust Bank recorded in O.R.
Book 2138, Pages 943, et seq., of the Public Records of Collier County, Florida, a copy of which
is attached hereto as Exhibit "C", and as modified by the Loan Modification Agreement recorded
in O.R. Book 2190, Pages 1360, et seq" of the Public Records of Collier County, Florida, a copy
of which is attached hereto as Exhibit "D". There is a U.C.C. Financing Statement filed in the
Public Records of Collier County, Florida and with the office of the Secretary of State of the
State of Florida. Said Financing Statement is recorded in O.R. Book 2138, Pages 967 et seq., of
the Public Records of Collier County, Florida. A copy of said financing statement is attached
hereto as Exhibit "E." The property described on page one of Exhibit "A" is encumbered by a
claim of lien in favor of Berkshire Lakes Master Association, Inc" in the amount of$1,950. Said
Claim of Lien is recorded in O. R. Book 2168, pages 1509, et seq., of the Public Records of
Collier County, Florida. A Copy of said Claim of Lien is attached hereto as Exhibit "F,"
6. Taxes for the year 1995 in the amount of $983.67 have been paid. Folio Number
23945162006. Taxes for the year 1996 are not issued until November 1, 1996.
7. Affiant further states that the information contained in this Affidavit is true,
correct and current as of8:00 A.M" September 3, 1996.

O.R. BOOK 2072, PAGES 2346-2349, COLLIER COUNTY, FIDRIDA PUBLIC
RECORDS.
THIS WARRANTY DEED is made the 3l~ day of July, 1995 by
PHILIP M. BRABYN, whose post office address is 3700 Rum Row,
Naples, Florida 33940, hereinafter called the Grantor, to
SUNSET 12, INC., a Florida corporation, whose post office address
is Suite 200, 390 Broad Avenue South, Naples, Florida 33940,
hereinafter called the Grantee:

the sum of $10 and other valuable consideration, receipt of which

If within one year after the date of acceptance by Owner or such longer period of time
as may be prescribed by law or by the terms of any applicable special guarantee
required by the Project Engineer, any work is found to be defective, Contractor shall
promptly, without cost to the Owner in accordance to the Owner's written , either
correct such defective work or, if it is rejected by the Owner, remove it from the site
and replace it with non-defective work. If Contractor does not promptly comply with
the terms of such instructions, or in an emergency where delay would CRuse serious
risk of loss or damage, Owner may have the defective work corrected or the rejected
work removed and. replace, and all reasonable direct and indirect costs of such
remo\-al and replacement, including compensation for additional professional services,
shall be paid by Contractor.

If within one year after the date of acceptance by Owner or such longer period of time
as may be prescribed by law or by the terms of any applicable special guarantee
required by the Project Engineer, any work is found to be defective, Contractor shall
promptly, without cost to the Owner in accordance to the Owner's written , either
correct such defective work or, if it is rejected by the Owner, remove it from the she
and replace it with non-defective work. If Contractor does not promptly comply with
tho terms of such instructions, or in an emergency where delay would cause serious
risk of loss or damage, Owner may have the defective work corrected or the rejected
work removed and.. replace, and all reasonable direct and indirect costs of 8uch
