EXECUTIVE SUMMARY
Recommendation to extend Contract #07 -4105 with White & Smith, LLC, Planning and Law
Group, under the same terms and conditions as the original contract, for a period of one (1)
year, ending on December 11, 2013.
OBJECTIVE: To extend an existing contract with White & Smith, LLC Planning and Law Group
to help staff prepare the Collier County Administrative Code and update and rewrite identified
sections of the Land Development Code (LDC).
CONSIDERATION: The Board of County Commissioners (Board) awarded Contract 907 -410, in
the amount of $147,972.00, to White & Smith, LLC Planning and Law Group (Consultant) on
September 11, 2007 to assist staff with the development of a Collier County Administrative Code
and related amendments to the LDC. Consistent with the terms of the Agreement, additional
extensions to the contract not to exceed four (4) years were approved, thereby renewing the contract
through September 10, 2011. A six (6) month extension to March 11, 2012 was approved,
consistent with County's Purchasing Policy, Section XV.D., at the request of the contract manager
to the Purchasing /General Services Director on July 18, 2011. An additional nine (9) month
extension to December 11, 2012 was approved by the Board on February 28, 2012 (Agenda item
16.A.14).
All of the extensions under the agreement have been exhausted and Board approval is needed to
extend the existing contract beyond December 11, 2012. The contract extension will allow the
Consultant to attend public hearings, affirm the Administrative Code is legally sufficient, and is a
common practice for municipalities and counties nationwide. The extension letter for the proposed
one (1) year time frame has been signed by the Consultant and is subject to Board approval. The
extension letter and the original contract are attached.
A completed draft of the Administrative Code was submitted to the County in February 2010 by the
Consultant. However, in late 2009 the County requested the Collier Building Industry Association
(CBIA) work with County staff to bring forward LDC amendments prior to finalizing the
Administrative Code. The 2012 LDC Amendment Cycle 1 was completed in September of 2012
and work on the Administrative Code has resumed. The Administrative Code and corresponding
LDC Amendment are currently being reviewed for legal sufficiency. The documents will begin the
public vetting process in January 2013 with the review by the Development Services Advisory
Committee and followed by the Planning Commission in March. The Administrative Code is
expected to be presented for Board action in June 2013.
The Administrative Code combines the procedures for developing property that are contained
throughout the LDC into a single document. It is designed to be a user - friendly document to be
utilized by County staff, applicants, and design professionals to easily understand many of the
complex permitting processes that are available in Collier County. The Administrative Code will
describe the permitting and notification procedures, the agencies and officials involved in the
review process, and will be adopted by Ordinance. In tandem with the development of the
Administrative Code, the LDC will be amended to remove many of the procedural requirements.
The proposed Administrative Code and related LDC amendments will not affect any regulatory
provisions that currently exist in the LDC.

FISCAL IMPACT: The proposed extension does not change the awarded and total budgeted
contract amount of $147,972.00. A purchase order in Fund 131 (Land Development Services) was
"rolled" from FY2012 into FY2013, and covers the remaining balance of $58,010.60.
GROWTH MANAGEMENT IMPACT: Approval of this contract extension will not affect the
Growth Management Plan. The proposed Administrative Code and related amendments to the Land
Development Code will result in a document that is more easily understood and applied, and will
have a substantial positive impact on the County's ability to effectively and expeditiously process
and manage land use and building permit applications and business functions. This will result in
fewer errors by the staff and the users of the Land Development Code.
LEGAL CONSIDERATIONS: This item has been reviewed by the County Attorney's Office, is
legally sufficient, and requires a maiority vote for approval. — ERP
RECOMMENDATION: That the Board of County Commissioners extends Contract #07 -4105
with White & Smith, LLC, Planning and Law Group, under the same terms and conditions as the
original contract, for a period of one (1) year, ending on December 11, 201' ).

AGREEMENT
No. 074105, "Review of Land Development Code"
THIS AGREEMENT, made and entered into on this JINay of ji42:6LOA. 2007, by and
between White & Smith, LLC Planning and Law Group, authorized to do business in the
State of Florida, whose business address is: 230 SW Main Street, Suite 209, Lee's Summit, MO
64063, hereinafter called the "Consultant" and Collier County, a political subdivision of the
State of Florida, Collier County, Naples, hereinafter called the "County":
WITNESSETH:
1. COMMENCEMENT. The Consultant shall commence the work upon receipt of the
Notice to Proceed, in the form of a letter from the Contract Manager.
The County may, at its discretion and with the consent of the Consultant, extend the
Agreement under all of the terms and conditions contained in this Agreement for three
(3) additional one (1) year periods not exceeding (4) years. The County shall give the
Consultant written notice of the County's intention to extend the Agreement term not
less than ten (10) days prior to the end of the Agreement term then in effect.
2. STATEMENT OF WORK. The Consultant shall provide review of Collier County's
Land Development Code in accordance with the terms and conditions of RFP
#07 -4105, Exhibit B, Schedule and Consultant proposal hereto attached and made an
integral part of this agreement. Additional services may be added to this contract
upon satisfactory negotiation of price by the Contract Manager and Consultant.
3. THE CONTRACT SUM. The County shall pay the Consultant for the performance of
this Agreement an estimated maximum amount of one hundred forty seven thousand,
nine hundred seventy two dollars ($147,972.00), based on the prices .set forth in Exhibit
A, Cost Proposal, hereto attached and made an integral part of this agreement.
Payments shall be made to the Consultant not more frequently than once per month.
Payment will be made upon receipt of a proper invoice and in compliance with Section
218.70 F.S. otherwise known as the "Florida Prompt Payment Act ".
4. NOTICES. All notices from the County to the Consultant shall be deemed duly

The Consultant and the County may change the above mailing address at any time
upon giving the other party written notification. All notices under this Service
Agreement must be in writing.
5. NO PARTNERSHIP. Nothing herein contained shall create or be construed as
creating a partnership between the County and the Consultant or to constitute the
Consultant as an agent of the County.
6. PERMITS: LICENSES: TAXES. In compliance with Section 218.80, F.S., all permits
necessary for the prosecution of the Work shall be obtained by the Consultant.
Payment for all such permits issued by the County shall be processed internally by the
County. All non - County permits necessary for the prosecution of the Work shall be
procured and paid for by the Consultant. The Consultant shall also be solely
responsible for payment of any and all taxes levied on the Consultant. In addition, the
Consultant shall comply with all rules, regulations and laws of Collier County, the
State of Florida, or the U. S. Government now in force or hereafter adopted. The
Consultant agrees to comply with all laws governing the responsibility of an employer
with respect to persons employed by the Consultant.
7. NO IMPROPER USE. The Consultant will not use, nor suffer or permit any person to
use in any manner whatsoever, county facilities for any improper, immoral or
offensive purpose, or for any purpose in violation of any federal, state, county or
municipal ordinance, rule, order or regulation, or of any governmental rule or
regulation now in effect or hereafter enacted or adopted. in the event of such violation
by the Consultant or if the County or its authorized representative shall deem any
conduct on the part of the Consultant to be objectionable or improper, the County
shall have the right to suspend the contract of the Consultant. Should the Consultant
fail to correct any such violation, conduct, or practice to the satisfaction of the County
within twenty -four (24) hours after receiving notice of such violation, conduct, or
practice, such suspension to continue until the violation is cured. The Consultant
further agrees not to commence operation during the suspension period until the
violation has been corrected to the satisfaction of the County.

&PROHIBITION OF GIFTS TO COUNTY EMPLOYEES: No organization or individual
shall offer or give, either directly or indirectly, any favor, gift, loan, fee, service or
other item of value to any County employee, as set forth in Chapter 112, Part III,
Florida Statutes, Collier County Ethics Ordinance No. 2004 -05, and County
Administrative Procedure 5311. Violation of this provision may result in one or more
of the following consequences: a. Prohibition by the individual, firm, and/or any
employee of the firm from contact with County staff for a specified period of time; b.
Prohibition by the individual. and /or firm from doing business with the County for a
specified period of time, including but not limited to: submitting bids, RFP, and/or
quotes; and, c. immediate termination of any contract held by the individual and/or
firm for cause
TERMINATION. Should the Consultant be found to have failed to perform his
services in a manner satisfactory to the County as per this Agreement, the County may
terminate said agreement immediately for cause; further the County may terminate
this Agreement for convenience with a thirty (30) day written notice. The County
shall be sole judge of non - performance.
10. NO DISCRIMINATION. The Consultant agrees that there shall be no discrimination
as to race, sex, color, creed or national origin.
11. INSURANCE. The Consultant shall provide insurance as follows:
A. Commercial General Liability: Coverage shall have minimum limits of $1,000,000
Per Occurrence, Combined Single Limit for Bodily Injury Liability and Property
Damage Liability. This shall include Premises and Operations; Independent
Consultants; Products and Completed Operations and Contractual Liability.
B. Business Auto Liability: Coverage shall have minimum limits of $500,000 Per
Occurrence, Combined Single Limit for Bodily Injury Liability and Property
Damage Liability. This shall include: Owned Vehicles, Hired and Non -Owned
Vehicles and Employee Non - Ownership.
C. Workers' Compensation: Insurance covering all employees meeting Statutory
Limits in compliance with the applicable state and federal laws.
The coverage must include Employers' Liability with a minimum limit of $500,000
for each accident.
D. Professional Liability Insurance: The Consultant shall maintain Insurance to
insure its legal liability for claims arising out of the performance of professional
services under this Agreement. Coverage shall have minimum limits of $1,000,000
Per Occurrence.

Special Requirements: Collier County shall be listed as the Certificate Holder and
included as an Additional Insured on the Comprehensive General Liability
Policy. Note: The Certificate Holder should read as follows: Collier County/Board
of County Comm issionersJNaples, Florida.
Current, valid insurance policies meeting the requirement herein identified shall
be maintained by Consultant during the duration of this Agreement. Renewal
certificates shall be sent to the County thirty (30) days prior to any expiration date.
There shall be a thirty (30) day notification to the County in the event of
cancellation or modification of any stipulated insurance coverage.
Consultant shall insure that all subConsultants comply with the same insurance
requirements that he is required to meet. The same Consultant shall provide
County with certificates of insurance meeting the required insurance provisions.
12.INDEMNIFICATION. To the maximum extent permitted by Florida law, the
Consultant shall indemnify and hold harmless Collier County, its officers and
employees from any and all liabilities, damages, losses and costs, including, but not
limited to, reasonable attorneys' fees and paralegals' fees, to the extent caused by the
negligence, recklessness, or intentionally wrongful conduct of the Consultant or anyone
employed or utilized by the Consultant in the performance of this Agreement. This
indemnification obligation shall not be construed to negate, abridge or reduce any other
rights or remedies which otherwise may be available to an indemnified party or person
described in this paragraph.
This section does not pertain to any incident arising from the sole negligence of Collier
County.
13. CONTRACT ADMINISTRATION. This Agreement shall be administered on behalf
of the County by the Community Development and Environmental Services
Department of Zoning and Land Development Review.
14. CONFLICT OF INTEREST: Consultant represents that it presently has no interest
and shall acquire no interest, either direct or indirect, which would conflict in any
manner with the performance of services required hereunder. Consultant further
represents that no persons having any such interest shall be employed to perform
those services.
15. COMPONENT PARTS OF THIS CONTRACT This Contract consists of the attached
component parts, all of which are as fully a part of the contract as if herein set out
verbatim: Exhibit A, Cost Proposal, Exhibit B, Schedule; Insurance Certificate,
Consultant's Proposal, RFP #07 -4105, Review of Land Development Code.

16. SUBIECT TO APPROPRIATION It is further understood and agreed by and
between the parties herein that this agreement is subject to appropriation by the Board
of County Commissioners
17. IMMIGRATION LAW COMPLIANCE: By executing and entering into this
agreement, the Consultant is formally acknowledging without exception or
stipulation that it is fully responsible for complying with the provisions of the
Immigration Reform and Control Act of 1986 as located at 8 U.S.C. 1324, et seq. and
regulations relating thereto, as either may be amended. Failure by the Consultant to
comply with the laws referenced herein shall constitute a breach of this agreement and
the County shall have the discretion to unilaterally terminate this agreement
immediately.
18. VENUE: Any suit or action brought by either party to this Agreement against the
other party relating to or arising out of this Agreement must be brought in the
appropriate federal or state courts in Collier County, Florida, which courts have sole
and exclusive jurisdiction on all such matters.
19. OFFER EXTENDED TO OTHER GOVERNMENTAL ENTITIES: Collier County
encourages and agrees to the successful bidder /proposer extending the pricing, terms
and conditions of this solicitation or resultant contract to other governmental entities
at the discretion of the successful bidder/ proposer.

Initial Staff Meetings: The County will appoint a Project Manager to

provide key information, coordinate comments on code drafts, and to
provide uniform and consistent direction to the Consultant. Once key
staff is identified, the Consultant will meet with staff to discuss and
prioritize the sections of the code that need to be revised.
The Consultant will discuss initial options to resolve these issues, in
additional to a refined wok plan to complete the process.

Dear Mr. White:
The above contract will expire December 11, 2012. In order to maintain required service levels in
the interim, we request an extension of your contract as provided for in the Collier County
Purchasing Policy until December 11, 2013. This extension request is subject to approval by the
Board of County Commissioners at an upcoming meeting, currently scheduled for November 13,
2012 as agenda item 16 A 12.
If you are agreeable to extension of the referenced contract, please indicate your intentions by
