12/10/2013 10.D. EXECUTIVE SUMMARY Recommendation that the Board of County Commissioners approve an agreement between Collier County and RETIS designating Collier County exclusive rights to host the RETIS FACE 6 Executive Training Program in the spring of 2014, approve providing funding in the amount of up to $10,000 for financial support in facilitating the event, and approve that the County's Office of Economic Development will house and provide support staff to the French government's non-profit staff during the program period. The local business community has matched the County's commitments by offering incubator and accelerator space to aid the French companies as they look to establish themselves here. This is a public-private initiative not only involving local government and local businesses, but additionally involving Florida Gulf Coast University and Enterprise Florida. The view to the long term is that RETIS will establish a formal presence in Collier County, treating Collier as its base of operation as it brings French businesses to the region. OBJECTIVE: Approval by the Board of County Commissioners (Board) of an agreement between the County and RETIS, the French network for innovation, to provide Collier County exclusive rights to host the RETIS FACE 6 Executive Training Program in the spring of 2014. The agreement with RETIS for the Spring 2014 FACE 6 Executive Training Program stipulates that RETIS will hold the event in Collier County, Florida, and provides funding in the amount of up to $10,000 to reimburse travel and lodging costs associated with attending the event for up to ten (10) French innovation companies, at up to $1,000 per approved company. On November 12, 2013 (Agenda item 16.F.4.), the Board approved a Resolution supporting this international business initiative subject to the execution of a formal agreement between the parties. This agenda item provides this agreement. CONSIDERATIONS: Collier County in conjunction with other community organizations, including the Greater Naples Chamber of Commerce, began communicating with representatives from the PACA Innovation organization of France during an initial visit in February 2013, regarding potential international economic development collaboration with Collier County. In two subsequent visits to Collier County coordinated by the Chamber, occurring in April and September of this year, the PACA/RETIS group continued discussions of establishing an international partnership with Collier County. The essential points of the partnership would: 1) create a soft landing zone providing technical assistance for selected French companies willing to develop businesses in Collier County and Florida, while 2) providing Collier and Florida innovation companies with facilitated access to French and European business partnerships and international trade. As provided for in the Office of Business and Economic Development's FY 2014 Business Plan, and formally adopted by the Board on September 10, 2013, this partnership would advance a key goal of international business development with potential for foreign-direct investment. On October 8, 2013, representatives from RETIS submitted an action plan outlining a proposal for Collier County to host RETIS's 2014 FACE 6 Executive Training Program. The FACE 6 Executive Training Program equates to an international business development mission affording our community an opportunity to recruit those desirable international firms to locate in Collier County. The plan outlines the benefits and obligations of both RETIS and Collier County, including a request for Collier County to provide financial support of up to $10,000 to offset transportation and lodging costs for up to 10 French innovation companies as part of Collier's facilitation of their participation the RETIS FACE 6 Executing Training Program planned for the spring of 2014. The partnership with RETIS will further facilitate the County's economic development by increasing international business opportunities that will create high value jobs for County residents and businesses. The opportunity to host the next FACE 6 Executive Training Session will contribute to Collier County's position as a hub for French and European companies aiming to expand in Florida, while assisting Florida-based innovation companies in gaining access to French and European business or technology incentives or other partnerships. The Office has worked to create a mutually beneficial agreement with RETIS that will allow Collier County to exclusively host the Spring 2014 RETIS FACE 5 Executive Training Program in the months of either March or April of 2014. The Office will continue relationship building with RETIS and pursue garnering local partner and community support to facilitate a successful event in the spring. The County's Office of Economic Development will house the French government delegation during the pendancy of the program, while the private sector will provide incubator and accelerator space on terms agreed to by the private parties and RETIS. FISCAL IMPACT: The maximum cost to the County for this in-bound international business development mission is $10,000, to offset transportation and lodging costs up to $1,000 each, for up to 10 French innovation companies' visiting Collier County for the 2014 FACE 5 program in the spring of 2014. Sufficient funds are available in the Economic Development budget for the proposed program. GROWTH MANAGEMENT IMPACT: None. AGREEMENT BETWEEN COLLIER COUNTY, FLORIDA, AND THE RETIS/PACA COLLABORATIVE, PROVIDING EXCLUSIVE RIGHTS TO COLLIER COUNTY TO HOST THE 2014 RETIS FACE 6 EXECUTIVE TRAINING PROGRAM IN THE SPRING OF 2014. THIS AGREEMENT, is made and entered into this_day of , 2013, by and among COLLIER COUNTY, a political subdivision of the State of Florida, acting by and through its Board of County Commissioners, the governing body thereof, herein referred to as the"COUNTY,"and RETIS,the French network for innovation. NOW,THEREFORE,in consideration of the premises and mutual benefits which will accrue to the parties hereto in carrying out the terms and provisions of this agreement, the parties hereto agree as follows: Section 1. Recitals. The foregoing recitals,as well as the recitals provided for in the Agreement,are true and correct and are incorporated in this Agreement by reference. Section 2. Obligations of RETIS. (A) Venue of Executive Training Program.RETIS shall: (i) Agree to conduct and comport the Spring 2014 FACE 6 Executive Training Program in Collier County,Florida in the months of March or April of 2014. (ii) Agree that Collier County shall be the sole U.S.destination promoted and marketed in conjunction with the Spring 2014 FACE 6 Executive Training Program for a minimum period of six(6)months prior to and a minimum of six months preceding the Spring 2014 FACE 6 Executive Training Program. (B) Details of Executive Training Program.Upon agreeing to locate the Spring 2014 FACE 6 Executive Training Program,RETIS shall: (i) Agree that the Spring 2014 FACE 6 Executive Training Program will consist of at least three(3)days of training that allows participant French innovation companies to familiarize themselves with the local economic ecosystem,including local partners,investors,and business prospects. (ii) Agree that the Spring 2014 FACE 6 Executive Training Program shall consist of sufficient content to support successful integration of those attendees into Collier County and Florida markets and include at least three sessions,three speakers, and participation from a minimum of six(6) French innovation companies. (iii) Agree that Collier County will participate in screening and selection of French companies invited to participate,and the County Manager or his designee will retain the option of approval for those companies to be determined as qualified for travel cost reimbursement. That determination will be based on the companies' compatibility with guidelines established by the State of Florida Target Industry list and estimated potential economic impact to Collier County. (C) RETIS Procurement Standard.RETIS shall require each participating French company to adhere to the RETIS FACE 6 Executive Training Program procurement rules(Exhibit A). Section 3. Obligations of the COUNTY. (A) In support of RETIS conducting the Spring 2014 FACE 6 Executive Training Program in Collier County,the COUNTY shall provide up to$10,000 in local financial support,made payable to RETIS,for the purpose of inducing the participation of up to ten(10)French companies in the Spring 2014 FACE 6 Executive Training Program. (i) The County financial support of up to$1,000 will be made available to offset each French participant companies'transportation and lodging costs incurred as travel expenses in direct relation to attending the event in Collier County. (B) County financial support will be made available from the Economic Development marketing and promotion budget(001-138760), and shall be made on a reimbursement basis as described by Section 4 of this Agreement. (C) The COUNTY agrees to provide an in-kind contribution of an office space in a county facility for RETIS staff, in relation to executing and implementing this agreement. (D) The COUNTY further agrees to provide additional support to RETIS in locating the Spring 2014 FACE 6 Executive Training Program to Collier County with in- kind contributions, including logistical support such as locating suitable meeting rooms and identifying speakers,mentors,and evaluators. Section 4. Reimbursement Procedures (A) Proposed Budget.To be eligible for travel and lodging cost reimbursements up to $10,000,providing up to$1,000 per qualified participating French company, Packet Page-410- 12/10/2013 10.D. RETIS is required to submit to the COUNTY a Proposed Budget and Program Guide using the provided form(Exhibit B)by February 21,2014. Such Proposed Budget and Program Guide shall, at a minimum,include the anticipated number of attending qualified French innovation companies,the anticipated number of program speakers,the name of program sessions,and the anticipated travel and accommodation costs necessary to support the attendance of up to ten French innovation companies. To be considered qualified,a French participating company must be pre-approved by the County Manager or his designee. (B) Performance Report. Within thirty days of the conclusion of the Spring 2014 FACE 6 Executive Training Program, RETIS shall submit to the COUNTY a Program Performance Report using the provided form (Exhibit C), which shall highlight key metrics accomplished during the 2014 FACE 6 Executive Training program, and also itemized costs related to transportation and lodging for participating French innovation companies. Such costs should be evidenced using any of the following: receipts, travel and lodging documentation such as flight and accommodation confirmations, or other similar documents evidencing expenditure of funds as required by this agreement. (C) Payment.Upon receipt of the Program Performance Report verifying the program requirements of this agreement have been met, and upon receipt of required documentation evidencing travel and lodging costs for up to ten French innovation companies, Collier County shall within forty five(45)days reimburse RETIS for all verified travel and lodging expenditures for up to ten French innovation companies,not to exceed$10,000 total. Section 5. Term of Agreement The terms of this agreement shall be from the date of execution through the COUNTY's receipt of the Program Performance Report, and COUNTY'S reimbursement of up to$10,000 to RETIS.
