SIXTH AMENDMENT TO AGREEMENT #04-3673 FOR "Professional Engineering Services for Design of the Northeast Water Reclamation Facility and Water Treatment Plant" THIS AMENDMENT, made and entered into on this 2,0 day of hr2018, by and between Carollo Engineers, Inc., f/k/a Carollo Engineers, P.C. (referred to herein as "Consultant") and Collier County Board of County Commissioners, a political subdivision of the State of Florida, (the "County"): WHEREAS, on December 14, 2014, Agenda Item 10.E., the County entered into an Agreement with Consultant to provide professional engineering services for design and related consulting services for the construction of the Northeast Water Reclamation Facility (NERWRF) and Northeast Water Treatment Plant(NERWTP), Project No. 70902 in the amount of$11,752,020; and WHEREAS,on March 18, 2005,the County administratively approved Amendment No. 1 to replace section 8.1 and 8.2 of Article Eight, Indemnification to update contract indemnification clause. WHEREAS, on November 15, 2005, Agenda Item 10.G, the County approved Amendment No. 2 in the amount of$1,144,432 for services related to the revised phasing of development for the NERWRF and NERWTP.Changes include; 1)revise language to Schedule A-Scope of Services, Section 4.0 and 5.0; and 2)replace in its entirety Schedule B-Attachment A, Schedule of Fees for Basic Services. WHEREAS, on January 26, 2010, Agenda Item 16.C.2, the County approved Amendment No. 3 to include Exhibit A3-A- Supplemental Terms and Conditions. Further, parties agree to suspend (hibernate)primary services identified in Schedule A"Scope of Services"due to projected slower growth and population projections, while allowing for oversight and management of activities during the hibernation, and providing for future reactivation of the Contract in the amount; and WHEREAS, on February 27, 2015, the County administratively approved Amendment No. 4 (Exhibit A-4) to replace in its entirety, Article Four-Time, Paragraph 4.1 to extend the period for the Consultant to provide services through the eventual completion and closeout of all services required on the Project; and WHEREAS,on September 26, 2017,Agenda Item 16.C.1,the County approved Amendment No. 5 to reactivate contract, amend hourly rates, as set forth in Schedule B-Attachment B and approve a new proposed Scope of Work (Exhibit A5-A) providing for the update of the Northeast Water Reclamation Facility and Northeast Regional Water Treatment Plant design criteria in the amount of $172,642. WHEREAS, the parties desire to further amend the Agreement to include Exhibit A6-A and Exhibit A6-B to include additional scope of work to the Northeast Utility Facility Site to create a Northeast Base Map, site plan modifications, identify parcel plat and provide associated time-and- material fees in the amount of$149,943. Carollo Engineers (Carollo) designed the proposed facilities in 2008, with Stantec (formerly Wilson Miller) providing support services for the civil site design of the facility. Collier County has authorized Carollo Engineers to review the original design and provide engineering assistance to evaluate the existing plans and specifications with regard to the treatment facilities. Concurrent with the evaluation being performed by Carollo, the County has requested that the Carollo and Stantec provide site planning engineering services for the following: 1. Pipeline Realignment Since the original design plans were completed, development plans for the lands surrounding the proposed facility have changed, including: The County is currently constructing improvements on land adjacent to the Fairgrounds for a Drop-off/Recycling Center (NERC); a. The County and their consultants have developed plans to improve land immediately west of the Northeast Utility Site for the Collier County Big Corkscrew Regional Park (BCIRP), Phase I.; b. Various well site modifications. c. The future design and development of Phase II of the BCIRP; d. Design and construction of an access road from Oil Well Road to the SE corner of the future Phase II of the BCIRP, and; e. Future connections that may be warranted to and from the Orangetree Utility Site such as an irrigation quality water main from Orangetree to the BCIRP. The original design for the Northeast Utility site, prepared by the Carollo and Stantec team, specifically as it pertains to piping, needs to be re-evaluated to account for the changes associated with the aforementioned land use changes and considerations, The goal of this effort is to develop the re-alignment of yard piping that is impacted by the current and proposed plans for lands in the immediate vicinity of the Project. The preliminary design will include the identification of the horizontal alignment, required easements (if necessary), identification of pipe material, typical sections, and the identification of potential or 1 c cal arrook/11404® proposed conflicts. The preliminary design will also identify the impact that the re-alignment on the proposed cost and schedule. 2. Location and Alignment of Disposal Facilities for Orange Tree Utilities Collier County has requested the Carollo/Stantec team to evaluate the proposed deep injection well (DIW) location, surface facilities, and pipeline routing necessary to allow for the disposal of effluent from the Orange Tree Utility (OTU)facilities. Currently, treated effluent from the OTU wastewater facility is blended with RO concentrate from the OTU facility and then applied to rapid infiltration basins (percolation ponds). The County would like the ability to discharge the blended effluent to the proposed DIW at the NE Utility Facility. As part of this assignment, the team will develop the alignment of pipelines that will convey the blended effluent to the proposed deep injection well site. There may be an opportunity to utilize a proposed pipeline (on an interim basis)that will ultimately convey flows from the OTU facilities to the NE Utility Facility site. Additionally, an evaluation of the surface facilities will be performed and the original site plan will be evaluated and modified to account for receiving the blended effluent from the OTU facility. The preliminary site will consider instrumentation associated with sampling and reporting requirements associated with the blended effluent from OTU, as well as future sampling requirements associated with the buildout of the NE Utility Facility site. 3. Civil Site Design Collier County would like to commence development of the Northeast Utility Facility Site and would like to evaluate strategies to commence civil/site development in advance of the bid and construction of the water and wastewater facilities. As such, the County has requested that Carollo and Stantec identify preliminary strategies and site considerations that allow the County to commence construction efforts in advance of final design of the treatment facilities. This effort will include the evaluation of site design components that can be constructed in advance of the water and wastewater facilities. Potential early site work to be considered will include the evaluation of environmental permit requirements, clearing and grubbing, site grading, stormwater facilities, access roads, fencing, landscaping with irrigation, yard piping, and potential electrical service improvements. Stantec will also consider the construction of a deep injection well as a part of the preliminary phase. The proposed well would serve as an interim facility to accommodate the Orange Tree Utility WWTP disposal. The goals of this effort are to identify design, permitting and procurement strategies to allow the County to commence construction activities in approximately FY2019. Stantec and Carollo will evaluate strategies that include the identification of separate specialized bid packages, schedules, and cost estimates to assist in achieving this goal. 4. Identify Parcel Plat The NE Utility site is currently proposed to be co-located with other County facilities including the Big Corkscrew regional park and other County facilities. It is in the Public Utilities Department's best interest to plat the parent parcel for each of the intended users. This will 2 c apron, 40N, allow the Public Utilities Department to permit the NE Utility Facility site, independent of other projects that are currently under development. Efforts associated with this task will identify the strategy to plat the parcel that will optimize the County's ability to proceed with a phased development plan. PURPOSE The purpose of this scope of services is to provide site planning and engineering services associated with: • -alignment of pipelines impacted by the Big Corkscrew Regional Park (Phases I and II), and the NERC; • location of temporary disposal facilities for OTU effluent; • identification and evaluation of civil site design, permitting and procurement strategies; • identification of required parcel plats. SCOPE OF WORK Task 1: Meetings and Coordination For the duration of the work order, the team will coordinate with the County through regularly scheduled meetings, letters, transmittals, e-mails, memoranda, and other forms of formal and informal communication, as appropriate. It is anticipated that Stantec will attend up to eight meetings. A preliminary list of anticipated formal meetings includes the following: 1. Kick-Off Meeting with County Staff(1) 2. Pipeline Re-Alignment Concept Review Meeting (1) 3. Preliminary Identification Civil/Site Design, Permitting, and Procurement Strategy Meeting (1) 4. Additional Site Review Meetings (2) 5. Up to three (3) additional Meetings with County stakeholders as directed It is anticipated that Carollo will be present at each formal meeting in person or via phone. Stantec will be responsible for conducting meetings, preparing agendas, and producing meeting summaries. In advance of each formal meeting, Stantec will coordinate with Carollo and discuss items to be presented and incorporated into the agenda. Deliverables Meeting materials including, but not limited to, documentation, graphics, agenda items and meeting summaries for each meeting. 3 Task 2: Site Planning and Engineering The team will evaluate the 2008 design plans and identify constraints and opportunities to consider as part of the evaluation of the revised NE Utility site. The team will also identify opportunities for separate civil/site design, permitting, and construction strategies that will allow the County to commence construction in approximately FY2019. The team will develop a base map that incorporates the original designed site as well as works and planning initiatives that impact the existing site design (i.e. potable water main improvements along lmmokalee and/or 39th Ave North, pipeline improvements adjacent to Collier County School Board properties, etc.). The team will solicit input and information from County stakeholders to identify bodies of work and available information to be incorporated into the base map. This information will be utilized to evaluate design and permitting strategies. The team will prepare a design memorandum that will include the following: 1. Re-alignment of pipelines that have been impacted by the surrounding land uses changes identified above. Results will be documented in a preliminary design memorandum. 2. The alignment of pipelines that will convey the blended effluent to the proposed deep injection well site. There may be an opportunity to utilize the proposed pipeline, on an interim basis, that will ultimately convey flows from the OTU facilities to the NE Utility site. 3. Evaluation of the surface facilities will be performed and the original site plan will be evaluated and modified to account for receiving the blended effluent from the OTU facility. The site evaluation will consider instrumentation associated with sampling and reporting requirements associated with the blended effluent from OTU, as well as future sampling requirements associated with the buildout of the NE Utility site. It is assumed that the original DIW design, size, and capacity will remain unchanged from the original design. 4. Identification of separate civil/site design, permitting, and construction strategies that will allow the County to commence construction in approximately FY2019. 5. Evaluation and identification of up to 5 separate legally described parcels. Task 3: Report Stantec will prepare a report documenting the site planning and engineering effort. The report will detail: 1. Discussion of revised site constraints and considerations based on revised base map exercise. 2. Baseline information made available and coordination with other consultants hired by the county regarding pipe locations and resolution of physical conflicts with planned development; 3. Provide a written update regarding any changes to the previously prepared plans based on changes to the Land Development Code with regard to landscape and buffering; 4 Cop roe.Bloyi 4. Evaluation of pipeline corridor(s)to and from the NE Utility Facility site. This will also include the evaluation of pipeline corridor(s)to convey blended effluent to the DIW; 5. Identification of up to three alternative pipeline corridors, if applicable; 6. Identification of up to three alternative routes to original design in terms of water and wastewater treatment facilities, cost, and schedule, if applicable; 7. Recommendation of proposed re-alignment; 8. Development of preliminary alignment drawings; 9. Development of typical cross sections; 10. Evaluation of sampling and recording requirements associated with the blended effluent; 11. Evaluation of the original DIW site and development of proposed modifications to the DIW to receive flows on an interim basis from out; 12. Development of preliminary site plan; 13. Development of preliminary alignment drawings; 14. Identification of potential conflicts to be addressed during detailed design. 15. Identify civil/site improvements that will not be impacted by future anticipated design revisions; 16. Identify site development permitting strategies associated with modifying the existing permits and/or developing new permit applications that allow the County to commence preliminary construction activities associated with site development. DELIVERABLES Draft and Final report. Up to five (5) hard copies of the report will be provided to the County upon request. SCHEDULE A detailed schedule will be developed and refined during the kickoff meeting. All services will be completed within 365 days of issuance of Notice to Proceed. COMPENSATION The proposal fee for the above scope of work will be charged on a Time and Material basis for the not-to-exceed fee of$149,943.
