EXECUTIVE SUMMARY
OBJECTIVE: To relocate Florida Power & Light Company ( "FPL ") facilities in conflict with
the County's proposed at -grade intersection improvements at US 41 and Collier Boulevard.
CONSIDERATIONS: FPL has underground facilities accommodated within private easements
immediately north and south of Triangle Boulevard at its intersection with Collier Boulevard.
These facilities are located within the new right -of -way acquired for construction of the proposed
intersection improvements at US 41 and Collier Boulevard and need to be relocated. The
attached Subordination of Utility Interests, Agreement for Reimbursement for Additional
Facility Relocations and Grant of Replacement Easements provides for FPL to subordinate its
interest in these easements to the interest of the County in the new right -of -way. In return, the
County will convey to FPL replacement easements for the relocation of these facilities and will
reimburse FPL for its relocation costs. FPL is not able to furnish the exact cost of relocating its
facilities at this time as its design has not been finalized; however, FPL has estimated this cost to
be $45,000.00. Once the actual cost has been determined, a Lump Sum Relocation Agreement
specifying the cost will be brought before the Board for approval.
FISCAL IMPACT: The estimated fiscal impact associated with this item is $45,100.00, which
includes recording fees and documentary stamp taxes. The source of funding is Road Impact
Fees and /or gas taxes.
LEGAL CONSIDERATIONS: This item has been reviewed as to form and legality, and
requires a majority vote for Board approval. - JW
GROWTH MANAGEMENT IMPACT: This recommendation is consistent with the County's
Growth Management Plan.
RECOMMENDATION: That the Board of County Commissioners of Collier County:
1. Approve the attached Subordination of Utility Interests, Agreement for Reimbursement for
Additional Facility Relocations and Grant of Replacement Easements and authorize its
Chairwoman to execute same on behalf of the Board;
2. Authorize the County Manager or his designee to record same in the public records of Collier
County, Florida.

SUBORDINATION OF UTILITY INTERESTS, AGREEMENT FOR
REIMBURSEMENT FOR ADDITIONAL FACILITY RELOCATIONS
AND GRANT OF REPLACEMENT EASEMENTS
THIS AGREEMENT, entered into this _ day of , 2013, by and between
COLLIER COUNTY, a political subdivision of the State of Florida, hereinafter called the
"County ", and FLORIDA POWER & LIGHT COMPANY, a Florida Corporation, whose
mailing address is P. 0. Box 14000, Juno Beach, Florida 33408, hereinafter called
"Utility'.
WITNESETH:
WHEREAS, the Utility presently has an interest in certain lands that have been
determined necessary for highway purposes; and
WHEREAS, the proposed use of these lands for highway purposes will require
subordination of the interest claimed in such lands by Utility to the County; and
WHEREAS, the County is willing to pay for the initial relocation of the Utility's
facilities and to convey to the Utility replacement easements in the public right -of -way to
prevent conflict between the County's use and the Utility's use, and for the benefit of
each, and
WHEREAS the County, in recognition of the Utility s interest in the certain lands, is
willing to pay for any future relocation of the Utility's facilities from or within the entire
width of the public right -of -way shown on Exhibit "A ", attached hereto and made a part
hereof.
NOW, THEREFORE, in consideration of the mutual covenants and promises of
the parties hereto, Utility and the County agree as follows:
UTILITY subordinates any and all of its interest in its easement lands described on
EXHIBIT "A" attached hereto and made a part hereof, to the interest of the County, or its
successors, for the purpose of constructing, improving, maintaining and operating a road
over, through, upon, and /or across such lands, based on the following:

IN CONSIDERATION for the foregoing, the sum of TEN DOLLARS ($10.00) and
other valuable consideration paid, the receipt and sufficiency of which is hereby
acknowledged, the County hereby conveys, grants, bargains and sells unto the Utility, its
licensees, agents, successors, and assigns, a perpetual, non - exclusive easement forever
for the construction, operation and maintenance of overhead and underground electric
utility facilities (including wires, poles, guys, cables, conduits and appurtenant equipment)
to be installed from time to time; with the right to reconstruct, improve, add to, enlarge,
change the voltage, as well as, the size of and remove such facilities or any of them
within the easements described in Exhibit "B ", attached hereto and made a part hereof,
together with the right to permit any other person, firm or corporation to attach wires to
any facilities hereunder and lay cable and conduit within the easement and to operate the
same for communications purposes; the right of ingress and egress to said premises at all
times; the right to clear the land and keep it cleared of all trees, undergrowth and other
obstructions within the easement area; to trim and cut and keep trimmed and cut all dead,
weak, leaning or dangerous trees or limbs outside of the easement area which might
interfere with or fall upon the lines or systems of communications or power transmission
or distribution; and further grants, to the fullest extent the undersigned has the power to
grant, if at all, the rights hereinabove granted on the land heretofore described, over,
along, under and across the roads, streets or highways adjoining or through said
property.
THE COUNTY and the Utility further agree that:
1. "Public right -of- way ", as used herein, shall mean that area which is described in
Exhibit "A" and which includes the Utility's easements identified above and
additional lands for public right -of -way, as described in Exhibit "A ", attached hereto
and made a part hereof.
2. The Utility shall have the right to construct, operate, maintain, improve, add to,
upgrade, remove, and relocate facilities on, within, and upon the public right -of-
way described in Exhibit "A ", in accordance with the County's current minimum
standards for such facilities as of the date of this agreement. Any new
construction or relocation of facilities within the public right -of -way will be subject to
prior approval by the County.
3. The County shall pay for the relocation of existing facilities. In addition, the Utility
retains the right to be reimbursed, either now or in the future, for additional
relocation or adjustment of its facilities located presently or to be located on the
public right -of -way described in Exhibit "A ", if such relocation or adjustment is
caused by present or future uses of the right -of -way by the County or its assigns,
including, but not limited to, the cost of acquiring replacement easements.
4. The Utility shall have the right to enter upon the lands described in Exhibit "A" for
the purposes outlined in Paragraph 2 above, including the right to trim such trees,
brush, and growth which might endanger or interfere with such facilities. The
County shall provide and insure access to said lands by the Utility.
5. The Utility agrees to repair any damage to County facilities and to indemnify the
County against any loss or damage resulting from the Utility exercising its rights to
construct, operate, maintain, improve, add to, upgrade or remove its facilities on
the said public right -of -way.
6. This Agreement shall not be assigned by the County except to the State of Florida.

The probable estimated construction cost that I have calculated at this time is approx. $45,000.00.
This includes all work required to remove our facilities from the existing easement and re -build them
in the new easement. Please let me know if this will be sufficient for your executive summary.

Are you able at this time to furnish an opinion of probable estimated construction cost
for the relocation of your facilities? In view of the fact that we need to take the grant
of the new easement to our Board for approval, I have been directed to include in the
Fiscal Impact section of my Executive Summary an estimate of the relocation cost if
the actual cost has not as yet been determined. In view of your reluctance to include
a dollar amount in the current proposed agreement, our intention is to reference the
estimated relocation cost in our Executive Summary only, and not the agreement
itself. This will give our Board a more complete indication of the fiscal impact when it
considers the item.
