EXECUTIVE SUMMARY
Recommendation to direct the County Attorney to issue the attached Notice of Default to
KPK Management, Inc., assignee of Global Manufacturing Technologies, Inc., relating to a
Sublease dated August 15, 1999, of the Immokalee Airport Incubator Building, setting
forth that if certain lease violations are not rectified within 30 days of the Notice, that the
Airport Authority will terminate the Sublease and, if necessary, pursue its legal remedies,
and to grant the Airport Executive Director the authority to work with the County
Attorney to terminate the Sublease and pursue legal action, including eviction proceedings,
if the defaults are not cured.
OBJECTIVE: To require KPK Management, Inc., the present subtenant of the Immokalee
Airport Incubator Building under a sublease dated August 15, 1999, to clean up the building,
remove all safety hazards, and otherwise fulfill its maintenance requirements, failing which to
remove them as the Subtenant. Violations currently include compromised ceiling insulation,
broken and stained tiles, missing dry wall, metal shavings in primary office carpet requiring the
carpet replacement and other issues listed in the Collier County Airport Authority's January 18,
2012 and January 16, 2013 inspection reports outlining all violations.
CONSIDERATIONS: The Global Manufacturing Technologies, Inc. sublease was signed in
1999 for a term 29 years, and later assigned to KPK Management, Inc. Under Article VI
(Obligations of Subtenant) section G of the lease, Global Manufacturing Technologies, Inc.
"accepts the Subleased Premises at such time as tenant takes occupancy as is in their then
condition and without expense to Authority or Collier County, will repair and maintain the
Subleased Premises and installations thereon and remove or cause to be removed debris from the
surrounding ground to the extent Authority may require."
Under Article VIII (Maintenance) section B, sub - section 1 the lease agreement states, "Subtenant
shall, without cost to Authority, maintain the Subleased Premises, Common Area subject to
Article V, Paragraph E and the furniture and equipment described in Exhibit B and every part
thereof in good appearance, repair, and safe condition, consistent with good business practice.
Subtenant shall repair all damage to the Subleased Premises caused by its employees patrons,
invitees, permitees, contractors, labors, suppliers, etc. or its operation thereon; and shall maintain
and repair all improvements thereon including drainage installations, paving, curbs, islands,
building and all other improvements."
The Authority notified Global Manufacturing Technologies, Inc., of lease violations by issuing
inspection reports from the Immokalee Airport Manager on behalf of the Airport Authority on
February 19, 2012, and February 4, 2013. Corrections to the issues have not yet been completed.
Maintaining clean business practices is a priority for both the Authority and for the Board of
County Commissioners and such direction is outlined in the Global Manufacturing Technologies,
Inc. lease.
FISCAL IMPACT: There is no revenue shortfall as a result of keeping the sub - leases.
LEGAL CONSIDERATIONS: This item has been reviewed by the County Attorney, is legally
sufficient, and requires majority support for approval. -JAK.

Dear Mr. Fox:
This letter is in furtherance of action taken by the Collier County Airport Authority on
May 14, 2013.
In February 2012 and February 2013, KPK Management Inc. (hereinafter "KPK ")
representatives were notified of numerous sublease violations following inspections that
occurred by Collier County Airport Authority representatives on January 18, 2012 and January
16, 2013 respectively. The violations include the following: compromised ceiling insulation,
broken and stained tiles, missing dry wall, metal shavings in the primary office carpet requiring
replacement and other issues listed in the inspection reports previously provided to KPK.
The Sublease Agreement, dated August 15, 1999, between Global Manufacturing Inc.
and Collier County Airport Authority, is clear that the subtenant KPK Management, Inc. has the
ongoing duty to maintain and repair the leased facility and premises. Article VI (Obligations of
Subtenant) section G of the Sublease Agreement states in pertinent part:
"Subtenant accepts the Subleased Premises at such time as tenant takes occupancy
"as is" in their then condition and, without expense to Authority or Collier
County, will repair and maintain the Subleased Premises and installations
thereon..." .
Article VIII (Maintenance) section B, sub - section 1 states in pertinent part:
"Subtenant shall, without cost to Authority, maintain the Subleased Premises,
Common Area subject to Article V, Paragraph E and the furniture and equipment
described in Exhibit B and every part thereof in good appearance, repair, and safe
condition, consistent with good business practice. Subtenant shall repair all
damage to the Subleased Premises caused by its employees, patrons, invitees,
permitees, contractors, labors, suppliers, etc. or its operation thereon; and shall

paving, curbs, islands, building and all other improvements."
Be advised that this correspondence shall serve as formal notice that KPK has failed to
comply with material condition(s) of the Sublease Agreement and is therefore in breach of the
same. Pursuant to Article XX of the Sublease Agreement, be advised that if said breach shall
continue for thirty (30) days from receipt of this written notice, said failure shall constitute a
material default of the Sublease Agreement, authorizing the Airport Authority to terminate the
Sublease Agreement and, if necessary, pursue any and all legal remedies.

The Management Staff at the Immokalee Regional Airport conducted the annual Compliance and
Safety Inspections of your leased building in accordance to the provisions of Article XXXI of your
sub -lease agreement on Wednesday, January 18, 2012. In attendance was Leo Rodgers (Immokalee
Fire District Fire Marshal), Chris Wiggins (Immokalee Airport Operations), myself, Thomas Vergo
(Airport Manger of Immokalee Regional Airport), and you, Larry Fox. The inspection was
conducted to assess the overall condition and maintenance of the facility in compliance with Article
VIII Sections B1 & B2 of the original sublease dated and executed on August 15, 1999.
Your facility is used as a manufacturing incubator support facility with your company leasing the
entire facility and sub - leasing individual bays to small manufacturing companies not owned or
operated by your company. Your facility also has been furnished with furniture and equipment that
has been provided by the Airport for the use of the tenants of the building. The condition of these
items was also evaluated during this inspection.
During the inspection, Airport Staff and/or Fire Marshal noted the following non - compliance issues
as outlined in the approved Airport Rules and Regulations, your signed lease, and /or National Fire
Protection Codes. For ease of reporting, the condition reporting and compliance issues have been
separated by bay and/or office spaces below.
Lobby/Reception Area
The overall condition of the lobby area was rated as in good condition. There were cobwebs in
many of the windows and the furniture dusty. The carpet seemed in good repair with minor spotting
and the entry doors operated smoothly during both the open and closing cycles. The access key
located in the Fire Department Key Box on the exterior of the building was verified for operation.
The below items were found to need attention/repair:
Exit light above front entry door does not illuminate on battery power when manually tested
in accordance with NFPA 101 14.3 —Emergency lighting must be maintained and tested in
accordance to NFPA 1, 14.13
o Recommended Action: Repair /replace emergency exit sign above front entry door.

Conference Room
The conference room is located directly off the lobby /reception area. It was in good condition
overall and have a large conference table with chairs. It appears the conference room was being
used for both temporary and long -term storage of miscellaneous items. On the east wall, there is a
dry-erase marker board that is rated in good condition. The below items were found to need
attention/repair:
• The carpeting is rippling in many areas. This can pose a tripping hazard for the occupants
and customers who may use the facility.
o Recommended Action: Repair the ripples in the carpet to prevent a tripping hazard.
• In the north -east corner of the conference room, 2 ceiling tiles are heavily stained from an
unknown cause (Identified on previous inspection report from 7/8/2010).
o Recommended Action: Verify the reason for the staining and replace the ceiling tiles.
Adjoining Office (North of Reception Area)
The flooring looked to be in good condition and walls free of marks or holes. Although there were
no compliance or safety issues found in this area, it is recommended that the cobwebs in the
windows and screens in this area be cleaned.
Office ( #104) and Hallway
This office area has the ability to be closed off and locked with the door functioning as designed.
This space is directly across from the shared men's and women's bathrooms. In the hallway area is
a fuse and fire alarm panel. The fire alarm panel is the central panel for the entire building and had
been recently serviced and inspected by a fire alarm contractor. The below items were found to need
attention/repair:
The fire alarm panel was showing a trouble code /signal. The tenant stated to the Fire
Marshal that the cause of the code is unknown at this time.
o Recommended Action: Verify the reason for the trouble code and have affected
component(s) repaired/replaced and operating in accordance with NFPA 72.
Tool Room #108 (East of Office #104)
The below items were found to need attention/repair:
• Ceiling insulation is torn and falling down from ceiling.
o Recommended Action: Repair insulation back to original position. If required,
replace insulation.

o Recommended Action: Repair and secure insulation back to its original position

Receiving/Storage #111A
This room appears to be used for the storage of minor materials. The flooring in this room is in poor
condition and will need to be replaced. The below items were found to need attention/repair:
Rear exit door lock and bottom threshold have been removed.
o Recommended Action: Replace /reinstall door lock and bottom threshold.
• Sliding lock/hasp installed on rear exit door not in accordance with NFPA 101.
o Recommended Action.: Remove non- approved door hardware from door.
• Electrical service panel blocked with boxes and shelves
o Recommended Action: Remove boxes and shelving from in front of electrical
service panel and maintain a clearance of 3 feet in front of panel.
• Vinyl flooring is chipped up and scratched due to items being dragged over flooring and due
to the removal of the bottom threshold of the east exterior door.
o Replace flooring as needed to make a uniform floor for both aesthetics and safety.
Calibration Lair #111
This room is overall in good condition with light wear. All overhead lighting is working and in
good order and repair. There is light storage of items and boxes in this room. The below items were
found to need attention/repair:
• Exit light above entry door does not illuminate on battery power when manually tested in
accordance with NFPA 101 14.3 —Emergency lighting must be maintained and tested in
accordance to NFPA 1, 14.13
o Recommended Action: Repair /replace emergency exit sign above door.
Unit A (Bay #1)
This bay has numerous large machines operating within. The overall condition of this unit was in
good condition. The below items were found to need attention/repair:

Unit B (Bay #2)
This bay has extensive electrical cords and outlets installed in an unapproved manner. There are
metal shavings accumulating around the machinery. The electrical panel has knockouts missing and
spaces without blanks between the breakers. The below items were found to need attention/repair:
• Wiring going to various machines is either undersized or not approved for installation in the
manner installed. Tenant was present to point our discrepancies at time of inspection and
various issues were identified.
o Recommended Action: Replace wiring to machines with wire of adequate size and
type per the manufacturer's recommendations and local electrical codes.
• Exit light above door does not illuminate on battery power when manually tested in
accordance with NFPA 101 14.3 — Emergency lighting must be maintained and tested in
accordance to NFPA 1, 14.13
o Recommended Action: Repair /replace emergency exit sign above door.
• Electrical panel has missing blanks between breakers
o Recommended Action: Install blanks between breakers in accordance with NFPA 70
National Electrical Code.
Unit C (Bay #3)
This bay has storage of various items and overall in good, working condition. The below items were
found to need attention/repair:
• Exit light above door does not illuminate on battery power when manually tested in

accordance to NFPA 1, 14.13
o Recommended Action: Repair /replace emergency exit sign above door.

This bay was in good condition overall with minimal issues. The below items were found to need

accordance to NFPA 1, 14.13
o Recommended Action: Repair /replace emergency exit sign above door.
• Breaker box near ceiling is missing a safety .cover
o Recommended Action: Install safety cover on breaker box located near ceiling in
accordance with NFPA 70 National Electric Code.
• Junction box is missing cover
o Recommended Action: Install junction box cover in accordance with NFPA 70
National Electric Code.
Unit E (Bay #6)
The power to this unit was turned off so overall lighting condition was not able to be checked.
Lighting fixtures looked to be in good repair and condition. There is minor damage to the fire wall
that needs to be addressed. The below items were found to need attention/repair:
• Exit light above door is missing and in accordance with NFPA 101 14.3 — Emergency
lighting must be maintained and tested in accordance to NFPA 1, 14.13.
o Recommended Action: Replace emergency exit sign above door.
Both emergency lights do not illuminate on battery power when manually tested in

This bay was not occupied at the time of inspection but the overhead lighting looks to be in
excellent condition. The power was turned off to this unit at the time of inspection so the
functionality of the overhead lighting was unable to be verified. The below items were found to
need attention/repair:
• Exit light above door does not illuminate on battery power when manually tested in
accordance with NFPA 101 14.3 Emergency lighting must be maintained and tested in
accordance to NFPA 1, 14.13
o Recommended Action: Repair /replace emergency exit sign above door.
• Emergency light is missing in Bay #8 and needs to be installed accordance with NFPA 101
14.3 - Emergency lighting must be maintained and tested in accordance to NFPA 1, 14.13
o Recommended Action: Replace emergency light.
• Electrical panel has missing blanks between breakers in both bays.
o Recommended Action: Install blanks between breakers in accordance with NFPA 70
National Electrical Code.
• Sliding lock/hasp installed on rear exit door not in accordance with NFPA 101.
o Recommended Action: Remove non - approved door hardware from door.
• Rollup door cover missing (Bay #8)
o Recommended Action: Reinstall rollup door cover to operate as designed.
Unit H & I (Bay #9 & 410)
This bay is subleased to Salazar Machine and Steel. It is a combined bay with 2000 S.F. of
continuous space. There is an accumulation of cobwebs in the ceiling but the overhead lighting was
in good repair and all worked. The below items were found to need attention/repair:
Exit light above door does not illuminate on battery power when manually tested in
accordance with NFPA 101 14.3 — Emergency lighting must be maintained and tested in
accordance to NFPA 1. 14.13.

• Ceiling insulation is torn and falling down from ceiling.
o Recommended Action: Repair insulation back to original position. If required,
replace insulation.
• Outlet box is loose and hanging from wall by conduit (Identified on previous inspection
report from 7/8/2010).
o Recommended Action: Secure outlet box to wall.
• Exterior of bay door opening has sheet metal damage from collision with an object or
vehicle (Identified on previous inspection report from 7/8/2010).
o Recommended Action: Repair or replace the metal as required.
• Door handle cut off of exterior door.
o Recommended Action: Replace door handle to function as required.
Unit J (Bay #I1)
This bay is also subleased to Salazar Machine and Steel and is showing signs of overuse. There is
wall damage to the western wall of the building that has been left unrepaired. The tenant has
installed a shed within the premises that the Fire Marshal wrote up as "work done without a
permit." The unit's overhead lighting was in working order with all bulbs and fixtures working as
designed. The below items were found to need attention/repair:
• Exit light above door does not illuminate on battery power when manually tested in

o Recommended Action: Replace thermostat.
Exterior of Building
In accordance with the signed and approved lease, the exterior area of the building to include the
lighting and pavement is the sole responsibility of the subtenant, Global Manufacturing
Technologies, Inc. The general condition of the rear of the building is poor with trash, debris, metal,
wood, vegetation, and equipment scattered around. The inspection staff conducted a detailed
inspection of the exterior of the building and noted the following items:
• Pavement markings such as parking spaces, stop bars, and safety lines are faded and/or
missing as shown on building plans.
o Recommended Action: schedule parking area to be restriped
• Handicap signage is missing and other signage fading
o Recommended Action: Replace missing and faded signs as required
• At the rear of the building, debris have been allowed to accumulate in the paved common
area. There are weeds and vegetation growing inside the dumpster enclosure and inside
stacked pallets near the enclosure.
o Recommended Action: Remove debris from rear of building to allow landscaping
contractor to safely service the property on a weekly basis.
• A white, unregistered box truck and red pickup truck with expired registration are being
stored behind the building.
Airport Rules and Regulations, Section 6.06b: "No vehicle shall remain in any parking
facility on the Airport for more than forty -five (45) consecutive days.
o Recommended Action: Vehicles need to be removed from the facility or registered
or registered and parked within vehicle parking areas.
• Vegetation is growing in the rain gutters on the southeast corner of the building.
o Recommended Action: Remove vegetation and ensure gutters are clear of debris.
• Metal racks and supplies blocking truck pallet lift.
o Recommended Action: Remove and relocate items to not impact the truck lift. Lift is
a common use item that must remain clear and usable from both directions.
• Items are being stored in dumpster enclosure and dumpster is sitting outside of enclosure. on
pavement.
o Recommended Action: Relocate dumpster back into fenced enclosure.
• Rear fire /vehicle lane is being blocked by steel barricades during night and misc. supplies
and items are being stored within the 2 -way lane.
o Recommended Action: Remove items from within 2 -way fire lane and cease the
usage of the steel barricades at night.

o Recommended Action: Do not allow tenants to use condenser units as work benches
and need to have system serviced. Repair the broken electrical fixtures and conduits

• Areas of metal panels outside of bay doors in rear are discolored.

Common Use Equipment and Furniture
An inspection was conducted on the common use equipment that belongs to the Authority that is
positioned over at this particular building. All the office furniture was rated to be in good condition
and seemed to be wearing appropriately according to its time in service. The forklift however is
currently not working and Airport staff has not seen it in operation for at least the past 8 months. It
is believed that the forklift has been out of service for longer than that based off of yearly inventory
reports that the County conducts annually. In keeping with the requirements of your lease, you will
need. to repair the forklift to operational status. It is a common use item that is required to be
maintained and repaired in a timely manner.
A follow -up inspection of your leased building is scheduled for Friday, April 20, 2012 between the
hours of 9 :00am and 4:00pm. This follow -up inspection will be conducted to verify that the above
non - compliance issues have been resolved. You are requested to be in attendance at this follow -up
inspection due to the nature of your operation. Airport Management has coordinated with the
Immokalee Fire District Fire Marshal, Leo Rodgers to conduct both follow -up inspections at the
same time for your continence.

The Airport Management Staff and Immokalee Fire Marshal attempted to conduct the scheduled
follow up inspection of your leased facility at 160 Airpark Blvd. on Wednesday. February 27. 2013
at 1:00pm. We were met by Ronald Gills who notified the inspection team that you were not onsite
and that none of the compliance issues had been addressed with the exception of-
0 Improper storage of oil in open 5- gallon pails and unmarked containers.
o Majority of improperly stored oil has been disposed of by the tenant but no disposal
records were on site and some residual oil still existed in buckets inside/outside rear
storage shed.

• Electrical tie-in box located at front of building not on pad (safety issue)

Safety Inspections of your leased building in accordance to the provisions of Article XXXI of your
sub-lease agreement on Wednesday. Januai-,y 16. 2013. In attendance was Leo Rodgers (Immokalee

(Airport Manger of Immokalee Regional Airport), Chris Curry (Executive Director - Collier
County Airport Authority) and your designee. Ronald Gills. The inspection was conducted to assess
the overall condition and maintenance of the facility, in compliance with Article VIII Sections A,
131.. & B-1 of the original sublease dated and executed on August 15, 1999.
Urpon arrival at 9:30arri at your facility to conduct your scheduled inspection. the inspection team
was notified by Ron Gills that you were not onsite and the building was not ready for Inspection.

inspect the premises. All parties involved agreed. and your inspection time was moved to approx.
1:00pm the same day.
Your facility is used as a manufacturing incubator support facility with your company leasing the
entire facility and sub-leasing individual bays to small manufacturing companies not owned or
operated by your company. Your facility also has been furnished w=ith furniture and equipment that
has been provided by the Airport for the use of the tenants of the building. The condition of these
items was also evaluated during this inspection.
The last inspection of this facility took place Wednesday, January 18. 2-0121 and you were given a
year to brinL, the building into full compliance as the amount of non-compliant and maintenance
items ryas substantial and assurance was given to Airport Management that repairs would be
gradually completed. To date, some repairs have not been completed from the past inspection.

Front Entrance — Exterior
The front entrance overall was in good condition with clean and clear windows, fully operating
doors, and no physical issues. The night prior to the inspection, an Airport representative noted that
many of the front exterior lights were not working. Their locations were as follows: I light over

door. and 1 116, out at the Immokalee Manufacturing and Technology Center
area is covered in brick pavers and they are showing signs of mildew growth so the
recommendation would be to have them cleaned.
Lobby/Reception Area
The overall condition of the lobby area was rated as in good condition. The carpet seemed in fair
repair with minor spotting, rippling and a fair amount of wear. It appear-, that the lessee had the
carpets cleaned during the previous year. it is recommended that the carpet be replaced prior to the
next yearly compliance inspection due to its age enu re verified for proper

This office area has the ability to be closed off and locked with the door functioning as designed.
This space is directly across from the shared men's and women's bathrooms. In the hallway area is
a fuse and fire alarm panel. The fire alarTri panel is the central panel for the entire building and had
been recently serviced and inspected by a fire alarm contractor. The below items were found to need

fair condition. The bay is a combination of 2 bays to form one 2.000 S.F. working space. This space
has 2 small offices located near the front entrance of the space. The below items were found to need

in good repair and all worked. At the time of the inspection, the sub - tenant was in the prowess of

permit." The unit's overhead lighting was in working order with some bulbs and fixtures not
workine as designed. The below items were found to need attention,/repair:

Exterior of Building
In accordance with the signed and approved lease, the exterior area of the building to include the
lighting. building. and pavement is the sole responsibility of the lessee. The general condition of the
rear of the building is littered with trash, debris, metal. wood. vegetation. and equipment scattered
around. While the tenant has cleaned up some portion-, of the building*s rear area, this has not been
maintained in accordance with the approved lease. The inspection staff conducted a detailed
inspection of the exterior of the building and noted the following items:
• Pavement markings such as parking spaces. stop bars- and safety lines are faded and /car
missing as shown on building plans (Identified on previous inspection report from
31 /2012).
o Recommended Action: schedule parking area to be restriped
Pavement is in need of seal coat to preserve integfitNY pavement.
o Recommended Action: Schedule pavement to be resealed and restriped to preserve
pavement and extend useful life.
At the rear of the building, trash and debris have been allowed to accumulate in the paved
common area. There are weeds and vegetation growing inside the dumpster enclosure and
inside stacked pallets near the enclosure (Identified on previous inspection report from
3/1/2'01'_').
o Recommended Action: Remove debris from rear of building in accordance With
lease to allow landscaping contractor to safely service the property on a weekly
basis.
Metal racks and supplies blocking truck pallet lift (Identified on previous inspection report
from 3/1:'2012).
o Recommended Action- Remove and relocate items to not impact the truck lift. Lift is
a common use item that must remain clear and usable from both directions.
0 Rear fire/vehicle lane is being blocked by steel barricades during night and misc. supplies
and items are being, stored within the 2-way lane (Identified on previous inspection report
